DETERMINATION OF PERFORMANCE INCENTIVE

(Applicable to Items 0003, 0005 and 0009)

A. General

1. The delivery of the Low Rate Initial Production (LRIP) Air and Missile Defense Radar (AMDR) Power Conversion Modules (PCM) (with all work required by the Section C completed) in time to support the construction of Lead Ship of the DDG 51 CLASS FLIGHT III and at a higher power density than current PCMs is of paramount importance to the Navy. This includes the completion of the CLIN 0001 Non-Recurring Engineering; the CLIN 0003 LRIP manufacture, factory test, and delivery to the Navy for land based testing; and CLIN 0009 through CLIN 0015 delivery of Full Rate Production (FRP) ship sets, all in time to allow installation on new construction ships, with deliveries in time to support ship construction in yard need dates. In order to attain this goal, it is in the Navy’s best interest to incentivize Contractor performance by rewarding Contractor efforts in connection with achieving this schedule performance and also to dis-incentivize late delivery relative to this milestone. Each day beyond the Government review time for the deliverable data identified in CLIN 0002 will may cause an equivalent schedule adjustment to the required delivery dates specified in this clause. Also of importance is the overall size of each PCM. The depth and the height are fixed based on standards for maintainability and compartment heights, so the dimension that can be adjusted is the length. While smaller depth and height are desirable and goals are established in the technical specification for these dimensions, only the length will be incentivized by this clause. It is in the Navy’s best interest to incentivize Contractor performance by rewarding Contractor efforts in connection with achieving the length identified in their proposal and also to dis-incentivize not meeting the proposed length.

2. Accordingly, in addition to any fee or other compensation which may be paid to the Contractor, pursuant to other clause(s) of this contract, the Contractor may earn an additional incentive fee or incur a penalty, as determined by the Performance Incentive Fee Determining Official (PIFDO), pursuant to the procedures set forth in this clause.

Any incentive fee earned or penalty imposed by this clause will be levied against the CLIN of this contract in which the incentive fee or penalty applies.

3. Pursuit of the Performance Incentive shall not come at the expense of the overall AMDR PCM effort. The Navy Program Office (PMS 320), with the assistance of the DCMA Quality Assurance Representative, will determine whether the Contractor has met this prerequisite by assessing the compliance with all of the technical parameters established in the contract. The incentive fee is earned with delivery of items that meet all requirements.

B. Available Incentive

The amount of any incentive fee payable to the Contractor, pursuant to this clause, shall be determined in accordance with the procedures set forth in paragraph D using the evaluation factors set forth in paragraph C below.

The total incentive fee amount available pursuant to this clause is $2,000,000. Of the incentive fee amount available, $1,000,000 is available for the reduction of the physical dimensions of the AMDR PCM, $500,000 is available for early delivery of CLIN 0003, and $500,000 is available for early delivery of CLIN 0009. The dates identified in paragraph C below assume that the options for SLIN 0001AC is exercised coincident with the successful completion of SLIN 0001AA Preliminary Design Review, CLIN 0003 and CLIN 0004 are is exercised coincident with the successful completion of SLIN 0001AAC, CLIN 0005 is exercised coincident with the successful completion of CLIN 0003 (excluding the associated commissioning support), and the option for CLIN 0009 is exercised coincident with the successful completion of CLIN 0005. CLIN 0003 delivery shall be when the AMDR PCM hardware items are delivered to the Navy and shall not include the follow-on commissioning support.

Delays that are wholly or partially the fault of the Contractor shall not be grounds for adjustments in the required delivery dates. Delays that are due to Navy imposed option exercise up to the dates of latest option exercise specified in 52.217-7 shall adjust the required delivery date for this incentive commensurately. The incentive is only earned if the items delivered are fully compliant with the specification and contract requirements. Delivery, for the purpose of this clause, shall be when the Contractor presents (with an accompanying DD 250) the hardware and software items required in the scope of CLIN 0003 and CLIN 0009, as appropriate, for inspection and acceptance in accordance with Contract Schedule Section E (inspection and acceptance at origin). If any re-work is required of the delivered items as a result of the inspection by the Government, the time required for the Contractor to perform that re-work and for the items to be presented again for inspection and acceptance in accordance with Contract Schedule Section E shall be included is the determination of the delivery date for the purpose of this clause. The period(s) required for the Government to assess the acceptance of the items presented will not be accounted for in the determination of the delivery date.

C. Evaluation Factor

The Contractor's performance under this clause will be evaluated against the following evaluation factor. CLIN 0005 performance incentive shall be associated with the external physical length dimension associated with each cabinet as required in Table I (Dimensions and weight for each AMDR PCM) of the Technical Performance Specification for DDG 51 Class AMDR Power Conversion Module (Attachment C). CLIN 0003 and CLIN 0009 delivery date shall be executed in accordance with Section F – Deliveries or Performance, 52.211-8 TIME OF DELIVERY (JUN 1997), and Section E - Inspection and Acceptance. The performance and schedule incentive fee earned, if any, will be determined in accordance with the Table below. It shall also be noted that the award of any incentive fee is contingent on full compliance with the Technical Performance Specification for the AMDR PCM, and the terms and conditions of the contract. The parties hereby agree that the dates contained in the Table below may or may not be adjusted as a result of any negotiated “changes” in accordance with the “Changes” clause, at the discretion of the Navy.

D. Performance Incentive Fee Determining Official

The PIFDO (the Contracting Officer) will determine the Performance Incentive Fee due the Contractor for each evaluation factor.

E. Performance Incentive Determination and Reclama Procedures

1. Within twenty-one (21) calendar days after delivery of the ship set of AMDR PCM within a CLIN, the Contractor shall furnish to the PIFDO a self-evaluation and such other information as may be reasonably required to assist the PIFDO in its evaluation of the Contractor’s performance for the factors listed in paragraph (C). Included in the self-evaluations will be a rating with rationale supporting the proposed rating. If a factor is not addressed, the PIFDO will consider the Contractor non-responsive for that item and may determine a performance incentive fee amount of zero dollars.

2. Within fifteen (15) working days after the Contractor provides each self-evaluation, the PIFDO will prepare a performance evaluation letter and will provide it to the Contractor. Provided the PIFDO agrees with the Contractor’s self-evaluation, the performance evaluation letter shall indicate a final incentive fee or penalty determination. If the PIFDO does not concur with the Contractor’s self-evaluation, disagreements shall be expressed in the performance evaluation letter to the Contractor.

3. If the Contractor does not concur with the PIFDO’s performance evaluation letter, the Contractor shall submit written comments and any supporting documentation to the PIFDO within five (5) working days of receiving the performance evaluation letter.

4. Within ten (10) working days of receiving any Contractor comments or reclama, the PIFDO shall make a final determination for the performance incentive fee earned for the paragraph (C) factor under evaluation.

5. Within twenty-one (21) calendar days of the final determination, the PIFDO will notify the Contractor, in writing, of the final determination and will issue a unilateral modification to the contract to implement the Performance Incentive.

F. Finality of Incentive Fee Determining Official's Determination of the Performance Incentive Fee

The determinations of the amount of the Performance Incentive Fee, if any, to be paid to the Contractor is a unilateral decision made solely at the discretion of the PIFDO.

2. Under Section C – Descriptions and Specifications, the following has been modified:

0.1 The following paragraphs 1.0 through 1.9.1 are applicable to both SLIN 0001AA for the completion of the work and associated deliverables required to complete the identified Preliminary Design Review and for SLIN 0001AC for the completion of the work and associated deliverables required to complete the identified Critical Design Review. To maintain cohesive planning and integration of the activities conducted for the SLIN 0001AA and SLIN 0001AC activities, the combined scope is stated below. However, the costs effort associated with the preliminary design effort and the detailed design effort shall be segregated by the SLINs noted and the Program Plan required by paragraph 1.1.1 shall detail the allocation of effort and deliverable data for SLINs 0001AA and 0001AC.

1.1.3.2 The Contractor shall plan and conduct periodic formal technical reviews and In-Process Reviews (IPRs) on matters as coordinated with the Navy. Reviews shall include, at a minimum, software requirements review (SRR), a preliminary design review (PDR), and a critical design review (CDR) (Note: PDR and CDR shall include the plans, and status and results of Controller Hardware in the Loop (CHIL) testing as required and the plan for Power Hardware in the Loop (PHIL) critical subcomponent testing as an integral part of the overall design and testing process, to the extent the artifacts are available to be tested as part of this CLIN). The Contractor shall notify the Navy of reviews with preliminary agenda topics, security considerations, locations and times. The Contractor shall conduct their reviews in accordance with the entrance and exit criteria identified in the SEMP. It should be noted that subsequent execution of option CLINs are dependent on successful completion of review as defined in the approved SEMP. Formal reviews may be combined with IPRs. The Contractor shall make the presentation material that is to be presented at the reviews and conferences available at least one week in advance of the review and/or conference start (three days from IPRs). As approved by the Navy, the Contractor may conduct the reviews on a “rolling wave” basis, where subcomponent reviews are conducted prior to the final review. The Navy will make the ultimate selection and approval of the entrance criteria, in addition to the exit criteria (which includes the successful completion of the entrance criteria items). The PDR is conducted to establish the Allocated Baseline and is the first opportunity for the Government to closely observe and evaluate the Contractor's hardware and software design.

Generally, the PDR assesses the system preliminary design as captured in performance specifications for each configuration item in the system, and ensures that each function has been allocated to one or more system configuration items. Successful completion of the PDR formally starts detail design and triggers authorization of the Contractor to procure LLTM. The CDR establishes the Initial Product Baseline. The CDR also assesses the system's design readiness to begin production, at an acceptable level of risk, to ensure that a system can proceed into fabrication, demonstration, and testing, and can meet stated performance requirements. The CDR assesses the system’s final design as captured in product specifications, drawings, test results, and models for each configuration item in the system's Initial Product Baseline, and ensures that each Configuration Item in the Initial Product Baseline has been captured in the detailed design documentation. In conjunction with the CDR, the Contractor shall conduct Production Readiness Review(s) prior to the inception of fabrication, and also prior to conduct of any testing of the manufactured items, to demonstrate the maturity of the design, appropriate resources are available for the hardware manufacture, that all design artifacts have been completed with sufficient detail, and the availability of facilities to successfully complete the fabrication process.

1.1.3.3 The Contractor shall prepare and deliver a Preliminary Design Report and a Detailed Design Report of the AMDR PCM and conduct a PDR and CDR for the purpose of describing the aspects of the designs chosen. The PDR and CDR and the associated Detailed Design Report Design Reports shall include: trade-off analyses used to arrive at the design; details of methods used in the design process; detailed design drawings and interface control drawings; the status of the risk management efforts; an assessment of the impact of cost drivers in the design; testing requirements; and a program review of the status of the design to date. Key performance parameters along with component designs, control philosophy and documentation, system functional requirements, potential shipboard impact, interface requirements, size, weight, electromagnetic fields and interference criteria, thermal management, manufacturability, reliability-maintainability-availability (RM&A) and performance requirements shall be enumerated and explained. The Contractor shall document verification of all requirements and reference other documents that verify specific requirements (e.g. reliability analysis). The Contractor shall identify dates for the reviews in the Program Plan. PDR and CDR meetings are planned to be at the Contractor's location. In no event shall the PDR be later than six (6) months after contract award. No separate design report shall be required associated with the PDR, but the PDR presentation shall be provided to the Navy no later than 20 days prior to the meeting.

1.2.4 MODELING AND ANALYSIS: The Contractor shall provide sufficient details of the design for the Navy to conduct modeling of equipment performance parameters and control algorithms. The Contractor shall create and provide a Model Description Document (MDD), executable models of the continuous and discrete (finite state) aspects of the distribution local controls interface using a commercial modeling and design package in accordance with the MDD guidance provided as GFI. The specific objectives of this design and modeling effort are to: (a) capture the behavior of the system with models detailed and precise enough to enable model execution, dynamic analysis, and prototype code synthesis; and (b) conduct control system analysis. The Contractor shall perform analysis that includes the details of the AMDR PCM model that were used for stability analysis, fault current response, transient response, and other AMDR PCM response and performance predictions. The AMDR PCM modeling effort shall include interfaces and operation with other models provided as GFI, including the input power source, input distribution system, output distribution system, and assumed AMDR load. The results of simulations that define the range of acceptable load impedance for stability, establish output fault current characteristics, determine input current harmonic and output voltage performance, AMDR PCM transient response (supplied by ship's generation or shore power), and other analyses shall be included in design reports. The Contractor shall perform control system analysis to analyze the system for completeness, deadlocks, reachability, mutual exclusion, inconsistent events and actions, and network requirements (performance, reliability, connectivity, etc.). This overall modeling effort will help generate detailed interface requirements, facilitate the flow-down of requirement changes, and generate test scenarios and sequences. The contractor shall maintain a robust method of verification and validation of models, simulations, and results in order to properly and accurately capture the behavior of the AMDR PCM in the ship. This verification and validation shall be performed in accordance with the SEMP. The Contractor shall provide sufficient information for the Navy to conduct an analysis of shipboard electrical system short circuit, electrical protective device coordination, electrical system transient stability, and electrical system load flow. The following modeling and analysis activities shall be documented and delivered in the Design Reports:

a. System thermal analysis.

This Item is only for the long lead materials for a single PCM and both SLIN 0001AD and SLIN 0001AE must be exercised to fulfill the scope of SLIN 0004AB.

3.3 SYSTEM AND COMPONENT TEST: The Contractor shall provide test facilities, instrumentation, manning and equipment; shall collect and analyze data; and shall perform all required data reduction and maintenance during the Contractor's factory test program executed in accordance with the approved Test and Evaluation Plan. The Contractor shall conduct CHIL and PHIL testing to fulfill the requirements for design verification.

4.0 SCOPE: The Contractor shall fabricate, assemble, conduct full power integration testing prior to delivery, and deliver to the NSWCCD, Philadelphia, PA a fully integrated ship set Arleigh Burke Class Destroyer (DDG 51) AMDR PCM suitable for forward fit onto Flight III new construction ships which meets the performance requirements specified in the Technical Performance Specification for DDG 51 AMDR Power Conversion Module and the design completed and approved from CLIN 0001. Where disagreement occurs between the referenced Technical Performance Specifications, the Technical Performance Specification for DDG 51 AMDR Power Conversion Module shall take precedence. This shall be an exact duplicate of the AMDR PCM system required under CLIN 0003 of this contract. All contractual requirements stipulated under CLIN 0003 shall also apply to CLIN 0004 (including all efforts and deliverable data indicated in paragraphs 3.0 through 3.5 above, but not including the scope of paragraph 3.6 through 3.8 above). SLIN 0004AB is for a full ship set, which includes two PCMs, and SLIN 0004AA is for only a single PCM. SLIN 0004AB is predicated upon the prior exercise of the options for SLINs 0001AD and 0001AE

6.6 As part of engineering services, to the extent detailed in written technical instructions, the Contractor shall conduct Power Hardware-in-the-Loop (PHIL) and Controller Hardware-in-the-Loop (CHIL) testing (beyond that already required as part of CLIN 0003 0001) using real-time modeling and simulation techniques. The Contractor shall use CHIL testing prior to PDR and PHIL testing after FAT at a capable test site as a method of de-risking the AMDR PCM hardware and software to ensure operation within the DDG 51 Class Flight III ship service electrical architecture. This test site shall be capable of conducting full power testing of the AMDR PCM and the rated input voltage specified by the Technical Performance Specification for the AMDR PCM. In order to properly coordinate with the Navy’s own modeling and simulation capability, the test site shall employ Real Time Digital Simulator (RTDS) software so that all models and simulations developed may be transferred to the Navy for additional testing.

The Contractor shall maintain a robust method of verification and validation of models, simulations, and results in order to properly and accurately capture the behavior of the AMDR PCM in the ship. The Contractor shall supply a controller to be interfaced to a real-time simulation of the power hardware for CHIL simulation testing. The controller shall be configured with inputs and outputs suitable for interfacing with the real-time simulation model (power hardware) provided, as described above, and other emulated supervisory control systems (if applicable). The Contractor shall provide necessary support for setup and commissioning of the CHIL test setup. Physical input/output interfaces used for variable signaling purposes, (e.g. voltages, currents, references, etc.), should be mapped to analog voltages from +10V to -10V. Discrete control bits (e.g. firing pulses, enable, trip, status) should be 5V LVTTL or similar. Upon approval by the government, the contractor may be permitted to provide alternate signaling and control interfaces. Necessary emulated supervisory control systems that interact with the target controller via communication network interfaces and protocols may be allowed with government approval.

8.1 The Contractor shall fabricate and assemble the items identified in their proposal that are long procurement lead time materials associated with the production of two (2) ship sets of the Arleigh Burke Class Destroyer (DDG

51) AMDR PCM suitable for forward fit application on-board Flight III ships, and to meet the physical, functional and performance requirements specified in the Technical Performance Specification for the DDG 51 AMDR Power Conversion Module. The hardware shall be procured and integrated into the hardware required for delivery by subsequent contract CLINs. A long lead material for CLIN 0008 shall be defined as any item that cannot be procured within the period of performance of the production CLINs (CLINs 0009 through 0015) without impacting the delivery schedule for those CLINs and may be implemented as separate SLINS under this CLIN for each item identified in Section J Attachment I as a modification to the contract. Items shall not be considered long lead if the lead time for their procurement is less than eight (8) weeks. These sets of long lead material shall be retained by the Contractor and be a pool to be used by the Contractor to complete each successive production CLIN as those options are exercised, with the equivalent items from the production CLINs used to replenish the long lead materials pool.

ITEM 0018 – DDG 51 AMDR PCM OPEN ARCHITECTURE AND ASSOCIATED TECHNICAL DATA

PACKAGE

ITEM 0018AA – DDG 51 AMDR PCM OPEN ARCHITECTURE NON-ACTIVE COMPONENT DESIGN

18.1 NON-ACTIVE COMPONENT DESIGN: The Contractor shall augment the design of the AMDR PCM non-active-switched components, which includes but is not limited to all of the enclosures associated with a ship set of PCMs, as defined in the Interface Requirements Specification, with all external piping and electrical/control connections present and all internal piping and electrical bus-work sufficient to allow the DDG 51 Flight III shipbuilder to install the enclosures and fully integrate the enclosures with the rest of the ship systems, but does not include the power electronics LRUs. The definition of the power electronics LRUs is the modular drawer in which the primary power conversion takes place, which is installable once the PCM enclosure is in place aboard ship.

Should the design include an embedded local controller within the power conversion LRU, this local controller shall also be considered part of the power conversion LRU for the purpose of this CLIN. Additional detail on the description of the LRU is defined in the Technical Performance Specification for DDG 51 Class AMDR Power Conversion Module (Attachment C). The Contractor shall develop these non-active-switched components to meet the physical, functional and performance requirements established by the Navy and compliance with specifications and standards used on the DDG 51 Class. The objective of this effort is to establish an open architecture for both the enclosure with its associated auxiliaries and for the modular power electronics drawers (LRUs) that occupy the enclosure. The validation that there is sufficient detail in the open architecture interface so that a second source could produce a working power electronics LRU that could plug-and-play in to that interface is for the Contractor to seek a second source that is not associated with a business unit of the Contractor and require that the second source produce a power electronics LRU to the specifications developed by the Contractor and that the power electronics LRU is tested in situ with other power electronics LRUs provided by the Contractor in the AMDR PCM and that operation of the AMDR PCM meets the requirements of the Technical Performance Specification for DDG 51 Class AMDR Power Conversion Module (Attachment C). This shall require the second source to design and build the power electronics LRUs using only the interface documentation described below and it shall not be a “build to print” where the Contractor simply provides the second source with drawings of its own design to build. It is noted here that the assumed content of the production CLINs (CLINs 0009 through 0015) shall be based on the Contractor’s design and not the design of the identified second source.

18.1.1 The Contractor shall develop and deliver a prime item development specification for the non-active-switched components defined above (including the enclosure and non-power electronics LRUs). The Contractor shall perform requirements analysis to transition Navy requirements into detailed design, performance and operational environment requirements from which system configuration items (e.g. subsystem and major components) can be designed, integrated and tested. The Contractor shall perform interface management to coordinate interface requirements. These non-critical components shall include all piping connections for individual PCMs and the design shall identify the piping interfaces and performance expectation for both the shipboard and land based testing systems. Large passive electrical/electronic devices that are not LRUs shall be considered part of the enclosure. The baseline that shall be assumed for the installations of hardware and software shall be that of the LEAD SHIP OF THE DDG 51 CLASS FLIGHT III. The Contractor shall consider the general guidance for design of shock hardened equipment provided in paragraph 6.4 of MIL-S-901D. The Contractor shall develop a description of their approach to manufacture and specification of critical material properties.

ITEM 0018AB – DDG 51 AMDR PCM OPEN ARCHITECTURE ACTIVE COMPONENT DESIGN

18.2 NON-ACTIVE COMPONENT DESIGN: The objective of this effort is to establish an open architecture for the modular power electronics drawers (LRUs), defined above, that occupy the enclosure. The validation that there is sufficient detail in the open architecture interface so that a second source could produce a working power electronics LRU that could plug-and-play in the non-active component enclosure noted in paragraph 18.1 above is for the Contractor to seek a second source that is not associated with a business unit of the Contractor and require that the second source produce a power electronics LRU to the specifications developed by the Contractor and that the power electronics LRU is tested in situ with other power electronics LRUs provided by the Contractor in the AMDR PCM and that operation of the AMDR PCM meets the requirements of the Technical Performance Specification for DDG 51 Class AMDR Power Conversion Module (Attachment C). The scope of this item shall include the development of the LRU specification noted in paragraph 18.2.1 below and to seek and acquire a second source and have that second source conduct a conteptual design to allocate the requirements of the specification to the LRU and identify any design issues.

18.2.1 The Contractor shall develop and deliver a prime item development specification for the power electronics LRUs that interface with the non-active-switched components defined above. The Contractor shall undergo the steps necessary to obtain qualified sources capable of delivering these critical subcomponents that shall comply with the Contractor managed critical subcomponent specification. The Contractor shall perform requirements analysis to transition Navy requirements into detailed design, performance and operational environment requirements from which system configuration items (e.g. subsystem and major components) can be designed, integrated and tested.

The Contractor shall perform interface management to coordinate interface requirements. The baseline that shall be assumed for the installations of hardware and software shall be that of the LEAD SHIP OF THE DDG 51 CLASS FLIGHT III. All tools and troubleshooting techniques developed for the AMDR PCM shall be made available to the Navy. This includes but is not limited to software debuggers, custom metering, test tools, simulators, and emulators.

The Contractor shall consider the general guidance for design of shock hardened equipment provided in paragraph

6.4 of MIL-S-901D. The Contractor shall develop a description of their approach to manufacture and specification of critical material properties.
