EMERGENCY PREPAREDNESS, AND ENERGY PROGRAM USE (APR 2008)

Any contract awarded as a result of this solicitation will be a DX rated order certified for national defense, emergency preparedness, and energy program use under the Defense

Priorities and Allocations System (DPAS) (15 CFR 700), and the Contractor will be required to follow all of the requirements of this regulation.

52.252-5 AUTHORIZED DEVIATIONS IN PROVISIONS (APR 1984)

(a) The use in this solicitation of any Federal Acquisition Regulation (48 CFR Chapter 1) provision with an authorized deviation is indicated by the addition of"(DEVIATION)" after the date of the provision.

L-1 GENERAL INSTRUCTIONS TO OFFERORS

L-1.1 The Government intends to award a single Indefinite Delivery/Indefinite Quantity

(IDIQ) contract resulting from this solicitation for the entire MDDC Program effort. The

IDIQ contract will have a base Ordering Period of five (5) years with five (5) one year options. Task Orders (TO) will be placed as funds and efforts are identified. TOs may be incrementally funded. The Period of Performance (PoP) for each TO will be determined at TO award.

L-1.2. The Government may award without discussions. Therefore, Offeror‘s initial proposal should contain the Offeror‘s best terms for technical, management, past performance, and cost/price.

L-1.3. NOTICE OF PRE-PROPOSAL CONFERENCE. A pre-proposal conference will be conducted at Von Braun III (Building 5224), Auditorium (1A110), Redstone Arsenal, Alabama on March 8, 2012 at 9:00 a.m. CST for the purpose of answering questions regarding this solicitation.

Submit the names of all attendees (not to exceed 3 representatives per company) to Ms.

Belinda Williams, 256-450-4041, Belinda.williams@mda.mil, with a courtesy copy to

Ms. Emily McGee, 256-450-4010, Emily.mcgee@mda.mil, prior to March 5, 2012. This information must be provided in advance in order to ensure access to the conference site and adequate seating for the conference attendees.

Offerors are requested to submit questions to the point of contact noted above not later than March 1, 2012.

A record of the conference shall be made and furnished to all prospective offerors. The record will include minutes of the meeting, including questions (on a non-attribution basis) and answers.

L-1.4 NOTICE REGARDING ORGANIZATIONAL CONFLICT OF INTEREST

(OCI) AGREEMENT(S) (Federal Acquisition Regulation [FAR] 9.5).

Responsibility lies with the prime contract Offerors to ensure that both it and its proposed subcontractors are not restricted from participating in this proposed acquisition due to an

OCI clause in any Federal Government contract, including, but not limited to, MDA contracts.

Any Offeror who has signed, as well as proposed subcontractors who have signed, a contract with an OCI agreement as either a prime Contractor or subcontractor under any such contract, shall submit a written application to obtain approval to participate in this acquisition to the MDA Directorate of Contracting, Missile Defense Data Center

(MDDC) Program, via e-mail to the PCO at Belinda.williams@mda.mil and alternate at

Emily.mcgee@mda.mil.

Further, if either the prime Offeror (or any of its proposed subcontractors) is currently performing (or in process of proposing on) an effort that appears to have a potential conflict with the upcoming MDDC Program, regardless of whether there is an OCI clause or not, the prospective prime Contractor shall submit a written application to the MDA

Directorate of Contracting, MDDC, via e-mail to the PCO at Belinda.williams@mda.mil and alternate at Emily.mcgee@mda.mil , to obtain approval to participate in this acquisition.

The Offeror(s) with either of the potential OCI restrictions, described in the paragraphs above, shall provide the following information electronically (either via e-mail or on a

Compact Disc (CD)/Digital Video Disc (DVD) in Microsoft (MS) Word or Acrobat .pdf format):

(a) A copy of the OCI clause from either the prime contract or from the subcontract.

(b) A copy of each contract or subcontract Statement of Work (SOW).

(c) A copy of each Task Order (TO), Technical Directive (TD), Task Instruction (TI), or

Task Assignment (TA) performed or being performed by the Offeror.

(d) The Government technical POC (including their current e-mail address, office symbol, and telephone number) for each contract or subcontract SOW, TO, TD, and/or

TA submitted for review.

(e) If necessary, submit a MDDC OCI Risk Mitigation Plan to address both actual organizational conflicts and/or the appearance of an organizational conflict between current contracts or in-process source selections and performance of MDDC Program.

Each file on the e-mail/disc shall be identified by Contract Number, followed by SOW, TO, TD, TI and/or TA number if applicable. The e-mail/disc shall also include a file entitled, Table of Contents, which shall include contracts, TOs, TDs, and TAs with the name, current e-mail address, office symbol, and telephone number of the Government technical POC.

If an OCI package was originally submitted to Government and disposition provided by the Procuring Contracting Officer, the Offeror shall only include the list of proposed subcontractors along with the PCO OCI approval letters for itself and all proposed subcontractors. If the Offeror has not submitted all OCI packages for its proposed subcontractors, then a delta package shall be submitted along with the complete list of proposed subcontractors and any previously provided PCO OCI approval letters.

L-2 PROPOSAL CONTENT AND ORGANIZATION

L-2.1 The table below shall serve as the Offeror’s guide for proposal organization and content by volume, with associated due dates. Proposal volume pages shall be numbered.

L-2.2 The original of each Offeror’s Executive Summary, and technical, management, past performance, cost/price, and total resource volumes will be retained with the contract file. All extra copies will be destroyed after contract award.

L-2.3 This is an all-electronic solicitation release. No hard copies will be mailed. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. Amendments to the solicitation will be posted to www.fedbizopps.gov. It is the responsibility of each Offeror to review the webpage for notice of amendments, updates, or changes to current information.

L-3 PROPOSAL INSTRUCTIONS

L-3.1 Page limits and all other proposal preparation instructions in this solicitation apply to the proposal.

L-3.2 Values to be included in a proposal for Material/Approved ODCs (CLINs 0002, 0006, 0010, 0014, 0018, and 0022) and for Travel (CLINs 0003, 0007, 0011, 0015, 0019, and 0023) are the amounts stated in Section B of the solicitation. All CDRL CLINs

(0004, 0008, 0012, 0016, 0020, and 0024) are Not Separately Priced (NSP). Offerors should include Option CLINs in their proposal. Failure to submit a proposal on all

CLINs may disqualify the proposal. The CLIN prices shall be submitted in hard copy.

If, during technical evaluations, the Government requests revised proposals, Offerors may be instructed to provide them electronically.

L-3.3 All proposals must be complete, self-sufficient, and respond directly to the requirements of the solicitation. Any commitments made in the proposal shall become part of the resultant contract. Proposed innovations and efficiencies must be in sufficient detail to be incorporated into the contract. Apparent inconsistencies between promised performance and proposed prices shall be fully explained by the Offeror. Any significant inconsistency, if unexplained, raises a fundamental issue of the Offeror’s understanding of the program management and resources required and/or ability to perform the contract.

This may be a basis for rejection of the proposal. Statements such as “we will comply with the requirements of the contract”, will not by themselves constitute acceptability to meet the requirements of this solicitation. Failure to comply with these instructions may result in an Offeror’s proposal being summarily rejected.

L-3.4 Offerors are advised that data submitted to the Government in response to this solicitation may be released to non-Government advisors for review and analysis. These advisors may be required to provide advice within their area of expertise regarding proposal strengths and weaknesses. Non-Government advisors will be subject to civil and criminal penalties associated with any release of information pursuant to FAR part

3.104 procurement integrity violations. They will not determine ratings or rankings of

Offerors' proposals.

If the Offeror has any objection to non-Government advisors having access to their proposal information, the Offeror shall notify the government in writing of their objection and the non-Government advisors will not have access to their proposals. The non-

L-3.5 The technical and management volumes shall be prepared in accordance with these instructions including Paragraphs L-5 and L-6 of this section, and will be evaluated in accordance with the evaluation criteria in Section M. Technical and management volumes shall include necessary information to enable the evaluators to form a definitive conclusion concerning the Offeror’s ability to perform complete program management of the effort for which they are proposing. The Offeror’s proposal must convey to the

Government that the Offeror is capable; possesses sufficient technical expertise and experience; possesses sufficient resources; and is able to plan, organize, and use those resources in a coordinated and timely fashion such that technical and management requirements will be achieved and costs will be controlled.

Offerors shall address technical and management risk by identifying those aspects of the proposal considered to have the potential for disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight, and/or the likelihood of unsuccessful contract performance. Classify each risk in accordance with the risk definitions set forth in Section M. Provide the rationale for each risk and its rating, including quantitative estimates of the impact on cost, schedule, and performance.

Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (for example:

SOW requirements), whether or not those requirements are identified as subfactors.

Propose a realistic "work-around" or risk mitigators for identified risks that will eliminate or reduce risk to an acceptable level. Identify and classify any new risks introduced by such risk mitigation.

L-3.6 The past performance volume shall be prepared in accordance with these instructions and Paragraph L-7 of this section, and will be evaluated in accordance with the evaluation criteria in Section M.

L-3.7 The cost/price volumes shall be prepared in accordance with these instructions and Paragraph L-8 of this section, and will be evaluated in accordance with the evaluation criteria in Section M. The price/cost volume shall be based on the Offeror’s own technical proposal and the Government’s Statement of Work requirements as set forth herein.

L-3.8 The Executive Summary is a concise summary of the Offeror’s proposal, including significant risks, and a highlight of any key or unique features, excluding cost/price. This summary shall specifically identify the Offeror and all proposed team members, subcontractors, and consultants. The name, division, and address of each company should be included. Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal.

The Offeror shall ensure the Executive Summary follows the outline below:

a) Narrative Summary

b) Teaming Arrangements

c) Provide a name, title, and telephone number of the person who is authorized to obligate the company contractually

d) Section L&M Cross Reference Compliance Matrix. Using the attached

Government provided Cross Reference Compliance Matrix (Section J, Attachment

13), the Offeror shall complete and expand its proposal to the matrix to the level considered adequate to depict the Offeror‘s proposal. The Offeror shall populate

(e.g., WBS element, etc.) and include additional columns if deemed appropriate.

The proposal paragraph number and format shall mirror Sections L and M paragraph numbering to the maximum extent practical. Offerors may use the volume number as a preface for the paragraph numbering. This matrix shall cross reference the proposal volume and paragraphs to specific RFP requirements, CLINs, WBS, and other parts of the proposal that contain relative information.

The paragraph numbering is intended as a tool to assist in the proposal development and evaluation process. The contractor is ultimately responsible for ensuring areas are addressed fully and requested information is completed and turned in appropriately IAW Section L and Section M.

L-3.9 Proposals may be submitted by US Mail, carriers such as FedEx and UPS, or by hand delivery.

A copy of the cost/price (Volume IV) shall also be simultaneously submitted to the Offeror’s cognizant DCAA office.

L-3.10 Submitted materials must be unclassified in its entirety and shall be fully responsive to and consistent with the following:

Requirements of the solicitation and SOW, and the CLINs contained therein;

Government standards and regulations pertaining to the SOW; and

Evaluation factors and subfactors for award in Section M of this solicitation.

Offerors shall provide cross-reference matrices in each volume, as necessary. For the purposes of the technical evaluation, BOEs will not be considered cost data.

Format of the proposal volumes (and any resulting responses to Evaluations

Notices (ENs)) shall be as follows:

o All typing, including that on charts and graphs, shall be no smaller than what is equivalent to Microsoft Word, Times New Roman, 11 point, uncompressed font.

o Pages shall be 8 ½ x 11, single sided, one and one half spaced. Past

Performance Information Sheets, Attachment 8, and Charts, Tables and Figures, may be provided single spaced.

o Pages shall be dated and numbered.

o Elaborate format, color representations, and bindings are not desirable. Three ring binders are preferred. The pages in the binders shall be easily removed and replaced to facilitate page changes. Any pages that are changed (as the result of negotiations) should be of a different color (as specified by the CO) and have changed information clearly marked by a vertical line in the right margin of the page and/or circling if changing data in a chart. The Offeror shall indicate the new date on revised pages.

o Page margins shall be a minimum of one inch top, bottom, and each side.

o Technical Proposal, Volume I, shall each be limited to 100 pages, excluding documents listed in paragraph L-2.1 above and requested attachments. Pages in excess of 100 will be removed and will not be evaluated.

o Management Proposal, Volume II, shall each be limited to 50 pages, excluding documents listed in paragraph L-2.1 above. Pages in excess of 50 will be removed and will not be evaluated.

o Past Performance, Volume III is not limited as to the number of pages.

o The Cost/Price and Contract Forms, Volume IV, is not limited as to the number of pages.

o The Executive Summary is limited to 15 pages, excluding documents listed in paragraph L-2.1 above.

o Pages shall not be printed in column format. Text shall be printed from the left margin to the right margin.

o All charts, graphs, and matrices which are larger than 8.5” x 11” must be provided in a fold-out format so that they are capable of being evaluated without removal from the Offeror’s binder. The entire chart should be visible with the notebook open and the folded page fully extended. Each fold-out page counts as two pages.

o Electronic copies must be provided on DVD-Rs, read-only memory.

Proposals shall use Microsoft Office 2007. Microsoft word processing, presentation and spreadsheet products are preferred.

Changes as a result of negotiations will be conformed into a compact disk and have changed information clearly marked by a vertical line in the right margin.

o If discrepancies are identified between the paper version and the electronic version, the paper version shall prevail.

L-3.11 Technical data furnished by the Government is in an “as is” condition without any warranty as to its accuracy, completeness, or adequacy. The Offeror shall use this technical data at its own risk. The Government assumes no responsibility for such furnished data/documentation nor will the Government have any liability for an Offeror’s proposal should such data/documentation prove to be inaccurate, incomplete, or otherwise defective. The contractor shall use technical data as marked and IAW DFARS

252.227-7013 and 252.227-7014.

L-5 VOLUME I: TECHNICAL

The Technical Volume shall be divided into six sections: Information Technology, Software, Mission Operations, Telemetry Operations, Truth Analysis and Library

Operations.

L-5.1 Technical Subfactor 1 – Information Technology

The Offeror shall describe their capabilities and approach, including risk, to executing

Information Technology Operations across the MDDC Program in the following areas:

1) Managing the day-to-day activities and processes associated with Information

Technology (IT) system and network management operations; the recruitment and staffing of a well trained, knowledgeable workforce; the short- and long-term technical direction planning; and IT inventory and cost management sustainment activities for IT classified and unclassified networks and systems meeting the following requirements:

a. Manage, administrate and document large network architectures with >100 physical and virtual servers in concurrent use, 250+ users/workstations, and data/file repositories >200 TB that are backed up on a frequent, periodic schedule.

b. Maintains multiple network access points to include file transfer capabilities to external sites.

c. Familiarity with administration and management of network architecture hardware and software including Microsoft Windows Server, Linux distributions, Cisco networking equipment and Cisco IOS, and Storage

Array Networks.

2) Accrediting classified and unclassified IT networks and systems IAW the DoD

Information Assurance Certification and Accreditation Process (DIACAP).

3) Developing and managing Information Assurance plans and procedures.

L-5.2 Technical Subfactor 2 – Software and managing software development activities across the MDDC Program in the following areas:

1) Execute and manage software development activities commensurate with

Software Engineering Institute/Capability Maturity Model Integration

(SEI/CMMI) Level 3 requirements; describe knowledge and expertise regarding processes, procedures, and configuration management approach on similar sized activities.

2) Design, develop, and implement complex software programs that meet the following requirements:

a. Managing and utilizing a codebase >50,000 LOC (lines of code);

b. Use of complex mathematical constructs (such as: matrix and coordinate transformations, linear interpolation, vector mathematics, quaternions);

c. Development of graphical user interfaces to support 3D modeling;

d. Use of authentication and authorization security paradigms;

e. Interconnectivity and use of database systems within the codebase;

f. Familiarity and use of link margin analysis/planning toolsets;

g. Familiarity with and use of:

i. C#, C++, Adobe CFML (Coldfusion Markup Language), SQL

(Structured Query Language);

ii. Microsoft SQL Server;

iii. Windows Authentication/Authorization methods.

L-5.3 Technical Subfactor 3 – Mission Operations

The Offeror shall describe their capabilities and approach, including risk, in the following areas:

1) Development/Sustainment of Mission Operations capability either by utilizing existing legacy commercial off the shelf products or development of new capability.

2) Acquiring and processing of critical flight test data (telemetry, radar, optical, etc.), recording and distributing in real-time across the MDA or similar communications network.

3) Planning and executing comprehensive flight test data architectures and provide real-time/non-real time situational awareness displays at primary and remote execution nodes across the MDA or similar communications network.

L-5.4 Technical Subfactor 4 – Telemetry Operations

1) Acquiring telemetry data from multiple sources, decommutate/process telemetry from target and interceptor telemetry streams, record, reduce telemetry to critical key parameters and disseminate real-time across the MDA or similar communications network necessary to support flight test launch operations.

2) Development of target health and status displays which support real-time launch authority decisions and range safety assessments.

3) Operations, identification, reporting and anomaly resolution with government furnished equipment for global positioning system data supporting truth analysis and range safety solutions.

4) Planning and executing large complex flight test architectures using systematic systems engineering processes collecting quantifying MDA BMDS weapon system performance parameters.

L-5.5 Technical Subfactor 5 – Truth Analysis

1) Development of best estimate trajectories (BETS) for all interceptor and target objects, instrumented and un-instrumented.

2) Development of BETS in multiple reference frames and formats.

3) Development of infrared and radar frequency phenomenology analysis.

4) Identifying, reporting, and resolving anomalies seen in Truth analysis activities.

L-5.6 Technical Subfactor 6 – Library Operations

Library Operations across the MDDC Program in the following areas:

1) Manage and operate a technical library with >100,000 different data items in a variety of media types. Provide a table to list/show experience with different media types.

2) Distribute data electronically and physically.

3) Manage and maintain accountability of data items IAW DoD and MDA security policies and guidance.

L-6 VOLUME II: MANAGEMENT

The Management Volume shall be divided into four sections: Team, Management

Approach, Programmatic Execution Approach and Transition. The Offeror shall describe their understanding of the MDDC Program and their ability to tailor best practices to fit its requirements.

L-6.1 Management Subfactor 1 – Team

The Offeror shall describe their management approach, including risk, to provide a Team and framework including subcontractors necessary to successfully execute the MDDC

Program SOW and provide flexible, responsive, innovative, and efficient MDDC

Program products and operations in the following areas:

1) Provide a description and organization chart depicting the team and framework, provide a plan to be incorporated into the resultant contract that includes sufficient details for the government to determine the proposal is compliant with FAR

52.219-14 (prime must perform at least 50% of the effort), subcontractors, lines of authority, and communication process between technical and management that address the MDDC Program SOW holistically.

2) Provide a table that identifies key positions within the organizational structure that can support the SOW requirements, their planned responsibilities, and detail their applicable SOW experience. Position requirements shall be provided to fulfill this requirement. Offeror shall submit position descriptions and qualification packages for each individual proposed to fill a key position. (The position descriptions and qualification packages count is limited to 3 pages per key position. This does not count against the 50 page limit for the Management section).

L-6.2 Management Subfactor 2 – Management Approach

The Offeror shall describe their capabilities and approach, including risk, to organizing resources to most efficiently and effectively manage contract execution and mitigate program risk in the following areas:

1) Program-wide approach to managing technical, performance, cost, and schedule risk.

2) Process and approach to organize, staff, and allocate resources to meet the SOW.

Offeror shall describe an approach for personnel recruitment and retention to ensure personnel are in place and trained.

3) Approach to adding first and second tier subcontractors during the contract performance to meet the SOW.

4) Approach to provide a crossed-trained work force for SOW efficiencies.

5) Approach to risk management that includes identification, tracking, and mitigation of program risk.

6) Provide a Contract Work Breakdown Structure (CWBS) and dictionary, which reflects the Offeror’s understanding of the contract effort. The CWBS shall serve as the framework for organizing the MDDC effort to include in-house, inter-divisional, subcontractor, and associate contractor activities. The reference document for developing the WBS and dictionary is MIL-HDBK-881A. The

CWBS shall be developed to a depth (level) and breadth sufficient to accurately describe the Offeror's understanding of the effort required as reflected in the SOW.

Each element of the CWBS shall include a reference to the primary SOW paragraph or paragraphs. Illustrate how the CWBS will be used to manage the work outlined in the SOW. The top four levels may be placed on contract as the

CWBS.

L-6.3 Management Subfactor 3 – Programmatic Execution Approach

The Offeror shall describe their capabilities and approach, including risk, to providing a

Management Plan/System for effective planning and control of resources, and the process for accounting and collecting costs for the entire contract, separate tasks, and Accounting

Classification Reference Number (ACRNs) to accomplish multiple and complex tasks and/or task orders simultaneously.

L-6.4 Management Subfactor 4 – Transition

The Offeror shall describe their capabilities and approach, including risk, to providing a plan and resources to work with the incumbent contractor(s) during the transition period to maintain all MDDC Program SOW requirements and to complete the transition period within the minimum time and cost in the following areas:

1) Approach to transition resources and personnel to this contract required to perform the MDDC Program mission and SOW requirements.

2) Process to work with the incumbent contractor(s) to smoothly transition the

MDDC Program products / operations.

3) Provide a realistic schedule, which includes key milestones with metrics to measure progress, to successfully transition all tasks within a designated transition period of no more than 45 days.

4) Provide their phase-in schedule that would obtain the appropriate staffing levels, skill mix, expertise, security clearances, and certifications to provide adequate trained, certified, and cleared personnel.

L-7 VOLUME III: PAST PERFORMANCE

L-7.1 Contents. The Offeror shall submit a Past Performance Volume containing the following:

1) Table of Contents

2) Summary Page describing the role of the Offeror and each subcontractor and/or teaming partner for which the Offeror is required to provide Past Performance

Information Sheets in accordance with paragraph L-7.2 below.

3) Past Performance Information Sheets in accordance with Section J, Attachment 8 to the solicitation – see paragraph L-7.2 below.

4) Consent Letters executed by each subcontractor and/or teaming partner, authorizing release of adverse past performance information so the Offeror can respond to such information. A sample letter is attached as Section J, Attachment

10.

5) Organization Structure Change History—See paragraph L-7.4 below.

L-7.2 Past Performance Information Sheets. Submit information on contracts you consider most relevant in demonstrating your ability to perform the proposed effort. The

Offeror shall submit Performance Information Sheets in accordance with the format contained in Section J, Attachment 8 to the solicitation. This information is required on the Offeror and subcontractors and/or teaming partners proposed to perform any of the proposed effort that the Offeror considers critical to overall successful performance. The

Offeror shall submit a maximum of five (5) and a minimum of three (3) Performance

Information Sheets identifying active or completed contracts, either Government or commercial, for the prime. If the prime is a joint venture that does not have a minimum of three (3) active or completed contracts for which it can submit Performance

Information Sheets, then the joint venture shall submit a maximum of five (5) and a minimum of three (3) Performance Information Sheets identifying active or completed contracts, either government or commercial, for each team member. The Offeror shall submit; and three (3) Performance Information Sheets for each major and/or critical subcontractor/subsidiary. A major subcontractor/subsidiary is defined as one performing

$3M or more each year of the basic and option contract period effort (excluding ODC and Travel). A critical subcontractor/subsidiary is one whose performance on the awarded contract is such that if it fails, could significantly impact program success. A key subcontractor is defined as one that is a major or critical subcontractor/subsidiary.

Each relevant contract shall meet the Government’s definition of recency. The

Government defines recency as any contract having been performed during the past five

(5) years from the date of issuance of this solicitation. Each Performance Information

Sheet for each contract is limited to ten (10) pages. Offerors are cautioned that the

Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance. The Offeror shall provide a list of the proposed respondents with two points of contact, current e-mail address, and phone numbers in its Past Performance Volume. The Government reserves the right to contact these sources if they do not submit responses by the proposal due date.

L-7.3 Relevant Contracts. In determining relevancy, consideration will be given to past performance in providing the program management, mission assurance, operations and sustainment, mission focus and security capabilities and support to other programs that are similar in size and scope to the MDDC Program as described in the SOW. Include rationale supporting your assertion of relevance and how the referenced contract is a relevant indicator of performance against the SOW. This information shall be submitted as part of the Past Performance Information Sheet, Section J, Attachment 8. For a description of the characteristics or aspects the Government will consider in determining relevance, see Section M, paragraphs M-7.0 and M-7.2.

L-7.4 Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

L-7.5 Resolution of Problems. Offerors may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a No Confidence rating, since the problems encountered may have been on a more complex program, or an Offeror may have subsequently demonstrated the ability to overcome the problems encountered. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This may allow the Offeror to be considered a High Confidence or Significant Confidence candidate. Submittal of quality performance indicators or other management indicators that clearly support that an Offeror has overcome past problems is required.

L-7.6 Questionnaires. The Government requests the Offeror send out Past Performance

Questionnaires, Section J, Attachment 7, to each of the Points of Contact (POCs) identified in the Past Performance Volume. The Offeror shall fill in the project and evaluator information on the questionnaire prior to sending it to the POC. Completed questionnaires shall be submitted by the POC directly to the Contracting Officer. A cover letter for transmitting the questionnaire to each POC is provided as Section J, Attachment 9. Each of the Offeror's POCs shall e-mail the completed Past Performance

Questionnaire to Belinda.williams@mda.mil with a courtesy copy to

Sharon.Upton@mda.mil. Although an e-mailed Questionnaire is preferable, mailing the

Questionnaire(s) to the address listed below is an acceptable alternative method of transmission. If mailing, the cover page or outside envelope, as applicable, must be marked as follows:

L-7.7 Subcontractor/Teaming Partner Consent Form. Past performance information concerning key subcontractors or subsidiaries cannot be disclosed to a private party without consent. Because the Offeror is a private party, the Government will need that consent before disclosing key subcontractor and/or subsidiary past performance information to the Offeror during exchanges. In an effort to assist the Past Performance

Team in assessing past performance, the Government requires that a

Subcontractor/Teaming Partner Consent Form for the Release of Past Performance

Information (Section J, Attachment 10) be completed by each key subcontractor and/or subsidiary identified in the proposal. A key subcontractor is defined as one that is a major or critical subcontractor/subsidiary. The completed consent forms should be submitted as part of Volume III Past Performance (not subject to page count limitation).

L-8 VOLUME IV: COST/PRICE AND CONTRACT FORMS

L-8.1 FAILURE TO COMPLY WITH SOLICITATION REQUIREMENTS FOR

COST INFORMATION MAY RESULT IN AN ADVERSE ASSESSMENT OF AN

OFFEROR’S PROPOSAL AND REDUCE OR ELIMINATE ITS CHANCE OF BEING

SELECTED FOR AWARD. When an Offeror fails to furnish pricing information required by the solicitation, the Offeror bears full responsibility for any adverse impact upon the evaluation of its proposal.

L-8.2 General Instructions. The Offeror shall ensure the information presented in this volume is consistent with the information contained in the other proposal volumes. The

Offeror shall submit the Original plus two (2) hardcopy volumes of the prime contractor’s proposal and the Original plus two (2) hardcopy volumes of each major and/or critical subcontractor/subsidiary’s cost proposal. The Offeror shall submit one (1) electronic copy of the prime contractor’s proposal and one (1) electronic copy of each major subcontractor/subsidiary’s cost proposal on DVD-R, which is separate from the other proposal volumes. The Offeror’s cost proposal shall be submitted in one volume labeled Volume IV Cost/Price and Contract Forms.

For each Cost Plus Incentive Fee (CPIF) CLIN, the Offeror shall propose a Target Cost and Target Fee. The Target Fee shall be based on the Offeror’s proposed Target Cost.

The Share Ratio shall be 50/50 (50% Government / 50% Offeror) for Above Target Cost, and the same 50/50 for Below Target Cost. The Maximum Fee shall be 15%. The

Minimum Fee shall be 0%.

Inter-divisional Work Transfer Agreements

(IWTAs)/teammates/subcontractors/subsidiaries are not required to disclose proprietary cost/price information to the prime Offeror.

IWTAs/teammates/subcontractors/subsidiaries performing $3M or more per year of the basic and option contract period effort (excluding ODC and Travel), are “Major

Subcontractors/Subsidiaries” for Cost Volume purposes. Major

Subcontractors/Subsidiaries shall follow the same instructions as the prime contractor regarding cost proposal format and content. Major Subcontractors/Subsidiaries are not required to disclose proprietary cost information to the prime Offeror. However, the prime Offeror must include summary level cost information for all Major

Subcontractors/Subsidiaries’ work requirements and must ensure an un-sanitized proposal is submitted for each subcontract proposal at any tier equal to or greater than

$3M per year of the basic and option contract period effort. In a case where the prime

Offeror’s Cost volume does not contain full cost information for a specific Major

Subcontractor/Subsidiary, the Major Subcontractor/Subsidiary must forward an un-sanitized proposal directly to the Government no later than the closing date of the solicitation. Any proposal submission made directly to the Government by a Major

Subcontactor/Subsidiary shall clearly identify the prime Offeror and RFP to which their submitted cost data applies. All Major Subcontractor/Subsidiary proposal submissions made directly to the Government shall include both an electronic and hardcopy submittal for inclusion into the Offeror’s Cost Volume. Major Subcontractor/Subsidiary submissions must conform to the same standards set forth as applicable to the prime

Offeror (including electronic submissions addressed in L-3.10). Alternatively, in lieu of direct submission to the Government, Major Subcontractors/Subsidiaries may provide un-sanitized electronic and hardcopies cost volumes, in a sealed envelope, to the prime

Offeror for inclusion into the proposal and further submittal to the Government. The envelope(s) shall remain sealed and be placed within or attached to Volume IV by the prime Offeror.

In accordance with FAR 15.305(a)(1), adequate price competition is anticipated which will establish price reasonableness. Therefore, certified cost or pricing data is not required at this time. Information other than Cost or Pricing data shall be required.

However, if after receipt of proposals, the PCO determines that there is inadequate price competition, and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data. To ensure that the Government is able to perform a fair assessment of the proposed costs/prices, each Offeror is required to submit a cost proposal that is suitable for evaluation. A cost volume that is suitable for evaluation shall:

a. Account for all Direct Productive Labor Hours (DPLH) necessary to complete requirements of this RFP and reconcile with the DPLHs as proposed in the Total

Resources Volume V.

b. Provide traceability to the technical/management proposal(s).

c. Explain in detail all pricing and estimating techniques.

d. Disclose the basis of all projections, rates, ratios, percentages, and factors in sufficient detail to facilitate the SSET’s understanding and ability to mathematically verify these estimating tools.

e. Comply with applicable Federal Acquisition Regulation (FAR), DOD FAR

Supplement (DFARs), and governing statutory requirements.

f. Include a narrative portion that explains all judgmental elements of cost projections, profits and fee policies.

g. Include all pricing exhibits required in this RFP.

Cost proposals shall be submitted in accordance with FAR 15.408(1) and with FAR

15.403-5. In submitting its proposal, the Offeror grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to the reasonableness and realism of proposed cost or prices.

For pricing purposes, an estimated start date of August 1, 2012 is to be used for the overall effort. The Offeror’s proposal shall be submitted with any information reasonably required to explain the estimating process, including the judgmental factors applied and the mathematical or other methods used in the estimate, including those used in projecting from known data; and the nature and amount of any contingencies included in the proposed price. The Offeror’s cost proposal shall clearly describe or define all contractor labor categories proposed and must include a cross reference to the labor categories listed on the Pricing Exhibits. The RFP Labor Categories descriptions are specified in Section J, Attachment 3. Provide any other general information that may be beneficial in evaluation of the Offeror’s proposal.

In the event the Offeror’s fiscal year and anticipated contract periods do not coincide, the prime Offeror and all major subcontractors/subsidiaries shall provide the rate reconciliation showing how the fiscal year direct labor rates were blended to produce the contractor direct labor category cost included on Pricing Exhibit B1.

L-8.3 Contract Cost Volume. Offerors shall propose in accordance with the CLIN structure set forth in Section B and the Statement of Work. The Contract Cost Volume shall support the Offeror’s proposed amounts for all MDDC CLINs, as shown in Section

B of the model contract.

The Cost Plus IncentiveFixed Fee (CPIFF) – Level of Effort (LOE) CLIN 0001 and

Option CLINs 0005, 0009, 0013, 0017, and 0021 shall be priced in accordance with

Government provided Total DPLH Pricing Exhibit B7the number of Direct Person Labor

Hours (DPLH) proposed by the Offeror in the Total Resources Volume V, Section J, Exhibit C. The DPLHs stated in Section B are for reference only. This solicitation allows Offerors to propose a different number of DPLHs than those provided in Section

B. The cost volume must reflect the number of hours the Offeror proposes in Section B.

The CPFF Surge CLIN 0025 shall be proposed at fifty percent (50%) of the total proposed labor costs and fees for CLINs 0001, 0005, 0009, 0013, 0017, and 0021.

The Cost Type CLIN 0002, and Option CLINs, 0006, 0010, 0014, 0018, and 0022, for

Materials and Approved ODCs shall be proposed in accordance with Government provided Maximum Amounts in Section B.

The Cost Type CLIN 0003, and Option CLINs 0007, 0011, 0015, 0019, and 0023, for

Travel shall be proposed in accordance with Maximum Amounts in Section B.

CDRL CLIN 0004, and Option CLINs 0008, 0012, 0016, 0020, and 0024 are not separately priced.

L-8.4 SECTION I – COVER PAGE AND INDEX

Provide the following information on the inside cover page:

a. Solicitation number.

b. Name and address of the Offeror.

c. Name, telephone number (and if applicable, cell phone number), fax number, and e-mail address for proposal point of contact at contractor’s facility.

d. Type of contract.

e. Place and period of performance.

f. Name, address, voice telephone number of contract administration office.

g. Name, address, voice telephone number, fax number, and e-mail address of cognizant Defense Contract Audit Agency point of contact.

h. Date of submission.

i. Name, title and signature of authorized representative.

Include an index showing section number, title, and proposal page number.

L-8.5 SECTION II – SYNOPSIS OF CURRENT DEFENSE CONTRACTS AUDIT

AGENCY DETERMINATION STATUS OF ESTIMATING, PURCHASING, AND

ACCOUNTING SYSTEMS. Provide a summary description of your standard estimating system or methods, current policies, and/or new policies.
