(a) Definitions. As used in this provision—
"Electronic Funds Transfer (EFT) indicator means a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the commercial, nonprofit, or Government entity to establish additional System for Award Management records for identifying alternative EFT accounts (see subpart 32.11) for the same entity.
Registered in the System for Award Management (SAM) means that–
(1) The Offeror has entered all mandatory information, including the unique entity identifier and the EFT indicator, if applicable, the Commercial and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14) into SAM;
(2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in SAM;

(4) The Government has marked the record "Active".
Unique entity identifier means a number or other identifier used to identify a specific commercial, nonprofit, or Government entity. See www.sam.gov for the designated entity for establishing unique entity identifiers.
(b)
(1) An Offeror is required to be registered in SAM when submitting an offer or quotation and at time of award (see FAR clause 52.204-13, System for Award Management Maintenance, for the requirement to maintain SAM registration during performance and through final payment).
(2) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address exactly as stated in the offer. The Offeror also shall enter its EFT indicator, if applicable. The unique entity identifier will be used by the Contracting Officer to verify that the Offeror is registered in the SAM.

INSTRUCTIONS TO OFFERORS
INSTRUCTIONS TO OFFEROR
1.0 Proposal Instruction to Offerors
1.1 Contract Information
For consideration in developing your proposal, the following information is provided.
This Request for Proposal (RFP) solicits for a Firm-Fixed Price (FFP) contract through competitive open market, utilizing a down-select and Best Value Trade-Off (BVTO) evaluation methods. This acquisition is being conducted using a combination of FAR Part 12 and 15 procedures. The resultant contract will be for the Department of Defense (DoD) Secure Access File Exchange (SAFE) System.
Award will be made to the offeror whose proposal is determined to represent the overall best value to the Government using a three-phase proposal and evaluation process for this acquisition.
A final Secret Facility Clearance is required for the company for the entirety of performance of this contract;
therefore, to ensure the offeror’s ability to perform on day one of the period of performance, the offeror must have a final Secret Facility Clearance from the Defense Counterintelligence and Security Agency Facility Clearance Branch at the time of proposal submission. A DD254 will be issued with the RFP. All personnel performing on or supporting a DISA contract/order in any way shall be U.S. citizens. The personnel security requirements for this contract cover the individuals supporting the Task Areas delineated in the table under section 11.2 of the Performance Work Statement (PWS).
Phase I Evaluation
In Phase I of the competition, the Government will evaluate Factor 1, Facility Clearance Level (FCL), on an acceptable/unacceptable basis in accordance with Attachment 9, Evaluation Tables - Table 1. The prime contractor shall have a final Secret facility clearance from the Defense Counterintelligence and Security Agency Facility Clearance Branch at the time of proposal submission. Offerors shall demonstrate they have a final Secret Facility Clearance from the Defense Counterintelligence and Security Agency at the time of proposal submission by providing their Facility Verification Notification from the National Industrial Security Program Central Access Information Security System as a PDF attachment to the proposal. The Facility Verification shall be retrieved within one week of proposal submission. Furthermore, offerors shall submit the completed DD Form 254 to assist in the validation of the offeror’s Secret Facility clearance and the ability to meet the Security clearance requirements noted on the DD Form 254 and approved in the Defense Information Security System.
Failure to submit a DD Form 254 with the required Facility clearance and a Facility Verification notification documenting a final Facility Clearance will result in an “Unacceptable” rating. The offeror must receive a rating of “Acceptable” in Phase I before being evaluated for Phase II. Offerors who are rated as “Unacceptable” in Phase I will be removed from consideration and will not have their Phase II proposal evaluated. After the Government completes the evaluation of Factor 1, offerors will receive a notification via e-mail from the Contracting Officer stating whether they have received a rating of “Unacceptable” or “Acceptable”. In the event that an offeror is rated Red/Unacceptable, the Government will stop the evaluation at that point and the offeror will receive an exclusion notice stating that they have been excluded from further evaluation and consideration.
Advisory Notification
In Phase II, the Government will evaluate Factor 2, Technical/Management Approach Subfactor 1: File Transfer, in accordance with Attachment 9, Evaluation Tables - Table 2.
After the Government completes the evaluation of Factor 2, Technical/Management Approach Subfactor 1, File Transfer, offerors will receive an advisory notification via e-mail from the Contracting Officer. This notification will advise the offerors of the Government’s advisory recommendation to proceed or not to proceed with Phase III submission. Offerors who are rated most highly for Factor 2, Technical/Management Approach Subfactor 1: File Transfer will be advised to proceed to Phase III of the proposal submission process. Offerors who were not among the most highly rated will be advised that they are unlikely to be viable competitors, along with the general basis for the Government’s advisory recommendation. The intent of this advice is to minimize proposal development costs for those offerors with little to no chance of receiving an award.
The Government intends to provide no more than five (5) offerors with an advisory notification to proceed.
However, the Government’s advice will be a recommendation only, and those offerors who are advised not to proceed may elect to continue their participation in the procurement.
Failure to participate in Phase II of the procurement precludes further consideration of an offeror’s proposal. Phase III submissions will not be accepted from offerors who have not submitted Phase II proposals by the due date and time stated in this solicitation. For those offerors that are rated most highly and advised to proceed to Phase III of the proposal submission process, the Contracting Officer will include the Phase III submission instructions on the advisory notification, including the due date for the written portion of the Phase III submission. The Government recommends offerors to begin preparation of Phase III proposals only after receipt of the Phase II advisory down-select notice.
The down-select notifications will include further information, but the Government intends to allow Offerors 48 hours to decide whether it wishes to proceed with a Phase III submission. If an offeror intends on submitting a Phase III proposal, they are required to notify the contracting officer no later than two business days of the date of the advisory notice so that the Government may send the instructions for Phase III.
In Phase III, the Government will evaluate the offeror’s proposal utilizing the BVTO approach for Factor 2, Technical/Management Approach Subfactor 2, Network Operations, Subfactor 3, Cybersecurity and Information Assurance and Subfactor 4, Tier 3 Customer Support in accordance with Attachment 9, Evaluation Tables - Table 2.
Additionally in Phase III, the Government will evaluate Factor 3, Past Performance and Factor 4, Price.
The contracting officer (KO) Michael Pirone and contract specialist (CS) Daniel O’Brien are the sole points of contact for this procurement. Questions should be addressed to daniel.p.obrien81.civ@mail.mil and michael.e.pirone.civ@mail.mil. Please provide any questions, in writing, no later than November 26, 2024, at 12:00 p.m. (EST). The Government reserves the right to not answer questions submitted after this time. Questions submitted to any parties aside from the KO and CS will not be addressed under any circumstances.
Communications: Exchanges of source selection information between Government and offerors will be controlled by the KO and CS.
2.0 General Instructions
(a) This section of the Instructions to offerors provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. Non-conformance with the instructions provided in this Information to Offerors may result in removal of the proposal from further evaluation.
(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.
(c) Elaborate brochures or documentation, binding, detailed artwork, internet hyperlinks, or other embellishments are unnecessary and are not desired.
(d) The proposal acceptance period is 180 days from proposal submission. The offeror shall make a clear statement in Volume VI - Contract Documentation that the proposal is valid through this date.
(e) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
2.1 General Information

2.1.2 Debriefings
The Contracting Officer will notify offerors of any decision to exclude them from the competitive range after Phase II; whereupon they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range after the completion of Phase II are entitled to no more than one debriefing for each proposal. The Contracting Officer will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR
15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
2.1.3 Discrepancies
If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the Contracting Officer in writing with supporting rationale as well.
The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion, therefore, the offeror’s initial proposal should contain the offeror’s best terms from a price and technical standpoint.
2.1.4 Electronic Reference Documents
All referenced documents for this solicitation are available on the System for Award Management (SAM) web site at http://sam.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation. 2.1.5 Competitive Range Determination
The Government reserves the right to make award without discussions or establishment of a competitive range. In the event a competitive range is established, and the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition. In accordance with FAR Part 15.306(c)(2), offerors are advised that the competitive range may be further reduced for purposes of efficiency.
2.1.6 Special Notice to Offerors
The Government's obligation under this contract for all option periods is contingent upon the availability of funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer. The Government reserves the right to begin services for the contract based upon funds available. The award will be based on the successful offeror's proposal submitted in accordance with the instructions herein.
2.1.7 RFP Phases
The Government will be utilizing a three-phase proposal and evaluation process for this acquisition. Refer to FAR 52.212-2 in this solicitation for details related to the three-phase structure and specific evaluation criteria for each phase.

Offerors shall possess a current and active Secret FCL. A separate DD Form 254 must be submitted for each proposed subcontractor (when applicable). Offerors who fail to submit the required DD254 at the time of Phase I and Phase II proposal submission reflecting the required clearance will be deemed unacceptable and not further revaluated.
4.1 Joint Venture Facility Clearance Level Approach
If the offering entity is a Joint Venture (JV), then only one of the members of the JV must have a final Secret FCL from DCSA at the time of proposal submission to meet this requirement. If only one, and not all JV members meet this requirement, the offeror shall also provide a proposed approach demonstrating that the member holding the final Secret FCL has the ability to complete the work in the PWS which requires the Secret FCL. If applicable, this approach must be no more than five pages long and submitted as part of Volume II – Facility Clearance Volume.
5.0 Volume III: TECHNICAL/MANAGEMENT VOLUME
5.1 General
The Technical/Management Volume should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the technical/management subfactors defined in FAR 52.212-2, Evaluation-Commercial Items. See FAR 52.212-2 for the specific evaluation factors related to this requirement.
Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
5.2 Format and Specific Content
5.2.1 Technical/Management Volume
In the Technical/Management volume, address your proposed approach to meeting the minimum performance or capability requirements of each technical/management subfactor, as well as the risks in your proposed approach in terms of technical/performance, cost, and/or schedule.
5.2.1.1 Technical/Management Risk
Address technical/management risk by identifying those aspects of the proposal you consider to have the potential for disruption of schedule, increased cost, poor performance, the need for increased Government oversight, and/or the likelihood of unsuccessful contract performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (e.g., PWS or specification requirements), whether or not those requirements are identified as subfactors. Propose a realistic "work-around" or risk mitigators for identified risks that will eliminate or reduce risk to an acceptable level. Identify any new risks introduced by such risk mitigation.
5.2.2 Volume Organization
5.2.2.1 Part A – Table of Contents. Submit a Table of Contents for Volume III.
5.2.2.2 Part B – List of Tables and Drawings. Include a list of Tables and Drawings utilized throughout the Technical / Management Volume.
5.2.2.3 Part C –Technical Approach / Management Approach
The offeror’s Technical/Management Approach should fully respond to all requirements in Evaluation Factor 2, Subfactor 1. This Volume should also describe where the offeror sees risk and how they would solve, mitigate or reduce risks. Proposals should clearly show how the offeror will accomplish the tasks and why they have chosen that particular course.
5.2.2.4 Part D –Technical Approach / Management Approach
The offeror’s Technical/Management Approach should fully respond to all requirements in Evaluation Factor 2, Subfactors 2 – 5. This Volume should also describe where the offeror sees risk and how they would solve, mitigate or reduce risks. Proposals should clearly show how the offeror will accomplish the tasks and why they have chosen that particular course.
A determination has been made by the program office that the items to be purchased under this RFP are subject to Supply Chain Risk Management (SCRM) controls as outlined in the PWS and the SCRM Plan - Attachment 10. As a result, offerors are required to submit a detailed written SCRM Plan as part of Volume III – Technical Approach / Management Approach (Phase III). The full text of the selected contractor's SCRM Plan will be included in the resulting award. Failure to present a written SCRM plan with the proposal will deem the proposal ineligible for award and it will be removed from further consideration.
If an SCRM concern arises after award, the Government will determine whether a continuation of the order poses an undue risk to both the common defense and security to the nation. If the Government determines that such a risk exists, the Government reserves the right to accept or reject a proposed mitigation plan by the contractor (if one or more is presented within a reasonable time) or terminate the contract.
6.0 Volume IV: PAST PERFORMANCE VOLUME
6.1 General
Each offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with the format contained in this Attachment 6, Past Performance References. Offerors shall submit no more than three (3) total recent past/present performance efforts for evaluation, and each cited past performance effort shall not exceed three (3) pages. For each reference the offeror shall send a cover letter and Past Performance Questionnaire, Attachment 5. Two of the three past performance efforts submitted must be efforts in which the Prime for this proposal was a Prime on the referenced contract. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance.
Along with the information required in this paragraph, the offeror shall submit a consent letter executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of past performance information to the offeror so the offeror can respond to such information. Consent letters cannot exceed more than one page.
6.2 Recent Contracts
Recent contracts are defined as those contracts presently being performed or which have been performed during the past six months from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated. For those efforts currently being performed, the offeror must have been performing for at least six (6) months from the date of issuance of this RFP. Past performance information that fails this condition will not be further evaluated.
6.3 Relevant Contracts
If the Government evaluators consider the offeror’s past performance reference to be recent, then the Government will assess the relevancy of the referenced past performance task order/contract. The Government determines relevancy by evaluating the past performance references against the technical factor/subfactors contained in the solicitation. The past performance factor does not contain subfactors. The past performance questionnaires (if used) and information obtained from other sources will be used to establish the degree of relevancy and quality of past performance.
6.4 Specific Content
Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.
Categorize the relevant information into the specific technical/management subfactors used to evaluate the proposal.
The Past Performance volume will be organized according to the following general outline:
6.4.1 Part A- Summary
In accordance with the page limitations set forth in Table 1.1, describe the roles of the offeror, subcontractors, subsidiaries, teaming partners, and/or joint venture partners in each of the submitted past performance efforts.
6.4.2 Part B- Present and Past Performance Reference Sheets and Questionnaires Offeror shall submit no more than three (3) total recent past/present performance efforts for evaluation, and each cited past performance shall not exceed three (3) pages. Information on up to two (2) recent contracts performed by an offeror’s significant teaming partners/subcontractors and significant subcontractors considered most relevant in demonstrating their ability to perform the proposed effort may be submitted. The Government considers a significant subcontractor and/or teaming partner to be a company who provides 20% or more of the support required, and /or company who provides a critical portion of the effort required and/or influences the results of performance. The maximum number of past performance efforts submitted by the prime offeror and its teaming partners may not exceed three (3) total. Two of the three past performance effort submitted must be efforts in which the Prime for this proposal was a Prime on the referenced contract. Therefore, if two (2) prime efforts are submitted, then maximum number of efforts submitted by the subcontractor would be one (1) effort. Submit information using the format contained in the Past and Present Performance Information attachment to the solicitation. Include rational supporting your assertion of relevance. Individual task orders or call orders under an IDIQ contract, GSA Schedule contract, or Blanket Purchase Agreement (BPA) are each considered to be one past/present performance effort. IDIQ contracts, GSA Schedule contracts, or BPAs submitted as references without an associated task order, or with multiple task/call orders, will not be considered in the past performance evaluation.
The offeror shall provide the cover letter and Past Performance Questionnaire, Attachment 5, to each of the customer Points of Contact identified for each of the relevant past performance efforts. In order to expedite the assessment process, the offeror may complete Sections 1 and 2 of the Past Performance Questionnaire for the convenience of the Points of Contact. The offeror shall not, however, complete any other section of the Past Performance Questionnaire. Once the questionnaires are completed by the POCs, the information contained therein shall be considered Source Selection Information in accordance with FAR 2.101 and 3.104 and shall not be released to the offeror. Past Performance Questionnaires submitted for any offeror’s team member shall clearly indicate the name of the offeror within the questionnaire. Early submission of the Past Performance Questionnaires is encouraged. Questionnaires shall be sent directly via email to the CS, Daniel O’Brien, at daniel.p.obrien81.civ@mail.mil and the KO, Michael E. Pirone at michael.e.pirone.civ@mail.mil no later than the proposal due time and date from the customer filling out the form. However, offerors shall provide a copy of the sent questionnaires with their proposal.
6.4.3 Part C - Consent Letters
In accordance with the page limitations set forth in Table 1.1, the offeror shall provide subcontractors, teaming partners, and/or joint venture partners consent or client authorization letters executed by each. These letters authorize the release of past performance information so the offeror can respond to such information. A sample consent letter is provided at Attachment 3.
7.0 Volume V – PRICE VOLUME
7.1 General Instructions
Price proposals will be evaluated to determine if they are reasonable and complete. Price reasonableness is established through cost and price analysis techniques as described in FAR 15.404. For a price to be complete, all solicitation requirements must be priced, figures correctly calculated, and prices are clearly presented in the Government provided spreadsheet. The offeror shall submit pricing for the base period and all option periods, including option pricing for an additional six-month period that may be authorized IAW FAR 52.217-8. See FAR 52.217-8 which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. Price proposals should include a separate line item for the additional six-month period IAW FAR 52.217-8. These prices shall be identical to the quoted pricing in the six months prior to expiration of the base period, or the final option period, if option periods are present. The total evaluated price will consist of the contractor’s proposed price for the base period, all option periods, surge, and the option pricing for the additional six-month period.
7.1.1 Supplemental Price Information
Information beyond that required by this instruction shall not be submitted unless you consider it essential to document or support your cost/price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.
7.1.2 Pricing Information Requirements
In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5. If, after receipt of proposals, the KO determines the required conditions of adequate competition do not exist that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing data (see: FAR 15.406-2 -- Certificate of Current Cost or Pricing Data).
Offeror and its subcontractor(s) shall provide whatever information is necessary to help the Government understand why the proposed prices are reasonable in its Price Narrative Document. Offeror and its subcontractor(s) shall disclose the location (Government site or the Contractor site per the PWS) of each proposed labor categories performance locations in its price proposal.
7.2 Volume Organization
The Price Volume shall consist of the following sections:
7.2.1 Part A - Price Narrative
The offeror shall describe their methodology used to establish their price. The offeror shall provide information describing and detailing the evaluation it performed to determine the reasonableness of prices on hourly labor rates.
The price narrative shall provide whatever information is necessary to help the Government understand why the proposed prices are reasonable. Each offeror's price proposal shall contain sufficient quantitative and narrative documentation necessary to adequately support and explain the prices proposed. The offeror shall indicate the resources required to accomplish the task (e.g., labor categories, labor hours, number of employees for each labor category, rates, travel, incidental equipment, etc.). The offeror may provide this information is a separate Microsoft Excel spreadsheet. For Labor Hour CLINs x002, and x003, offerors must identify their company’s standardized labor categories, and associated rates that will be utilized in the performance of those CLINs. The prime contractor shall also specify what type of contract (firm-fixed-price, cost-reimbursement etc.) is proposed for each subcontractor. For any subcontractor proposed at or above the Truth In Negotiations Act (TINA) threshold, the offeror shall provide, or instruct the subcontractor to provide evidence of accounting system adequacy if the subcontractor is performing on any basis other than Firm Fixed Price (FFP). or Labor Hour Part A is excluded from page limitations.
7.2.2 Part B - Price Summary Spreadsheet
Offerors are required to use the Government-provided Microsoft Excel CLIN Pricing Worksheet to submit the proposed pricing, Attachment 8. Offerors must include all formulas and calculations and shall not remove the formulas that are in Attachment 8. Failure to comply with this section may result in offeror’s price submission being determined nonresponsive. DO NOT SUBMIT a .pdf file.
The offeror shall submit pricing for the 12-month base period and four 12-month option periods including option pricing for an additional 6-month period that may be authorized IAW FAR 52.217-8. See FAR 52.217-8, which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. The pricing quotation shall include a separate line item for the additional 6-month period IAW FAR 52.217-8. These prices shall be identical to the proposed pricing in the 6 months prior to expiration of the final option period. The total evaluated price will consist of the contractor’s proposed price for the base period, the 4 option periods, and the option pricing for the additional 6-month period. Again, the price quotation spreadsheet shall be a separate document from the technical quotation.
A fixed price payment plan with the total dollar amount divided into 12 equal monthly payments shall be submitted.
The offeror shall ensure their monthly price (total price divided by 12), comes to no more than two decimal places.
