Section A - Solicitation/Contract Form

EXECUTIVE SUMMARY

EXECUTIVE SUMMARY

04 JUNE 2010

The purpose for the publication of this Global Informaton Grid (GIG) Services Management-Engineering/Transition/Implementation (GSM-ETI) Draft Request for Proposal (Draft RFP) is to provide potential Offerors and other interested parties in the commercial industry sector an opportunity to view the Government’s current concept to obtain network support services in support of the Defense Information Systems Network (DISN). Commercial industry’s comments are solicited on the comprehensiveness and practicality of contract execution based on the contents of this GSM-ETI Draft RFP.

Competition for the GSM-ETI requirements is limited to small businesses only. At this point that the Government is not looking for, nor does it wish to receive any type of proposal in response to this GSM-ETI Draft RFP. However, comments to this Draft RFP are encouraged and welcomed. (Additional information provided below.) Any proposal information received will be returned without review.

Potential Offerors interested in the GSM-ETI Draft RFP are reminded that the GSM-ETI Draft RFP is to be considered a living document which will be changed and updated as the Government refines its requirements and data. It is suggested that all interested parties check the FedBizOpps web site, www.fbo.gov, for posted changes to this GSM-ETI Draft RFP. Vendors can add opportunities to a “watch list” list (ala “favorites” list) and receive email updates anytime the GSM-ETI Draft RFP may not contain sufficient information upon which to base firm cost and pricing estimates. The Government is in the final stages of refining the documentation and will publish final documentation as it becomes available. Interested Offerors need to be aware that while the Government will publish the most current and accurate data available at the time of publishing, data elements are subject to change throughout the posting life of the GSM-ETI Draft RFP on this FedBizOpps web site. It is the Government’s objective to publish as much data as available as quickly as possible so Offerors can start working on the cost and pricing portion of their proposals. Everyone is again reminded at this point that the GSM-ETI Draft RFP, being a draft (living) document is subject to continual and constant change as requirements and data are refined. The final set of hard data facts will be posted on FedBizOpps as a Final RFP. Additional controlled information will be available in CD-ROM format, as described in this Draft GSM-ETI RFP, Section L.4 – Electronic Reference Documents, no later than 09 June 2010

Comments to the GSM-ETI Draft RFP should be emailed to DISNGSM@disa.mil at any time, but no later than 15 July 2010. Comments received after 15 July 2010 may not be addressed by the Government.

As prescribed in the Federal Acquisition Regulation (FAR) 52.215-3, the Government will not award a contract on the basis of this GSM-ETI Draft RFP or to otherwise pay for information solicited. This GSM‑ETI Draft RFP is issued for the purpose of developing a viable solicitation that will best communicate the Government’s requirements to industry. Response to this GSM-ETI Draft RFP is strictly voluntary and will not affect any corporation’s status as a Prospective Offeror. It is contemplated that the NAICS code 541512 will be used for determining size and status for the GSM-ETI requirements.

Section B - Supplies or Services and Prices

SECTION B

B.1 CONTRACT MINIMUM AND MAXIMUM VALUE.

a. The GSM Engineering, Transition, and Implementation (GSM-ETI) contractors will provide the support necessary to carry out required engineering, transition, implementation, integration, connection approval and information technology (IT) service management activities of the existing DISN networking capabilities.

b. This is an Indefinite-Delivery/Indefinite-Quantity (ID/IQ) contract against which it is planned to award Firm Fixed Price (FFP), Firm Price with Incentive (FPI), Cost Plus Incentive Fee (CPIF), or Cost Plus Fixed Fee (CPFF) type task orders in accordance with Federal Acquisition Regulation (FAR) Subpart 16.5 - Indefinite Delivery Contracts.

c. The guaranteed minimum amount is $100,000.00 during the base period only. There is no guaranteed minimum for any of the option periods.

d. Maximum Contract Value: The total amount of all orders placed against the contracts resulting from this solicitation shall not exceed $1.42 billion over a 5-year period:

1, two-year base period with

1, two-year option period and

1, one-year option period.

e. The Government anticipates multiple ID/IQ contract awards resulting from this unrestricted competitive solicitation.

B.2 PRICING OF LABOR RATE TABLE FOR TASK ORDERS.

a. The Offeror shall propose a Labor Rate Table in response to the Statement of Objective (SOO) requirements. The Labor Rate Table shall reflect rates for the base period and all option periods of the contract. Upon contract award, the Labor Rate Table will become an attachment to Section B. The labor rates in this section shall reflect the fully-burdened rates for each labor category and will apply to all direct labor hours. All task orders awarded pursuant to this contract, whether awarded on FFP, FPI, CPFF, or CPIF basis, will be priced using the pricing set forth in the Labor Rate Table, however, the Contracting Officer will accept prices lower than those reflected on the Labor Rate Table, as appropriate.

b. In the event work is required for which the contractor can be expected to incur costs markedly different from those normally incurred, e.g. work Outside the Continental United States (OCONUS), consideration will be given to pricing on a cost-reimbursement basis. In such situations, additional costs, which cannot be appropriately charged under Other Direct Costs (ODCs) contract line item number (CLIN), will be negotiated on a case-by-case basis.

c. FFP, FPI, CPFF, CPIF Rates.

(1) Government Site Rates. When performing at Government sites, the contractor shall furnish fully-burdened personnel rates. The Government will provide only office space, furniture, and office equipment and supplies, as described in Section H, Use of Government-Furnished Computers.

(2) Contractor Site Rates. Contractor site rates shall also include contractor provided facilities, furniture, equipment, supplies, tool kits, employee training (which includes training course costs/fees, related travel and location travel costs), and overhead amounts required for the work for Contractor Site Rates. This includes but is not limited to: telephones, computers, facsimile machines and their telecommunications lines, copiers, personal computers, postage (to include courier services such as Federal Express), ordinary business software, such as word processors, spreadsheets, graphics, etc., normal copying and reproduction costs.

d. Proposed labor rates and ODC mark-up percentages shall be entered in the Labor Rate Table under labor categories and ODCs, respectively.

(1) Labor. The Section B, Labor Rate Table shall include fully-loaded hourly rates for each skill classification. The fully-burdened labor rates shall include all direct, indirect, general and administrative costs and profit associated with providing the required skill. The fully burdened hourly labor rates shall be one composite rate for each skill classification based upon composite inputs of the prime and subcontractors (only first-tier subcontractors allowed), and all levels of seniority. All labor related costs are part of the fully burdened labor rates. Labor and labor related costs shall not be reimbursed as an ODC. The fully-burdened labor rates shall include all labor and labor-related costs, such as, but not limited to, the following list of representative labor-related costs: salaries, wages, bonuses to include stock bonuses, incentive awards, employee stock options, stock appreciation rights, employee stock ownership plans, employee insurance, fringe benefits, contributions to pension, other post-retirement benefits, annuity, employee incentive compensation plans, incentive pay, shift differentials, overtime, vacation time, sick pay, holidays, and all other allowances based upon a comprehensive employee compensation plan. The use of uncompensated overtime is not allowed. All hourly rates are based on a 40-hour work-week (2,080 hours per year).

(2) Program Management Support Costs. Contract-level program management support costs are included as a percentage of each individual labor category rate, and encompass support for contract-level management, reporting requirements (see the GSM-ETI SOO and Section J – Contract Data Requirements List) and related travel and meeting attendance costs associated with the contractor’s program management staff, as it relates to overall management of the GSM-ETI. As a result, these program management support costs are allocated among all task orders issued under this contract. These “program management” support costs are differentiated from individual task order “Task Order Manager” support costs, which are billed as hourly labor rates against individual task orders for direct support to the effort performed under those task orders. This will result in direct billings at the task order level for labor hours in the “Task Order Manager” category, to specifically support program or project management for the task order.

(3) ODCs. ODCs consist of materials and task order-related travel costs, i.e., relocation and temporary duty (TDY) to include travel, lodging and meals. A mark-up percentage for associated indirect loadings and profit percentage for FFP Task Orders may be applied to the ODCs. The successful Offeror’s mark-up percentages and profit percentages shall be fixed for the duration of the contract. These percentages shall be indicated on each Labor Rate Table under the ODCs. For evaluation purposes only, ODCs are being considered under the Firm Fixed Price Task Orders (TOs). The cost of general-purpose items required for the conduct of the contractor’s normal business operations will not be considered an allowable ODC in the performance of this contract. Profit is not allowed on ODCs in CPIF or CPFF task orders, however profit is allowed for FFP and FPI task orders, applied only to ODCs, not ODCs plus the mark-up percentage. Fee may be negotiated on cost-reimbursement type (i.e. CPIF, CPFF) task orders.

e. Labor rates are fixed for the life of the contract and may not be increased during the life of this contract. However, the contractor may submit a proposal reducing the fixed labor rates and mark-up percentages at any time during the life of this contract. The Government will review these proposals and determine if the revised rates are realistic and in the best interest of the Government. If the rates are accepted, the Government will modify the contract by incorporating the new rates into the labor rate tables.

f. The rates that are set-forth in the contract can be used on either FFP, FPI, CPFF, or CPIF task orders. It is anticipated that the rates specified in the Labor Rate Table will apply to most of the work performed under this contract.

B.3 TAX EXEMPT STATUS APPLYING TO OVERSEAS LOCATIONS.

a. A number of Contractor employees performing GSM-ETI services outside the United States are eligible for tax exempt status from foreign government-imposed income, social, and other taxes in accordance with the Status Of Forces Agreement (SOFA) between the United States and the Host Nation. One such exemption is the Technical Expert Status Accreditation (TESA) within Germany. The Government recognizes that the approval process for tax exempt status is a dynamic one, subject to wide differences between nations and controlled neither by the United States Government nor the Contractor. Specifically, the Government is aware of increasing scrutiny applied to the TESA process by the host governments in Germany. Such issues may develop in other nations where GSM-ETI services are performed. DISA makes no representation as to the processes involved in garnering employee tax exempt status in any Host Nation. Offerors should carefully consider the impact of Host Nation-imposed taxes, either currently in effect or that may be imposed during the life of the GSM-ETI contract, in arriving at labor-hour prices for non-exempt employees.

b. Offerors shall propose labor hour prices for work performed outside the United States in accordance with the Labor Rate Table for workers with foreign tax exemption. In awarding task orders against and paying invoices on the GSM-ETI contract, the Government will utilize those prices (from the Labor Rate Table) for tax exempt status labor rates unless the Contractor has completed all required applications/negotiations with the Host Nation under the SOFA and has been officially denied tax exempt status by the Host Nation. Employee taxes imposed by a Host Nation shall be compensated as an ODC under the GSM-ETI contract.

B.4 CONTRACT DATA REQUIREMENTS LIST (CDRLS). The CDRLs are provided as HC1028-10-R-2001-Attachment 2 and shall not be separately priced. The requirements for specific CDRLs, as well as delivery schedule, and payment schedule shll be included on each individual task order.

Timely contract closeout is a priority under this contract/order. The Contractor shall submit a final invoice within ninety (90) calendar days after the expiration of this contract/order, unless the Contractor requests and is granted an extension by the Contracting Officer, in writing. In addition, and concurrent with the submission of the final invoice, the Contractor shall notify the Contracting Officer of the amount of excess funds that can be deobligated from this contract/order so the closeout process can begin as soon as possible upon expiration of this contract/order. A bilateral contract/order closeout modification will be forwarded to the Contractor by the Contracting Officer and must be signed by the Contractor and returned to the Contracting Officer within thirty (30) calendar days of issuance of the modification. A Contractor’s failure to respond and/or sign the bilateral closeout modification within thirty (30) calendar days of receipt will constitute approval of the terms of the modification and the modification will subsequently be processed unilaterally by the Contracting Officer to deobligate excess funds and close this contract/order.

If this contract/order contains option periods, the Contractor is required to submit an invoice within ninety (90) calendar days after expiration of the base period of performance and the expiration of each exercised option period of performance to allow for deobligation of excess funds that were obligated in those respective periods of performance.

(JUN 1996)

(H511 Previously)

a. After contract award, the Government may solicit, and the Contractor is encouraged to propose independently, improvements to the services, features, or other requirements of the contract. These improvements may be proposed to save money, to improve performance, or for any other purpose which presents a service advantage to the Government. As part of the proposed changes, the contractor shall submit a price proposal to the Contracting Officer for evaluation. Those proposed service improvements that are acceptable to the Government will be processed as modifications to the contract.

b. As a minimum, the following information shall be submitted by the contractor with each proposal:

(1) A description of the difference between the existing contract requirement and the proposed change, and the comparative advantages and disadvantages of each.

(2) Itemized requirements of the contract which must be changed if the proposal is adopted, and the proposed revision to the contract for each such change.

(3) An estimate of the changes in performance and cost, if any, that will result from adoption of the proposal.

(4) An evaluation of the effects that the proposed changes would have on collateral costs to the Government, such as government-furnished property costs, costs of related items, and costs of maintenance, operation and conversion (including government premise equipment).

(5) A statement of the time by which the contract modification adopting the proposal must be issued so as to obtain the maximum benefits of the changes during the remainder of this contract including supporting rationale.

(6) Any effect on the contract completion time or delivery schedule shall be identified.

c. The Government will not be liable for proposal preparation costs or any delay in acting upon any proposal submitted pursuant to this clause. The contractor has the right to withdraw, in whole or in part, any proposal not accepted by the Government within the period specified in the proposal. The decision of the Contracting Officer as to the acceptance of any such proposal under this contract is final and not subject to the "Disputes" clause of this contract.

d. The CO may accept any proposal submitted pursuant to this clause by giving the contractor written notice thereof. This written notice will be given by issuance of a modification to this contract. G

G.1 DELIVERY/TASK ORDER PROCEDURES

The following defines the process by which fair opportunity will be afforded, how task orders will be processed and priced, and how a task order will be awarded. It also defines specific, local provisions to be used for issues concerning task order consideration and payment. Finally, the role of the DISA Ombudsman is defined. Careful attention should be paid to those areas in which the procedures, processes and provisions change due to use of a different contract types or pricing methodology.

a. Fair Opportunity Process. The GSM-ETI Contracting Officer will assign a pre-award tracking number to each task order requirement at the time it is received from a customer agency. Unless one of the exceptions at FAR 16.505(b)(2) or DFARS 216.505-70(b)(1) and 216.505-70(b)(2) applies, the Contracting Officer will announce each task order requirement to each of the GSM-ETI contract awardees via a specific web site. Awardees will be required to register at this site upon award (instructions will be provided after contract award). Each prime contractor shall evaluate the opportunity and determine whether or not to submit a proposal. The announcement will include, at a minimum, the following information:

* Tracking Number

* Date of Announcement

* End User Customer Agency and Point of Contact (POC) (Task Monitor)

* Statement of Work (SOW), Statement of Objectives (SOO) or Performance Work Statement (PWS)

* Anticipated Contract Type

* Proposal Evaluation Criteria

* Contracting Agency POC Name Phone Number and Fax (KO and Contract Specialist)

* E-mail Address, Mailing Address or Fax Number

* Proposal Due Date

b. Fair Opportunity Exceptions. One or more task orders may be issued during the performance period of this contract. In accordance with the Federal Acquisition Streamlining Act (FASA) and FAR 16.505(b) or DFARS 216.505-70(b)(1) and 216.505-70(b)(2), the Contracting Officer will provide all awardees a “fair opportunity” to be considered for each order in excess of $3,000.00, unless one of the conditions, below, applies.

(1) The agency need for such services is of such urgency that providing such opportunity would result in unacceptable delays.

(2) Only one such awardee is capable of providing such services required at the level of quality required because the services ordered are unique or highly specialized.

(3) The order should be issued on a sole-source basis in the interest of economy and efficiency as a logical follow-on to a task order already issued under this contract, provided that all multi-awardees were given fair opportunity to be considered for the original order.

(4) It is necessary to place an order to satisfy a minimum guarantee. Each awardee is permitted to market one requirement and have it placed as a task order under the Encore II contract to satisfy the minimum guarantee, regardless of dollar amount. A minimum guarantee task order can be awarded at any time during the base period.

(5) A statute expressly authorizes or requires that the purchase be made from a specified source

c. Orders for Services Under Multiple Award Contracts. In accordance with DFARS 216.505-70, an order for services exceeding $100,000 is placed on a competitive basis only if the Contracting Officer --

(1) Provides a fair notice of the intent to make the purchase, including a description of the work the contractor shall perform and the basis upon which the Contracting Officer will make the selection, to all contractors offering the required services under the multiple award contract; and

(2) Affords all contractors responding to the notice a fair opportunity to submit an offer and have that offer fairly considered.

d. Selection Criteria for Awarding a Task Order. The Government will evaluate proposals against established selection criteria. The Government’s award decision will be based, as a minimum, on compliance with Section 508 requirements of the Rehabilitation Act, and on selection criteria which addresses past performance, technical/ management approach and cost. Among other sources, evaluation of past performance will be based on a database built from past performance assessments provided by Task Monitors on individual task orders performed throughout the life of the contract. In addition to past performance, technical/management approach and cost, individual task order selection criteria may include other factor(s) relevant to the particular requirement. The order of importance for the factors will be identified in each individual request for proposals.

e. Proposal Process.

(1) Request for Proposals (RFP). The Contracting Officer solicits proposals from all prime contractors by posting an RFP to the specific web site. The contractors are typically allowed between seven (7) days to prepare and submit offers (may be more depending upon the complexity of the requirement). Each RFP will indicate the proposal due date, applicability of Section 508 standards, and the evaluation criteria including their relative importance. Technical proposals may be either written or presented orally, dependent upon the requirements of the customer. If oral presentations are used, the requirements package and the RFP will indicate the time and place for the presentations and what information the Offerors must present orally. Cost proposals must always be submitted by the contractors in writing.

(2) Clarifications. The contractors may request written clarification of requirements, evaluation criteria and proposal preparation instructions. Such requests for clarification must be sent to the Contracting Officer by e-mail to DISNGSM@disa.mil (or uploaded to the web site) by the date specified in the RFP letter. To avoid compromising the fair opportunity process, only the GSM ETI Contracting Officer may communicate verbally with the contractors concerning the RFP until after task order award. The Contracting Officer will answer clarification requests by posting questions and answers in an RFP Amendment, available to all of the contractors. As a result of clarification requests, the Contracting Officer will determine if any revisions to the requirements or evaluation criteria are required, and if necessary, issue an Amendment to the RFP. The Contracting Officer may extend the proposal due date in the event that written clarification is not provided to the contractors in a timely manner.

(3) No-Bid Replies. Contractors must submit “no-bid” replies or complete technical and price/cost proposals no later than the proposal due date and time. “No-bids” must be submitted to Contracting Officer either by upload or e-mail and must reference the tracking number specified in the Contracting Officer’s letter request for proposal.

(4) Technical Proposals. Technical proposals can be provided in either written or oral format. Written technical proposals will be streamlined, normally no more than 10 pages (depending upon the complexity of the requirement), stating compliance with or exception to SOW or PWS requirements, risks, assumptions and conflict of interest issues. Proposals shall not merely restate SOW or PWS requirements. The technical proposal shall address, as a minimum:

* Technical Approach

* Key Personnel

* Quantities/hours of personnel by labor categories

* Other Direct Costs (ODCs)

* Risks

* Period of Performance

* Government-Furnished Equipment (GFE) and/or Government-Furnished Information (GFI)

* Security (including clearance level)

* Teaming Arrangement to include subcontracting, if applicable.

(5) Cost Proposals. A written cost proposal will always be required. This part of the proposal shall include detailed cost/price amounts of all resources required to accomplish the task, (i.e. labor hours, rates, travel, incidental equipment, etc.). When competing for task order awards under the fair opportunity process, the contractor is permitted to propose discounted labor rates that are lower than those established in the Section B Labor Rate Tables. The contractor shall fully explain the basis for proposing lower rates. The proposed, reduced labor rates will not be subject to audit, however, the rates will be reviewed for realism to ensure the Government will not be placed at risk of nonperformance. The reduced labor rates will apply only to the respective task order and will not change the fixed rates in the Section B Labor Rate Tables. The level of detail required shall be primarily based on the contract type planned for use, as further discussed below.

(i) Firm Fixed Price (FFP) . The proposal shall identify labor categories in accordance with the Labor Rate Tables contained in Section B, and the number of hours required for performance of the task. The proposal must identify and justify use of all non-labor cost elements. It must also identify any Government Furnished Equipment (GFE) and/or Government Furnished Information (GFI) required for task performance. If travel is specified in the task order requirement, air fare and/or local mileage, per diem rates by total days, number of trips and number of contractor employees traveling shall be included in the cost proposal. Prior to incurring any long distance travel expenses, the contractor shall obtain written approval from the task monitor that approves approximate travel dates, expected duration, origin and destination, purpose, estimated costs and the number and names of personnel traveling. Proposed materials costs shall, when requirements for materials are sufficiently defined by the task order statement of work, include sufficient break-out of all materials, including description, brand name, model/part number and number of units that can be verified as fair and reasonable.

(ii) Cost-Reimbursement. Both “sanitized” and “unsanitized” cost proposals will be required for cost-reimbursement type task orders only. “Unsanitized” cost proposals are complete cost proposals which include all required information. “Sanitized” cost proposals shall exclude all company proprietary or sensitive data, but must include a breakdown of the total labor hours proposed and a breakout of the types and associated costs of all proposed ODCs. Unless otherwise noted, unsanitized proposals will only be provided to the Contracting Officer, while sanitized proposals will be provided to the Task Monitor. Cost/price proposals shall include, as a minimum, a complete Work Breakdown Structure (WBS), which coincides with the detailed technical approach; and provides proposed labor categories, hours, wage rates, direct/indirect rates, ODCs and fee.
