H.20
ORGANIZATIONAL CONFLICT OF INTEREST (OCI)/OCI MITIGATION PLAN.
a. An organizational conflict of interest means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. The Government seeks to acquire unbiased advise and/or goods and services from Offerors/Contractors that are free from, or have mitigated, Organizational Conflicts of Interest , as defined in FAR 2.101, relating to this contract.
b. In order for the Government to try to prevent an OCI relating to this contract, the parties to this contract agree that the Contractor’s future contracting with the Government may be restricted as outlined in FAR Subpart 9.5, if the Offeror/Contractor and DISA are unable to avoid, neutralize, or mitigate actual or potential OCI before contract award.
c. DISA will not automatically exclude a vendor from a competitive acquisition due to an actual or potential OCI. The Contracting Office is committed to working with potential vendors to eliminate or mitigate actual and potential OCI situations, without detriment to the integrity of the competitive process, the DISA mission, or the legitimate business interests of the vendor community.
d. DISA has determined that an OCI relating to this contract may arise if the GSM-O Prime Contractor and/or its subcontractors, at any tier, their their parent companies, subsidiaries, and affiliates, if any, are or become a prime or subcontractor, at any level under:
(1) to one of the DISA contracts identified in the OCI Matrix below and perform or performed tasks associated with the activities identified in FAR 9.505-1 through 9.505-4 relating to this contract; and/or
(2) an existing GSA Alliant-Small Business GWAC contracts (which is to be used as DISA's source for support of the GSM-Projects and Support (P&S) requirements) and perform tasks associated with the activities identified in FAR 9.505-1 through 9.505-4 relating to this contract, and/or
(3) the upcoming contract award(s) of the GSM-Engineering/Transition/ Implementation (ETI) solicitation (HC1028-10-R-2001) and perform tasks associated with the activities identified in FAR 9.505-1 through 9.505-4 relating to this contract.
e. If the Offeror or Contractor is aware, or should have been aware, of an OCI before award of this contract or any task under against the contract, and does not fully disclose that conflict to the Contracting Officer, the Government may terminate the contractor for default.
f. The Offeror or Contractor, by submitting an offer and/or signing the contract, warrants that it is not aware of any actual or potential OCI relating to this contract.
g. After contract award, the Contractor shall have an ongoing obligation to make “a prompt and full disclosure” to the Contracting Officer of any OCI that arises during the performance of the contract, as well as newly discovered conflicts that existed before contract award.
h. The OCI Mitigation Plan shall become part of the resultant contract and the Contractor shall update its OCI Mitigation Plan within 30 days of any changes to the legal construct of the organization, subcontractor changes, or significant management or ownership changes that would result in an actual or potential OCI under this contract.

j. A clause, similar to the above, must be included in all subcontracts.
H.28
TEAMING ARRANGEMENTS.
Teaming arrangements per FAR Subpart 9.6 are authorized. Reference the definition of “Affiliate” {specifically, FAR 19.101(7)(iii)(vi)}, each team member must individually meet the size standards and NAICS classification contained in the RFP. It is further noted that team members under FAR 9.6 are not to be considered subcontractors and are thus considered part of the prime when complying with the terms of FAR 52.219-14, Limitations on subcontracting. Per FAR 9.603, the Government will recognize the integrity and validity of contractor team arrangements provided the arrangements are identified and company relationships are fully disclosed in the proposal.
FAR 9.6 does not preclude primes from subcontracting to any responsible firm (either large or small business) during the term of the contract to the extent allowed by FAR 52.219-14.
Small business (or small business teams) performing as prime contractors shall perform at least 50 percent of the cost of contract performance incurred for personnel. Per the Small Business Administration policy, to ensure the required percentage of costs on an indefinite quantity award is performed by the prime contractor, the prime must demonstrate semiannually that it has performed the required percentage to that date. The prime must perform 50 percent of the applicable costs for the combined total of all task orders issued to date at six month intervals.
H.37
Incentive Fee Plan.
1 Purpose of Incentive Fee Plan. The purpose of this Incentive Fee Plan is to document the incentive provisions of the contract, as well as the procedures, metrics, roles and responsibilities needed to administer incentive fees for task orders under the GSM-O contract. The desired behavior of the GSM-O contractor is to deliver high quality services, which will be measured in accordance with surveillance methods as detailed in this plan.
2. Reason for Incentive Fee. The Government will incentivize the Contractor using predetermined acceptable levels of performance (ALPs) as described in the Performance Work Statement (PWS), the Quality Assurance Surveillance Plan (QASP), and as specified in each individual task order. Each ALP has a formal structure that provides objective, measurement, standard, surveillance, and other data; see the PWS and the QASP for details of the structure of an ALP.
By employing incentives, the Government expects to motivate the Contractor to aggressively manage resources as required to provide timely delivery of high-quality services. The Contractor may earn an incentive fee applicable to specific PWS requirements as identified in the task order and task order QASP. The incentive fee proposed for each individual task order shall not exceed 5% of the total cost; excluding Other Direct Charges (ODCs). Fee is unallowable on ODCs. The incentive fee for all requirements shall be pooled into a separate Contract Line Item (CLIN
0006).
3. Incentive Tasks. The requirements reflected in the task order and QASP will be incentivized as reflected in Table 1 (GSM-O Incentive Payments) as discussed below. Eligibility and the amount of the incentive fee shall depend on the Contractor’s performance. The requirements and ALPS will be measured, reported, validated and rewarded, if appropriate. The incentives are designed to encourage the highest quality of performance within the funds committed by the Government for the incentives of the task order.
Incentives not awarded during a period will not be rolled over for future award on the applicable task order or any future task order.
For a given performance ALP in the PWS, there are four performance regions: Blue performance that is Above-Satisfactory to a degree that merits Incentive; Green performance that is Satisfactory (no incentive is applicable); Yellow performance that is not yet Satisfactory, but no credit to the Government is applicable; and Red performance that is sufficiently below the Satisfactory level to justify a credit to the Government. Performance that is in the Red performance region for that ALP will result in the application of a credit to the Government and the automatic forfeiture of any positive incentive fee for that ALP for the specific time period.
Failure to meet the ALPs will result in a credit to the Government and remediation procedures;
as outlined in the QASP, and in Table 2 (GSM-O Below Satisfactory Credits).
4. Performance Incentive Tables. Table 1 (GSM-O Incentive Payments) describes the process that translates QASP performance data into recommended incentive payments for Government approval. The table includes example columns showing what the detailed amounts would be for a task order having annual value of a specific amount as shown in the examples, and an incentive pool of 5% excluding ODCs.
As described in the QASP, the Contractor’s Quality Control Plan (QCP) proposed in response to the QASP will describe its procedures for collecting and providing activity data to enable evaluation of its performance under the ALPs of the TO. Content and procedures detailing how the Contractor collects and forwards this data to the Government will be as described in the final approved QCP, and will also be attached as a separate appendix to CDRL A005 Quarterly Program Review. The Government QARs will also use Government data from the OSS and other sources to confirm and supplement the source data provided by the Contractor.
Incentives are shown in Table 1 by Task Order number. (The Government anticipates issuing at least four of the five TOs shown in Table 1 during year-1. The table will be updated as required over the life of the contract to provide comparable decision rules for each TO issued.) ALPs applicable to that task order are then grouped in the table to indicate how evaluation results are to be considered for incentive payment. An ALP is evaluated either on a Global basis (i.e. the designated Quality Assurance Reviewer in one geographic region will collect and evaluate all of the data pertaining to this ALP), or on a By-Region basis (i.e. the given ALP will be evaluated separately by the QAR in each of the four GSM-O regions, with a separate color evaluation; this prevents a high-scoring region from masking lower performance in another region). By-region ALP evaluations are not rolled up but are each considered separately.
In the table, for each task order, there are PWS task area(s) that map the total set of ALPs for that TO into groups for incentive award purposes. For example, in the TO-1 portion of the table, there are seven (7) task areas; the incentive for the first area (Admin/Security) is determined by the evaluation scores from ALPs 1, 2, 3. 4, and 6. ALP 6 will be evaluated on a by-region basis, resulting in four (4) evaluations for that ALP – one for each of the four GSM-O regions. When those eight separate ALP evaluation results have been determined by the applicable QARs, based on data extracted through the agreed upon methods and procedures, the data will be forwarded to the Task Monitor for that TO (along with any non-ALP findings from the QAR for consideration by the TM). The TM will then apply the rule from Table 1 to determine the incentive payment, if any, to be recommended. For the Admin/Security area incentive, the table rule states: If all of the contributing ALP evaluations (here, eight of them) are Blue, then the Contractor will be eligible to invoice for the incentive payment shown in the table, for that period. If any of the eight contributing ALP scores are below Blue, then no incentive is applicable for that task area for that evaluation period.
Each task order portion of Table 1 shows how the total incentive pool for that TO (shown to be 5% of the total annual TO value in the example columns) is internally allocated among the task areas of that TO. For TO-1, the pool is divided into seven (7) areas with the percentages adding to 100% of the pool for that TO. The Admin/Security area incentive, if earned, is 5% of the TO pool, which is shown to be $500,000 on an annual basis, and $41,667 on a monthly basis. The possible incentive for each task area is independent of each other task area. The percentages shown in the table have been established by the Government reflecting the importance of work outcomes.
The process rhythm is as follows: ALP performance data is monitored, tracked and extracted by applicable region by the QARs monthly for evaluation and determination by the TMs; these determinations are forwarded to the COR for a decision pertaining to incentive payments earned/recommended (and, if applicable, credits to the Government imposed) are made and approved monthly, for invoicing by the Contractor on a quarterly basis.

5. Method for Determining Incentive Fee. At the beginning of each 12-month period, to the extent that funding is available and options are exercised, funding will be applied to the Incentive Fee CLIN.
At the end of each month where incentives are applicable, task order performance, as measured by the applicable ALPs, will be collected by the Government Quality Assurance Reviewers in each GSM-O geographic region where task order execution is applicable. This data will then be forwarded to the Task Monitor for consolidation with inputs from the other regions. Note that unless there are exceptional circumstances, the TM uses Table 1 to interpret the data to determine whether or not an incentive is applicable, and if so, what the recommended amount is.
The TM will then forward the consolidated incentives data and recommended incentive payment amounts to the GSM-O COR for review.
The COR will submit the Preliminary Fee Recommendation to the DISA Network Services Division (NSD) Director who will review the recommendation and determine the amount of the incentive fee that the Contractor earned during the period. The NSD Directors office will notify KO of the amount of the incentive fee earned. The KO will notify the contractor of the incentive fee determination amount earned and instruct the Contractor to submit an invoice/voucher for payment. After receiving KO notification, the Contractor shall have five calendar days to challenge the incentive fee determination or 30 calendar days to submit an invoice for the amount indicated by the KO. If necessary, the KO will issue a corresponding modification to the contract enabling the Contractor to invoice for the appropriate amount of Incentive Fee. Incentive Fee determination and amounts decided by the Government are final and not subject to the Disputes Clause.
As detailed in Table 1, the Contractor shall receive no Incentive Fee for a given TO performance area if the Table 1 decision rule is not satisfied for that task area. The aforementioned Request- Recommendation-Determination process will occur following each period during the total contract period of performance to the extent that options are exercised.
The incentive fee structure is effective for the entire period of performance (base period and option periods) for this contract. Using quarterly invoicing for incentives earned and awarded mitigates the need to establish special provisions for partial payments.
6. Performance Credits for Below Acceptable Performance. If the Contractor fails to satisfy performance requirements of the ALPs, as detailed in Table 2 (GSM-O Below Satisfactory Performance Credits) below, this will result in the application of credits to be applied against the regular execution invoice for the evaluated period. The concept for assessing credits for ALP performance in the Red zone is comparable to that used to determine positive incentives – i.e. the task order is divided into a number of separate performance areas, with the contributing ALPs identified for each such area. The amount of credit to the Government to be assessed is based upon the Table 1 incentive amount for that task area. The decision rule is different, and states, If any one or more of the evaluated ALPs for a given task area is determined by collected data to be in the Red zone for that evaluation period, then the incentive for that one area is forfeited and a credit to the Government equal in amount to the incentive for that one area shall be deducted against the regular invoice for that task order. [Note: separating the credits from the incentives eliminates the theoretical problem that would arise if credits in a given period exceeded incentive payments earned.]

7. Incentive Fee Plan Administrative Changes. The method for changing this Incentive Fee Plan is described below:
a. The COR, Contractor, responsible Government Personnel (i.e., Task Monitor, QAR), or KO may propose changes to the Incentive Fee Plan. All proposed changes must be coordinated with the KO for final disposition.
b. If changes are proposed by Government personnel, the KO will coordinate proposed changes with the COR and Contractor.
c. The Government may elect to make changes to the Incentive Fee Plan, provided the KO has sent written notice to the Contractor of any changes to be applied and the Contractor has agreed to the changes. On agreement between the parties, changes will become effective for all future evaluation periods of the applicable task order(s).
d. In the case of Government-caused delays or other delays beyond the control, and without fault or negligence, of the Contractor, the Contractor shall notify the COR and KO in writing of the applicable circumstances and request a corresponding adjustment to the contract delivery schedule and this Incentive Fee Plan. The COR will coordinate with the KO for final determination which may result in a contract modification.
