Instructions to Offerors Revision 1
SMC/SY Specialized Acquisition and Operations Security Support (SAOSS) Services

1.0 INTRODUCTION
1.1 General Information
The Specialized Acquisition and Operations Security Support (SAOSS) Services effort seeks a group of security professionals at various locations in the Western United States to provide security support to Special Access Programs. Those professionals, as a group, will provide support in all security disciplines and shall be able to provide that support as required by national security directives as described in the Performance Work Statement (PWS). The Government seeks in the Offeror’s proposal a solution that satisfies the performance requirements specified in the PWS. Note that all personnel performing work on this contract shall have a current Top Secret clearance with SCI eligibility.
1.2 Definitions
1.2.1 "Key" personnel are defined as those subject matter experts (SMEs) whose resumes will be evaluated as part of the contract source selection. They are identified in the PWS Attachment VI and on the Government reference Key Personnel staffing matrix.
1.2.2 "Critical" personnel are defined as those personnel who must be available, in place, and clearable on Day 1 of the contract. This includes the "Key" personnel. (i.e. "Key" personnel are a subset of the larger group of "Critical" personnel.) They are identified in the PWS Attachment VI and the Government reference Day 1 staffing matrix.
1.2.3 "Important" personnel are specifically defined in the Section M discussion of Past Performance evaluation. It is up to the offerors to identify if they have any personnel they wish to have considered as "important" for past performance consideration.
1.2.4 “Business Associate” is defined as any type of subcontractor, partner, interdivisional entity, teammate, affiliate, joint venture, or other arrangement, other than the offeror itself, which will perform the contract requirements
2.0 GENERAL INSTRUCTIONS
2.1 Instruction Compliance
The Offeror's proposal shall include all data and information requested by these Instructions to Offerors (ITO) and shall be submitted in accordance with these instructions. The proposal shall be compliant with all requirements as well as the attachments. Non-conformance with these instructions may result in a proposal being deemed non-responsive and ineligible for award. Alternate proposals will not be considered.
2.2 Clarity of Proposal
The proposal should be clear, concise, and should include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather should provide sound rationale to address how the Offeror intends to meet stated requirements. Offerors shall assume that the Government has no prior knowledge of their facilities, capabilities, and experience and will base the evaluation solely on the information presented in the Offeror' s proposal.
2.3 What Not to Submit
Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and will count against the overall page count.
2.4 Debriefings
The Procuring Contracting Officer (PCO) will promptly notify Offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing, or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing. The PCO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing shall make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
2.5 Discrepancies
If an Offeror believes anything in these instructions contains an error, omissions, or is otherwise unclear or unsound, the Offeror shall immediately notify the PCO in writing, with supporting rationale, as well as the remedies the Offeror is asking the PCO to consider as related to the omission, error, unsoundness, or lack of clarity. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received by the Government, without discussions. This reservation includes matters of additional or substitute pages of the initial proposal. The Government also reserves the right to enter into discussion if in the best interest of the Government.
2.6 Point of Contact
After release of the RFP, the only Government persons Offerors are authorized to contact concerning any aspect of the RFP are the PCO or the Contract Manager as alternate identified below. Failure to comply may result in elimination of the Offeror's proposal from the competition. The only exception to the PCO's role as the Government's authorized representative is the Acquisition Ombudsman, who has been appointed to receive and communicate Offeror's concerns when an Offeror prefers anonymity. The Ombudsman will communicate Offeror issues, disagreements, and recommendation for resolution while maintaining the source's confidentiality. The Ombudsman's role in the acquisition process is not to diminish the authority of the PCO, but to advocate and/or resolve Offeror concerns on a non-attribution basis. The Ombudsman will not evaluate proposals or be involved in the source selection decision. The Ombudsman is:

2.7 FAR 4. 8 - Retention of Unsuccessful Proposals
In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals.
2.8 Non-Use of Non-Governmental Advisors
Only government personnel will have access to proposals.
2.9 Classified Proposals
All proposals shall be unclassified except for Past Performance which can be classified if necessary to protect the contractual relationships and services provided; however, all Past Performance shall be verifiable and marked appropriately in accordance with para 3.2.8. See para 6.2.3 below for more detail regarding submitting classified past performance information.
2.10 Delivery
Proposals shall be received by the PCO no later than 3:00 PM (Pacific Time), 07 March 2018. Proposals received after the cutoff date and time shall be treated in accordance with FAR 15.208. Submission of the initial proposal packages via electronic mail will not be accepted. The entire proposal package (see section 3.0 below) shall be physically delivered to the PCO or designated POC at:

Offerors hand-carrying proposals to Building A5 Lobby, Aerospace Corporation, are notified that individuals not affiliated with the installation shall obtain visitor passes at one of the two Visitor Control Centers located on El Segundo Blvd and Douglas Street south of the Los Angeles Air Force Base. Offerors should allow sufficient time to obtain visitor passes in order to arrive at Building A5 Lobby prior to the time established for the receipt of proposals. If using a courier, the Government requests, but does not require, that the Offeror submit to the PCO the name of the individual hand-carrying volumes 24 hours in advance of the intended delivery date and time. All proposal deliveries shall be coordinated with the PCO; early deliveries will not influence the evaluation. The Offeror should notify the PCO of an approximate time of delivery no later than three business days prior to proposal delivery and provide a point of contact to coordinate delivery. A transmittal letter to the PCO may be used, but will not be evaluated. Note that delivery of classified past performance information will require further advanced coordination with SMC/SYK, in accordance with para 6.2.3 below.
3.0 PROPOSAL FORMAT INSTRUCTIONS
3.1 Proposal Format Overview
To assure timely and equitable evaluation of proposals, offerors shall follow the formatting instructions contained in this section. In addition to those specifically identified as evaluation factors or subfactors, offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being technically unacceptable and ineligible for award. Offerors shall clearly identify any exception to the solicitation terms and conditions and provide complete supporting rationale.
3.2 Proposal Organization
The Offeror shall prepare its proposal as set forth in Table 1, Proposal Organization, below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified.

3.2.1 Page Limitations
Page limitations will be treated as maximums. If exceeded the excess pages will not be read or considered in the evaluation of the proposal and excess paper copies will be destroyed. The following shall not be counted against prescribed page limits: Cover pages, table of contents, tabs, glossaries, Organizational Conflict of Interest (OCI) checklist, and Technical Attachments identified in Table 1 above.
3.2.2 Page Size and Format
A page is defined as each face of a sheet of paper containing information. Font size shall be no less than 12 point utilizing Times New Roman font. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8. 5 x 11 inches, unless foldouts are necessary and then foldouts count as two pages and shall not exceed 11 x 17 inches in size. Margins shall be no less than 1 inch on all sides. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. For Table/Matrix submissions, margins shall be no less than 1 inch on all sides and font size shall be no less than 8 point utilizing Times New Roman font. Pages shall be numbered sequentially by volume.
3.2.3 Cross-Referencing
Each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.
3.2.4 Cost Information
Cost information in the Cost Volume is the only cost information that will be evaluated.
3.2.5 Hard Copies
Each volume of the proposal shall be separately bound in a three ring, loose leaf binder permitting the volume to lie flat when open. Staples shall not be used. A cover sheet shall be bound in each binder, clearly marked as to volume number, title, copy number, solicitation identification, and Offeror's name. The same identifying data shall be placed on the spine of each binder. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information. One (1) hard copy of the proposal shall be marked as the "Original".
3.2.6 Electronic Copies
Electronic copies shall be delivered on CD or DVD compatible with Windows 7. The content and page size of electronic copies shall be identical to the hard copies. Indicate on each CD or DVD the volume number and title. Each electronic file shall be clearly marked to show the proposal volume number, solicitation number, and Offeror name. Each volume shall be in a different directory on the CD or DVD. If files are compressed, the necessary decompression program (i.e., WINZIP) shall be included. Use separate files to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments, if any. The electronic copies of the proposal shall be submitted in a format readable by Microsoft Office (MS) Word 2010, MS Office Excel 2010, MS Office Project 2010, and MS Power Point 2010, as applicable. All electronic copies shall include the native file (e.g., .doc) with full edit rights.
3.2.7 Discrepancies
If there are any discrepancies between the hard copies and/or the electronic copies of the proposal, the hard copy marked "Original" will be used for evaluation.
3.2.8 Classified Information
Apply all appropriate security classification markings within the proposal, the proposal coversheet, Table/Matrix submissions and electronic media to include CDs or DVDs in accordance with the United States Air Force Security Marking Guide for Special Access Programs dated 1 July 2011 (Rev 1 dated 16 October 2013). See also para 2.9 above and para 6.2.3 below.
4.0 VOLUME I – SOLICITATION DOCUMENTATION
The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The Offeror's proposal shall include a signed copy of the model contract. Signature by the Offeror on the model contract constitutes an offer, which the Government may accept. The "original" copy shall be clearly marked and provided under a separate cover. The offerors shall assume a notional base period start day of 17 May 2018 for purposes of pricing. The period of performance for this effort includes a 12-month base period, nine one-year options, and one six month option in accordance with FAR 52.217-8.
4.1 Volume I Organization

4.2 Proposal Validity
The Offeror shall clearly state in its contract documentation volume that the proposal is valid for 180 calendar days from the proposal due date.
4.3 Authorized Offeror Personnel
The Offeror shall provide the name, title, telephone number, and email address of the company/division point of contact regarding decisions made with respect to its proposal, and who is authorized to obligate the company contractually.
4.4 Government Offices
The Offeror shall provide the mailing address, email address, telephone number, and facility codes for the cognizant Defense Contract Management Agency (DCMA) Defense Contract Audit Agency (DCAA), and Government Paying Office. The Offeror shall also provide the name, telephone number, and email address for the Administrative Contracting Officer (ACO).
4.5 Exceptions to Solicitation Requirements
Offerors are required to meet solicitation requirements, terms and conditions, and technical requirements. Failure to meet the solicitation requirements, terms and conditions, or technical requirements may result in an Offeror being ineligible for award.
4.6 Executive Summary
The Executive Summary will concisely address the Offeror’s solution and its approach to meeting the Government’s requirements as it pertains to the Volume. The Offeror should highlight any key or unique features or capabilities that tie into the performance of factors and sub-factors. Any material presented in the Executive Summary will not be evaluated by the Government for purpose of award. The Executive Summary shall be no more than two (2) pages.
4.7 Services and Costs
The Offeror shall complete cost information for all CLINs as part of the contract by inserting the proposed cost amounts requested in the "Descriptive Data" and the Unit Cost and Total Item Amount in the blanks provided for each CLIN.
4.8 Professional Employee Compensation
The professional employee compensation plan required by FAR 52.222-46 shall be submitted as a part of Volume I. The plan shall set forth salaries and fringe benefits proposed for professional employees and include supporting information to enable the Government to review the proposed salaries and fringe benefits in accordance with FAR 52.222-46. Note: The compensation plan pertains to the offeror only. However, if a populated joint venture is formed (a joint venture in which the employees are employed by the joint venture itself and not by any individual joint venture partner), the joint venture must submit the total compensation plan for the joint venture. If an unpopulated joint venture is formed, each individual joint venture partner must submit its own total compensation plan."
4.9 Attachments to the Model Contract
The Offeror shall provide the attachments to the model contract as set forth below. The header or footer of each page of each attachment, excluding the cover page, shall include the attachment number, title, contract number, and page number (i. e., "X of Y").
4.9.1 Exhibit A001- A003 to Volume I: Contract Data Requirements List In each DD Form 1423, the Offeror shall provide the information necessary in Block F, Contractor.
4.9.2 Attachment 1 to Volume I: Performance Work Statement
The PWS is provided for the Offeror to use to develop their proposal. This PWS will become an attachment to the contract. Offeror shall complete attachment VII of the PWS.
4.9.3 Attachment 2 to Volume I: DD 254 - Contract Security Classification A preliminary DD Form 254 has been provided as an attachment to this RFP. The Offeror shall complete Sections 6 and 7 and include information from proposed subcontractors.
4.9.4 Attachment 3 to Volume I: Objective Performance Incentive Plan The offeror shall complete the highlighted sections in Table 1, Service Summaries and Weights and Table 3, Incentive Earnings. This exhibit will become an attachment to the contract.
4.9.5 Attachment 4 to Volume I: Organizational Conflict of Interest Mitigation Plan The Offeror shall include an OCI Mitigation Plan as applicable in accordance with Attachment L6, the SMC Organization Conflict of Interest Analysis and Mitigation Plan Checklist. The proposed OCI Mitigation Plan shall:
4.9.5.1 Describe in detail any potential OCI’s of which the Offeror is aware associated with its or any of its business associates performance under contract it or any of its business associates has been or may be awarded by any federal agency or any other entity whose performance may create an actual or potential OCI if awarded the SAOSS contract.
4.9.5.2 Describe in detail the methodology the Offeror used to identify those potential OCI issues.
4.9.5.3 Describe in detail the specific techniques the Offeror intends to use to mitigate each potential OCI identified in its proposed OCI Mitigation Plan.
4.9.5.4 If no OCI is anticipated, Attachment 4 shall so state no mitigation plan is required.
4.9.6 Attachment 5 to Volume I: Small Business Participation Commitment
4.9.6.1 The offeror shall complete the Small Business Participation Commitment Document (SBPCD).
4.9.7 Attachment 6 to Volume I: Small Business Subcontracting Plan
4.9.7.1 The Offeror shall submit a Small Business Subcontracting Plan as Volume I, Attachment 6 that meets the requirements addressed in FAR 19.704 and 52. 219-9, as supplemented. If the Offeror has an approved master subcontracting plan (see FAR 19.704(b) and 52.219-(f)) or an approved comprehensive subcontracting plan (see DFARS 219.702), the Offeror shall submit a program specific addendum as Attachment 6 covering any additional information required by this solicitation. The addendum shall incorporate the master or comprehensive plan by reference and the Offeror shall include the master comprehensive plan as an attachment to Volume IV. If the offeror is a small business, no plan is required.
4.9.7.2 In accordance with AFFARS 5319.704, the Offeror shall also express subcontracting commitments in terms of percent of contract value in addition to percent of subcontracted amount. The Offeror shall include a small business subcontracting requirement of at least 8% of the total proposed cost.
4.9.7.3 The Offeror shall assign a North American Industrial Classification System (NAICS) code to each subcontract based on the nature of the work being subcontracted, using the 2017 NAICS coding manual and the footnotes in 13 CFAR 121. Subcontracted work which is similar to the basic contract should use the same NAICS. While Offerors are not bound to use the same NAICS code for all effort that is subcontracted which is similar in nature to the contract NAICS code assigned for the prime contract, deviation must clearly fit the NAICS description chosen. In all cases, to qualify as a small business, subcontractors shall meet the size standard (see 13 CFR 121) for the NAICS code of the subcontract. To further qualify as a small disadvantaged business or a small HUBZone firm, subcontractors shall be certified by the Small Business Administration. All Other types of small business are self-certified.
4.9.7.4 The Offeror shall include in the plan or addendum a table that shows a brief description of the subcontracted effort, the NAICS code assigned by the Offeror, the type of small business contract anticipated to be used, and the planned/estimated dollars for the subcontracted effort. Where known, include the name of the small business subcontractor. In addition, for small disadvantaged businesses (SDB), the Offeror shall propose targets, expressed as dollars and percentages of total contract value, in each of the applicable, authorized NASICS Industry Subsectors, and a total target for SDB participation by the Offeror, including team members, and a total target for SDB participation by subcontractors. The Offeror shall state in its plan that, for each SDB identified by name, it will notify the Contracting Officer of any substitutions of firm that are not SDB concerns.
4.9.7.5 For purposes of fulfilling subcontracting requirements, the Offeror shall account for only first tier subcontractors.
5.0 VOLUME II - TECHNICAL
5.1 Volume II Organization. This volume shall be organized according to Table 3 below.

5.2 Executive Summary
The Executive Summary will concisely address the Offeror’s solution and its approach to meeting the Government’s requirements as it pertains to the Volume. The Offeror should highlight any key or unique features or capabilities that tie into the performance of factors and sub-factors. Any material presented in the Executive Summary will not be evaluated by the Government for purpose of award. The Executive Summary shall be no more than two (2) pages.
5.3 Factor II – Technical
5.3.1 Subfactor 1- Key Personnel.
The Offeror shall provide proposed staffing in the Offeror's Proposed Staffing Matrix that possesses the described expertise, education, experience, and training listed in Attachment L1, SAOSS Key Personnel Staffing Matrix to accomplish PWS requirements. The offeror shall provide resumes for all proposed Key Personnel utilizing attachment L5, Resume Template.
5.3.1.1 Staffing Matrix. The Offeror shall provide a completed Proposed Offeror Staffing Matrix identifying proposed staffing by position number. The Offeror's Proposed Staffing Matrix is required to be identical to the Government's Reference Staffing Matrix, Attachment L1. The Offeror shall complete fields marked in blue (mark items non-applicable (N/A), as appropriate). The Government will assume a blank field is N/A.
5.3.1.2 The Offeror shall submit a security questionnaire in the format of Attachment L4, Personnel Security Pre-Screening Questionnaire for each of the submitted staffing personnel in the Offeror's Proposed Staffing Matrix. For a "Yes" response to any of the PSQ questions, if previously adjudicated, provide supporting documentation or PSQ templates.
5.3.1.3 For any document containing Personally Identifiable Information (PII) (e.g. name, social security number, date or location of birth), that document must be marked as such, “Personally Identifiable Information (PII) – Protect in accordance with Privacy Act of 1974 (5 U.S.C. 552a).”
5.3.2 Subfactor 2 - Day one (1) Staffing
The Offeror shall provide proposed staffing in the Offeror's Proposed Staffing Matrix that possesses the described education, experience, and training listed in Attachment L2, SAOSS Day 1 Staffing Matrix to accomplish PWS requirements.
5.3.2.1 Staffing Matrix. The Offeror shall provide a completed Proposed Offeror Staffing Matrix identifying proposed staffing by position number. The Offeror's Proposed Staffing Matrix is required to be identical to the Government's Reference Staffing Matrix, Attachment L2. The Offeror shall complete fields marked in blue (mark items non-applicable (N/A), as appropriate). The Government will assume a blank field is N/A.
5.3.2.2 The Offeror shall submit a security questionnaire in the format of Attachment L4, Personnel Security Pre-Screening Questionnaire for each of the submitted staffing personnel in the Offeror's Proposed Staffing Matrix. For a "Yes" response to any of the PSQ questions, if previously adjudicated, provide supporting documentation or PSQ templates.
5.3.3 Subfactor 3 - Day Thirty (30) Staffing
The Offeror shall provide proposed staffing in the Offeror's Proposed Staffing Matrix that possesses the described education, experience, and training listed in Attachment L3, Day 30 Personnel Staffing Matrix to accomplish PWS requirements.
5.3.3.1 Staffing Matrix. The Offeror shall provide a completed Proposed Offeror Staffing Matrix identifying proposed staffing by position number. The Offeror's Proposed Staffing Matrix is required to be identical to the Government's Reference Staffing Matrix, Attachment L3. The Offeror shall complete fields marked in blue (mark items non-applicable (N/A), as appropriate). The Government will assume a blank field is N/A.
5.3.3.2 The Offeror shall submit a security questionnaire in the format of Attachment L4, Personnel Security Pre-Screening Questionnaire for each of the submitted staffing personnel in the Offeror's Proposed Staffing Matrix. For a "Yes" response to any of the PSQ questions, if previously adjudicated, provide supporting documentation or PSQ templates.
5.3.4 Subfactor 4- Small Business Participation.
The Offeror shall provide a small business participation commitment document that meets or exceeds the minimum quantitative requirement (MQR) of 8% of the total contract value in awards to small businesses.
5.3.4.1 All offerors (both other than small businesses and small businesses) shall provide the Small Business Participation Commitment Document (SBPCD) and small business subcontracting plan (if applicable) demonstrating how you will meet the 8% minimum requirement. This required information will be used to evaluate the extent of your proposed participation/commitment to use U.S. small businesses in the performance of this acquisition (as small business prime offerors or small business subcontractors) relative to Section M, Factor II, Subfactor 4 Small Business Participation.
6.0 Volume III – Past Performance
6.1 Volume III Organization. This volume shall be organized according to Table 4 below.

6.2 Executive Summary
The Executive Summary will concisely address the Offeror’s solution and its approach to meeting the Government’s requirements as it pertains to the Volume. The Offeror should highlight any key or unique features or capabilities that tie into the performance of factors and sub-factors. Any material presented in the Executive Summary will not be evaluated by the Government for purpose of award. The Executive Summary shall be no more than two (2) pages.
6.3 Factor 1- Past Performance
6.3.1 General:
The offeror shall submit Past Performance Information for itself and any business associates, as well as each proposed critical subcontractor, in accordance with the format contained in the “FACTS Sheet” (See RFP Attachment L7) and the following paragraphs. A critical subcontractor is defined as any and all business associates, other than the offeror itself, which will perform 20% or more of the effort by dollar value.
6.3.2 Past Performance Format:
The requested past performance information shall be provided in a separate volume (i.e., 3-ring binder) labeled "Volume III - Past Performance". A summary page shall be provided for this acquisition, describing the proposed role of the offeror, any joint venture member and critical subcontractor (nature of work and percentage of overall work for this effort). Summary page information shall clearly communicate that proposed critical subcontractor(s) meet the definition of a critical subcontractor established above. Efforts submitted for proposed critical subcontractors not meeting the established definition will not be evaluated. Each offeror/joint venture member shall complete a separate FACTS Sheet for four (4) active or completed contract(s) (with at least approximately one year of performance history) in the past five (5) years from the issuance date of the RFP, that the offeror/joint venture member considers relevant in demonstrating its ability to perform the proposed effort. If the total number of such contracts exceeds four (4), each offeror/joint venture member shall address its four (4) most recent and relevant contracts. Business associates shall account for no more than two (2) of the FACTS sheets and each offeror shall only submit a maximum of four (4) FACTS sheets. The offeror's/joint venture member’s or critical subcontractor’s past performance information may include data on efforts performed by other predecessor companies, affiliates, other divisions or corporate management if such was provided for evaluation and if the offeror’s past performance volume demonstrates the company, affiliate, or division will provide the offeror with resources for the instant proposed effort, such as workforce, management, facilities, or other capabilities demonstrating direct and meaningful involvement in the performance of the instant proposed effort. The FACTS Sheet shall clearly indicate the division or corporate organization that performed or is presently performing the contract. Contracts listed may include those with the Federal Government, state and local governments or their agencies, and commercial customers.
6.3.3 Classified Past Performance Submissions
If offerors want to provide classified past performance information, it shall be submitted directly to the contracting officer, coordinated in advance, and no higher than at the TS/SCI (i.e. non-SAR) level. Apply all security classification markings within the submission in accordance with the appropriate Security Classification Guide, and contact the contracting officer at least 72 hours in advance to arrange delivery.
6.3.4 Important Personnel
Offerors, business associates, or critical subcontractors who either have no prior contracts or do not possess relevant corporate past performance, but have important personnel with relevant past performance while employed by another company, may demonstrate the performance of such important personnel by submitting FACTS Sheets (In accordance with their most recent and relevant contracts under which such important personnel performed the same or similar role currently being proposed on the instant acquisition and this performance occurred during the past five (5) years from the issuance date of this solicitation. Note however, that the quality of the important personnel’s performance under the submitted contract shall be able to be verified by the Past Performance Team in order to be considered in the assessment of confidence. Offerors are reminded that a letter of intent to hire does not constitute employment.
6.3.5 Subcontractor/Teaming Member Consent Form
In addition to the information provided in the FACTS Sheet (RFP Attachment L7) for each entity as required above, the offeror shall submit a consent letter executed by each of its proposed business associate(s) and/or critical subcontractors authorizing release of adverse past performance information to the prime offeror to allow the prime offeror an opportunity to respond. A sample Subcontractor/Teaming Partner Consent Form is attached to this RFP at the end of Attachment L7. The consent form shall be completed by the team member(s) and/or critical subcontractors identified in your proposal. The completed consent forms shall be submitted as part of your Past Performance Volume III.
6.3.6 FACTS Sheet
The offeror/business associate or critical subcontractor, if applicable, shall focus its FACTS Sheet responses so that they clearly correlate past performance with the requirements of this RFP. The FACTS Sheet responses shall clearly describe the relevance of the effort to the work proposed. The answering space on the FACTS Sheet may be expanded so that the filled-in FACTS Sheet for each relevant contract covers increases no more than both sides of three (3) 8 ½ x 11 inch pages (i.e., no more than six (6) pages beyond the basic FACTS Sheet). (See paragraph 2, Relevancy Table and N. of the FACTS Sheet.) Provide the most current information for the Points of Contact (POCs) identified on the FACTS Sheets. At least two of the following (in descending order of availability) shall be identified as current POCs on the FACTS Sheets:
(a) Procuring Contracting Officer/Contract Negotiator or equivalent
(b) Program/Project Manager, or equivalent
(c) Administrative Contracting Officer/Contract Administrator or equivalent
(d) Other (As specified in your FACTS Sheet)
If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the FACTS Sheet a description of impacts, programs, and mitigation actions taken to resolve those causes. Problems not addressed in the FACTS Sheet, but found by the Government during the evaluation of the information in this volume, will be assumed to still exist. Note: In the case of Contractor Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.
6.3.7 Past Performance Questionnaire
The Past Performance Questionnaire (see RFP Attachment L8) will be one means used by the Government to obtain past performance information. The Government reserves the right to change, alter, and/or supplement the questionnaire without further notice to the offeror(s). The offeror shall send out and track the completion of the Past Performance Questionnaires (See RFP Attachment L8) to each of the offeror’s, joint venture member’s and/or critical subcontractors’ (i.e., each entity’s) Points of Contact (POCs) identified in each FACTS Sheet. The responsibility to send out and track the completion of the Past Performance Questionnaires rests solely with the offeror - i.e., it shall not be delegated to any other entity. The Transmittal Letter (see RFP Attachment L9) shall be used by the offeror in sending out the Past Performance Questionnaires. Exert your best effort to ensure that at least two POCs per relevant contract submit a completed Past Performance Questionnaire directly to the Government not later than the date established in the RFP for receipt of proposals. POCs may submit their completed Past Performance Questionnaire either by fax or by mail. If mailing, the POCs may return the completed questionnaires via mail directly to:

POCs may send the completed questionnaires via fax. The fax number is 310-416-1704/05/06. Please have your POCs call Mr. Richard White (310) 416-1508 or Capt Armando Rodriguez (310) 535-2749 before faxing their response, and ensure one of them is available to receive the fax.
Once the Past Performance Questionnaires are completed by your POCs, the information contained therein shall be considered source selection sensitive and shall not be released to you, the offeror. Therefore, any exchange/contact between the offeror/business associate and/or critical subcontractor and its own POCs in regards to comments made on the questionnaire is not permitted.
6.3.8 Client Authorization Letter
In the event that commercial contracts are presented as past performance sources of information, a client authorization letter shall be issued to those commercial POCs requesting/authorizing them to complete a Past Performance Questionnaire. A sample client authorization letter is attached to this RFP (see RFP Attachment L10). The offeror is required to send the client authorization letter(s) with the Past Performance Questionnaire(s) to each POC on commercial contracts. A separate copy of client authorization letter(s) for each commercial contract shall be included in the offeror’s Past Performance submission for the Government’s use in case additional questionnaires need to be sent by the Government after the RFP due date.
6.3.9 Communications
The Government may conduct communications with any of the people identified in the FACTS Sheets or in the offeror’s Past Performance Volume. Pursuant to FAR 15.305(a)(2)(ii), the Government may obtain other information by sending out additional questionnaires and through other sources, other than those listed within the FACTS Sheets.
6.3.10 RFP Attachment Legend
RFP Attachments (FACTS Sheet and Past Performance Questionnaire) shall include the following legend at the top and bottom of the page:

7.0 VOLUME IV - COST
7.1 General Cost Volume Instructions
The Cost/Price Factor volume shall contain the information requested in the paragraphs below. Pricing shall follow the skill mix described in Attachment V of the PWS and Offerors shall use and complete the Government provided Attachment L11, SAOSS Pricing Template and submitted in electronic version with working, traceable formulas. The offeror shall submit other-than-certified cost or pricing data (per FAR 15.403-1(b), 15.403-3(a), and FAR 15.403-5) for the Government’s evaluation. The proposal shall contain sufficient details for the Government’s evaluation of reasonableness, realism, and unbalanced pricing, and for the Government’s calculation of the Most Probable Cost which will become part of the Total Evaluated Price for the best value decision. Compliance with these requirements is mandatory and failure to comply may result in a determination of non-compliance. The burden of proof for credibility of proposed amounts rests with the offeror. The price evaluation will be an assessment of the data submitted in the Price Volume; the Government will not be responsible for evaluating offeror data submitted outside the Price Volume. If, after receipt of proposals, the PCO determines that there is insufficient data available to complete the cost/price evaluation, the offeror shall be required to submit additional cost or pricing data. The use of offeror formats is encouraged provided that all the required information is submitted.
The Government issued this solicitation with the anticipation of adequate price competition; therefore, any cost/price documentation requested shall not be certified cost or pricing data. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from the offeror and its business associates and may conduct negotiations with the offeror, pursuant to FAR Part 15.403-4, in order to ensure a reasonable and realistic price/cost. Furthermore, the offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2. The offeror shall acknowledge the requirement to provide additional cost or pricing information and certify the data prior to award if/when requested by the Government.

7.1.2 Rounding
All dollar amounts provided shall be rounded to the nearest dollar. All loaded labor rates shall be rounded to the nearest penny.
7.1.3 Electronic File Submission
The official copy of the offeror's Cost/Price Volume shall be submitted in the following electronic formats as applicable: PDF Acrobat 8.0 (with "Select", "Print", and "Copy" enabled to allow for text and graphics transfer), Microsoft (MS) Word 2010, MS Excel 2010, MS Project 2010, and MS PowerPoint 2010. All electronic files shall be delivered on CD or DVD compatible with Microsoft Windows 7.
All files constructed in Microsoft Excel shall use formulas instead of just pasted values to preserve any calculation logic within the file, including summaries and totals. The offeror shall provide electronic copies of all cost/pricing models that are used for developing its estimate. All Excel files shall have working formulas. Offerors shall use the “group and Outline” feature of MS excel to facilitate the ease of proposal analysis. If the model requires multiple MS Excel spreadsheets, the “link cell” feature shall be used. The cost/price proposal submitted shall be consistent with the Offeror’s approved estimating system and shall duplicate the logic and mathematical formulas reflected in the official copy of its proposal.
7.2 Introductory Section of the Cost/Price Volume
As an introduction, the offeror shall provide comprehensive narrative support for the Cost/Price proposal volume. The narrative shall explain the philosophy, methodology and assumptions used in proposing the dollar amounts. Any apparent imbalances in the pricing, any unrealistically low amounts, and any apparent pricing anomalies shall be clearly explained. The Government expects that consistency exists between the Technical and Cost/Price volume; any offeror-intended inconsistency shall be clearly explained and convincingly demonstrate how the promised performance will be achieved at the proposed cost/price. For all CLINs with N/A in table 5, this information is for planning purposes only and no narrative is required.

7.3 Cost/Price Summaries
7.3.1 Offeror’s Total Proposed Price (TPP) Calculation
The offeror shall complete and submit table 7, below, in calculating the offeror’s proposed TPP. The offeror shall comply with the following parameters in submitting the proposal amounts.
· For CLINs 0001 through 0020 and extended through Option Period nine and six month option to extend services, the contract type shall be Cost-Plus-Fixed Fee. The proposed total fixed fee shall not exceed 3% of an estimated cost that excludes the cost of money. Additionally, no more than 5% of the total estimated cost (that excludes the cost of money) shall be reserved for objective performance pool incentives outlined in Attachment 3 of the model contract.
