Joint Ventures (JVs) Key Points
SBA only approves JV’s with 8a companies for 8a set-aside contracts
(SBEAS is NOT an 8a set aside)
Non 8a JVs must be approved or determined acceptable by the
Contracting Officer
JV acceptability criteria for SBEAS will be incorporated into the Final Request for
Proposal
Rule of 2 applies to all JVs; a JV can only be awarded 3 contracts every 2 years; this does not apply to task/delivery orders
The JV itself must certify as small business under the SBEAS NAICS code
In addition, each company forming the JV must certify as a small business under the
SBEAS NAICS
All Small Protégé Program –
Joint Venture
Small companies seeking a mentor must go to SBA for an approved
Mentor Protégé Agreement (MPA).
SBA approves the Agreements only, not the JV, unless 8a
MPAs must be in good standing for the Mentor Protégés
MPAs must be renewed every 12-months
The Protégé must certify as a small business under the SBEAS NAICS
The Protégé must own 51 percent of the JV entity
