Request for Proposal FA8530-09-R-22309
PART I - THE SCHEDULE
SECTION B
SUPPLIES OR SERVICES AND PRICES/COSTS
Description: Requirements for the Small Business Acquisition and Sustainment Tool (SbAST) Program include modifications/upgrades/enhancements and maintenance/repair for existing Air Force (AF) operated systems, sub-systems, or components, not in new development. SbAST may include one-time spares and repairs which qualify as critical, limited, and/or contingency. In addition, services that are not reasonably severable from the modification or maintenance efforts may be included. Small business categories include: small businesses, small disadvantage businesses, service-disabled veteran-owned small businesses, woman owned small businesses, historically black colleges and universities, and HUBZone small businesses.
SbAST does not include Military Construction (MILCON), Civil Engineering, Base Operating Support (BOS) or Commercial Items. In addition, SbAST will not be used for new development programs. Refer to Performance-based Work Statement (PWS) for the Small Business Acquisition and Sustainment Tool (SbAST) (hereinafter “SbAST PWS”) for definitions of these terms for purposes of the SbAST acquisition.
This request for proposal is for an Indefinite Delivery/Indefinite Quantity (ID/IQ) contract. The SbAST PWS is generic in nature and describes general support requirements. All requirements will be acquired by issuance of Delivery/Task Orders (D/TOs).
The maximum amount of services and/or supplies the Government will acquire under the contract is $402,000,000.00 for all contracts issued from this solicitation, and the minimum amount of services and/or supplies is $2,500.00. This is a one-time minimum for the program and will be satisfied by issuance of the first delivery/task order (D/TO) to each awardee, which may include a combination of costs under CLINs 0101 - 0126.
Note 1: CLIN 0001 and its associated subCLINs apply to the basic contracts.
Note 2: Rates for Contract Line Item Numbers (CLINs) XX01-XX26 shall apply to each year, as indicated within the Rate Tables attached to this Contract. The basic contract ordering period is 36 months. The Option I ordering period is 24 months.

Option I Year 4: Days 1097 – 1461 Year 5: Days 1462 – 1826
Although ordering is limited to the time periods specified above, periods of performance established in individual orders can extend through Years 6 and 7 as depicted below:

Note 5: The following identifiers represent the year/item number sequence in effect during each contract period as set forth above under Periods of Contract Performance. These numbers will be used in combination with line item numbers (for example, XX01), which are established in the Line Item Schedule under the CLIN heading, for ordering during each contract period.
01XX – Year 1 02XX – Year 2 03XX – Year 3 04XX – Year 4 05XX – Year 5 06XX – Year 6 07XX – Year 7
For example, Contract Performance Period Year 1 (Days 1 – 365) (01XX), in combination with Item Number XX01, yields CLIN 0101, Modifications/Upgrades/Enhancements, Firm Fixed Price. Should an effort ordered under this contract cross contract performance periods, the CLIN cited in the order shall reflect the contract performance period in which the order was originally awarded. Use the attached Rate Tables to select the labor category for services as necessary. The attached Rate Tables include rates by labor category, by contract performance period, for prime contractors (including joint venture prime contractors), subcontractors and/or teaming partners. The selection of the labor categories will establish the amount to be billed for the CLIN 0101 (as subCLINed).

If the offeror does not furnish sufficient data in subparagraph (a)(1) of this clause, to permit determination by the Government of the item shipping costs, evaluation will be based on the shipping characteristics submitted by the offeror whose offer produces the highest transportation costs or in the absence thereof, by the Contracting Officer's best estimate of the actual transportation costs. If the item shipping costs, based on the actual shipping characteristics, exceed the item shipping costs used for evaluation purposes, the Contractor agrees that the contract price shall be reduced by an amount equal to the difference between the transportation costs actually incurred, and the costs which would have been incurred if the evaluated shipping characteristics had been accurate.

SPECIAL CONTRACT REQUIREMENTS
H-901: ORDERING/SELECTION PROCEDURES AND FAIR OPPORTUNITY
(a) Before Delivery/Task Orders (D/TOs) are issued under this contract, a decision will be made regarding whether to compete with all multiple award contractors or restrict in accordance with DFARS 216.505-70(b), Orders Under Multiple Award Contracts. D/TOs may be placed by mail, facsimile, or by electronic commerce methods. When a Request for Order Proposal (RFOP) is issued by the Government, contractors will be allowed 7 working days response time for preparation of proposals, unless otherwise stated in the RFOP. The Government will evaluate and negotiate, as necessary, and issue the order within 12 working days after date set for receipt of proposals, unless otherwise stated in the RFOP. If negotiations/discussions are necessary, contractors may be requested/allowed to revise their proposals, as necessary.
(b) When D/TOs are competed, all contractors will receive an RFOP. Award of competitive D/TOs will be made to the contractor whose proposal is the most advantageous to the Government based on an integrated assessment of evaluation criteria which address technical/management, past performance, and cost/price. Additional evaluation factors relevant to the particular D/TO may be considered in the award of a D/TO under this contract. The following factors are examples:
Size status Specific technical expertise Capacity Optimum technical solution Delivery schedule or turnaround time Other factors the CO believes relevant to award of the order
In addition, a determination must be made prior to award that offeror is not large by affiliation in accordance with the 7 Factor Test for Affiliation. If offeror is determined to be large by affiliation, the offeror is not awardable for that particular D/TO. Additionally, if any offeror becomes a large business during performance of the basic ordering period or the option period, that offeror is no longer eligible for award of a D/TO under this contract.
(c) Each RFOP shall cite applicable order-specific clauses, which are contained in the Clause Matrix attached hereto (RFP Attachment 12).
(d) If information is required regarding the technical/management approach beyond what was received with the initial proposals, a brief technical/management proposal will be requested to identify the Contractor’s proposed approach to the specific task. Any Government property required for performance must be identified in the response to the RFOP.
Evaluation criteria will be identified in the RFOP.
(e) The past performance evaluation for each D/TO will consider each Contractor’s relevant data, submittal of which will be required by the RFOP, including but not limited to past performance on earlier orders under the contract, including quality, timeliness, and cost control.
(f) Cost/price proposals for D/TOs shall identify which proposed labor categories are exempt from the Service Contract Act (SCA) and which proposed labor categories are subject to the SCA. For all D/TOs issued in Years 1 through 5 of this contract that include SCA covered labor categories, Offerors’ proposals shall use their Year 1 rates on contract for those SCA-covered labor categories. The Government will then review the applicable Wage Determination for the proposed effort and determine if the Year 1 rates on contract are in accordance with the applicable Wage Determination or if adjustment in accordance with the SCA is required. If adjustment is required, the Government will perform the adjustment and the adjusted rates shall be used in the resultant D/TO. For D/TOs issued under this contract which require performance in Years 6 and 7, the contractual labor rates as adjusted by Clause H-921 for Year 6 will serve as the baseline rate for all SCA-covered labor categories. The Government will then review the applicable Wage Determination for the proposed effort and determine if the adjusted Year 6 rates on contract are in accordance with the applicable Wage Determination or if adjustment in accordance with the SCA is required. If adjustment is required, the Government will perform the adjustment and the adjusted rates shall be used in the resultant D/TO.
(g) Subject to the provisions of paragraph (f) above, with the exception of Cost Reimbursable (CR), cost/price proposals for D/TOs shall utilize rates that are no higher than those set forth in the attached Rate Tables.
Contractors may propose rates that are lower than those in the attached Rate Tables and these lower rates will be incorporated in the D/TOs. Contractors shall state in their proposals whether rates from attached Rate Tables are used or if they are using lower rates. As will be determined as applicable a the D/TO level, the Government will perform a cost realism analysis for all elements of Time and Materials (T&M) and Labor Hour (LH) arrangements, except for labor rates, and the Government will perform a cost realism analysis on all Cost Reimbursable (CR) requirements as applicable. Proposals may include effort that crosses contract performance periods. Contractors shall only provide one total price for each CLIN set forth in the RFOP. Contractors shall provide their back-up information to the RFOP, clearly showing the breakdown of the proposed effort in the appropriate year in which the work is anticipated to occur.
(1) If a T&M D/TO is contemplated as a result of issuance of an RFOP, contractors will be required to prepare proposals citing a proposed ceiling price for labor and an estimate of material, travel, and other direct costs. Proposals shall identify the labor categories, the number of hours, and the proposed labor rates for each category.
(2) If a LH D/TO is contemplated as a result of issuance of an RFOP, contractors will be required to prepare proposals citing a proposed ceiling price for labor and an estimate of travel and other direct costs, as well as profit. Proposals shall identify the labor categories, the number of hours, and the proposed labor rates for each category.
(3) If a Fixed Price (FP) D/TO is contemplated as a result of issuance of an RFOP, contractors will be required to prepare a FP proposal and include other costs (e.g., material, travel, etc.) as well as profit. If incentives are to be used, they will be identified in the RFOP. Proposals shall identify the labor categories, the number of hours, and the proposed labor rates for each category.
(4) If a CR D/TO is contemplated as a result of issuance of an RFOP, contractors will be required to prepare proposals citing a proposed estimated price for labor and an estimate of material, travel, and other direct costs to include applicable factors. Proposals shall identify the labor categories, the number of hours, and the proposed labor rates for each category. Each RFOP for a CR type D/TO will identify the type fee arrangement to be used (i.e., award fee, incentive fee, or fixed fee), and the fee will be proposed and negotiated at the D/TO level.
(h) D/TOs may be restricted to a single source only under the following exceptions to competition:
(1) The task or delivery order should be issued on a sole source basis in the interest of economy or efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity pursuant to the procedures in this clause to be considered for the original order; or
(2) It is necessary to place an order to satisfy a minimum guarantee.
(i) When a D/TO is restricted to a single source in accordance with this clause, an RFOP will only be sent to that source and the contractor will be required to submit a cost/price proposal. Cost/price proposals shall identify the labor categories, number of hours, and the proposed labor rates for each category required. Cost/price proposals for D/TOs shall utilize rates that are no higher than those set forth in the attached Rate Tables. Contractors shall include a statement that they have either used the rates in the attached Rate Tables or they have proposed lower rates. All non-labor cost/price elements required shall be included in the cost/price proposal. If the proposed price/cost exceeds $650,000.00, cost or pricing data shall be submitted as required by FAR 15.408, Table 15-2, and shall include labor rates, labor hours, material, and other direct costs, and a Certificate of Current Cost and Pricing Data will be required at the conclusion of negotiations .
If information regarding the technical/management approach beyond what was received with the initial proposal is required, a brief technical/management proposal will be requested to identify the contractor’s proposed approach to the specific task.
Identification of any Government property required for performance must be identified.
(j) Proposals submitted in response to an RFOP for a T&M, CR, LH, or sole source FP effort must comply with DFARS 252.215-7003, Excessive Pass-Through Charges – Identification of Subcontract Effort, and DFARS 252.215-7004, Excessive Pass-Through Charges. Contractors are required to submit the following information with their proposals:
(1) Identification of the percent of effort the prime contractor intends to perform, and the percent expected to be performed by each subcontractor, under the D/TO.
(2) If the prime contractor intends to subcontract more than 70 percent of the total cost of work to be performed under the D/TO, the proposal shall identify: contract, task order, or delivery order, the offeror shall identify in its proposal: the amount of the offeror’s indirect costs and profit applicable to the work to be performed by the subcontractor(s); and a description of the value added by the offeror as related to the work to be performed by the subcontractor(s).
(3) If any subcontractor proposed under the D/TO intends to subcontract to a lower-tier subcontractor more than 70 percent of the total cost of work to be performed under its subcontract, the prime contractor shall identify in its proposal the amount of the subcontractor’s indirect costs and profit applicable to the work to be performed by the lower-tier subcontractor(s); and a description of the value added by the subcontractor as related to the work to be performed by the lower-tier subcontractor(s).
(k) When proposals for D/TOs include utilization of depot-provided resources, a copy of the signed agreement with the depot provider (see clause H-907 within) shall be provided in the D/TO proposal. The Government will review the agreement and, if approved, will fund the DoD source directly as a Government Furnished Supply or Service (GFS/S), unless the agreement contains specific authority for direct payment from the contractor to the depot (e.g. an agreement under 10 USC 2563 or 10 USC 2208(j)). The agreement between the depot provider and the contractor will be incorporated into the D/TO as the basis for which the Government will provide the GFS/S. However, the dollars for the depot provided resources shall be separately identified within the agreement and will be added to the Contractor’s proposed price as part of the price evaluation process for the specific D/TO.
(l) It is anticipated that some of the RFOPs and resultant D/TOs will be classified acquisitions up to and including Top Secret. Contractors that do not possess the required clearance and safeguarding capability at time of RFOP release will not be eligible to receive that RFOP. DD Forms 254, Contract Security Classification Specifications, will be attached to the RFOP and D/TO as required.
(m) Export Control: D/TOs involve technology that has military or space application. The only US contractors who may participate are those that are certified and registered with DLSC and have a legitimate business purpose. In responding to an RFOP, FAST contractors must submit a copy of their current, approved DD Form 2345. To request this certification, write to the Commander, Defense Logistics Service Center, ATTN: DLSC-FEB, Federal Center, Battle Creek MI 49017- 3084 and request a copy of Department of Defense Form 2345 or call DLSC at 1-800-352-3572.
(n) The Government shall issue one D/TO under each contract awarded at the time of award, subject to the Contract Minimum/Maximum clause, above. The Government shall comply with the requirements of Defense Federal Acquisition Regulation Supplement (DFARS) 216.505.
H-902: PERFORMANCE OF WORK DURING A CRISIS
(a) The contractor shall be responsible for performing all or any designated functions to be accomplished under the contract during any crisis occurring at the ordered performance site as directed by the U.S authority having operation cognizance over the site. The adjustment factor contained in paragraph (e) of this clause shall apply to the performance of functions during the crisis period according to the following: Crisis pay shall be limited to those performance sites within areas designated by the Department of Defense as Hostile Fire/Imminent Danger Pay (HF/IDP) areas for US military personnel and for which entitlement to HF/IDP has been authorized in accordance with DOD 7000.14-R Financial Management Regulations Volume 7A. Authorization is effective upon listing such areas in the DOD FMR and/or interim changes to the DoD FMR. Effective dates of Crisis Pay are as delineated in the DOD FMR and/or interim changes to the DOD FMR. The contractor shall immediately notify the Contracting Officer and/or other appropriate Government personnel (for example, FAE, Functional Area Evaluator) when adjustment of its labor rate for crisis performance applies.
(b) For individual D/TOs the Contractor agrees to:
(1) Submit to the Contracting Officer for acceptance, formal company policies and procedures that effectively address its obligations in this clause, and documentation that all employees associated with this contract are fully aware of those specific policies, procedures, and obligations. No personnel will be assigned to emergency-essential service positions that have military recall commitments.
(2) Obtain a written agreement from each employee identified to perform emergency-essential services under this contract that states that the employee agrees to the obligations imposed by this clause, and
(3) Provide copies of any and all employment agreements to the Government upon request.
(c) Notwithstanding any other clauses of this contract, the Contractor agrees that, in the event of the occurrence of any crisis, the Government shall have the unilateral right to extend performance of this contract or any D/TO under the same terms and conditions as long as the crisis exists.
(d) Contractor personnel assigned to a crisis area are expected to perform assigned duties under this contract or any D/TO or any extensions thereof. Costs of retrieving Contractor personnel and obtaining replacement personnel shall be the responsibility of the Contractor except in those instances when an employee has served the required minimum tour of duty as set forth in the contract. Subject to the availability of space, Contractor personnel may be authorized to utilize military aircraft services at normal user rates in effect.
(e) The Contractor shall continue performing services under the individual D/TO during crisis. Upon the invocation of this clause, the rates of those applicable CLINs ordered by the individual D/TO shall be increased by the following percentage: NTE CRISIS PAY FACTOR CONTAINED IN ATTACHED RATE TABLES and shall apply throughout the crisis period. The factor shall not exceed the percentage of the applicable rate set forth in this clause. Those rates set forth in the attached Rate Tables for Sections B-1 and B-2, Subsections A-D of the schedule, shall be increased by the percentage set forth for performance during crisis at OCONUS locations.
(f) When services are performed within a crisis location, Contractor’s employees will be covered by the Defense Base Act (42 USC 1651) and the War Hazards Compensation Act (42 USC 1701).
H-903: OVERTIME
The Contractor shall provide to the Government overtime services as authorized/requested by the Contracting Officer. Included are services performed at either Government or Contractor installations. This includes services performed outside the period of performance (standard workweek is 8 hours per day, 5 days per week) established by the individual D/TO, and US federal holidays, in support of CLINS X001 – X020 and X026, and shall be paid portal to portal for the number of hours contractor personnel are performing. The contractor shall be paid in accordance with the Overtime Factor set forth in the Rate Tables attached. This is applicable to the basic contract period and option periods.
H-904: OVER AND ABOVE WORK PROCEDURES
There are two distinct methodologies that may be employed in authorizing Over and Above (O&A) work requests.
One methodology is to request a proposal for the specific O&A requirement, determine the price reasonableness/negotiate it, and authorize the work by establishing an individual O&A CLIN for that specific task.
The other O&A methodology involves authorizing individual work requests in situations where the requirements cannot be determined ahead of time. In this case, the Government will annually estimate the total value of this type of O&A requirement (based upon historical data or prediction models) and establish the appropriate O&A CLIN for the annual requirement. The Contracting Officer will evaluate, determine price reasonableness, and authorize each O&A individual work request during the time period for the established O&A CLIN.
The Contracting Officer is the only authorized Government Representative to request and approve O&A work requests.
H-905: GOVERNMENT INSTALLATION CLOSURE
(a) If necessary, the Government (Installation Commander or designee) may decide to close all or part of a Government installation in response to an unforeseen emergency or similar occurrence. Sample emergencies include, but are not limited to, adverse weather (e.g., snow, flood, etc.), an act of God (e.g., tornado, earthquake, etc.), or a base disaster (e.g., natural gas leak, fire, etc.). Contractor personnel are “non-essential personnel” for purposes of any instructions regarding the emergency.
(b) Contractor personnel shall be officially dismissed upon notification of closure in accordance with paragraph (c)(4) below. They shall promptly secure all Government furnished property appropriately and evacuate in an expedient but safe manner.
(c) With regard to work under the contract, the Government shall retain the following rights:
(1) The Government may grant a time extension in each D/TO delayed by the closure, equal to the time of the closure – subject to availability of funds and period of performance limitations.
(2) The Government may forego the work. The Contractor will not be paid for work not performed.
(3) The Government may reschedule the work at a time satisfactory to both parties.
(4) The Government may, at its discretion, permit the Contractor to perform at an off-site location during the period of the Government installation closure if meaningful work can be accomplished. The Contractor shall certify to the Government by letter within five (5) business days of returning to work the nature and scope of the work completed off-site. The Contractor shall be permitted to bill the Government at the labor rates identified in the D/TO.
(5) In rare instances, the Government may request that the Contractor continue on-site performance during the Government installation closure period. Such a request shall be subject to agreement by the Contractor.
(d) Government Installation Closure Notification Procedures:
(1) After an official decision to close the installation has been made by the responsible Government representative, local radio and television stations shall be notified of the closure.
(2) The Contractor is directed to listen to or watch one of the local radio or television stations for notification of installation closures and delays. Unless otherwise notified by the cognizant Contracting Officer, the Contractor shall follow instructions for non-essential personnel.
(3) The Contractor will not receive any other form of notification of a Government installation closure from the Government. The Contractor is responsible for notification of its employees.
(4) If the decision to close all or part of the Government installation is made during the duty day, and the Center or Base Commander’s decision is transmitted through official notification channels, the Contractor shall…
