An example of the performance period schedule is shown below (assuming award is effective 1 Sep 2015). The schedule aligns to the Evaluation Factors for Award in Appendix M, Evaluation Factors for Award and Appendix G, Pricing Matrix.

Transition - Phase In 1 Sep 2015 - 31 Dec 2015 Option 1 - Full Scale Performance 1 Jan 2016 - 31 Dec 2016 Option 2 (1st Evaluation Period) 1 Jan 2017 - 31 Dec 2017 Option 3 (2nd Evaluation Period) 1 Jan 2018 - 31 Dec 2018 Option 4 1 Jan 2019 - 31 Dec 2019 Option 5 1 Jan 2020 - 31 Dec 2020 Option 6 - (Incentive Option 1) * 1 Jan 2021 - 31 Dec 2021

Option 7 - (Incentive Option 2) * 1 Jan 2022 - 31 Dec 2022 Extension of services (if necessary) 1 Jan 2023 - 30 Jun 2023

NOTE: The CLINs and SubCLINs established under this contract will have a separate period of performance schedule identified in accordance with DFARS 204.7103-1(a)(3); 204.7104-1(b)(2) at the time of contract award.

In the event an award is delayed beyond the specified commencement date, the Government may reduce Option Period I to compensate for the delay to accommodate the Phase-In Transition and completion date. Adjustments will be made on a prorated 30-day (monthly) basis.

(f) * INCENTIVE OPTION PERIODS: Consideration for award of a maximum of two (2) one-year Incentive Options may be earned by the Contractor. The purpose of these Incentive Options is to motivate the contractor to maintain a high level of performance throughout the life of the contract. At the end of each evaluation period, the Procurement Contracting Officer (PCO) shall make a determination as to whether the Contractor has earned the Incentive Option.

To earn consideration for an Incentive Option award, the contractor must achieve at least a "Satisfactory" rating on each and all of the following Contractor Performance Assessment Report (CPAR) elements: Quality of Product or Service; Schedule; Business Relations; Management of Key Personnel;

and Utilization of Small Business. The PCO shall notify the contractor, within 30 days after the CPAR is complete and final for the evaluation period whether the Contractor earned consideration of an Incentive Option.

The Contractor earning consideration for award of an Incentive Option does not constitute the exercise of an Incentive Option nor does it require the Government to exercise the Incentive Option. Exercise of any Incentive Option hereunder shall be at the discretion of the PCO in accordance with FAR 17.207 and shall be executed by modification to the contract. The PCO’s decision is final, but is subject to the disputes clause of the contract.

If Incentive Option I is not earned as a result of the first evaluation period, the Contractor can still earn Incentive Option I during the second evaluation period. If Incentive Option I is not earned as a result of the first or second evaluation period, then no Incentive Option considerations may be earned. A determination by the PCO not to exercise any of the regular annual options shall render the Incentive Option Periods null and void. Each evaluation for an incentive option shall be considered separately.

(g) PRICING: Prices are NOT to be provided in the next section. CLIN structure is presented for descriptive purposes only. Include prices/rates for all CLINs on the Pricing Matrix, Appendix G.

Prices/rates for the six (6) month Extension of Services, IAW FAR Clause 52.217-8, will be the same as Incentive Option 7 prices for evaluation purposes ONLY. All proposed rates shall be sufficient to cover such contract risk of future unknowns, such as subcontractor rate increases in out-years. Rates shall include projections for potential increase in any future expense or commodity, including multi-tiered subcontractor arrangements. Rates are based on the inclusion of any and all multi-tiered subcontractor pricing, including profit at each tier level.

NOTE 1: If 52.217-8, Option to Extend Services, is exercised, within the terms of the clause stated herein, the basic contract prices specified in the existing contract ordering period immediately preceding the exercise of 52.217-8 will apply to task orders issued under the Option to Extend Services. The CLIN structure for continued performance of services under 52.217-8, Option to Extend Services, will be incorporated via modification at the time of option exercise.

NOTE 2: All offerors shall propose a monthly price for the four month phase-in/transition period.

The following abbreviations may be used within this contract:

The Contractor shall provide a proposal within 30 days of the Request for Proposal (RFP). The Contractor shall provide a self-calculating Electronic Cost Model in Microsoft Excel Format with each submitted proposal for additional work. The Excel Cost Model shall be editable and only password protected. Formulas shall be shown for all calculated amounts. Rounding methods, if used, must be consistent throughout. If the Contractor has questions or concerns regarding the above described format, the ACO/PCO shall be contacted for clarification. Direct proposal preparation charges shall not be paid prior to or after submission of the proposal. All proposal preparation expenses shall be included in contract overhead expenses. The Contractor shall use the fixed per hour labor rates and fixed per hour material burden rates as stated in Appendix G, Pricing Matrix. The negotiated hours, when multiplied by the fixed per hour labor rates plus any material costs multiplied by the fixed per hour material burden rates shall constitute the overall firm fixed price for the identified additional work tasks CLINs and this contract language authorizes the PCO/ACO to utilize this pricing methodology for the resultant contract.

(i) NEGOTIATION OF CONSIDERATION FOR LATE DELIVERIES: For all late deliveries where the prime or subcontractors contributed substantially to the reason for the late delivery, the Prime Contractor and PCO/ACO shall enter into negotiations for consideration before an extension to the delivery date is granted by the Government. The contracting officer shall obtain and document adequate consideration for changed contract requirements. Consideration may take the form of a contract price adjustment or other means commensurate with the change in requirements such as expedited delivery; product quality improvements; performance improvements; additional products and services, where legally permissible;
