FA8106-13-R-0002 – APPENDIX L, ADDENDUM TO FAR 52.212-1
INSTRUCTIONS TO OFFERORS
1.0 PROGRAM STRUCTURE AND OBJECTIVE
1.1 Program Synopsis
The Government plans to award a single contract for C-32A, C-40B, and C-40C Contractor Logistics Support (CLS). The C-32A, C-40B, and C-40C provides for mission essential Contractor Logistics Support (CLS) for four (4) Boeing 757-200 (designated C-32A), four (4) Boeing 737-700 (designated C-40B), and seven (7) Boeing 737-700 (designated C-40C) Commercial Derivative Aircraft (CDA) at two Continental United States (CONUS) and two outside the CONUS (OCONUS) bases (hereafter Covered Aircraft). The scope includes operation of a Contractor Operated Main Base Supply (COMBS), depot level maintenance (including C-checks, depot field teams, engine/auxiliary power units (APU) repair and overhaul), Field Service Representatives, and organizational (flight-line) maintenance at OCONUS bases.
With very few exceptions, the Air Force owns no spares or unique Boeing 737/757 support equipment and the Contractor shall provide and maintain those items as integral to this CLS support. Specifics and other task areas are specified in the Performance Work Statement (PWS) for the contract.
1.2 Basis of Award
This acquisition will utilize Tradeoff Source Selection procedures, with technical proposals, to make an integrated assessment for a best value award decision. Tradeoffs will be made only between past performance and price among those Offerors who have been determined technically acceptable. Award will be made to the Offeror who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR) Part 9, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by FAR 52.212-1 and its Addendum of this solicitation) and is judged, based on the evaluation factors, to represent the best value to the Government. This may result in an award to a higher rated, higher priced Offeror, where the decision is consistent with the evaluation factors and the Source Selection Authority (SSA) reasonably determines that the technically acceptable proposal and superior past performance of the higher priced offeror outweighs the price difference of lower priced offerors.
NOTE: Both Federal Aviation Regulations (FAR) and Federal Acquisition Regulations (FAR) are contained within the Code of Federal Regulations (CFR). For clarity, when referencing Federal Aviation Regulations, the reference will be FAA FAR Title 14, and when referencing Federal Acquisition Regulations, the reference will be simply FAR.
While the Government Source Selection Evaluation Board (SSEB) and the SSA will 1.2.1 strive for maximum objectivity, the Source Selection process, by its nature, is subjective and, therefore, professional judgment is implicit throughout the entire process.
1.3 Budget/Funding Information
Funding will be obligated for the Firm-Fixed-Price (FFP) Contract Line Item Number (CLIN) for the base period.
2.0 GENERAL INSTRUCTIONS
This section of the Instructions to Offerors (ITO) provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The

Any Offeror who submits an incomplete package may be considered ineligible for award. The offer shall be compliant with the requirements as stated in the PWS and appendices. Non-conformance with the instructions provided in the ITO may result in an unfavorable proposal evaluation.
2.1 Clarity of Proposal
The proposal shall be clear, concise and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror’s proposal.
Embellishments 2.1.1
Elaborate brochures, documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.
Proposal Acceptance Period 2.1.2
The proposal acceptance period is specified on the SF1449 front page of the model contract/solicitation. The offeror shall make a clear statement in their submitted SF1449 of the proposal documentation volume (see paragraph 6.2.1) that the proposal is valid until this date.
Proposal Retainment 2.1.3
In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
2.2 GENERAL INFORMATION
Point of Contact 2.2.1 The Contracting Officer (CO) is the sole point of contact for this acquisition. Address any questions or concerns you may have to the CO. Written requests for clarification may be sent to the CO at the address located in Block 9 on the SF1449 front page of the model contract/solicitation.
Ombudsman 2.2.2
An Ombudsman has been appointed to hear concerns from offerors or potential offerors during the proposal development phase of this acquisition. The Ombudsman for this acquisition is AFSC/PKC. This does not diminish the authority of the program director or CO, but communicates offeror concerns, issues, disagreements, and recommendations to the appropriate Government personnel. When requested, the Ombudsman will maintain strict confidentiality as to the source of the concern. The Ombudsman does not participate in the evaluation of proposals or in the source selection process; interested parties are invited to call AFSC/PKC at 405-736- 3273.
Debriefings 2.2.3

The CO will promptly notify offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505.
Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing.
However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful offerors in accordance with FAR
15.503. Upon such notification, unsuccessful offerors may request and receive a debriefing.
Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
Discrepancies 2.2.4
If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the offeror is asking the CO to consider as related to the omission or error. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions. This reservation includes matters of additional or substitute pages of the initial proposal.

Restrictions to Public Disclosure 2.2.6
Certain documents are withheld from public disclosure. These documents will be available through the Bidder’s Library for qualified individuals. Documents are placed into the Bidder’s Library only due to:
- Proprietary or copyright data that the Government does not have rights for distribution.
- Unclassified documents containing information that is exempt from mandatory automatic disclosure under the Freedom of Information Act. These documents are marked as For Official Use Only (FOUO).
- Documents containing Export Controlled Information. These documents contain technical data whose export is restricted by the Arms Export Control Act (Title 22, U.S.C., Sec 2751, et seq.) or the Export Administration Act of 1979, as amended (Title 50, U.S.C., App. 2401 et seq.). Violations of these export laws are subject to severe criminal penalties.
Bidder’s Library 2.2.7
A Bidder Library will be established at Tinker AFB. Special access instructions and criteria shall apply for access to the Bidder’s Library and data within.

AGREEMENT. A completed, current, and valid DD Form 2345 shall be required for access.
b. For those documents with Boeing Proprietary Information, the offeror must first obtain a Non-Disclosure Agreement (NDA) directly from Boeing clearly outlining that the data within the bidder's library may be used solely for bidding purposes and that bidders would not be allowed to make copies, take screen shots, or remove any proprietary marked data from the room when accessing the bidder's library. The Point of contact for this is Mr. Scot Vieluf (scot.vieluf@boeing.com).
Access to the Bidder’s library shall only be provided by appointment with the CO. Written requests for access may be sent to the CO at the address located in Block 9 on the SF1449 front page of the model contract/solicitation. Email requests for access shall be sent to scott.masterson@us.af.mil.
Oral Presentation 2.2.8
Oral presentations will not be utilized.
Amendments to Solicitation 2.2.9
If this RFP is amended, all terms and conditions that are not amended shall remain unchanged and in full force and effect. Offerors shall acknowledge receipt of any amendment and provide confirmation upon submission of the offeror’s proposal. Any unacknowledged amendments in the offeror’s proposal are subject to solicitation provision FAR 52.212-1(f).
Submission, Modification, Revision, and Withdrawal of Proposals 2.2.10
Proposals and modifications to proposals shall be submitted in sealed envelopes or packages in paper media and electronic media addressed to the CO at the address shown in Block 9 on the SF1449 front page of the model contract/solicitation and showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror.

2.3 Organization/Number of Copies/Page Limits
Title Page 2.3.1
The Title Page of each volume must show solicitation number, name, address, telephone number, facsimile numbers, and electronic e-mail address (if available) of the offeror.
Team List 2.3.2
A Team List of the offeror’s primary Point of Contacts shall be submitted in each volume using the format shown in ITO Attachment 2. Include Letters of Intent as an attachment.
Proposal Organization 2.3.3
The Offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table 2.1). The titles and contents of the volumes shall be as defined in this table, each of which shall be within the required page limits and with the number of copies as specified in Table 2.1. The attachments identified in Table 2.1 shall be separately bound in three-ring, loose-leaf binders, as necessary. The contents of each proposal volume are described in the ITO paragraph as noted in Table 2.1. It is up to each offeror to submit a complete proposal package.
Page Limitations 2.3.4
Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and (for paper copies) will be returned to the Offeror as soon as practicable. Page limitations may also be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Each page shall be counted except the following: blank pages, title pages, tables of contents, tabs, indexes, glossaries, and those noted in the Proposed Organization Chart as unlimited.
Note: The Past Performance Information (PPI) Sheets generated via the EZSource PPI tool does not allow changes to font, font size, margins, etc., and may be used as generated in lieu of requirements in paragraph 2.4.1.
Cost Pricing Information 2.3.5
All cost or pricing information shall be addressed ONLY in the Price Proposal and Contract Documentation volumes. Cost trade-off information, work hour estimates, and material kinds and quantities may be used in other volumes only as appropriate for presenting rationale for alternatives or design and trade-off decisions.
Cross Referencing 2.3.6
Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing to other volumes of the proposal. Information required for proposal evaluation, which is not found in its designated volume section, will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is not permitted.
Table of Contents 2.3.7
Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.

2.3.7.1 Tables and Figures
Each table of contents shall contain a section which provides a list of tables and figures.
Glossary of Abbreviations and Acronyms 2.3.8
Each volume shall contain a glossary of all abbreviations and acronyms used and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.
2.4 Page Size and Format
Page Definition 2.4.1
A page is defined as each face of a sheet of paper containing any information. Blank faces of paper (or those marked this page blank and containing no other information) shall not be counted as a page. When both sides of a sheet display printed material, it shall be counted as two pages.
Page size shall be 8.5 x 11 inches, not including foldouts. Page line spacing shall be 1.5 lines.
Except for the reproduced sections of the solicitation document, the text size shall be no less than Arial 12 points. Tracking, kerning and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1-inch margins on the top and bottom and 3/4 inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall also apply to responses to Evaluation Notice (ENs). These limitations shall apply to both electronic and hard copy proposals.
Exhibits and Attachments 2.4.2
Legible tables, charts, graphs, and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume and count as a single page per face of the paper used. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics, but not for pages of text. The following limitation only applies to the Technical Volume. Text intended for evaluation within all figures, charts, tables, and graphs, to include imbedded images, shall be no less than Arial 8-pt. These limitations shall apply to both electronic and hard copy proposals. Any text within figures, charts, tables, and graphs which do not meet this requirement will not be considered in the evaluation. These limitations shall apply to both electronic and hard copy proposals.
2.5 Binding and Labeling
Each volume of the proposal should be separately bound in a three-ring, loose-leaf binder permitting the volume to lie flat when open. Staples shall not be used. A cover sheet should be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification, and the offeror’s name. The same identifying data should be placed on the spine of each binder. Unclassified document binders shall have a color other than red or other applicable security designation colors. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
2.6 Electronic Offers

The content and page size of electronic copies must be identical to the hard copies. When discrepancies exist between the written hard copies and those provided in electronic format, the written hard copies will take precedence in all cases. For electronic copies, indicate on each Compact Disc Read Only Memory (CD-ROM) the volume number and title. Use separate files to permit rapid location of all portions, including subfactors, required plans, exhibits, appendices, and attachments, if any. The offeror shall submit volumes I through IV in electronic format.
Each volume shall be submitted on a separate CD. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Word 2007 or 2010; MS Excel 2007 or 2010;
MS-Project 2007 or 2010; and MS-Power Point 2007 or 2010. Attachments and/or exhibits may be Adobe Acrobat 10.0 compatible versions. Use of embedded links to outside data sources is not allowed. The CD-ROMs will be security scanned for viruses, bots, tracking software, and other computer risks. If detected, the CD-ROM will be rejected and not be included as part of the Offeror’s proposal or evaluated. Additional submittal time shall not be allowed for CD-ROM damage, unreadable data, or rejection due to computer threats detected during security scanning.
2.7 Distribution and Delivery
The offeror is responsible for on-time delivery of the proposal in its entirety. The 2.7.1
"original" proposal shall be clearly identified. Offeror’s Proposal shall be delivered by one of the following means: hand delivery, mailing (US Postal Service) or by a package delivery service. Facsimile delivery of the proposal is not authorized and will not be considered as a delivery to the Government for consideration. Receipt time for proposal delivery is the time the proposal is actually delivered to the Solicitation CO possession. Tinker Air Force Base does not have a central collection and receipt point for proposals. It is recommended that signature service be required for all mail and package delivery services.
Be advised that due to security requirements, delivery by mail and package delivery 2.7.2 service to Tinker Air Force Base does not result in instant or timely delivery to the CO.
Incoming packages are subject to security screening and control procedures.
If an Offeror decides to deliver their proposal by hand, then prior arrangements must be 2.7.3 made with the CO for a time and place to meet for delivery. Contact the CO by telephone at least two hours in advance to arrange a time and location to meet. Base security requirements dictate proper authorization and identification to enter the installation. The working area of the CO is further restricted - do not attempt to deliver without prior notice and instructions. For an offeror without access to the base, contact the CO in advance by phone/email to arrange to meet at one of the incoming gates to accept the proposal. See 2.7.5 below for CO contact information.
As specified later, certain past performance documents are returned via facsimile. 2.7.4 Unless notified by this instruction or the CO, do not use facsimile as a means of delivery of proposal submissions.
The "original" proposal shall be clearly identified. All proposals shall be addressed to 2.7.5 the Government Point of Contact, the Solicitation CO, and delivered to:

3.0 VOLUME I. FACTOR 1 – TECHNICAL
3.1 General
The Technical Volume should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the Technical subfactors defined in Addendum to FAR 52.212-2, Evaluation Factors for Award. Using the instructions provided herein, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission you are representing that your firm shall perform all the requirements specified in the solicitation. It is neither necessary nor desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
NOTE - When a PWS paragraph number is referenced, it includes all subparagraphs within that paragraph unless otherwise noted.
3.2 Proposal Information Relationship
The proposal shall reflect the Offeror’s total response to the specific Subfactor, element, and element detail within the assigned section of that subfactor and element. It is the Offeror’s responsibility to ensure that all information and data provided in response to the specific subfactor or element of a subfactor is contained within its assigned section of the proposal and to the page limit provided. Information contained outside of the assigned section of the proposal shall not be considered as part of the Offeror’s response to that subfactor/element.
3.3 Format and Specific Content
The Technical Volume shall be organized according to Table 2.1.
SUBFACTOR ONE: PROGRAM MANAGEMENT (PM) 3.3.1
The Offeror shall provide its approach to managing the C-32A, C-40B, and C-40C CLS program that demonstrates an understanding and capability for establishing and executing the program.

The Offeror shall detail an approach and plan for subcontracting to Small Businesses for each option year award period in order to meet and maintain the 10% annual Small Business subcontracting (by % of total contract value) required by the contract per solicitation clause GKK 12-028-1, Small Business Subcontracting Requirements and Incentives. (PWS 1.4.1.2., 1.4.2.2.)
(1) The Offeror shall complete the attached Proposed Team List (ITO Atch 2.0) template which details the breakout and distribution of planned work between the prime and primary subcontractors, the percentage of performance as a whole of the contract effort and primary PWS functions they shall perform. (2) The Offeror shall submit their Subcontracting Plan per FAR 19.704 as an attachment. (PWS 1.4.2.2.)
c. Transition Planning with Transition Plan: The Offeror shall submit a Transition Plan (TP) and Phase-In Integrated Master Schedule (IMS) which demonstrates a disciplined approach to establishing the full C-32A, C-40B, and C-40C CLS capability by the beginning of Option Year 1. The approach must include development of a critical path analysis of transition milestones which shall be reflected in the IMS. As a minimum the TP shall include: (PWS 1.4.5., 1.6.1. - 1.6.2.8., 3.1. - 3.1.8.)
(1) Staffing Plan: Provide a proposed Contractor organization chart and detailed staffing plan and timeline for the contract including all Contract operating locations (does not include depot maintenance centers). Provide details on minimum experience, special qualifications, licenses, and any required training for each position. Incorporate staffing timelines into the IMS. (PWS 1.4.5.,
1.6.1. - 1.6.2.8., 3.1. - 3.1.8.)
(2) Resources: Address plans and provide a detailed schedule to establish initial materials strategy, support and test equipment strategy, furnishings, and other items necessary to establish capability at the fleet support center and each operating location to meet contract performance requirements no later than the start of Option year 1 performance. Incorporate resource timelines into an IMS.
As there is no direct sustainment support during the transition period, no direct charges for sustainment material acquisition shall be authorized as part of the initial period. These shall be incorporated into the COMBS Cost per Flying Hour rates and/or specific maintenance CLINs, as appropriate. (1.3.2.,

SUBFACTOR TWO: MAINTENANCE (MX) 3.3.2
The Offeror shall provide, in the proposal, an approach for meeting the world-wide maintenance requirements for the C-32A, C-40B, and C-40C CLS program. The approach shall provide as a minimum the following essential components:
a. Depot Level Maintenance: Provide a plan to support scheduled and unscheduled depot level maintenance to include as a minimum scheduled C-checks, drop-in maintenance, aircraft on ground, and contract field team capability. Include Offeror’s approach and capability for High Value Asset depot level maintenance. Provide depot information to

1.17. - 1.17.2.14., 1.17.5. - 1.17.9.1., 1.17.11. - 1.17.11.3., 1.18.2. - 18.4.4.)
(1) Submit a copy of a valid and current FAA FAR Title 14 Part 145 certificated Repair Station with Operations Specifications for each equivalent commercial model Covered Aircraft and associated High Value Assets .
b. Line Maintenance: Address capability to provide timely and capable field level maintenance and support to Covered Aircraft which meets AF requirements and meets or is equivalent to FAA FAR Title 14 Part 121 requirements of the contract (excluding dispatch requirements). Address availability/use of FAA qualified/licensed personnel;
required tools, parts and equipment; and ability to meet the contract performance requirements. (PWS 1.4.3., 1.6.3.4., 1.17.2.11. - 1.17.2.11.3., 1.17.3.2., 1.17.6.5.,

c. Contract Field Teams: Address capability to provide FAA FAR Title 14 Part 145 certificated facility’s qualified depot level contract field teams (CFTs) world-wide for repair/recovery of Aircraft on Ground (AOG) events to include engine replacement.

d. VIP Aircraft Painting: Address capability and process controls to perform executive custom paint application at a licensed FAA FAR Title 14 Part 145 certificated facility per the paint specification and appearance standards. Provide a list of planned paint facilities to be used and address their capabilities and experience with executive custom aircraft painting for both “Scuff Sand and Paint” and “Full Strip and Paint” tasks for the C-32A and for each of the paint schemes for the C-40B and C-40C aircraft. e. Original Equipment Manufacturer (OEM) Data Access and Letters of Intent/Evidence of Data Access: Address Offerors ability to acquire data from the OEMs as required to maintain aircraft; aircraft systems and avionics; aircraft engines and APUs; and provide Field Service Representative (FSR) duties. (PWS 1.2.9., 1.6.2.4., 1.14.2.,
1.16.5. - 16.5.2.)
(1) Attach copies of Letters of Intent for data access/license, Proprietary Information Agreements, or other evidence of data access with the primes/OEMs. As a minimum, address these agreements/licenses with OEMs listed in PWS paragraph 1.2.9.
SUBFACTOR THREE: RESOURCES AND MATERIEL MANAGEMENT (RM) 3.3.3
The Offeror shall provide, in the proposal, an approach for resource management for the C-32A, C-40B, and C-40C programs. The approach shall provide as a minimum the following essential components:
a. Spare and Repair Parts: Address strategy and capability to operate and manage a Contractor Operated and Maintained Base Supply (COMBS) to source, manage, stock, repair, overhaul and dispose of required spares and repair parts in sufficient quantities or by other agreements by operating location to ensure the ability to maintain the C-32A, AS OF: 02 December 14 Appendix L - Page 14
C-40B, and C-40C fleets to PWS individual fleet readiness requirements: (PWS 1.3.1., 1.3.2., 1.4.2.1., 1.6.2.8., 1.7.5., 1.11.3., 1.18. - 1.18.1.17., PWS Table 1-2)
b. High Value Spares/Leases: Address capability to provide timely leased/spare aircraft engines, APUs, and landing gears to maintain the C-32A, C-40B, and C-40C fleets to PWS readiness requirements and AF and FAA Airworthiness standards. (PWS 1.17.6.4.,
1.18.2. - 1.18.4.4.)
c. Support Equipment: Address the capability and plans to source and provide required C-32A, C-40B, and C-40C Support Equipment to include Test Equipment, tools, maintenance aids, and associated equipment for each Covered Aircraft operating location.

4.0 VOLUME II. FACTOR 2 – PAST PERFORMANCE
4.1 General
Each Offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with the format contained in ITO Attachment 1.1 of the Instructions to Offerors. This information is required for the Offeror and all key or critical subcontractors, teaming partners, and/or joint venture partners proposed to perform the work outlined in the solicitation. The Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.
Consent 4.1.1
Along with the information required in this paragraph, the offeror shall submit a consent letter (ITO Attachment 1.4) executed by each subcontractor, teaming partner and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter (ITO Attachment 1.5) authorizing release to the Government of requested information on the offeror’s performance.
Relevant Contracts 4.1.2
The past performance contract is relevant if it is within the same scope, magnitude and complexity as effort defined in the PWS. Simply being another Government contract does not make it relevant. Relevancy shall be based upon major functions of the contract such as:
a. Providing Boeing 737/757 depot and Boeing 737 organizational (flight line) maintenance support to DoD and/or FAA standards
b. Providing sourcing and management of logistics/sustainment for an equivalent commercial aircraft fleet of more than 5 aircraft to include operation of COMBS or other contractor supply point and world-wide mission & supply support for AF or FAA certified aircraft
c. Scheduled Depot, Unscheduled Depot, & Drop-In Aircraft Maintenance at an FAA FAR Title 14 Part 145 certificated facility of an equivalent aircraft fleet

d. Providing world-wide contract field teams for recovery/repair of large commercial passenger type aircraft
e. Aircraft Modifications
f. Aircraft Configuration Management

Current Contracts 4.1.3
The past performance contract is current when it has actual relevant performance from three years prior to the request for proposal through the request for proposal. New work that has begun within the 180 days prior to the release of the RFP may be excluded by the Government based upon opportunity to perform and/or limited feedback available
Significant Subcontractors 4.1.4
Significant subcontractors are those relevant and current subcontractors or vendors that meet any of the following criteria:
a. FAA certified aircraft engine overhaul to OEM specifications
b. FAA FAR Title 14 Depot Facilities for equivalent commercial aircraft models
c. FAA FAR Title 14 Aircraft Paint facilities
d. Performed more than 10% of total contract value by dollar award (by % of total contract value)
4.2 Early Proposal Information
Each offeror is requested to submit Volume II Past Performance for each relevant contract fifteen
(15) calendar days prior to the solicitation closing date. Failure to submit early proposal information will not result in offeror disqualification.
Past and Present Performance Information Sheets (PPIS) (ITO Attachment 1.1) 4.2.1
Using the Past Performance Online Tool described in ITO Attachment 1.1, each offeror is requested to submit up to four (4) PPIS forms for the prime Contractor and up to three (3) for each significant subcontractor/teaming partner. Each PPIS should not exceed 8 pages. The target of 8 pages for PPIS does not include the allowable 5 pages for ITO Paragraph Number 4.3.1, Relevant Contract Narrative. NOTE: The requested number of PPIS forms for the prime and subcontractors are preferences and not requirements. Offerors who submit less than the preferred number of PPIS forms are not automatically assigned an “Unknown Confidence” rating. Fewer numbers may be acceptable if the Government determines there is sufficient information to determine a confidence rating. Please only submit information on subcontractors and teaming partners performing key or critical portions of the C C-32A, C-40B, and C-40C CLS effort. There is no limit on the number of PPIS forms allowed per team; however, offerors are requested to limit responses to those efforts necessary for evaluation and relevant to the C-32A, C-40B, and C-40C CLS effort.
Note: The PPIS generated via the EZSource PPI tool does not allow changes to font, font size, margins, etc., and may be used as generated in lieu of requirements in paragraph 2.4.1

4.3 Present/Past Performance Questionnaires
As soon as practicable, offerors shall
a. Complete Section 1 of the attached Past Performance Questionnaire (PPQ) (ITO Attachment 1.2)
b. E-mail the PPQ and the Performance Questionnaire Letter (ITO Attachment 1.3) to all points of contacts (POCs) the offeror has listed in the PPIS (ITO Attachment 1.1)
c. The POCs will complete the questionnaires and forward them by facsimile directly to the Past Performance Evaluation Team (PPET)) at 405-736-8731. POCs shall E-mail copies to the CO listed in Para. 2.7.
NOTE: RESPONDENTS TO THE QUESTIONNAIRES SHALL NOT SEND
THE COMPLETED INFORMATION SHEETS BACK TO THE OFFEROR.
NOTE: Offerors shall not follow-up with respondents to ensure they have completed the questionnaires. The PCAG will conduct such follow-up with any POC as necessary.
Relative Contract Narrative 4.3.1
Offerors shall provide a narrative explaining what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror shall clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a higher confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an Offeror has overcome past problems is required. Categorize the relevance information into the specific technical subfactors and Cost/Price assessment used to evaluate the proposal.
Organizational Structure Change History 4.3.2
Many companies have acquired, been acquired by, or otherwise merged with other companies and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between the conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, offeror’s shall include a "roadmap" describing all such changes in the organization of the offeror’s company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offeror(s), the "roadmap" should be both specifically applicable to the efforts identified, yet general enough to apply to efforts on which the Government receives information from other sources.

5.0 VOLUME III. FACTOR 3 – PRICE
In the price volume, the Offeror shall provide the following information in addition to the Pricing Matrix in Appendix G of the solicitation. These instructions are to assist you in submitting information required to evaluate the reasonableness of your proposed price. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal.
5.1 General Instructions
Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your price position. All information relating to the proposed price including all required supporting documentation must be included in the section of the proposal designated as the Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.
5.1.1 Pricing will be evaluated using the Appendix G Pricing Matrix. Proposed CLIN unit pricing shall be input into the Pricing Matrix. Estimated quantities per CLIN are provided in the Pricing Matrix for evaluation purposes only and do not obligate the Government to exercise or guarantee such quantities or extended pricing during the contract performance period.
5.2 Price Reasonableness and Balance
Price Reasonableness 5.2.1
Offeror’s proposal will be evaluated for reasonableness and balance. To assist in the price reasonableness assessment Offerors are required to provide supporting explanation/ rationale as outlined in this ITO. Reasonableness is based on an overall evaluated price to the Government a prudent person would pay in the conduct of competitive business. Normally, price reasonableness is established through adequate price competition, but may also be determined through price analysis techniques. Completeness is one aspect of reasonable pricing; all pricing required in the Pricing Matrix must be provided to be considered reasonable. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed costs/prices rests with the offeror.
Balanced Pricing 5.2.2
The Offeror is cautioned against submitting an offer that exhibits unbalanced pricing.
Unbalanced pricing may increase performance risk and could result in payment of unreasonable prices. Unbalanced pricing exists when, despite an acceptable Total Evaluated Price (TEP), the price of one or more CLINs is significantly over or understated as indicated by application of price analysis techniques such that there is reasonable doubt the offer would result in the lowest overall price to the Government, even though it is the lowest TEP. Also, an offer could be so grossly unbalanced that acceptance of the offer would be tantamount to allowing an advanced payment. Balanced pricing is determined with respect to separately priced CLINs or SubCLINs, or significantly unexplained variance in pricing from year to year. To assist the determination of balanced pricing, Offerors shall complete the attached Pricing Matrix (Appendix G).
Completion of the Pricing Matrix allows efficient comparison of proposed pricing across the performance periods. It also enables evaluation of CLIN and SubCLIN pricing to ensure balanced pricing such that expenses are correctly allocated to the correct CLIN/SubCLIN. If what appears unbalanced pricing is due to sound rationale associated with, for example, the proposal’s technical approach, Offerors shall provide an explanation to account for any pricing
AS OF: 02 December 14 Appendix L - Page 18 that appears unbalanced. Additionally, unbalanced pricing may pose an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal.
5.3 Price Realism
Proposed pricing must demonstrate adequate understanding of the requirement and does not pose a risk to performance. Proposed pricing shall be realistic for the work required. Proposed pricing must be consistent with the proposed approach and show an understanding of the requirement, including program complexity. Specifically, all proposed prices shall be sufficient and adequately proposed to ensure performance is not at risk with prices proposed too low.
5.4 Pricing Information Requirements
While this is a FAR Part 12 RFP, Cost and Pricing requirements within sections of FAR Part
15.403 apply. In accordance with FAR 15.403-3 (b), prices based on adequate price competition do not require submission of certified cost or pricing data. In accordance with FAR 15.403-3(a), however, data other than certified cost or pricing data may be required to support price reasonableness. FAR 15.403-3(a)(1) provides for obtaining data other than certified cost or pricing data if needed to determine price reasonableness. Therefore, the FAR does not preclude the requirement for obtaining data other than certified cost or pricing data under certain circumstances and the Government reserves the right to obtain data as appropriate. Should the CO determine proposed prices to appear unreasonable or the possibility that an Offeror does not fully understand the requirement; the Offerors may be required to support price reasonableness via data other than certified cost or pricing data. If, after receipt of proposals, the CO determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror shall be required to submit additional cost or pricing data. Although this is commercial FAR Part 12 RFP, FAR 15.4 applies as appropriate.
Specifically, FAR 15.404-1 applies regarding proposal analysis. Price analysis techniques shall be utilized to ensure fair and reasonable pricing in accordance with FAR 15.404-1(b). Providing information to assist with pricing evaluation to further support proposed pricing will expedite the source selection process.
5.5 Rounding
The Pricing Matrix format provides for decimal places that must be in accordance with this required decimal place format as stated. The Pricing Matrix provides for proposed unit price decimal places in the required decimal format. Additional information is provided in Section 5.7, Pricing Support Information. If any pricing proposal deviates from this format, the government will apply this specified format to determine the extended pricing and TEP.
Hourly labor rates (fully loaded or burdened) shall be rounded to the nearest cent. 5.5.1
Proposed material burden rates and General and Administrative (G&A) rates as 5.5.2 applicable shall be rounded to four decimal places to the right of the decimal point. Although material burden and G&A rates are based on percentages, these rates shall be input into the Pricing Matrix in the following format. If your rate is proposed as 34.28%, input should be
