52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

ADDENDUM TO FAR 52.212-1

FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERICAL ITEMS (APR 2014)

1. NOTICE TO OFFERORS: Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.

Addendum to FAR 52.212-1(b), Submission of offers. The following paragraph is added: “(12) Submit signed and dated offer to 10th Contracting Squadron, ATTN: Alex Kephart, Contracting Officer, 8110 Industrial Drive, Suite 200, USAF Academy, CO 80840-2315. Offers must be submitted on the SF 1449 and as specified in the solicitation. Offers must be received by the date and time specified in block 8 on the SF 1449. Facsimile and e-mail proposals will not be accepted, no exception.”

Addendum to FAR 52.212-1(c) Period for acceptance of offers. The paragraph is tailored as follows: “The 30 days referenced in the standard clause is revised as follows: the offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.”

Addendum to FAR 52.212-1(h) Multiple awards is amended as follows: “For this solicitation, the Government will award a contract on an ‘all or none’ basis, multiple awards will not be contemplated.”

Prospective Offerors must arrive at the USAF Academy South Gate Pass and ID, Building

8486, at 7:45 AM Mountain Time to check in. Park and meet in the dirt lot east of Building 8486. A bus will depart from Building 8486 promptly at 8:00 AM Mountain Time.

Transportation will be provided by the Government from Building 8486 and back following the site visit.

Anyone who plans to attend the site visit, but fails to contact the POC’s prior to the deadline stated above will not be permitted to attend the site visit. The number of personnel for the site visit is limited to no more than three per contractor.

Prospective offeror’s will not be allowed to drive their own vehicles and must remain with the group at all times. All questions SHALL be submitted in writing NOT LATER THAN 2:00 PM Mountain Time ON 18 September 2015. There will be no questions answered during the site visit.

4. Addenda to FAR 52.212-1 PROPOSAL PREPARATION INSTRUCTIONS

General Instructions

To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, stand alone, and respond directly to the requirement of this solicitation. The response shall consist of four (4) separate parts: Part I – Price Proposal, Part II – Technical, Part III – Past Performance Information, and Part IV – Contract Documentation.

The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists offerors may be required to submit information other than cost or pricing data to support a determination of price reasonableness.

a) The offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale in Part IV - Contract Documentation.

b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements.

c) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of each proposal received. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

d) Format for proposal Parts I –III shall be as follows:

(i) The proposals will be 8 ½” x 11” papers except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”. A page is defined as one face of an 8 ½” x 11” sheet of paper (white or ivory in color) containing information. Charts, tables, or diagrams, may not exceed 11” x 17” and each face will be counted as one page. This includes all appendices, charts, graphs, diagrams, tables, photographs, etc.

(ii) Typing shall not be less than 12 pt. font, with 1 inch margins. Smaller, legible font may be used for charts and tables.

(iii) Elaborate formats, bindings or color presentations are not desired or required. Company name and solicitation number shall be included in the header of each page. Part I and Part II shall be submitted in separate binders in order to clearly determine page counts.

5. PART I - PRICE PROPOSAL - Submit original and two (2) copies

a) Complete blocks 12, 17a, 19, 20, 21, 22, 23, 24, 30(a) (b) and (c) of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.

b) Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal(s) must be submitted for a one-month base period plus six (6) Option Years and include all optional CLINs for additional levels of service.

6. PART II – TECHNICAL – Submit original and two (2) copies Offerors shall provide the following:

a) Technical Factor: The offeror’s proposed plan for simultaneously supporting three separate flying sites with qualified instructor personnel while operating the Air Operations Center as outlined in PWS paragraph 1.4.1.2. The technical proposal is limited to no more than 3 pages (single spaced).

7. PART III – PAST PERFORMANCE INFORMATION - Submit original and two (2) copies

a) Limited to no more than 30 pages. Any past performance questionnaires received for previous contracts or efforts will not be counted against your 30 page limitation. Only references for relevant past efforts/contracts are desired.

(i) Quality and Satisfaction Rating for Contracts Completed in only the Past Three Years: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed service requirement for recent and relevant past efforts/contracts (similar in scope and magnitude of effort and complexities this solicitation requires). In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems.

(ii) Past Performance Surveys: The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this solicitation. The government will use information submitted by the offeror and any other sources of information available to the Government to assess past performance. For the prime contractor and any major teaming partners, provide a list of no more than eight (8), of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years from the issue date of this solicitation. Recent past performance is defined as past performance on contracts performed or completed within the last three years from the issue date of this solicitation. Past performance for contracts exceeding the timeframe for this definition of recency will be excluded from evaluation. Relevant contracts include performance and management of efforts involving flying operations supervision and aircrew records management support (ARMS), together with ground and flight instruction for unmanned aircraft systems (UAS) and UAS maintenance. Relevant contracts should be similar or greater in scope, magnitude and complexity than the effort described in this solicitation. Relevance will be determined based in part on the specific work the contractor is proposed to perform on this RFP.

In the past performance information, directly link the past performance information submitted to the contractor having performed the effort, and tie the information to the work the contractor is proposed to perform on this effort. Describe why the listed contract/program is relevant. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors/joint venture teaming partners that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. Furnish the following information for each contract listed:

1. Company/Division name

2. Product/Service (type of renovation or construction)

3. Contracting Agency/Customer

4. Contract Number

5. Contract Dollar Value

6. Period of Performance

7. Verified, up-to-date name, email address, address, FAX & telephone number of the contracting officer or point of contact

8. Comments regarding compliance with contract terms and conditions

9. Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions. Describe mitigating circumstances or actions taken to correct the unacceptable condition and preclude recurrence.

Note: Do not leave any of the above information blank. This information may also be used in determining responsibility.

If a Joint Venture is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past recent and relevant contracts.

ii. Subcontractor/Joint Venture Teaming Partner Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s or teaming partner’s consent. Provide with the proposal a letter from all subcontractors or joint venture teaming partners that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor (Attachment 2).

iii. In addition to the above information, the offeror shall mail (Attachment 3) of this solicitation, Past Performance Questionnaire (PPQ), to the list of most relevant contract references. Instruct these references to complete the Past Performance Questionnaire and return directly to:

iv. Any past performance questionnaires sent directly from a proposing offeror will not be accepted or evaluated. For the purpose of expediency of evaluation, please instruct references to respond to the past performance questionnaire as soon as possible. The questionnaire need not be sent to customers where past performance records exist in the government’s Past Performance Information Retrieval System (PPIRS). Not more than eight (8) questionnaires may be submitted. It is the sole responsibility of the offerors to ensure questionnaires are submitted by the solicitation closing date. The offerors are encouraged to follow-up with respondents for completed questionnaires, but are not required to.

8. PART IV - Contract Documentation - Representations and Certifications

a) Either complete Representations and Certifications in SAM at https://www.sam.gov or the necessary fill-ins and certification in provisions FAR 52.212-3 and its Alternate (Alt) I. If FAR 52.212-3 and its Alt I are completed in hard copy it shall be returned along with the contractor’s proposal.

b) Provide evidence as required by any amendment that the offeror’s proposal incorporates all amendments to the solicitation (if applicable).

c) A letter of authorization for the contracting officer to verify offeror’s financial responsibility. Include financial institution’s name, address and primary point of contact and phone numbers for financial institutions and complete Offeror’s Financial Reference (Attachment 4).

d) Joint Venture Agreements - Joint Ventures are allowable on competitive 8(a) set-asides; however, the joint venture agreement must be received by SBA prior to proposal due date and approved before award of any resulting contract. If you are contemplating a joint venture on this project you must advise, in writing, your assigned SBA Business Opportunity Specialist (BOS) and the USAFA Contracting Officer as soon as possible. It is also recommended that the agreement be submitted as soon as practicable to ensure compliance with established regulations. Any corrections and/or changes needed can be made only when your BOS has adequate time for a thorough review before the proposal due date.

e) Complete the following provisions as required in the Solicitation: DFARS 252.209-7998 and DFARS 252.209-7999. You may complete these provisions in SAM or hard copy. If the certifications in SAM are completed, state accordingly in the proposal package.

Documents submitted in response to this solicitation must be fully responsive to and consistent with the requirements of the solicitation and Proposal Preparation Instructions (Addendum to FAR 52.212-1, Instructions to Offerors – Commercial Items).

INFORMATION

Late proposals will be processed in accordance with FAR 52.212-1(f) “Late submissions, modifications, revisions, and withdrawals of offers”.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) Technical;

(ii) Price;

(iii) Past performance

Once a proposal is determined technically acceptable, the relative importance of each factor is as follows: past performance is approximately equal to cost or price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2

BASIS FOR CONTRACT AWARD: This is a competitive selection in which technically acceptable competing offerors past and present performance history will be evaluated approximately equal to price. By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions To Offerors, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices and performance records. The evaluation process shall proceed as follows:

A. PRICE EVALUATION:

a) Initially offers shall be ordered by price, including option prices. An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. The evaluated price will include consideration of pricing for the extension of services under FAR clause 52.217-8.

B. TECHNICAL EVALUATION:

a) The Government will evaluate the lowest priced proposal for technical acceptability on an acceptable/unacceptable basis. Simply restating the technical criteria within a proposal may result in an unacceptable rating and preclude the vendor from award.

b) The technical factor will receive one of the rating listed below:

c) Technical proposals will be evaluated on whether an offeror’s proposed plan adequately addresses the requirements identified in PWS paragraph 1.4.1.2.

Measure of Merit: This requirement is met (Acceptable) when the offeror demonstrates a clear understanding of how it will simultaneously support three separate flying sites, with qualified instructor personnel, while concurrently operating the AOC in accordance with the PWS.

C. PAST PERFORMANCE ASSESSMENT:

a) Using questionnaires, the contracting officer shall seek recent and relevant performance information on each offeror based on (1) information provided by the offeror, (2) the references provided by the offeror, and (3) data independently obtained from other government and commercial sources. Recent past performance is defined as past performance on contracts performed or completed within the last three years from the issue date of this solicitation. Past performance for contracts exceeding the timeframe for this definition of recency will be excluded from evaluation. Relevant contracts include performance and management of efforts involving flying operations supervision and aircrew records management support (ARMS), together with ground and flight instruction for unmanned aircraft systems (UAS) and UAS maintenance or efforts greater in scope, magnitude and complexity than the effort described in this solicitation. The Government will assign a relevancy rating using the following relevancy definitions when assessing each recent contract (DoD Source Selection Procedures, Table 4):

b) Next, the Government will consider the performance quality of recent, relevant, and somewhat relevant efforts (how well the contractor performed on the contracts). Efforts rated as not relevant will not be evaluated for quality. For each recent past performance citation reviewed, the performance quality of the work performed will be assessed for the effort required for this solicitation. The quality assessment consists of an in-depth evaluation of all past performance information available, regardless of its source. The quality assessment may result in positive or adverse findings. Adverse is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comment received from sources without a formal rating system. For adverse information identified, the evaluation will consider the number and severity of the problem(s), mitigating circumstances, and the effectiveness of corrective actions that have resulted in sustained improvements. The Government will use the following quality assessment ratings when assessing recent, relevant, and somewhat relevant efforts:

During the contract period, contractor performance is meeting (or met) all contract requirements and consistently exceeding (or exceeded) many. Very few, if any, minor problems encountered. Contractor took immediate and effective corrective action.
VERY GOOD (VG)
During the contract period, contractor is meeting (or met) all contract requirements and exceeding (or exceeded) some. Some minor problems encountered. Contractor took timely corrective action.
SATISFACTORY (S)
During the contract period, contractor performance is meeting (or met) all contract requirements. For any problems encountered, contractor took effective corrective action.
MARGINAL (M)
During the contract period, contractor performance is not meeting (or did not meet) some contract requirements. For problems encountered, corrective action appeared only marginally effective, not effective, or not fully implemented. Customer involvement was required.
UNSATISFACTORY(U)
During the contract period, contractor performance is failing (or fail) to meet most contract requirements. Serious problems encountered Corrective actions were either ineffective or non-existent. Extensive Customer oversight and involvement was required.
NOT APPLICABLE (N)
Unable to provide a rating. Contract did not include performance for this aspect. Do not know.

c) As a result of the relevancy and quality assessments of the recent contracts evaluated, offerors will receive an integrated overall performance confidence assessment rating. The performance Confidence Assessment ratings include Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined in DoD Source Selection Procedures, Table 5. Past performance regarding predecessor companies, key personnel who have relevant experience, or subcontractors/teaming partners that will perform major or critical aspects of the requirement will be rated as highly as past performance information for the principal offeror. Although the past performance evaluation focuses on performance that is relevant to the past performance factor and cost/price factor, the resulting performance confidence assessment rating is made at the factor level and represents an overall evaluation of contractor performance. Offerors without a record of recent/relevant past performance or for whom information on past performance is so sparse that no meaningful confidence assessment rating can be reasonably assigned will not be evaluated favorably or unfavorably on past performance and, as a result, will receive an "Unknown Confidence" rating for the Past Performance factor. A strong record of relevant past performance may be considered more advantageous to the Government than an "Unknown Confidence" rating. Likewise, a more relevant past performance record may receive a higher confidence rating and be considered more favorably than a less relevant record of favorable performance.

Based on the offeror’s recent/relevant/quality performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral)
No recent/relevant/quality performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

d) If the lowest priced technically acceptable offer is judged to have a “Substantial Confidence” performance rating and is determined to be responsible, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.

e) If the lowest priced technically acceptable offeror is not judged to have a “Substantial Confidence” performance assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a “Substantial Confidence” performance assessment or until all offerors are evaluated. The Source Selection Authority shall then make an integrated assessment best value award decision.

f) Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

g) The government intends to award a contract without discussions with respective offerors. The government, however, reserves the right to conduct discussions if deemed in its best interest.
