SECTION L
INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS
L.1. GENERAL INSTRUCTIONS
L.1.1 The Offerors proposal must include all data and information requested by this Section L and shall be submitted in accordance with the instructions to offerors (ITO). The offer shall be compliant with the requirements as stated in this Request for Proposal (RFP), Performance Work Statement (PWS), and appendices, RFP attachments. Non-conformance with the instructions provided in Section L and/or failure to meet a requirement may result in an offer being ineligible for award.
The proposal shall be clear, concise, and include sufficient detail for effective evaluation and substantiation of stated claims. The proposal must not simply rephrase or restate Government requirements, but shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities or experience and will base its evaluation solely on the information presented in the Offerors proposal.
Proposals must demonstrate a comprehensive understanding of the nature and scope of work required. The Government will not search for data to cure problems or address inconsistencies in proposals. Each offeror shall submit a complete proposal in accordance with these instructions. The Government may consider any failure to comply with these instructions to be indicative of what could be expected from the offeror during performance and may consider it a failure of the proposal. General statements (i.e. "will comply," "noted and understood," "in accordance with industry best practices/standards,") without supporting narrative are not acceptable. Cursory responses or responses that merely reiterate or paraphrase the language contained within the PWS does not satisfy the requirements of the solicitation. Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.
L.1.2 Acceptance Period The Government requires a minimum acceptance period of 280 calendar days from the date of receipt of offers; however, Offerors may specify an acceptance period exceeding the Government’s minimum requirement. The Offerors proposal must affirmatively state an acceptance period equal to, or greater than, 280 calendar days.
L.1.3 Retainability/Disposal In accordance with FAR Subpart 4.8, Government Contract Files; the Government will retain the original copy of all unsuccessful proposals. The Government will destroy extra copies of such unsuccessful proposals.
L.1.4 Government Point of Contact Submit signed and dated offers to the office specified below no later than the date and time specified in this RFP. Offers shall be submitted on the Standard Form 33 (SF 33).
The Contracting Officer (CO) is the sole point of contact for this acquisition. L.1.5 Debriefings The CO will promptly notify offerors of any decision to exclude them from the competitive range if a competitive range is established; whereupon, the Offeror may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or a post-award debriefing. (NOTE: Offerors excluded from the competitive range are entitled to a single debriefing. The CO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505, Preaward debriefing of offerors or FAR 15.506, Postaward debriefing of offerors, as applicable.
L.1.6 Discrepancies If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale and recommended remedies for the CO to consider in order to correct the issue(s). (NOTE: The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.)
L.1.7 Electronic Reference Documents All referenced documents for this solicitation are available on the Federal Business Opportunities (FBO) website at https://www.fbo.gov/. Potential Offerors are encouraged to subscribe for e-mail notifications to be updated when information has been posted to the website for this solicitation.

Each page shall be counted except the following: the transmittal letter, cover pages, tab-divider pages, title pages, table of contents, lists of tables and drawings, glossary of abbreviations and acronyms, cross-reference matrix, work breakdown structure (Attachment 16) and manpower matrix (Attachment 8). If the proposal volume exceeds the page limitation, the excess pages will not be read or considered in the evaluation of the proposal volume. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the Offerors.
L.1.10.2 Page Size and Format A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Narrative documentation shall be submitted in Microsoft Word (version Office 2007 or higher). Page size shall be 8.5 x 11 inches, not including foldouts. Typing shall be single-spaced, not less than 12 font size (pitch), and Times New Roman font style. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. These page size and format restrictions shall apply to responses to ENs. These limitations shall apply to both electronic and hard copy proposals.
Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics, not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 8-font size (pitch), Times New Roman font style. These limitations shall apply to both electronic and hard copy proposals.
L.1.10.3 Cross-Referencing Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. The Offeror shall provide a Solicitation Cross Reference Matrix indicating by Section L, PWS, paragraph number, the corresponding proposal paragraph in that section which addresses the referenced item. The matrix shall be added to the Table of Contents under each applicable volume. Information required for proposal evaluation which is not found or referenced in its designated volume, and is not indicated on the cross-reference matrix, will be assumed to have been omitted from the proposal.
L.1.10.4 Indexing Each volume shall contain a detailed Table of Contents to delineate the section and subparagraphs within that volume. Tab indexing shall be used to identify each section and subparagraph(s) (i.e. Volume II, Section 2.6, Subparagraph a).

Each hard-copy volume (other than the “Original”) of the proposal shall be separately bound in a three-ring, loose leaf binder permitting the volume to lie flat when open. Staples shall not be used. Volumes I through IV shall not be submitted together within the same binding. Each volume should include a cover sheet that clearly indicates the volume number, title, copy number, solicitation identification, and the Offerors name. The same identifying data should be placed on the spine of each binder. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on disclosure and use of data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
L.1.11 Electronic Offers The content and page size of electronic copies must be identical to the hard copies. For electronic copies, use separate electronic folders to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments. The offeror shall submit Volumes I through IV in electronic format, using recordable CD/DVDs. Each volume shall be in a different directory on a CD/DVD. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 2007, MS Office Excel 2007, MS Office Project 2007, and MS Office Power Point 2007, or newer.

1. List of Tables and Figures
1. Glossary of Abbreviations and Acronyms
1. Price Proposal Workbook
1. Statement of Compliance with Service Contract Act (SCA)
1. Statement of Compliance with Collective Bargaining Agreement (CBA)
L.2.2 Executive Summary To aid the Government’s understanding, describe how the Offerors proposed price is reasonable and matches the proposed technical approach to the meet the requirement.
L.2.3 Price Analysis The source selection will be conducted with the expectation of adequate price competition per FAR 15.403-1(c)(1); therefore, certified cost or pricing data is not required. However, if at any time during competition the PCO determines that adequate price competition no longer exists or that price reasonableness cannot be determined, offeror(s) may be required to submit certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the PCO to determine the price fair, reasonableness and balanced.
L.2.4 Price Proposal Workbook Offerors are required to complete the Price Proposal Workbook provided in RFP, Section J, Attachment 14. All data relating to the proposed price, including all required supporting documentation, must be included in the Price volume (Volume I). Under no circumstances shall this data and documentation be included elsewhere in the proposal. The Price Proposal Workbook is also Section B. The SF 33 RFP Section B is provided for your information only. Do NOT include any pricing in the SF 33 RFP Section B. A whole dollar unit price will be a price without the presence of hidden decimal places. The total extended price for each FFP CLIN must equal the whole dollar unit price multiplied by the quantity of units. If a discrepancy occurs in the extended amount due to hidden decimal places, the proposed whole dollar unit price multiplied by the quantity will take precedence. In addition, if a unit price is proposed with decimal places, the unit price will be rounded up or down and the resulting whole dollar will be multiplied by the quantity and that extended price will take precedence. The total sum of the extended total prices of all FFP CLINs for the Base Period (to include mobilization), Option Periods, and Incentive Option Periods will be the Offerors Total Evaluated Price (TEP) used for evaluation and award decision purposes. Cost Reimbursable CLINs will not be evaluated for award decision purposes and, therefore, not included in the TEP. The Offeror shall not provide a price for Cost Reimbursement (CR) CLINs. The CR CLINS, if employed in the future, will be used to reimburse actual costs incurred and will not include indirect costs or fee unless otherwise specified in the CLIN descriptions. All labor costs associated with work required under the CR CLINS shall be included in the FFP CLINS.

L.4.5 Subcontractor Letters of Consent Past performance information, pertaining to a subcontract cannot be disclosed to the prime offeror without the subcontractor’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor past and present performance information to the prime during exchanges. In an effort to assist the Government’s past performance evaluation team (PPET) in assessing an Offerors performance relevancy, proposals must include a Consent Letter (ref: RFP, Section J, Attachment 5) executed by each major or critical subcontractor, teaming partner, and/or joint venture partner, as part of your past performance volume.
L.4.6 Client Authorization Letters If applicable, offerors must also include Client Authorization Letters (ref: RFP, Section J, Attachment 7) for each identified effort performed for a commercial customer, authorizing release to the Government of requested information on the Offerors performance.
L.5. VOLUME IV – OTHER CONTRACTING CONSIDERATIONS

Since it is the Government’s intent to make Award without Discussions IAW FAR 52.215-1, the Government may request an offeror submit additional information so a responsibility determination can be made. This request for additional information will not be construed as communications or discussions with an Offeror as defined by FAR 15.306. An incomplete proposal may be considered to indicate lack of understanding of the requirement and may result in the entire proposal being determined “Unacceptable” and eliminated from further consideration.
To assist the Government in determining contractor responsibility in accordance with FAR 9.104-3(a), the Offeror shall:
(a) Explain how they plan to maintain adequate financial resources for a contract of this magnitude and length;

Evidence of external funding must be provided in the form of a dated letter from the external source.
L.5.6 Subcontracting Plan Submission of the subcontracting plan is not required at the time designated for proposal submission. The plan shall be included in and made a part of the resultant contract. The subcontracting plan shall be submitted within the time specified by the Contracting Officer. If the apparently successful offeror fails to negotiate a subcontracting plan acceptable to the Contracting Officer within the time limit prescribed by the Contracting Officer, the offeror will be ineligible for award.
In reviewing the plan, the Government will consider the completeness of the information included, small business representation in the industry, and the DoD Small Business Goals. The subcontracting plan must be in accordance with FAR Part 19.704, FAR 52.219-9, DFARS 219.704, DFARS 252.219-7003, and AFFARS 5319.704. All subcontracting goals must be realistic and assure that small business concerns are provided the maximum practicable opportunity to participate in the performance of this requirement. The offeror must identify distinct subcontracting goals for all small business categories for the base period and each option period separately. This requirement is not applicable to small business concerns.
For reference purposes, FY17 DoD subcontracting goals are provided below. These goals represent the percent of small business subcontracting as it relates to total subcontracting dollars, not the total contract dollar value.*
| Small Business | 34.0% | |||
| HUBZone | 3.0% | |||
| Service-Disabled Veteran Owned Small Business | 3.0% | |||
| Small Disadvantaged Business | 5.0% | |||

L.5.8 Solicitation Requirements, Terms and Conditions Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the terms and conditions or any other requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale to support each exception and fully explain its impact, if any, on the performance, schedule, cost, and/or specific requirements of the solicitation. Under no circumstances shall exceptions be included elsewhere in the proposal.
SECTION M EVALUATION FACTORS FOR AWARD
M.1. SOURCE SELECTION
M.1.1 Number of Contract Awards The Government intends to award one (1) Sheppard AFB Civil Engineering Base Maintenance Contract (BMC).
M.1.2 Basis for Contract Award This is a Lowest Price Technically Acceptable (LPTA) source selection conducted in accordance with FAR Part 15, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Air Force Federal Acquisition Regulation Supplement (AFFARS). These regulations are available electronically at the Air Force (AF) FARSite, http://farsite.hill.af.mil. The Government will select the proposal with the lowest evaluated price, and is determined to be fair, reasonable, and balanced from among those meeting the acceptability standards for non-price factors. A contract may be awarded to the offeror who is determined responsible in accordance with FAR Part 9, as supplemented, whose proposal conforms to the solicitation requirements (to include stated terms, conditions, representations, certifications, and all other information required by Section L) and is judged, based on the evaluation factors and subfactors to represent the lowest price technically acceptable offer. While the Government will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process.
M.1.3 Proposal Evaluation Proposal evaluation is an assessment of the proposal and the Offerors ability to perform the prospective contract successfully. The Government will evaluate competitive proposals based solely on the factors and subfactors specified in the solicitation. For the purposes of efficiency and IAW FAR 15.306(c), the Contracting Officer may limit the number of most highly rated proposals in the competitive range to a number that will permit an efficient competition for this LPTA source selection. If the CO determines that an Offerors proposal should no longer be included in the competitive range, the proposal will be eliminated from consideration for award. Written notice of an elimination decision will be provided to unsuccessful offeror(s) in accordance with FAR 15.503.
M.1.3.1 For the purposes of conducting evaluations, the Government will initially rank all proposals by the total proposed price, to include all option period prices, as calculated in each Offerors completed Price Proposal Workbook at Atch 14 submitted with the Price volume. The Government evaluation team will then proceed with the simultaneous evaluation of the Price, Technical, and Past Performance volumes beginning with the lowest priced offeror and proceeding with evaluations by ascending price, if necessary. If the lowest priced proposal is determined fair and reasonable and has an acceptable rating for technical and past performance, evaluations may cease and award may be made to that offeror without entering into discussions as this represents the best value to the Government.
M.1.3.2 If the lowest priced proposal is not rated “Acceptable” in technical and/or past performance, or is not determined fair and reasonable; the Government will move on to the next lowest priced proposal and each Evaluation Team will evaluate that Offerors proposal volumes simultaneously. If this offeror is determined to be fair, reasonable, and balanced, and has an acceptable rating for technical and past performance, evaluations may cease and award may be made to that offeror without entering into discussions. However, the Government reserves the right to evaluate all offerors proposals.
M.1.3.3 Clarifications Offerors may be asked to clarify certain aspects of their proposal (e.g., the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Exchanges conducted with regard to adverse past performance or to resolve minor or clerical errors will not constitute discussions, and the Contracting Officer reserves the right to award a contract without the opportunity for proposal revision.
M.1.3.4 Discussions The Government intends to award a contract without discussions, therefore, the initial offer should contain the Offerors best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if determined in its best interest.
M.1.3.4.1 If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the Offerors Technical and Past Performance proposals have been evaluated as acceptable with a fair, reasonable, and balanced price at the time discussions are closed, any changes or exceptions in the FPR must be fully explained and substantiated, and are subject to evaluation, which may render the Offerors proposal unacceptable, unfair, unreasonable, and/or unbalanced, causing the offeror to be ineligible for award.
M.1.4. Solicitation Requirements, Terms and Conditions Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors. Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.
M.2. EVALUATION FACTORS AND SUBFACTORS
The Government will assess the Offerors proposal to ensure it meets the requirements and intent of the PWS. The Government will assess the Offerors methodology to meet threshold requirements of the PWS as described in the technical subfactors. Each Offerors proposal will be evaluated against the below criteria.
M.2.1. Evaluation Factors Factor I: Price Factor II: Technical
| Subfactor 1: Mobilization Approach |
| Subfactor 2: Technical Approach |
| Subfactor 3: Program Management and Staffing Approach |
| Subfactor 4: Performance Management/Quality Control Approach |
Factor III: Past Performance Factor IV: Other Contracting Considerations
M.3. FACTOR 1- PRICE
The Government will initially rank all proposals by the total proposed price, to include all option period prices, as calculated in each Offerors completed Price Proposal Workbook at Atch 14 submitted with the Price volume.
