ADDENDUM TO FAR 52.212-1, INSTRUCTIONS TO OFFERORS - -COMMERCIAL ITEMS (INCORPORATED BY REFERENCE ON STANDARD FORM 1449)

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS

THIS SECTION IS FOR SOLICITATION PURPOSES ONLY. THIS SECTION WILL BE PHYSICALLY REMOVED FROM ANY RESULTANT AWARD.

The following additions/changes are made to FAR 52.212-1:

1.0 Acquisition Strategy. This contract will utilize FAR 13.5, Test Program for Certain Commercial Items, and will be awarded as a Firm Fixed Price (FFP) contract using Performance Price Tradeoff Source Selection Process.

2.0 General Instructions. This section provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposal. Throughout this solicitation, the term “Offeror” includes subcontractors. The Offeror’s proposal must include all data and information requested, and must be submitted in accordance with (IAW) these instructions. The Offeror shall be compliant with the requirements as stated in the solicitation. A proposal that is sufficiently documented to support technical capability, past performance, and price in a complete, orderly, and specific detailed manner will enable the Government to perform a thorough and fair evaluation.

2.1 Submission Requirements. Documents submitted in response to this solicitation must be fully responsive to and consistent with requirements of the instructions, solicitation and all amendments, Performance Work Statement (PWS) and Government standards and regulations pertaining to the PWS. Non-compliance with the instructions and solicitation may be grounds to eliminate the proposal from consideration for contract award.

2.2 Additional Provisions/Clauses and Representations and Certifications. Complete the necessary fill-ins for certifications and provisions/clauses. The provision FAR 52.212-3 shall be returned along with the proposal. See FAR 52.212-3(l) for those representations and certifications that the Offeror shall complete electronically.

3.0 Proposal Preparation and Format Instructions. Proposals shall consist of three (3) volumes. Volume I: Technical; Volume II: Past Performance Information and Volume III: Price. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

3.1 Page Limitations. Page limitations shall be treated as maximums. Total page count will be based on the printed proposal submission. If page limitations are exceeded, excess pages will not be considered in the evaluation of the proposal but will be returned unread to the offeror. A page is defined as each face of an 8.5 x 11-inch sheet of paper containing information. All information except for document numbers, page number, etc., shall be provided in an image area of 7 x 9 inches. Two pages may be printed back-to-back on one sheet of paper. However, this will be considered two (2) pages for the purpose of page count. The background color of each page of the proposal submission shall be white or ivory stock only. The maximum number of pages for each volume is listed below. Price proposal information is limited to the CLINs identified within the solicitation. See Table 1-1 below for specific number of copies required and pages for each of the Volumes.

3.2 Text. Text type should be Times New Roman or Arial, no smaller than 12-point with normal proportional spacing. Text lines will be, at a minimum, single-spaced.

3.3 Tables, Charts, Graphs, and Figures. Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and the face of one 11 x 17 page will count as two pages. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics, not for pages of text. For graphics, exhibits and figures, text shall be no smaller than Times New Roman or Arial 10-point font. Text within tables shall be no smaller than Times New Roman or Arial 10-point font. These limitations shall apply to both electronic and hard copy proposals.

3.4 Binding and Labeling. Each volume (Technical, Past Performance and Price) of the proposal will be bound separately, with each volume in a standard loose-leaf three-ring binder. Each volume shall be written on a stand-alone basis so that its contents may be evaluated on a stand-alone basis. Cross-referencing between volumes is not permitted. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted. Elaborate format and binding are neither necessary nor desirable. The cover and spine of each binder will clearly identify the Offeror's name, volume number, Request for Proposal (RFP) number "FA2517-15-R-6000", title "Transient Aircraft (TA) and Aerospace Ground Equipment (AGE) Operations and Maintenance Service", and copy number, e.g., copy 2 of 3. The original for each volume will be clearly identified on the cover and the spine. All binders will allow for easy removal and replacement of pages. If the Government opens discussions and requests the offeror submit proposal revisions, during or after discussions, any changed page(s) that are submitted shall be a different color from the original proposal page(s), and shall have the changed information clearly marked by a vertical line in the right margin identifying the changed content. The date of the revision and revision number shall be reflected on each changed page. Page limitations for evaluation notices (ENs) are the same as those for the basic proposal.

3.5 Electronic Copies. The content and page size of electronic copies must be identical to the hard copies. The CD-electronic (softcopy) proposal shall be in a Microsoft Operation System format and as a minimum have Office 2007® capabilities. The softcopy version of the proposal will be submitted on compact disk/read only memory (CD/ROM) disks. Replacement disks will be required to update a final proposal resulting from discussions and updates, if any. Offerors are advised to perform a computer virus check prior to submission. The Government will perform computer virus checks on all submitted electronic media and will immediately return for replacement any disk found to be infected. In the event of discrepancies between hard copies and electronic copies of a proposal, the hard copies will be used for evaluation.

3.6 Proposal Clarity. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation of the Offeror’s capabilities and for substantiating the validity of stated claims. The Offeror’s proposal shall not simply rephrase, reiterate, or restate the Government’s own language, but rather shall provide convincing rationale describing how it intends to fulfill the requirement. The Offeror shall assume that the Government has no prior knowledge of its capabilities, facilities and experience, and will base the evaluation on the information presented in the Offeror’s proposal.

3.7 Information Regarding Submission of Proposal. Deliver proposals to the following address not later than 2:00 p.m., Mountain Standard Time (MST), on 14 Jan 2015:

4.0 Specific Proposal Instructions. To assure timely and equitable evaluation of the proposal, the Offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation to include acknowledgement of all solicitation amendments. (See Table 1-1)

4.1 Volume I-Technical Proposal. The Technical Proposal Volume shall be prepared in an orderly format as follows:

4.1.1 Tab 1: Table of Contents. Include a master table of contents of the entire proposal and reference the required proposal information.

4.1.3 Tab 3: Technical Proposal. The Technical Proposal shall clearly describe the Offeror’s approach to satisfy the Government’s requirements in sufficient detail to enable the Government to make a thorough evaluation of the Offeror’s technical competence and ability to comply with the PWS and Services Summary requirements. Failure to provide a reasonable and complete Technical Proposal shall reflect a lack of capability to perform the work requirements and will result in a determination that the Offeror’s proposal is unacceptable.

4.2. Volume II-Past Performance. Each Offeror shall submit a past performance volume with its proposal, containing past performance information in the format below. Offerors are cautioned that the Government will use data provided by each Offeror in this volume and data the Government may obtain from other sources in the evaluation of past performance.

4.2.2 Tab 2: Citations. The Offeror shall provide no more than five (5) citations that the Offeror believes are recent and relevant past performance in demonstrating the Offeror’s ability to perform the proposed effort. Each citation shall address a single contract only. Citations shall state in which areas the Offeror believes that recent and relevant performance is demonstrated. To be considered recent, the performance must have been within the past three (3) years as of the solicitation release date. Relevancy will be determined by Government evaluation of the performance information provided by the Offeror and other information obtained by the Government. (See Table 2-2)

For each citation, the Offeror shall disseminate no more than one (1) Past Performance Questionnaire (PPQ). Citations shall list the contract number and two (2) Government or commercial points of contact. Explain corrective actions taken in the past, if any, for substandard performance and current performance problems.

Furnish the following information for each contract referenced:

(i) Company/Division name

(ii) Product/Service

(iii) Contracting Agency/Customer

(iv) Contract Number

(v) Contract Dollar Value

(vi) Period of Performance

(vii) Narrative concerning why this reference is considered “relevant”

(viii)Verified, up-to-date name, address, email, and telephone number of the contracting officer or commercial POC

(ix) Comments regarding compliance with contract terms and conditions

(x) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.

Notes:

If this is a first-time joint effort, each party to the arrangement must provide a list of past and present relevant citations; however, the total number of citations for the parties in the agreement may not exceed five (5) citations total for the arrangement. The subcontractors’ and partners’ past performance will be given the same weight as that given to the prime.

The responsibility to send out the Past Performance Questionnaires and ensure submission to the Contracting Officer in a timely manner rests solely with the Offeror. The Offeror will direct the references to return completed questionnaires directly to the Government POCs listed in paragraph 3.7. The information contained in completed questionnaires for partners/clients will be considered sensitive and will not be released to the Offeror, unless the partner/client signs a letter permitting such release. The Government reserves the right to contact the references provided by the Offeror and any other references generated by the Government to discuss the Offeror's past performance.

The evaluation of past performance information will take into account past performance information regarding predecessor companies or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. In addition, the government may use past performance information obtained from other than the sources identified by the Offeror.

4.3 Volume III-Price Proposal. SF 1449: Complete blocks 12, 17a, 30a, b, and c and Section B. In doing so, the Offeror accedes to the contract terms and conditions as written in the solicitation, with attachments. The solicitation constitutes the model contract.

--End Addendum--

ADDENDUM TO 52.212-2

ADDENDUM TO FAR 52.212-2

EVALUATION--COMMERCIAL ITEMS

The following additions/changes are made to FAR 52.212-2:

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

(a)(i) Basis for Contract Award. This contract will be awarded as Firm Fixed Price (FFP) in which the Government will utilize a performance price tradeoff source selection process wherein technical capability will be assessed on an acceptable/unacceptable basis and the Government’s decision will be based upon a tradeoff between past performance and price, where past performance is approximately equal to price.

The Government reserves the right to award a contract to other than the lowest-priced technically acceptable offer if that Offeror is judged to have a performance assessment rating of “Satisfactory Confidence” or higher. In that event, the Government shall make an integrated assessment best value award decision. This may result in an award to a higher-rated, higher-priced Offeror where the decision is consistent with the evaluation factors, and the Government reasonably determines that more highly assessed past performance of the higher-priced Offeror outweighs the price difference.

While the Government will strive for maximum objectivity, this source selection process, by its nature, is subjective and, therefore, professional judgment is implicit throughout the entire process.

The purpose of the past performance evaluation is to allow the Government to assess the Offeror’s experience in performing the effort described in the solicitation, based on the Offeror’s demonstrated present and past performance.

By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions to Offerors, the Offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices and performance records.

(a)(ii) Evaluation Process. Technical proposals will be evaluated for technical acceptability. Past Performance will be evaluated for Recency, Relevancy, and Quality as the basis for the overall Performance Confidence assessment assigned to each Offeror. Price will be evaluated for balance, reasonableness and affordability.

(a)(iii) Evaluation Factors. To arrive at a decision, the Government will assess each offer in accordance with the following evaluation factors for the contract:

Factor 1: Technical Capability

Factor 2: Past Performance

Factor 3: Price

Factor 1 - Technical Capability. The technical evaluation provides an assessment of the Offeror’s demonstrated approach to meet the Government’s requirements and will be rated on an acceptable/unacceptable basis, assigning one of the ratings described in the Technical Acceptable/Unacceptable Ratings Table 2-1. If an Offeror receives an “unacceptable” rating for any subfactor of the Technical factor, the overall Technical Factor will be considered “unacceptable” and the Offeror will be ineligible for award.

Technical Capability Evaluation. Offerors shall submit a Management Plan for technical evaluation. The Government will evaluate the management plan to assess the Offeror’s approach to determine if it is sufficient to successfully perform the tasks outlined in the PWS. Failure to provide a reasonable and complete management plan shall reflect a lack of capability to perform the work requirements and will result in a determination that the Offeror’s management plan is unacceptable. The management plan shall be evaluated for clear demonstration of the Offeror’s proposed approach to successfully accomplish the following:

Subfactor 1: Training Requirements. Meet and maintain all training requirements. To receive an Acceptable rating, the Management Plan shall demonstrate that the Offeror has adequate processes to successfully obtain required training IAW PWS Paragraphs 1.3 through 1.3.18 and Appendix D.

Subfactor 2: Workforce Management/Manning. Management of workforce. To receive an Acceptable rating, the Management Plan shall demonstrate the Offeror’s proposed approach is sufficient to successfully manage its workforce during fluctuating workloads in order to maintain continued services and provide adequate manning, sufficient oversight and an effective work schedule to ensure uninterrupted Transient Alert services and Aerospace Ground Equipment (AGE) operations and maintenance at contract start date and throughout the life of the contract IAW PWS Paragraphs 1.0 and 1.1.1.1.

Subfactor 3: Quality Control Plan. Quality Control to ensure contract services are performed IAW the PWS. The Offeror’s Quality Control Plan (QCP) shall address the process/procedures to identify, prevent and ensure non-recurrence of defective services. To receive an Acceptable rating, the Quality Control Plan shall demonstrate an approach to ensure the quality of contract services IAW PWS Paragraph 4.1. A copy of the offeror’s inspection instructions shall be included.

Subfactor 4: Transition Plan. Manage and accomplish contract transition tasks. To receive an Acceptable rating, the Transition Plan shall demonstrate the Offeror’s proposed approach is sufficient to successfully transition without disruption of mission support IAW PWS Paragraph 4.8 through 4.8.5.

TABLE 2-1

TECHNICAL ACCEPTABLE/UNACCEPTABLE RATINGS TABLE

Rating
Description
Acceptable
Proposal clearly meets the minimum

requirements of the solicitation.

Unacceptable
Proposal does not clearly meet the minimum requirements of the solicitation.

Factor 2 - Past Performance. The past performance evaluation will assess the degree of confidence the Government has in an Offeror’s experience to perform the required services to meet the Government’s needs based on a demonstrated record of performance. The overall confidence rating will be based on Recency, Relevancy, and Quality. The Government intends to use the Past Performance Questionnaire (PPQ) in its evaluation. The Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.

Past Performance Evaluation. The Government intends to use both data provided by the Offeror and data obtained from other sources, including any combination of past performance information available. This may include data gathered from Offeror-provided references, PPQs, or through the use of interviews. Furthermore, the Government may use data independently obtained from other governmental and commercial sources, other customers known to the Government, consumer protection organizations, contractor performance evaluations (e.g., Past Performance Information Retrieval System (PPIRS) information), interviews with Government customers and fee determining officials, Defense Contract Management Agency (DCMA) officials, Defense Contract Audit Agency (DCAA) officials, and, if applicable, commercial clients, and any other source that may have relevant and useful information.

In evaluating past performance, the Government will first make a Recency determination, followed by an evaluation of Relevancy of the past performance submitted, and finally, a performance Quality assessment will be made. Based on Recency, Relevancy, and Quality, an overall Performance Confidence Rating will be assigned.

Recency assessment. An assessment of the past performance information will be made for each citation to determine if it is recent. (See Paragraph 4.2.2) Past performance information that is not recent will not be evaluated for relevancy and quality.

Relevancy assessment. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine how closely the services performed under those contracts relates to the PWS and comparative magnitude of the effort. (See Table 2.2)

The Government is not bound by the Offeror’s opinion of relevancy. The data obtained from other sources will be considered in establishing the relevance of past efforts. The Government will, as deemed necessary, confirm past performance data identified by the Offerors in their proposals.

In considering how Relevant an Offeror’s present or recent past performance history is to this acquisition, the Government will assign one of the Relevancy ratings found in the Past Performance Relevancy Ratings Table 2-2 of this section. The definition of relevancy is tailored to the unique aspects of this acquisition. Relevancy will be assessed on all citations offered which were determined to be recent.
