About this file

This document is Exhibit E, Special Terms and Conditions for a Commercial Car Rental Services contract issued by the California Department of General Services (DGS) Procurement Division for Event ID #0000036459. While specific contract details about quantities, pricing, or term are not fully outlined in this exhibit, the document provides critical operational guidelines for the car rental service contract, including provisions for corrective action plans, dispute resolution, contract termination, recall compliance, and statutory adherence.

The exhibit emphasizes key operational requirements such as the contractor's obligation to notify DGS within 24 hours of potential service-impacting issues, maintain compliance with contract terms, and ground vehicles subject to manufacturer recalls. The contract establishes exclusive base rates for short-term and long-term car rentals across non-federal government business in California, with non-federal agencies required to be directed to DGS for rate inquiries. The contractor must also comply with all existing and future state, federal, county, and municipal laws and regulations affecting the service, with potential penalties including service-level adjustments, location restrictions, or contract termination for non-compliance.

Department of General Services Commercial Car Rental Services Procurement Division Event ID #0000036459 Exhibit E

EXHIBIT E, SPECIAL TERMS AND CONDITIONS

1. CORRECTIVE ACTION PLAN

The Contractor shall ensure full compliance with all Commercial Car Rental contract terms. Service delays and complaints shall be monitored continuously.

The Contractor shall notify DGS-STP within 24 hours of any potential service-impacting issues (e.g., late vehicle delivery, vehicle shortages, manufacturer recalls, maintenance concerns, branch closures).

If a deficiency is identified, DGS-STP shall issue a written notice specifying the issue and required corrective actions to the Contractor’s representatives.

Contractor and DGS-STP representatives shall meet as needed to exchange information regarding any deficiency.

The Contractor’s representatives shall address the issue by coordinating with the relevant branch, employee, or team responsible, or by implementing the required corrective actions directly.

Both party representatives shall discuss the matter and negotiate in good faith to resolve the deficiency.

If an agreed upon resolution is not reached through negotiation, DGS-STP shall make a determination about the matter, reduce the decision to writing, and send a copy to the Contractor’s representative.

The Contractor will have 14 calendar days (“cure period”) to submit feedback or implement corrective actions on identified deficiencies.

If the deficiency is not resolved within the cure period, DGS-STP may issue a final written notice requiring immediate corrective action. Failure to comply within the final notice timeframe may result in penalties, service-level adjustments, location restrictions, or contract termination at DGS-STP’s sole discretion.

The entire corrective action process, including deficiency identification, negotiation, resolution, and implementation of corrective actions, should be completed within 30 calendar days from the date of the initial written notice issued by DGS-STP. Timely resolution is essential to maintaining service quality and contractual compliance.

2. RESOLUTION OF CONTRACT DISPUTES

In the event of a dispute, the Contractor will attempt resolution with the DGS-STP Contract Administrator with a written explanation of the situation. If no resolution is found, the Contractor shall file a “Notice of Dispute” with the DGS Office of Fleet and Asset Management Office Chief within ten (10) business days of the failed resolution at the following address:

Department of General Services Office of Fleet & Asset Management 1700 National Drive Sacramento, CA 95834 Attention: Office Chief Within ten (10) business days, the Office Chief shall meet with the Contractor for purposes of resolving the dispute. The decision of the Office Chief shall be final.

3. RIGHT TO TERMINATE

The State reserves the right to terminate this contract subject to 30 calendar days’ written notice to the Contractor for non-appropriation of funds or for convenience in accordance with the non-IT General Provisions, (rev 02/20/2025), Sections 11.1 and 11.2.

The contract may be immediately terminated for cause. The term “for cause” shall mean that the Contractor fails to meet the terms, conditions, and/or responsibilities of the contract. Termination shall be effective as of the date indicated in the State’s written notice.

In cases of termination for cause, the Contractor shall be held liable for all reasonable and actual costs incurred by the State in securing a replacement Contractor, including administrative costs, delays, and increased expenses resulting from the transition.

4. COMPLIANCE WITH RECALL NOTIFICATIONS

When the Contractor receives a recall notice to owners under Section 30118 of the Federal Motor Vehicle Safety Act pursuant to 49 CFR 577.5 from a manufacturer and the Vehicle Identification Number (VIN) allowing the Contractor to identify vehicles subject to the recall, the Contractor shall ground all such vehicles as soon as practicable. Pursuant to this policy, such vehicles will not be made available for rental under the contract until a remedy specified by the manufacturer has been completed.

5. SPECIFIC STATUTORY REFERENCE

Any reference to certain statutes in this contract shall not relieve the Contractor from the responsibility of complying with all other statutes applicable to the service, work, or rental to be furnished thereunder.

6. EXCLUSIVITY

The base rates established for Short-Term and Long-Term car rentals are exclusive to this contract across all non-federal government business in the State of California. Non-federal government agencies in the State of California that inquire with the Contractor about the Short-Term and Long-Term rates offered in this contract must be directed to DGS-STP.

7. LAWS TO BE OBSERVED

The Contractor shall keep fully informed of all existing and future State and federal laws and county and municipal ordinances and regulations which in any manner affect those engaged or employed in the work, the materials used in the work, or which in any way affect the conduct of the work, and of all such orders and decrees of bodies or tribunals having any jurisdiction or authority over the same.

The Contractor shall always observe and comply with and shall cause all agents and employees to observe and comply with all such existing and future laws, ordinances, regulations, orders, and decrees of bodies or tribunals having any jurisdiction or authority over the work. The Contractor shall protect and indemnify the State of California and all officers and employees thereof connected with the work against any claim, injury, or liability arising from or based on the violation of any such law, ordinance, regulation, order, or decree, whether by the Contractor, a Subcontractor(s), or an employee(s). If any discrepancy or inconsistency is discovered in the contract for the work in relation to any such law, ordinance, regulation, order, or decree, the Contractor shall immediately report the same to the DGS-STP Contract Administrator.
