About this file

This is an Insurance and Indemnification Review Memo from the Orange County Transportation Authority (OCTA) Contracts Administration and Materials Management Department regarding RFP 250083 for On-Call Electrical Services. The Maintenance Resource Management Department requested on-call electrical services under a Time and Expense contract with a budget of $335,000 for a three-year term. The memo, dated January 6, 2025, was prepared by Ellis Hoskin, Senior Contract Administrator, and submitted to Edwin Byrne of Risk Management for review and approval of insurance and indemnification requirements prior to contract execution.

The insurance requirements include Commercial General Liability with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate; Automobile Liability with combined single limits of $1,000,000; Workers' Compensation as required by California law; Employers' Liability with $1,000,000 limits; and Professional Liability with $1,000,000 limits for contractors performing services involving professional judgment, analysis, testing, evaluation, certification, or compliance activities including arc-flash studies, electrical hazard analysis, system coordination, and NFPA 70E compliance services. The contractor must provide certificates of insurance within ten calendar days of agreement execution and maintain all coverage as primary and non-contributive to OCTA's insurance. Indemnification language requires the contractor to indemnify, defend, and hold harmless OCTA from claims arising from negligent acts, omissions, or willful misconduct by the contractor or its subcontractors. Risk Management approved the insurance requirements with a recommended revision to the Professional Liability wording to specifically reference the specialized services involved.
