About this file
This is an Organizational Conflict of Interest (OCI) disclosure and certification template that offerors must complete and submit as part of their proposal.
Offerors, including their subcontractors, consultants, and teaming partners, are required to disclose any actual or potential conflicts of interest relating to the contract work and certify their OCI status in writing. Offerors must select one of two certification options: either certify that no real or perceived OCI will result from contract award, or identify that a potential OCI may exist and submit an accompanying OCI Avoidance or Mitigation Plan. The OCI response must be signed by an authorized representative and will not count toward page limitations or be part of technical evaluation. The Contracting Officer will review any submitted OCI Mitigation Plan in accordance with FAR Subpart 9.5 requirements to determine eligibility for award. Award will only be made if the Contracting Officer determines that no OCI exists or that the submitted mitigation plan adequately protects government interests.

Text version
ORGANIZATIONAL CONFLICT of INTEREST (OCI) Offerors participating in this solicitation are directed to review the OCI information in FAR RFO Subpart 9.5 as it pertains to your participation in this acquisition and performance on other requirements. In order to prevent conflicting roles that might create an unfair competitive advantage or impair an Offeror’s objectivity in performing under this Contract, Offerors shall address actual or potential OCI concerns by complying with the requirements outlined below.
The Offeror (inclusive of any subcontractors, consultants, or teaming partners) shall disclose information concerning any actual or potential conflict relating to the work under this Contract and complete and sign an Organizational Conflict of Interest (OCI) Statement consistent with the format provided below. If such certification indicates that a real or apparent OCI may exist the Offeror shall include an appropriate OCI Avoidance or Mitigation Plan with the written submission addressing any actual or apparent OCI. All actual or potential OCI situations shall be handled in accordance with FAR RFO Subpart 9.5.
Any response to the OCI will not be counted in the page limitations of the technical quote; nor will it be part of the overall technical evaluation.
The Offeror hereby makes the following certification regarding its OCI status, to the best of its knowledge:
| (1) No real or perceived OCI, as defined in FAR 2.1 and discussed in FAR RFO 9.5, will result from an award of this contract. |
| (2) A real or apparent OCI may exist as a result of an award; therefore, an appropriate OCI Avoidance or Mitigation Plan is attached. |

The Contracting Officer (and when applicable the appropriate program office, acquisition manager, and legal counsel) will review the OCI Avoidance or Mitigation Plan in accordance with the requirements of FAR RFO Subpart 9.5 to determine whether award would be consistent with FAR requirements. If it is unilaterally determined by the Contracting Officer that no OCI would arise or that the OCI Avoidance or Mitigation Plan adequately protects the interests of the government in the event of award, the Offeror will be determined to be eligible for award.
