About this file
This document is a contractual terms and conditions template for a commercial products and commercial services acquisition, specifically an Alternate I version structured as a time-and-materials or labor-hour contract.
The contract incorporates extensive Department of Defense (DoD) and Federal Acquisition Regulation (FAR) clauses governing contractor conduct, compliance, and operational requirements. Key contractual elements include: labor is compensated at prescribed hourly rates with fractional hours paid on a prorated basis; materials are reimbursed at actual cost not exceeding established catalog or market prices, adjusted for quantity and contract-specific modifications; and indirect costs are reimbursed on a fixed-price, pro-rata basis over the performance period. The contract establishes a ceiling price that the contractor must use best efforts to remain within, with mandatory notifications to the Contracting Officer at 85 percent ceiling price utilization. Payment is processed through the Wide Area Workflow (WAWF) system using specified document types based on contract line item type. The Government reserves the right to terminate for convenience or cause, with different payment methodologies applied depending on termination type. The contract includes standard Government inspection and acceptance rights, with a 60-day presumed acceptance period for delivered services or materials, and permits the Government to require replacement or correction within six months of delivery. Additional compliance requirements address cybersecurity safeguards, covered defense telecommunications equipment restrictions, small business subcontracting limitations (50 percent for services, 50 percent for supplies excluding materials, 85 percent for general construction, 75 percent for special trade construction), whistleblower protections, and tax withholding obligations for foreign persons under 26 U.S.C. 5000C.
