Section L - Instructions, Conditions, and Notices to Offerors
1.0 GENERAL INFORMATION
1.1 General
1.1.1 This section of the Instructions to Offerors (ITO) provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposals. The Offeror’s proposal must include all data and information requested by the ITO and must be submitted in accordance with (IAW) these instructions. Any Offeror who submits an incomplete package may be considered ineligible for award. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS) and the entire Solicitation, including attachments.
1.1.2 The Government will evaluate the information presented in the Offeror's submission. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. It is the Offeror’s responsibility to provide a submission that enables the Government to effectively evaluate the Offeror’s submission. The
Offeror has the burden to provide a submission that demonstrates the Offeror has an accurate understanding of the requirements; the Offeror has viable solutions for the requirements; and the
Offeror is able to meet the requirements. The Offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.
1.1.3 The proposal should not simply rephrase or restate the Government's requirements, but rather provide convincing rationale to address how the Offeror intends to meet these requirements.
Where appropriate, specific examples of an Offeror’s processes may be used to demonstrate how the Offeror will meet the Government’s requirement. Offerors shall assume the Government has no prior knowledge of the Offeror’s experience or capability and will base the Government’s evaluation on the information presented in the Offeror’s proposal. Statements that the Offeror will provide a particular feature or objective without explaining how the Offeror proposes to meet that feature or objective are generally inadequate and may adversely impact the Government’s evaluation of the Offeror. The following types of statements are also considered inadequate:
1.1.3.1 Unsupported statements that the Offeror allegedly understands the requirements.
1.1.3.2 Unsupported statements that the Offeror allegedly can or will comply with requirements.
1.1.3.3 Unsupported statements that simply paraphrase the requirements.
1.1.3.4 Undefined or unexplained statements such as “best commercial practices will be used.”
1.1.3.5 Undefined or unexplained statements such as “standard procedures will be used.”
1.1.3.6 Undefined or unexplained statements such as “well-known techniques will be employed.”
1.1.4 Offerors are strongly encouraged to carefully review all Government provided information and documents, to include, but not limited to: submittal instructions (including attachments), the
Performance Work Statement (PWS), Section M – Evaluation Factors for Award and all Section
L – Instructions, Conditions, and Notices to Offerors.
1.1.5 Elaborate brochures, documentation, binding, detailed artwork, pictures or other embellishments are unnecessary and are not desired.
1.1.6 Minimum Proposal Acceptance Period. Offeror’s proposals must be valid for 12 months from proposal submittal date. The term “acceptance period,” as used in this Solicitation, means the time period available to the Government to award a contract from the date specified in this
Solicitation for receipt of proposals. The Government anticipates an award being made between
15 January 2021 and 31 March 2021.
1.1.7 IAW Federal Acquisition Regulation (FAR) Subpart 4.8, Government Contract Files, the
Government will retain one copy of all proposals. All additional copies of proposals will be destroyed by the Government after contract award.
1.1.8 Proposals that address only a subset of the Solicitation may be deemed incomplete and ineligible for award.
1.1.9 Oral presentations will not be accepted.
1.1.10 If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer (CO)
(identified in Table L.1.4 in writing with supporting rationale, to include the remedies the Offeror is requesting the CO consider as related to the omission or error.
1.1.11 A pre-proposal conference is expected to occur prior to the proposal submission date, however, due to COVID-19 the conference dates are postponed at this time. A 3 day conference will be held at Vance AFB, OK over a 5 day period with the first and last day as travel days.
Attendance will be limited to five (5) attendees per Offeror. Transportation will be provided once on base. The tentative schedule is below:

1.1.12 Electronic Documents
1.1.12.1 All referenced documents for the Solicitation are available on Beta System for Award
Management at https://beta.SAM.gov/ to include any future amendments to the Solicitation.

1.1.12.2 Amendments to Solicitation. If the Solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this request by signing and returning the front page of each amendment no later than the date and time specified in the amendment(s).
1.1.12.3 Submission, Modification, Revision, and Withdrawal of Proposals. Proposals and modifications to proposals shall be submitted via these instructions to the Points of Contacts
(POCs) identified in Table L.1.4.
1.2 Organization/Number of Copies/Page Limits
1.2.1 Proposals must be submitted in electronic format by mail or hand delivery ONLY, using one of the following “read only” electronic communications storage medium: CD-R or DVD-R as specified in Table L.1.2., Proposal Organization and paragraph 1.2.4. The outside of the sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the Solicitation Number, the name of the Offeror and the Offeror POC name, address, and phone number.
1.2.2 Proposal Organization Table. The Offeror shall prepare the proposal and provide the number of copies set forth in Table L.1.2.
1.2.3 Title Pages: The Title Page of each volume must show the Solicitation number, as well as the Offeror’s name, address, telephone number, and e-mail address.

1.2.4 Page Format and Limitations
1.2.4.1 Page Format. The following page formats apply to Volumes I and II. A page is defined as each face of a sheet of paper containing information. Page size shall be 8.5 x 11 inches. Page line spacing shall be single spaced. The font shall be Times New Roman, no less than 12 points.
Headers and footers are excluded from this text requirement. Margins on all four edges of each sheet shall be at least one inch. Proprietary statements, security markings, and page numbers can fall within the defined margin area. Pages shall be numbered sequentially by volume. These page format restrictions shall apply to Offeror responses to Evaluation Notices (EN) as well, in the event discussions are held.
1.2.4.2 Change Pages. During or after discussions, if held, any change pages submitted shall clearly mark the changed information with a vertical line in the right margin of the page. The revision number and date shall be reflected on each changed page (preferably on, or next to, the vertical change line). Make spreadsheet revisions obvious by highlighting cells that changed.
1.2.4.3 Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated and shall not exceed 11 x 17 inches in paper size or be less than size 10 font. Each
11 x 17 inch page will count as two pages. The following limitation only applies to the Technical
Volume: text intended for evaluation within all figures, charts, tables, and graphs, to include imbedded images, shall be no less than size 10 font. The size 10 font requirement includes the caption of the figures, charts, tables, and graphs. It shall also include callout/focus boxes. Any text within figures, charts, tables, and graphs which do not meet this requirement will not be considered in the evaluation.
1.2.4.4 Page limitations listed in Table L.1.2 shall be treated as maximums. If exceeded, the excess pages will not be considered in the evaluation of the proposal. Page limitations may also be placed on Offeror responses to Evaluation Notices (ENs) in the event discussions are held. The specified page limits for EN responses will be identified in the Government’s request. Each page shall be counted except the following: blank pages, title pages, tables of contents, tabs, indexes, glossaries, and those noted in Paragraph 2.2, Volume Organization, as well as those noted in the
Proposed Organization Chart at Table L.1.2 as unlimited.
1.2.5 Cross-Referencing: Each volume shall be written on a stand-alone basis so its contents may be evaluated without cross-referencing to other volumes of the proposal. Information required for proposal evaluation that is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted when its use would conserve space without impairing clarity and must be kept to a minimum so proposal quality is not impaired. The specific page, section, paragraph, line, etc. location of the cross-referenced material must be included in the text at the point of reference to avoid any confusion. A cross-reference table should not be used as the sole means of identifying cross-referenced material.
1.2.6 Individual subcontractor/vendor proprietary information may be submitted via separate
CD/DVDs, if necessary. The information contained in these CD/DVDs must be referenced within the Offeror’s main proposal where the information would have been included if it were not subcontractor/vendor proprietary submitted separately. The information in these separate
CD/DVDs is subject to all other requirements of the Solicitation; contributes to the overall page limit per Table L.1.2;, and must be well-marked to clearly indicate subcontractor/vendor proprietary information.
1.2.6.1 Restriction of Disclosure/Proprietary Information. If the Offeror wishes to restrict the disclosure or use of its proposal, use the legend permitted by FAR 52.215-1(e), Instructions to
Offerors - Competitive Acquisition.
1.2.6.2 Table of Contents: Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. The Table of Contents are not included in the page limit associated with each volume.
1.2.7 Tables and Figures: Tables and figures are included in the page limit associated with each volume, except for those identified in paragraph 1.2.6.2, Table of Contents.
1.2.8 Glossary of Abbreviations and Acronyms: Each volume shall contain a glossary of all abbreviations and acronyms used with an explanation for each; however, the Glossary pages are not included in the page limit associated with each volume.
1.3 Submissions
1.3.1 The Offeror shall submit ALL required proposal information in CD/DVD format only. Any other electronic method of submission, including email, will not be accepted. CD/DVDs shall be
“read-only”. No file compression utilities, such as .zip, may be used. The copies of the proposal shall be submitted in an electronic format (CD/DVD) searchable by Microsoft (MS) Word 2007, 2010 or 2016; MS Excel 2007, 2010 or 2016; MS Project 2007, 2010 or 2016; MS Power Point
2007, 2010 or 2016; and Adobe Acrobat (PDF).
1.3.1.1 The Offeror must ensure the CD/DVD submission is readable, in the format specified in the paragraph 1.2.4 and is free of computer viruses. Prior to any evaluation, the Government will check all files for viruses and ensure all information is readable. If any files contain viruses and/or are defective (unreadable), the Government may only evaluate the readable/virus free files. If the defective (unreadable) media renders a significant deficiency in the Offeror's proposal, the
Government may consider the proposal unacceptable and be ineligible for award.
1.3.1.2 Submission of offers. Submit signed and dated offers to the office identified in Table
L.1.4 on or before the date and time specified in paragraph 1.4.2.
1.3.1.3 Offerors are cautioned that JBSA-Randolph has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass to gain entrance. SOME
DELAY SHOULD BE ANTICIPATED WHEN HAND CARRYING PROPOSALS. Offerors are responsible for allowing sufficient time to obtain a visitor pass and deliver the proposal PRIOR to the time specified for receipt and are encouraged to review the requirements for JBSA-Randolph entry on the website: https://www.jbsa.mil/information/Visitor-Information/JBSA-Randolph-
Visitor-Access-Procedures/. Contact the POCs identified below in Table L.1.4 with questions regarding base entry, in advance.
1.3.1.4 It is the Offeror's responsibility to confirm receipt of all formal communications.
Verification of receipt of communications can be done via email or telephone.
1.3.1.5 Late proposals will be processed IAW FAR 52.215-1(c)(3), Submission, Modification, Revision, and Withdrawal of Proposals.
1.4 Distribution
1.4.1 Solicitation Questions: The Contracting Officer (CO) is the sole point of contact (POC) for this acquisition. Questions pertaining to the Solicitation, or any of its attachments shall be submitted in writing using the Solicitation Question and Comment Form and corresponding spreadsheet (ref: Solicitation, Section J, Attachment 6). The Government will host two rounds of https://www.jbsa.mil/information/Visitor-Information/JBSA-Randolph-Visitor-Access-Procedures/ https://www.jbsa.mil/information/Visitor-Information/JBSA-Randolph-Visitor-Access-Procedures/ questions. The first round of questions must be submitted no later than (NLT) 10:00 AM Central
Time on 20 April 2020. Submit questions or concerns to all POCs listed in Table L.1.4. The second round of questions will be accepted following the pre-proposal conference at Vance AFB, Oklahoma. More information will be provided at a later date. The Government will attempt to answer all questions, but will not accept questions submitted after the due date stated above.
1.4.2 Proposals shall be submitted to the Contracting Officer listed in Table L.1.4 below and are due NLT 10:00 AM Central Time on 19 May 2020. The proposal shall consist of a cover letter and four (4) separate Volumes IAW Table L.1.2: Volume I - Technical, Volume II - Past
Performance, and Volume III – Pricing, Volume IV – Contract Documentation.
1.4.3 The cover letter shall include the following:
a) Small Business Status/Categories as appropriate
b) Company point of contact with email and phone number
c) Cage Code & DUNS number
d) Tax Identification Number (TIN)
e) A statement that your company understands the requirements specified in the
Performance Work Statement (PWS) and will meet the performance standards and requirements therein.
f) A statement that your company does or does not take exception to any of the requirements of the PWS or terms/conditions of the resulting contract. Exceptions taken shall be clearly identified and defined.

2.0 Volume I – Factor 1: Technical
2.1 General
2.1.1 The Technical Volume shall be specific and complete. Legibility, clarity and coherence are very important. Offeror’s responses will be evaluated against the Technical criteria defined in
Sparaection M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible, the actual methodology Offeror would use for accomplishing/satisfying the required criteria. All the requirements specified in the Solicitation are mandatory. The Offeror should not simply rephrase or restate the Government's requirements, but rather provide convincing rationale to address how the Offeror intends to meet these requirements.
2.2 Volume Organization. The Technical Volume shall be organized according to the following outline:
a) Table of Contents (Not included in the 120 page limit)
b) List of Tables and Figures (Not included in the 120 page limit)
c) Subfactor One (1) – Fire & Emergency Services (F&ES)
d) Subfactor Two (2) – Network and Information Technology (IT) Infrastructure

2.3 Subfactor 1: Fire & Emergency Services (F&ES) (PWS Section 18):
2.3.1 The Offeror shall propose an approach which demonstrates the capability to perform Fire and Emergency Services (F&ES) for protection of Vance Air Force Base community, personnel, property and the environment 24 hours a day, 7 days a week, to include:
a) Process and dispatch requests for emergency assistance from voice and automated receiving devices; (PWS 18.1.2.2.5.1.)
b) Process and forward routine administrative calls and notifications with a qualified and certified Emergency Communication Center (ECC) operator; (PWS 18.1.2.2.5.)
c) Respond with the required number of qualified personnel and appropriate equipment to fires, fire alarms, aircraft incidents, automobile accidents, hazardous material incidents, rescues, Emergency Medical Service (EMS) incidents and miscellaneous fires/emergency situations; (PWS 18.1.2.2.6.)
d) Perform emergency medical response IAW PWS paragraph 18.1.2.2.6.9.
e) Propose a management approach which demonstrates the capability to ensure F&ES vehicles are maintained in a constant state of readiness, and ensure all vehicles are inspected, tested and maintained as required by applicable directives, instructions, regulations, standards, National Fire Codes, manufacturers’ recommended instructions and military technical orders. (PWS 18.1.2.2.7.2.)
2.4 Subfactor 2: Network and IT Infrastructure (PWS Section 7):
2.4.1 Offeror shall propose an approach for operation and maintenance of the Network Control
Center, and operation, maintenance and repair of the IT infrastructure that supports the internal and external connectivity of the base.
2.5 Subfactor 3: Civil Engineering (PWS Sections 10, 11, & 12):
2.5.1 The Offeror shall propose an approach to:
a) Respond to high priority work orders and complete/eliminate the situation or downgrade the work order priority classification in accordance with the time periods specified in
PWS paragraph 11.1.2.2.1.2.3.;
b) Remove debris, snow, and ice from paved areas including streets, airfields, walkways, parking lots, and other similar surfaces in accordance with base snow and ice removal and control plan; (PWS 11.1.2.3.1.1.)
c) Manage and direct projects from design to construction completion using cradle-to-grave concepts; (PWS 12.1.2.2.)
d) Provide construction inspections for all facility projects performed on the installation and associated properties; (PWS 12.1.2.2.1.4.1.) and
e) Demonstrate how they will comply with all environmental compliance aspects of the civil engineering water programs. (PWS 10.1.2.5.4.)
2.6 Subfactor 4: Logistics (PWS Sections 23 and 25):
a) The Offeror shall propose a process for warehouse management functions to include storing and accounting for all in-warehouse supply and equipment. (PWS 23.1.2.)
b) The Offeror shall propose a process demonstrating how they will maintain a robust, reliable and safe fleet of vehicles, ensuring vehicles are operable, safe & ready for use, and maintain fleet Mission Capability (MC) Rate of 90% or greater. (PWS 25.1.3.6.10.)
2.7 Subfactor 5: Program Management and Staffing Approach:
a) The Offeror shall provide an organizational structure that the company will employ while performing this effort, to include lines of authority.
b) Offeror shall propose a work breakdown structure by shift, skill classification and work unit for the basic contract and all option years (Section J, Attachment 11). Work breakdown structure shall include details of onsite personnel by skill mix, grade, and numbers; a detailed description, with the proposed roles and responsibilities, to include cross-utilization and position qualifications/descriptions sufficient to meet projected workload/PWS requirements. The proposed work breakdown structure will be incorporated into the contract upon award. Current demographic data is located below in paragraph 2.7.1.
c) The Offeror shall propose a plan to meet the requirements of performance on the first day of contract operations to include the following:
1) A detailed strategy and timeline to recruit, train, and qualify and/or certify personnel during the 45-day mobilization period resulting in a staffed and qualified contractor workforce performing on the first day of contract operations (PWS 2.1.18.2.1.);
2) An equipment and vehicle inventory which will be available for use to support required performance on the first day of contract performance, and will remain available for the life of the contract (PWS 2.1.18.2.2.);
3) Approach to ensure 100% coverage of custodial maintenance for designated Child
Development Centers and Youth Center facilities IAW AFI 34-248 Child Development
Centers, and AFI 34-249 Youth Centers; and providing restroom/locker room cleaning services; emptying waste/recycling containers/dumpsters based on historical data upon contract start date (PWS 13.1.1.1. and all subparagraphs).
2.7.1 The table below contains the span of demographic data of the current workforce as of 14

3.0 Volume II – Factor 2: Past Performance
3.1 General
3.1.1 Volume II shall be prepared and organized IAW these instructions and paragraph 3.2. of
Section L. Each Offeror’s proposal will be evaluated IAW the evaluation criteria in Section M –
Paragraph 3.0, Evaluation Criteria. The following will apply:
3.2 Volume Organization
3.2.1 The Past Performance Volume shall be organized according to the following outline:
a) Table of Contents
b) Summary Page
c) Past Performance Questionnaire
d) Specific Content
e) Subcontractor Letters of Consent/Client Authorization Letters
f) Organizational Structure Change History
g) Glossary
3.2.2 Volume II - Past Performance shall contain a detailed table of contents to delineate the subparagraphs within that volume.
3.2.3 Summary Page, limited to one (1) page, shall describe the role of the Offeror and each subcontractor, teaming partner, and/or joint venture partner for whom the Offeror is electing to provide Past Performance IAW Section L, paragraph 3.2.4. The Summary Page shall also indicate the percentage and type of work the Offeror and each subcontractor, teaming partner, and/or joint venture partner will perform.
3.2.4 Past Performance Questionnaire (PPQ) – See Section J, Attachment 5. The information contained in the questionnaires will be used to evaluate the Offeror’s past performance. Offeror shall submit PPQs on a minimum of three (3), but no more than a cumulative total of six (6), contracts identifying active or completed contracts (either Government or commercial), that
Offerors consider recent and relevant consistent with the definitions in Section L, paragraphs
3.2.5.1.3 and 3.2.5.1.4, in demonstrating the ability to perform the proposed effort. Of the cumulative total of six (6) contracts, three (3) contracts must be prime contractor contracts which allows a maximum of three (3) contracts specific to subcontractors and/or teaming/joint venture partners performing meaningful work to achieve successful performance. The Offeror and their subcontractors, teaming/joint venture partners, as applicable, shall forward the PPQ to the POC responsible for monitoring contract performance. The responsibility to send out and ensure
Government receipt of the PPQs rests solely with the Offeror. The Offeror is responsible for completing Section 1 of the PPQ; submitting them with their proposal; and forwarding those PPQs to the contract’s POCs. The POCs shall return the questionnaires via email DIRECTLY to the points of contact listed in Table L.1.4, Email and Telephone Contact Information NLT 3 May
2020. Please instruct POC to contact references listed in Table L.1.4 with any questions. The
Offeror shall exert its best effort to ensure that a current POC, per relevant contract, submits a completed PPQ directly to the Government not later than the proposal due date. Any questionnaires not returned directly to the Government point of contacts, will not be reviewed and evaluated.
3.2.4.1 The evaluation will be based on the Offeror’s/subcontractor’s/teaming partner’s/joint venture firm’s present/past performance and NOT on specific individuals.
3.2.5 Ordering-Type Contracts Submission: In an ordering-type contractual vehicle, performance is demonstrated at the order level (i.e. a Delivery/Task Order). Therefore, if the contract being submitted is an ordering type contractual vehicle (for example, an Indefinite Delivery “D” type contract per FAR Subpart 16.5, Indefinite-Delivery Contracts), the Offeror shall submit the individual Delivery/Task Order (or series of orders) of the same continuous technical scope for evaluation, in lieu of the basic ordering contract itself. The Government will use the information submitted for each order (or series of orders) under one Ordering Contract to evaluate the effort’s recency, relevancy, and performance quality for that Ordering Contract. Government reserves the right to request additional information from the Offeror’s POCs to verify a series of orders.
3.2.5.1 Series of Orders: If a series of orders is submitted for evaluation, the Offeror shall provide the total dollar value and total period of performance for each order in the series. All orders (Task or Delivery) associated with a basic ordering contract shall be counted as one contract for the purposes of evaluation.
3.2.5.1.1 The Government will sum the Period of Performance of each order to calculate the total
Period of Performance for the series of orders, to be used in the evaluation. Only orders that meet the Recency definition in Section L, paragraph 3.1.2 will be evaluated.
3.2.5.1.2 The total Period of Performance for the submitted effort’s series of orders, as well as the technical complexities and programmatic/logistical scope and magnitude of effort, will be evaluated to arrive at a Relevancy Rating for the total effort.
3.2.5.1.3 Recency Definition. To be recent, at least 12 months of the effort’s period of performance must have been performed during the past five (5) years from the date of issuance of this Solicitation.
3.2.5.1.4 Relevancy Definitions. Relevant performance is defined as efforts involving a similar scope and similar magnitude of effort and complexity as this Solicitation requires. For a description of the characteristics or aspects the Government will consider in determining relevance, see Section J, Attachment 9, Relevancy Assessment Matrix. The Government is not bound by the Offeror’s opinion of relevancy.
3.3 Specific Content.
3.3.1 If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the Past Performance volume a description of programs or actions taken to resolve those causes. Problems not addressed, but found by the Government during the evaluation of the information in this volume, will be assumed to still exist. Note: In the case of Contractor Performance Assessment Report System
(CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.
3.3.2 Organization Structure Change History: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include with the proposal volume a “roadmap” describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify. Since the Government intends to consider present and past performance provided by other sources as well as that provided by the Offerors, your “roadmap” should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
3.4 Early Proposal Information
3.4.1 Early proposal information associated with Volume II Past Performance is requested to be submitted within 30 calendar days after the request for proposal is posted. This will facilitate a timelier past performance evaluation. Failure to submit Volume II by the earlier date will not result in Offeror disqualification.
3.5 Past Performance
3.5.1 In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or is so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance [see FAR 15.305(a)(2)(iv)]. Therefore, the Offeror shall be determined to have unknown (or “neutral”) past performance [see FAR 15.305(a)(2)(iv)]. In the context of confidence ratings, a neutral rating shall be considered “neutral confidence”.
4.0 Volume III – Factor 3: Price
4.1 General. The Price Volume shall be prepared IAW Section L and will be evaluated IAW the evaluation criteria in Section M of this Solicitation. Compliance with these requirements is mandatory and failure to comply may render the proposal ineligible for award. Unreasonably low or high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the Offeror does not understand the requirement or has submitted an unreasonable proposal. The price proposed should correspond to the requirements of the PWS; therefore, an unreasonably low price or a price of zero may be considered unreasonable. Any CLIN price that is an unreasonably low price or a price of zero must be supported with documentation. Additionally, unbalanced pricing may pose an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal. The CLIN pricing breakdown shall be submitted in the format provided in Section B of the Solicitation.
4.2 Volume Organization: The Price Volume shall be organized according to the following outline:

c) Glossary of Abbreviations and Acronyms
d) Exceptions and Rationale
4.3 Specific Instructions
4.3.1 A completed Section B: The Offeror shall propose and insert whole dollar CLIN unit prices, with no decimal places, for each Firm-Fixed-Price (FFP) CLIN of the Base Period and each Option
Period in the Section B Price Schedule of the Solicitation. The total extended amount for the FFP
CLINs must equal, to the dollar, the unit price multiplied by the quantity of units. The sum of all
FFP CLINs, for the Base Period and each Option Period, will form the Offeror’s Total Evaluated
Price (TEP). The Offeror shall NOT propose a price on cost-reimbursable CLINs. The proposed prices in Section B must be based on the Offeror’s own technical approach submitted in the
Technical Proposal (Volume I). The proposed prices for each FFP CLIN must demonstrate a logical correlation to the staffing (e.g., skill mix, grade, numbers, skill classification) proposed in the Technical Proposal as well as all support required to meet the mission requirements of that
CLIN. NOTE: Rounding of prices shall be accomplished at the CLIN unit level only.
4.3.2 The source selection will be conducted with the expectation of adequate price competition for this acquisition per FAR 15.403-1(c)(1); therefore, certified cost or pricing data are not required per FAR 15.403-1(b). However, Offerors may provide the appropriate type and quantity of data other than certified cost or pricing data they determine necessary to establish, substantiate and support the basis and rationale for the determination of a fair and reasonable and balanced FFP
CLIN price IAW FAR 15.402(a)(3) and FAR 15.404-1(g). The supporting documentation shall be submitted in Microsoft Word/Excel format, with all cell formulas viewable, to explain all data associated with the proposed FFP CLIN unit prices. The submission of inadequate documentation may render the proposed price not to be determined fair, reasonable and/or balanced; therefore the proposal may be deemed incomplete and ineligible for award. All supporting pricing documentation must be included in the Price Proposal Volume (Volume III) only. Under no circumstances shall any pricing documentation be included elsewhere in the proposal.
4.3.2.1 Price Documentation submitted to support Fair and Reasonable and balanced price, may include, but is not limited to, the following:
a) Labor Rates
b) Direct and Indirect Burdens/ Fringe Rates
c) Other Direct Costs
d) Forward Pricing Rate Agreements/Indirect Rates
e) Price approach or methodology
f) A consolidated listing of all disks and files submitted by the prime, joint venture partners, and/or critical, key subcontractors
g) Any additional data deemed necessary for the determination of a fair, reasonable and balanced price.
4.3.2.2 If, at any time during this source selection, the Contracting Officer determines that adequate price competition no longer exists or that price reasonableness cannot be determined, Offerors may be required to submit certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the Contracting Officer to determine price reasonableness.
4.3.3 These instructions, including the requirements for detailed FFP CLIN price and substantiation information, are equally applicable to all principals including joint venture partners, individual companies which comprise the proposed organization, and major subcontractors. If a subcontractor’s price is fair and reasonable IAW FAR 15.403-1(b) (1) & (2), then certified cost or pricing data are not required of that subcontractor. However, data other than certified cost or pricing data may be required.
4.3.4 The Offeror shall provide a statement acknowledging compliance with the Service Contract
Labor Standards (SCLS) Wage Determination (WD). The SCLS WD provided in Section J, Attachment 2, is applicable to this requirement. The Offeror’s statement shall also acknowledge the following:
4.3.4.1 The prices proposed for labor covered by the SCLS WD were formulated in consideration of the rates specified in the document as required for covered contractor personnel; and
4.3.4.2 The prices proposed for labor covered by the SCLS WD were not escalated beyond the basic period of performance.
4.3.5 The Offeror shall also provide a statement acknowledging compliance with the Collective
Bargaining Agreement (CBA). The CBA provided in Section J, Attachment 3, is applicable to this requirement. The Offeror’s statement shall also acknowledge the following:
4.3.5.1 The prices proposed for labor covered by the CBA were formulated in consideration of the rates specified in the CBA as required for covered contractor personnel; and
4.3.5.2 The prices proposed for labor covered by the CBA were not escalated beyond the basic period of performance.
4.3.5.3 The offeror developed their prices with the demographic data of the current workforce as specified in paragraph 2.7.1 above.
5.0 Volume IV – Contract Documentation
5.1 General. The purpose of Volume IV is to provide information to the Government for preparing the contract document and supporting file. The Offeror's proposal shall include a signed/dated copy of the Solicitation. The Offeror’s proposal shall also include a signed/dated copy of each Solicitation Amendment.
5.2 Solicitation/Representations and Certifications
5.2.1 Contractor Responsibility. To assist the CO in determining contractor responsibility IAW
FAR Subpart 9.1, Responsible Prospective Contractors, Offerors shall explain how they plan to maintain adequate financial resources for a contract of this magnitude and length. Offerors shall address their fiscal plan for covering mobilization, unexpected or emergency situations, and initial performance costs prior to recoupment in the form of monthly invoice payments. Offerors must provide complete financial statements for the last three years and Statements of Cash Flows for the firms or corporations proposed, as well as year-to-date financial information through the last quarter available. The year-end financial statements must be certified by an independent accounting firm, if practicable, or at least by an authorized officer of the organization. In addition, Offerors shall explain how performance of the resultant contract will be funded. If the Offeror intends to rely on internally available working/operation capital, evidence of availability must be submitted. If the Offeror plans to rely on financial support from other sources, identify the maximum lines of credit that may be available to include documentation to support the amounts and a point of contact and phone number for the lender. The maximum lines of credit must include this requirement’s scope of work. If the Offeror is a combination of firms (including joint venture partners, individual companies which comprise the proposed organization, and/or major and key subcontractors), discuss the financial responsibilities among the companies. Historical and year-to-date financial data shall be submitted for each company that makes up the Offeror, and the ability to fund contract performance shall be addressed for the combined firm.
5.2.1.1 Approved Accounting System for Performing Cost Type Contracts. The Offeror shall provide, within 30 calendar days after the Solicitation is posted, evidence of an approved accounting system. To perform a cost type contract/CLIN, the Offeror’s accounting system shall be adequate for determining costs applicable to the contract IAW FAR 16.301-3(a)(3), Limitations.
Therefore, the offeror shall provide current documentation to support an adequate accounting system. Support for an adequate accounting system is a matter of contractor responsibility in accordance with FAR 9.103 and 9.104-1(e) and must comply with DFARS 252.242-7006.
Documentation can consist of a report, finding, or letter with adequate substantiating data from a qualified source such as Defense Contracting Audit Agency (DCAA) or the Offeror’s cognizant
Defense Contract Management Agency (DCMA) Administrative Contracting Officer (ACO).
Offerors who have not had an Accounting System Review by DCAA or DCMA may, at the
Offeror's expense, submit information from an Independent Certified Public Accountant (CPA) or other qualified independent third party, verifying that the Offeror's accounting system complies with the requirements stated within DFARS 252.242-7006.
5.3 Section A - Solicitation/Contract Form
5.3.1 Complete blocks 12-18 of the Standard Form 33, Solicitation, Offer and Award (SF33). A
“wet” signature is required by the Offeror on the SF33 which constitutes an offer, which the
Government may accept.
5.4 Section B - Supplies or Services and Costs/Prices
5.4.1 The Offeror shall propose CLIN unit prices, rounded to the nearest whole number, for each
FFP CLIN of the Base Period and each Option Period per paragraph 4.3.1 above for Volume III.
The extended amount must equal the unit price multiplied by the quantity of units.
5.5 Section H - Special Contract Requirements
5.5.1 All Unique Contract Requirements are described in the special clauses in Section H of the
Solicitation. The Offeror shall provide required information to complete special clauses as required.
5.6 Section I - Contract Clauses
5.6.1 All other contract clauses are listed in Section I of the Solicitation. The Offeror shall provide required information to complete clauses as required.
5.7 Section J – Attachments

5.8 Section K - Representations, Certifications, and Other Statements of Offerors
5.8.1 Complete representations, certifications, acknowledgments and statements. Offeror is required to complete an online provision IAW FAR 52.204-8, Annual Representations and
Certifications (Dec 2019). The Offeror shall insert “none” into FAR 52.204-8(d) [if applicable] to indicate that the fill-in was not missed.
5.9 Exceptions to Solicitation Requirements
5.9.1 Offerors shall meet all Solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement may result in an offer being ineligible for award.
Offerors must clearly identify any exception to the Solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the Solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the Solicitation.
5.10 Other Information Required
5.10.1 Authorized Offeror Personnel
5.10.1.1 Provide the name, title, telephone number and e-mail address of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the
Government.
5.10.2 Company/Division Address, Identifying Codes, and Applicable Designations
5.10.2.1 Provide company division's street address, county and zip code; Commercial and
Government Entity (CAGE) code; Data Universal Numbering (DUNS) code; Taxpayer
Identification Number (TIN); size of business (large or small).
5.10.3 Teaming Arrangements and/or Letters of Intent
5.10.3.1 If applicable, Offerors shall complete Proposed Teaming/Subcontracting List.
5.10.3.2 If applicable, Offerors shall provide written contract teaming arrangement agreements, subcontracting letters of intent and other necessary agreements associated with joint ventures and mentor-protégés that clearly identify roles and responsibilities. All associated parties must sign the corresponding agreements and they must be in effect prior to date of proposal submission. This information will not be counted towards Offeror page limitations (unlimited) as noted in Table
L.1.2. Proposal Organization. If an Offeror proposes to use any type of joint venture, the Offeror must provide a copy of that agreement. The joint venture agreement must be signed by all parties, clearly identify the roles and responsibilities of each party, and be submitted along with the
Offeror’s proposal. The copy of the joint venture agreement provided by the Offeror will not be counted towards the Offeror’s page limitations (unlimited) as noted in Table L.1.2.
5.10.3.2.1. If applicable, provide complete, verifiable information detailing the joint venture, to include any relevant and recent information on previous teaming arrangements with same partner.
Submit information relative to the formation, organization and operation of the business unit.
Additional information that should be submitted shall include cost and revenue sharing agreements and any other information which describes the business arrangement. Disclose existing or planned agreements between and among the principals, each company’s responsibility for financial management of the venture, the business systems contemplated for use by the entity and their location.
5.10.4 Government Field Support Agencies
5.10.4.1 If applicable, identify the cognizant Defense Contract Audit Agency (DCAA) and
Defense Contract Management Agency (DCMA) office responsible for administration of the
Offeror’s Government contracts.
5.11 Alternate Proposals
5.11.1 No alternate proposals will be accepted.
5.12 Non-Government Advisors (NGAs)
5.12.1 Joint Strategic Technologies, LLC, Acquisitions Program Manager
