About this file

This document is an Exhibit establishing preconditions for award in a Managed Print and Copy Services contract opportunity for LEAD Public Schools in Tennessee. The preconditions outline the requirements that the apparent successful proposer must satisfy prior to contract execution. The selected vendor must provide all required documentation, certifications, licenses, insurance certificates, and references; execute LEAD's standard contract and related exhibits; demonstrate compliance with all applicable federal, state, and local laws and regulations; confirm availability of proposed equipment, software, supplies, maintenance, and support services; and submit a comprehensive implementation and transition plan addressing equipment deployment, installation, network integration, user support, training, and removal of existing equipment as applicable.

The apparent successful proposer must also confirm final pricing and service rates for all equipment costs, consumables, and implementation charges with no additional fees authorized unless expressly stated in the executed contract. The proposer must successfully complete negotiations regarding scope, pricing, service levels, and contract terms and obtain all required internal LEAD approvals including legal, financial, operational, and Board approval. Selection as the recommended proposer does not constitute a binding contract or guarantee of award. LEAD retains the right to withdraw its recommendation and proceed with another responsive and responsible proposer if the apparent successful proposer fails to satisfy any applicable precondition or if negotiations cannot be successfully completed.
