3. On Page 14-15, Deliverables, paragraph 4 is revised with changes marked in red, italic font as shown below:
Contractors are expected to maintain all reporting and delivery requirements throughout the contract performance period(s). The Contractor shall timely provide and the Government may inquire, request or require discussions and/or in writing statuses, updates, documentation, and reports to confirm, update, audit, adjudicate contractor performance from time to time or anytime during this contract. Failure to meet the stated shipping timeframes in the RFP may result in termination of the contract. These requirements shall include:
● Provide real time order status (terminal-to-terminal updates) and tracking information (tracking number and carrier);
● Tracking and Freight Carrier information shall be entered by the Original Equipment Manufacturer (OEM) into GSA’s ordering system prior to invoicing.
● Identify all supplies via a standardized system by wholesale standard or common manufacturer part number(s).
● Correctly mark, label, pack, and package orders destined for overseas shipping through a Defense Transportation System (DTS), Container Consolidation Point (CCP), or GSA 3PL facility.
4. In its place the new header will be titled, Contract Deliverable - Monthly Backorder Status Report, and it will read as shown below in red, italic font:
The Contractor shall furnish to both the Contracting Officer (CO) and the Contract Specialist via excel spreadsheet which include the following for each purchase order that will be and/or has been: (a) shipped late and (b) backordered in GSA’s ordering system during the reporting period no later than the fifth calendar day of the succeeding month.
● Period covered by the report
● Requisition number
● Purchase Order number
● Cause of delay
The reporting elements listed above may be unilaterally changed or updated by the Contracting Officer from time to time and at any time over the performance period of this contract based on the Government’s reporting requirements. Upon contract award, a template spreadsheet will be provided by the Government for the OEM’s use to provide these monthly backorder status reports.
6. On page 45-46, the contract clause, 552.216-71, Economic Price Adjustment—Special Order Program Contracts (Aug 2010), is revised and replaced with 552.216-71, Economic Price Adjustment—Special Order Program Contracts (Aug 2010) - Alternate I. With the incorporation of Alternate I, paragraphs (b), (e) and (f) are added to the basic clause, and the changes are marked in red, italic.
Economic Price Adjustment—Special Order Program Contracts (Aug 2010)
- Alternate I
(a)“Producer Price Index” (PPI), as used in this clause, means the originally released index, not seasonally adjusted, published by the Bureau of Labor Statistics, U.S. Department of Labor (Labor) for product code 332999 found under Table 332999332999 All Other Miscellaneous Fabricated Metal Products Manufacturing.
(b) Once during each 12-month period, the contract price may be adjusted upward or downward a maximum of 10% percent.
(1) For the first option period, any price adjustment for the product code shall be based upon the percentage change in the PPI released in the month prior to the initial month of the contract period specified in the solicitation for sealed bidding or the month prior to award in negotiation (the base index) and the PPI released in the third month before completion of the initial contract period stated in the solicitation (the updated index). This initial contract period may be less than 12months. The formula for determining the Adjusted Contract Price (ACP) applicable to shipments during the first option period is—
(2) For any subsequent option period, the price adjustment shall be the percentage change between the previously updated index (the new base index) and the PPI released 12months later (the most recent updated index). This percentage shall be applied to the Current Contract Price (CCP). The formula for determining the ACP applicable to shipments for the subsequent option period(s) is—
c) If the PPI is not available for the month of the base index or the updated index, the month with the most recently published PPI prior to the month determining the base index or updated index shall be used.
(d) If a product code is discontinued, the Government and the Contractor will mutually agree to substitute a similar product code. If Labor designates an index with a new title and/or code number as continuous with the product code specified above, the new index shall be used.
(e) Unless the Contractor’s written request for a price adjustment resulting from the application of the formulas in paragraphs (b)(1) or (2) of this clause is received by the Contracting Officer within 30 calendar days of the date of the Government’s preliminary written notice of its intent to exercise the option, the Contractors shall have waived its right to an upward price adjustment for that option period. Alternatively, the Contracting Officer in its written notice shall exercise the option at the CCP or at a reduced price when appropriate using the formulas in paragraphs (b)(1) or (2) of this clause.
(f) Price adjustments shall be effected by execution of a contract modification by the Government indicating the most recent updated index and percent of change and shall apply to delivery orders placed on or after the first day of the option period.
7. On page 86, Price Adjustments, the second paragraph is revised and replaced to read with changes marked in red, italic font, “GSAR clause 552.216-71 will be followed when conducting a price increase. The Government reserves the right to negotiate any price increase requests received and will ensure that any price increase is deemed to be fair and reasonable prior to completing the modification to incorporate the price increase. Original pricing must be honored until after the first day of the option period. Upon receipt of a complete request, GSA has 30 days to review and make an acceptability decision.”
8. On page 95, Phase 3 - Price Evaluation, the second paragraph is revised with changes marked in red, italic font, “This acquisition will be awarded on an item-by-item basis. No individual CLIN will be awarded that does not receive a valid offer from a contractor whose price must also be found fair and reasonable.
To clarify, GSA will evaluate fair and reasonable pricing for each CLIN for the first 1-year base period. Economic Price Adjustments (EPA) clause 552.216-71 applies after the first 12 month base period. GSA reserves the right to not award any CLIN.”
