About this file
This guidance document is issued by Dallas Independent School District (DISD) regarding the Certificate of Interested Parties (Form 1295) requirement for vendors submitting proposals in response to the Academic Enrichment and Support/Visual and Performing Arts Instructional Materials Request for Proposal. The Form 1295 must be completed electronically through the Texas Ethics Commission's online filing application, printed, signed by an authorized agent of the business entity, and submitted with the proposal response. All vendors, regardless of whether interested parties exist, are required to electronically complete and submit Form 1295 as part of their proposal. The contract resulting from this solicitation will have an initial term of three years with two successive one-year renewal options, not to exceed five years total, subject to mutual agreement between the District and the awarded vendor. Either party must provide written notice at least ninety days prior to the expiration of the current term if they do not intend to renew the contract.
Form 1295 requires disclosure of all interested parties, defined as persons who have a controlling interest in the business entity or who actively participate in facilitating or negotiating the contract, including brokers, intermediaries, advisers, or attorneys. The completed form must include the name of the business entity and its place of business, the governmental entity party to the contract, contract identification number, and a description of services or goods to be provided. Once DISD receives the executed Form 1295, the District must acknowledge receipt to the Texas Ethics Commission no later than thirty days after the contract binds all parties. The Texas Ethics Commission will subsequently post the completed Form 1295 to its website within seven business days of receiving DISD's acknowledgment. This requirement is mandated by House Bill 1295, which amended the Texas Government Code Section 2252.908 regarding disclosure of interested parties in state contracts.

CERTIFICATE OF INTERESTED PARTIES – FORM 1295
Certificate of Interested Parties (Form 1295 – must be filled out electronically with the Texas Ethics Commission’s online filing application, printed out, signed, and included in proposal response.)
DISD is required to comply with House Bill 1295, which amended the Texas Government Code by adding Section 2252.908, Disclosure of Interested Parties. Section 2252.908 prohibits DISD from entering into a contract resulting from this solicitation with a business entity unless the business entity submits a Disclosure of Interested Parties (Form 1295) to DISD at the time business entity submits the signed contract. The Texas Ethics Commission has adopted rules requiring the business entity to file Form 1295 electronically with the Texas Ethics Commission.
“Interested Party” means a person:
a) who has a controlling interest in a business entity with whom DISD contracts; or
b) who actively participates in facilitating the contract or negotiating the terms of the contract, including a broker, intermediary, adviser, or attorney for the business entity.
“Business Entity” means an entity recognized by law through which business is conducted, including a sole proprietorship, partnership, or corporation.
As a “business entity,” all vendors must electronically complete, print, sign, and submit Form 1295 with their proposals even if no interested parties exist.
Proposers must file Form 1295 electronically with the Texas Ethics Commission using the online filing application, which can be found at https://www.ethics.state.tx.us/filinginfo/1295/ Proposers must use the filing application on the Texas Ethics Commission’s website to enter the required information on Form 1295. Proposers must print a copy of the completed form, which will include a certification of filing containing a unique certification number. The Form 1295 must be signed by an authorized agent of the business entity.
The completed Form 1295 with the certification of filing must be filed with DISD by including the completed form in the proposal response.
DISD must acknowledge the receipt of the filed Form 1295 by notifying the Texas Ethics Commission of the receipt of the filed Form 1295 no later than the 30th day after the date the contract binds all parties to the contract. After DISD acknowledges the Form 1295, the Texas Ethics Commission will post the completed Form 1295 to its website within seven business days after receiving notice from
DISD.
