INTELLECTUAL PROPERTY AGREEMENT
1. Scope. This Agreement associated with Intellectual Property Rights is intended to cover all intellectual property, including inventions and developments, whether or not patentable, confidential information, computer programs, copyrights, trademarks or other intellectual works, made, conceived, or authored by me, alone, or jointly with others, while employed by HMIS, whether or not during normal business hours, or on HMIS premises, that are within the existing or contemplated scope of HMIS' business at the time such developments are made or which result from any work I or others may do, for or on behalf of HMIS except as excluded in Paragraph 6 below.
2. Assignment & Disclosure. I agree to assign HANFORD MISSION INTEGRATION SERVICES, LLC (HMIS) all of my rights, title, and interest in and to any inventions, discoveries, developments, methods, or improvements or modifications to the same (collectively, "intellectual property") that I may make, conceive, originate, or develop during the entire period of my employment, whether or not made, conceived, originated or developed by me or under my direction or supervision and whether or not made, conceived, originated, or developed by me during normal working hours on the premises of HMIS, if such intellectual property relate to the business, the work, or the actual or anticipated activities of HMIS or that result or derive from my work at HMIS. This includes and is not limited to such intellectual property rights associated with patent, copyright, trademark, service mark and trade secret rights.
3. Assistance. During and after my employment with HMIS, I will promptly give, at the request of HMIS, all assistance needed by HMIS to obtain, secure, and protect the intellectual property covered by this Agreement. This assistance will include the execution and delivery of all assignments and other documents, providing statements or testimony and assisting in patient enforcement undertakings, along with other help requested by HMIS to obtain, secure, and protect its rights.
4. DOE Compliance. I hereby waive any claim for award or compensation under the provisions of the Atomic Energy Act of 1954, as amended, with respect to any development made or conceived in the course of or under any contract with any agency of the United States Government, including but not limited to the United States Department of Energy.
5. Pre-existing Intellectual Property. For all intellectual property that I claim ownership of as of my hire date with HMIS, I have attached to this Agreement information, such as a patent or patent application, that sufficiently identifies and describes each such pre-existing intellectual property. I acknowledge and agree that I have disclosed all pre-existing intellectual property. If no such information is attached to this Agreement, I represent that I have no pre-existing intellectual property except that which is described in Paragraph 6 below.
6. Notice. In accordance with Washington law, this Agreement does not apply to an invention for which no equipment, supplies, facility or trade secret information of HMIS was used and which was developed entirely on my own time, unless: (a) the invention relates directly to the business of HMIS or to HMIS' actual or demonstrably anticipated research or development, or (b) the invention results from any work performed by me for HMIS as described above.
