About this file
This is a Professional Services Agreement template document applicable to the City of Napa and Ontario International Airport Authority (OIAA) for service contracts in California. The agreement outlines the contractual framework for service providers engaged by these jurisdictions. The City of Napa is soliciting proposals for Trucking Services with an anticipated volume of approximately 60,000 tons of asphalt, sand, aggregate base (AB), and other aggregate materials to be transported over a three-year contract term. Proposals are due by February 13, 2026, at 4:00 p.m. via electronic submission through the City's procurement portal. The City plans to award up to two multi-year agreements with a combined total not-to-exceed amount of $3,000,000, with services performed on a task order basis with no guaranteed minimum work. The OIAA is concurrently seeking proposals from qualified certified public accounting firms licensed in California to provide internal audit services, with a pre-proposal virtual meeting scheduled for December 2, 2025, at 11:00 a.m., questions due by December 16, 2025, at 2:00 p.m., and proposals due by January 6, 2026, at 2:00 p.m. The OIAA contract will have an initial two-year term with three optional one-year renewal terms for a total not-to-exceed amount of $1,250,000 over the potential five-year term.
Compensation for the OIAA internal audit services will be based on fixed, fully loaded hourly rates with payment for actual work completed only. No specific small business set-asides are mandated for either opportunity, though the OIAA encourages small business participation and discourages limiting subcontractor opportunities. Prior to contract award with the OIAA, the successful proposer must provide proof of insurance, a City of Ontario Business License, and administrative documents including a notarized Affidavit of Non-Collusion, Confidentiality and Non-Disclosure Form, Supplier Information Form, W-9 Form, and Conflict of Interest Disclosure Form. The professional services agreement template establishes the standard terms and conditions under which qualified vendors will operate when selected by either jurisdiction.
