About this file
This is a Non-Disclosure Agreement (NDA) template executed between the Eastern Municipal Water District (EMWD), a California water agency serving nearly one million people across a 601-square-mile service area in western Riverside County and northern San Diego County, and a selected energy consultant providing consulting services for a utility-scale energy generation study. The NDA establishes confidentiality requirements for all information disclosed by EMWD to the consultant, including details regarding EMWD's customers, subsidiaries, affiliates, and work product generated during the engagement. The agreement restricts the consultant's use of confidential information solely to performing services under the contract and prohibits disclosure to third parties except to employees with a direct need to know. The consultant must immediately return or destroy all confidential information upon EMWD's request and must notify EMWD within two days of any lost, stolen, or compromised devices or unauthorized disclosure of sensitive customer, employee, or district information to the District's Safety, Risk and Emergency Management's On-Call Personnel at (951) 928-3777 extension 7777.
The NDA establishes that all confidential information remains the exclusive property of EMWD with no license or ownership rights granted to the consultant. The agreement permits disclosure only when required by judicial process, provided the consultant notifies EMWD and allows the district to oppose such disclosure. The consultant assumes full liability for breaches, which may result in injunctive relief, specific performance, and damages including attorney's fees. The agreement is governed by California law with venue in Riverside County and may be terminated by either party through written notice. EMWD compliance with Homeland Security Presidential Directive 7, which designates drinking water and water treatment systems as critical infrastructure under the USA PATRIOT Act, is a foundational requirement underlying the confidentiality obligations imposed on all consulting personnel and subcontractors.
