SUMMARY OF CHANGES

SECTION C - DESCRIPTIONS AND SPECIFICATIONS

The following have been added by full text:

RFI AMEND 0001

1. Section L.B (Factor 1 Submission Requirements), pdf pages 72–73 of the Solicitation, states:

“The term Team Member, as used throughout this solicitation, refers to the prime Offeror and all joint venture members, subcontractors, and other partners who will be performing any of the following key work functions: contaminated soil excavation; transportation and consolidation of waste material at OU#4; transportation and off-site disposal of PHC Waste/contaminated soil; installation of a low permeability cap; and soil confirmation sampling and air monitoring…

Offerors shall submit a minimum of three (3) and a maximum of five (5) environmental remediation projects (project descriptions) that best demonstrate the Offeror’s Team experience on recent, relevant projects that are similar in scope, complexity, size, and price to the work required under this solicitation…

At least one project shall be provided for the prime Offeror (the entity signing the SF33) and for each proposed Team Member.”

Section M, Factor 1 Evaluation Approach, pdf page 81 of the Solicitation, further indicates:

“Relevancy of submitted projects will be evaluated based on experience in performing similar work as summarized in the list of activities below (listed in descending order of importance):

Manage significant, complex environmental remediation projects with a price or cost greater than $5 million…”

Additionally, Section L.D (Past Performance), Factor 3 Submission Requirements, pdf page 74 of the Solicitation, states “This volume shall contain past performance information for each project submitted by the Offeror in Factor 1”.

While these requirements may be appropriate for the prime contractor and “major” team subcontractors, the Solicitation is overly restrictive and unworkable in requiring that “all team members” (defined by the Solicitation as all subcontractors performing the above-referenced activities) each submit at least one project description, and simultaneously limiting submittal to no more than five project descriptions in total. Further, requiring “all team members” (i.e., all subcontractors performing the above-referenced activities) each provide a project description for a task order or contract with a price/cost >$5 million is unreasonable for the many lower-tier smaller SB subcontractors who will perform elements of the above-referenced activities in support of the prime contractor. the following reasons:

a. Many subcontractors performing in the above-referenced roles. Select examples include but are not limited to:

o Experienced local Small Businesses (SBs) that may excavate smaller areas (e.g., vicinity properties) under the supervision of the prime contractor, as opposed to consolidation and capping OU#4 o Multiple companies (many being local SBs) who are key participants in other excavation activities, including driving sheeting, operate cranes, providing/ operating treatments systems for excavation dewatering, and land surveyors in addition to physically excavating contaminate soil itself o Owner/operators of trucks that transport waste between operable units (typically multiple local licensed SBs) o Multiple firms that support cap construction, including those performing subgrade preparation (typically performed by a local SB), synthetic liner installation (by specialized subcontractors, many of which are SBs), hydroseeding (typically by a local SB) to establish vegetative cover key as part of successful cap construction, etc.

o Specialty firms (many of which are SBs) who conduct air monitoring for asbestos and other contaminants of concern o Multiple primary and backup (subcontractor) laboratories that perform asbestos, other chemical and geotechnical laboratory analyses o One or more subcontractor(s) who perform waste transportation and disposal at off-site facilities

More than five companies (prime contractor plus subcontractors) are required to provide the combination of these services for a project with Raymark’s scope, including projects where even the largest of SBs and large businesses are prime contractors. As stated above, requiring a project description and past performance information for all subcontractors involved in the activities identified in the Solicitation and also limiting the number of project descriptions to five is unreasonable and not feasible.

b. The Solicitation requirement that “all subcontractors” who perform the above-referenced activities provide a project description (and past performance information) which, among other criteria, that projects be >$5 million in size is inconsistent with the goal of providing opportunities for local and SBs on this SATOC. Local and SBs should be able to perform in specific roles to support the prime contractor without having to provide project descriptions and past performance information meeting the referenced requirements.

c. Additionally, prime contractors should be encouraged to mentor other local SBs to perform portions of the work under their direction/supervision. The above-referenced Solicitation requirements are a roadblock to providing those opportunities.

To remedy the above concerns, we respectfully suggest New England District consider

(a) differentiating between prime contractors/major team subcontractors who may conduct large portions of the work and second-tier subcontractors who will support and perform smaller portions of the work under prime contractor supervision, and (b) require only the prime contractor and major team subcontractors to submit project descriptions and associated past performance information.

RESPONSE: Please see the additions to the first paragraph of the Section L, Factor 1 Submission Requirements, which clarifies the definition of “Team Members.” Second tier subcontractors performing work associated with a key work function are not considered Team Members. Please also see adjusted language in Section L, Factor 1 Submission Requirements, fourth paragraph.

2. I have a question about bonding. I know that the seed task order will not require bonding.

Will bonds be required as each individual task order is issued or will a bond(s) have to place for the entire project? The way I interpreted the specs was that you have to provide a bond for each individual task order depending on whether it is a Services or Construction task order and that a bond for the entire project would not required. Can you confirm that for me?

RESPONSE: Bonds will be required on future individual task orders if there are construction tasks/line items.

3. Section C IDIQ PWS and Section L - Per Section C, PWS, “Performance and Payment Bonds will be NOT be required for the Seed Task Order, as it is entirely a service task order.” Section L requires a bid bond per section “52.228-1 BID GUARANTEE.” Since the Seed TO is Service Act applicable and does not require performance and payment bonds, it is unclear why a bid bond is required and what bid price it is guaranteeing.

Please clarify.

RESPONSE: Provision 52.228-1 is included to address bonding on future task orders. If Performance and Payment bonds are required on future task orders, a bid bond may be required with submission of the proposal.

4. Section C IDIQ PWS – Per the IDIQ PWS, “Pursuant to FAR 22.503, a Project Labor

Agreement (PLA) may be considered for certain tasks under Task Orders meeting the criteria set forth in Executive Order 13502. Each task order may be evaluated for possible application of a Project Labor Agreement.” Please confirm that the seed project subject to a PLA.

RESPONSE: The seed task order is not subject to a PLA and has no PLA requirements.

Agreements or letters of commitment submitted for Factor 1 will not be counted toward the page limit.

NOTE: 11X17 folded pages are acceptable for tables/graphic representations; however, each 11X17 page counts as two pages.

B. FACTOR 1: TEAM EXPERIENCE & ORGANIZATIONAL APPROACH

Factor 1 Submission Requirements

The term Team Member, as used throughout this solicitation, refers to the prime Offeror and all joint venture members, subcontractors, and other partners who will be performing the majority of work for any of the following key work functions: contaminated soil excavation; transportation and consolidation of waste material at OU#4; transportation and off-site disposal of PHC Waste/contaminated soil; installation of a low-permeability cap; and soil confirmation sampling and air monitoring.

The term Offeror’s Team consists of the prime Offeror and all other proposed Team Members.

Offerors shall submit a minimum of three (3) and a maximum of five (5) environmental remediation projects that best demonstrate the Offeror’s T e a m experience on recent, relevant projects that are similar in scope, complexity, size, and price to the work required under this solicitation. For all submitted projects, a narrative of the project shall clearly describe the scope of work performed and the relevancy to the project requirements of this RFP (i.e., unique features, area, construction methods, etc.).

The prime Offeror (the entity signing the SF33) and Team Members must be identified at least once in the submitted three to five projects required above. At least one project shall be provided for the prime Offeror (the entity signing the SF33) and for each proposed Team Member. The Offeror may utilize experience of another Team Member that will perform major or critical aspects of the requirement to demonstrate experience under this evaluation factor. If an Offeror is utilizing experience of Team Members, then Team Member projects submitted must include recent and relevant work similar to the work to be performed by the Team Member for this requirement.

The maximum number of projects that may be submitted is five (5), regardless of the number of

Team Members. If more than five (5) projects are submitted, only the first five (5) projects will be evaluated.

If the Offeror is a Joint Venture (JV), recent and relevant project experience shall be submitted for projects completed by the Joint Venture entity. If the Joint Venture does not have experience, such projects shall be submitted for each Joint Venture partner.

As applicable, Offerors should submit a signed copy of their current joint venture agreement, partnership agreement, teaming agreement, approved mentor-protégé agreement, or letter of commitment for each above member of the Offeror's team in order to receive credit for their experience and/or past performance. These documents submitted in Factor 1 will also be considered in the evaluation of Factor 3. Offerors providing firm commitments in the form of the documents listed at the beginning of this paragraph may be more highly rated, due to reduced risk to the Government.

Projects provided must be completed within the past seven (7) years, as of the issue date of this RFP, to be considered recent. A project is defined as work performed under a single task order or contract. For multiple award and indefinite delivery/indefinite quantity type contracts, the contract as a whole should not be submitted as a project; rather, Offerors should submit the work performed under a task order as a project.

The Offeror shall also submit an organizational chart AND narrative description of the Offeror’s planned organizational structure that clearly defines any teaming arrangements, including overall structure and management of the project team. This should include the Offeror’s overall structure and management of the project team from the Offeror’s Headquarters to the Offeror’s site office(s). If the experience of an entity is being claimed in Team Experience, that entity must be named in the above narrative and organizational chart and will be considered a Team Member.

The chart and narrative should:

Identify all offices involved in this contract;

Identify relationships between the headquarters’ office and site office;

Identify Key Personnel, including resumes;

Describe communication pathways with Key Personnel and USACE personnel during the project period of performance;

Describe Key Personnel relationships.

Describe how the Offeror will ensure quality consistently across the team.

Discuss quality control lines of authority between Key Personnel.

Describe management for performance of the contract including Offeror’s planned approach to: staffing, and obtaining, retaining, coordinating, and managing subcontractors.

Describe, at a minimum, which entity will perform the following roles and responsibilities for key work functions: contaminated soil excavation; transportation and consolidation of waste material at OU#4; transportation and off-site disposal of PHC Waste/contaminated soil;

installation of a low-permeability cap; and soil confirmation sampling and air monitoring. The Offeror should describe the roles and responsibility for each Team Member in detail.

Identify any additional and/or unique management advantages their proposal provides to the Government.

C. FACTOR 2: SEED TASK ORDER TECHNICAL APPROACH

Factor 2 Submission Requirements

The Offeror should submit a narrative proposal to describe their Technical Approach for the work required to be performed in the Seed Task Order as described in the Seed Task Order Performance Work Statement (PWS), as attached to the solicitation. The Seed Task Order will be awarded to the successful offeror as soon as practicable after the award of the IDIQ. The proposal shall demonstrate the Offeror’s ability to successfully complete all required work and achieve the final restoration/cleanup objectives for the project. The proposal narrative shall identify all required work elements, identify significant risks to completion of the tasks, document the approach for completing the work, document the sequencing of the work, and identify measures that will be implemented to mitigate risks. All technical assumptions shall be clearly documented. Resources required to perform each task (such as personnel, Team Members, equipment) shall be identified.

Along with the narrative, the Offeror shall include a project schedule (Gantt chart or bar chart created using MS Project or similar scheduling software) presenting its plan for the completion of the Seed Task Order.

The narrative and schedule should identify and include schedule milestones, critical design and construction work plan submittals, critical material procurements, and representation of Definable Features of Work (DFOW). Government review periods, activity durations, and constraints should be clearly identified. The schedule shall identify the critical path with relationships. For the purpose of this schedule, the Offeror shall assume a Notice to Proceed date of 01 March 2019.

D. FACTOR 3: PAST PERFORMANCE

Factor 3 Submission Requirements

This volume shall contain past performance information for each project submitted by the Offeror in Factor 1

– Team Experience & Organizational Approach, including those completed by Team Members. Offerors shall submit past performance information as follows:

a. For Federal Government projects: provide the contract number, contract place of performance, and DUNS number. In the case of Indefinite Delivery type contracts, GSA contracts, and Blanket Purchase Agreements, include Task or Delivery Order Numbers.

b. For non-Federal Government projects and commercial projects: provide a Past Performance Questionnaire (Appendix A). The Offeror shall complete Blocks 1-4 of the PPQ and send it to the non-Federal project client or commercial project client. The client shall complete Blocks 5-8 along with the two page questionnaire and return to the Offeror in a sealed envelope. The Offeror shall include the sealed envelope in Volume I of the proposal. Only one copy of the sealed PPQ is required, rather than a sealed PPQ for each copy of the proposal.

If the Offeror is unable to obtain a completed PPQ from a client for a project before the proposal closing date, the Offeror should complete and submit, with the proposal, the first page of the PPQ, which will provide contract and client information. The Government may make reasonable attempts to contact the client noted for that project to obtain the PPQ information. However, Offerors should follow-up with clients/references to help ensure timely submittal of questionnaires.

Alternatively, Offerors may submit a copy of the client’s signed PPQ for a completed contract or task order.

The Offeror may retain PPQs in its files for submission on future procurements. In cases where the validity of the completed PPQ is questioned, contracting personnel may contact the reference for verification or additional information. The standard PPQ for USACE is Form PPQ-0 (9/30/11) provided in the solicitation.

USACE does not intend to create or maintain a database of PPQs submitted by Offerors. Therefore, it will be the Offeror’s responsibility to ensure the submission of PPQs in its proposal that are relevant to the solicitation.

Alternatively, the Offeror may obtain an updated/new PPQ from its client(s) for submission as provided above.

The Government may use data provided by the Offeror in its proposal, and data obtained from other sources, including data in Government files. The Government reserves the right to obtain past performance information from any source available and has the right to contact customers other than those listed by the

Offeror to evaluate past performance. The Government reserves the right to verify statements the Offeror makes regarding its past performance to determine whether they are substantiated.

F. FACTOR 4: PRICE

The Offeror shall provide a table of contents and shall number all pages consecutively. Volume II should be submitted in a separate file from Volume I. The price proposal should be broken down into sections as defined below.

Section 1:The name(s) and title(s) of the person(s) authorized to negotiate and sign a contract.

Also, provide a Certificate of Corporate Authority or other applicable documentation of authorized signature(s) for each authorized individual.

Section 2: The Offer (the SF1442) duly executed with an original signature by an official authorized to bind the company.

Section 3: Acknowledgement of all amendments to the solicitation in accordance with the instructions on the Standard Form 30 (amendment form).

Section 4: The completed Section K of the solicitation (i.e., Representations, Certifications, and Other Statements of Offerors). Certification of cost or pricing data in compliance with FAR 52.215-20 will be required for task orders above the Truth In Negotiating Act threshold negotiated under the subsequent contract, but is not required in response to the solicitation. All cost and pricing data supplied by Offerors will represent data other than certified cost or pricing data as defined by FAR 2.101.

Section 5: Binding Rates – The Offeror shall complete the binding rate table provided as an attachment to the solicitation. The Offeror’s binding rates for labor shall be submitted for all five years of the contract from the award date.

The Offeror shall provide binding rates regardless of whether the labor is provided by the Prime or by a Team Member.

Section 6: Seed Task Order Price – The Offeror shall prepare a price proposal to accomplish the tasks in the Seed Task Order and in accordance with their Seed Task Order technical approach in Factor 2. The price proposal will be submitted by completing the Bid Schedule.

The Offeror shall also submit a price breakdown of man-hours, wage rates, indirect rates, travel, material, subcontractors, other direct costs and profit. This price breakdown will be used to ascertain that the binding rates proposed in Section 5 were used to prepare the Offeror’s price proposal. The Seed Task Order price shall be consistent with rates utilized by the offeror in the Binding Rates.

Price reasonableness will be determined in accordance with FAR 15.305(a)(1). Normally, competition establishes price reasonableness. Comparison of the proposed prices is expected to satisfy the requirement to perform a price analysis, however, the Government may, if necessary, analyze the Offeror’s price breakdown to establish reasonableness of an otherwise successful offeror’s price.

Travel Costs – The Offeror shall comply with the Joint Travel Regulations (JTR) for the Seed Task Order and all task orders negotiated subsequent to the IDIQ award.

G. FINAL SELECTION

The Government intends to award without discussions. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a technical and price standpoint. Proposals will be analyzed to determine which is most advantageous to the Government based upon information provided in response to evaluation factors.

The Government reserves the right to conduct discussions if the Source Selection Authority (SSA) later determines them to be necessary. If the SSA determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the SSA may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. If the Government does conduct discussions, these will be in writing.

The Contracting Officer will award a contract to the responsible Offeror whose proposal, as determined by the Source Selection Authority (SSA) conforms to the solicitation, is fair and reasonable, and offers the best overall value to the Government, all factors considered.

The Government will award a contract resulting from this solicitation to the firm selected in accordance with the above procedures. The Government may reject any or all offers if such action is determined to be in the best interest of the Government.

In the course of evaluating Offerors' proposals, the SST may contact references submitted by the Offerors. The Source Selection Team (SST) may also check past performance information obtained from sources other than those identified by the Offerors. All gathered information will be used to evaluate the Offerors’ overall past performance.

At no time during this process, or during the debriefing, or after award, will the names of individuals providing reference information about an Offeror's past performance be revealed to the Offerors or to any other party.
