INCORPORATE PROPOSAL

1. The U.S. Government reserves the right to incorporate the successful contractor’s proposal fully or in portions into the contract and distribute the proposal as deemed necessary.

Section 00 21 00 - Instructions

ICN

SECTION I: OVERVIEW

This is an unrestricted (full and open) competition for the award of a Design-Bid-Build, Firm Fixed Price (FFP) contract using the procedures in FAR 15.101-1. The Government intends to utilize the Federal Business Opportunities website to target qualified construction firms who possess the capabilities of performing construction services in the UAE.

Award will be made to the offeror who represents the best overall value to the Government and has been determined to be responsible in accordance with FAR Subpart 9.1. The Best Value Tradeoff (BVTO) process (see FAR 15.101-1) will be used to determine which proposal provides the greatest overall benefit to the Government, in response to the requirements. A tradeoff analysis may be appropriate when it is in the Government’s best interest to consider award to other than the lowest price offeror, or other than the highest technically rated offeror. The tradeoff process involves an evaluation of both price and non-price (technical) factors, and awards the contract to the offeror proposing the combination of factors which offer the best value to the Government. The Government intends to award one FFP contract at the conclusion of price and non-price evaluations.

SECTION II: SOLICITATION PROVISIONS

INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

A. GENERAL INFORMATION

This solicitation pertains to a Firm Fixed Price (FFP) contract for construction services in UAE using a single step design-bid-build procurement process. The U.S. Army Corps of Engineers (USACE), Transatlantic Middle East District (TAM), has a requirement from the U.S. Air Force to construct various facilities and infrastructure within the Al Dhafra Air Base, UAE.

The project will be constructed in accordance with current UAE and U.S. building codes, safety, and security standards.

The primary North American Industry Classification System (NAICS) code for work under this procurement is 236220 (Commercial and Institutional Building Construction) with a small business size standard of $36.5 million.

This project will be awarded based on the CLINs in the bid schedule and will be awarded to a single offeror. The magnitude of construction for this project is between $25,000,000.00 and $35,000,000.00.

The contractor shall provide all management, administration, quality control, labor, transportation, equipment, materials, vehicles, heavy equipment, supplies and other items as necessary to perform the services contained in the scope of work.

System for Award Management (SAM). Contractors shall be registered in the System for Award Management (SAM) and determined to be responsible prior to Award. For more information, see the SAM website at https://www.sam.gov/portal/public/SAM/. Please ensure that NAICS code 236220 – Commercial and Institutional Building Construction is listed in your SAM registration.

B. PROPOSAL REQUIREMENTS, CONTENT, AND FORMAT

The Government will not reimburse any costs incurred or associated with preparation and submission of any responses to this solicitation. Oral explanations or instructions to offerors are not binding. Any information given to an offeror which impacts the solicitation and/or offer will be given in the form of a written amendment to the solicitation. Any and all amendments to the solicitation will be issued electronically at the Federal Business

Opportunities website (www.fbo.gov). It is an offeror’s responsibility to continuously check for any amendments to this solicitation and acknowledge any and all amendments in its proposal submission.

Offerors should not modify the terms and conditions of the solicitation in either the non-price (technical) or price proposal or add conditions or qualifications to their offers. Should an offeror include terms and conditions that conflict with the terms and conditions of the solicitation, that offeror may be determined to be ineligible for award.

The offeror should resolve any questions related to specific terms and conditions contained within the solicitation prior to submission of its offer.

References to “confidential” projects cannot be submitted to demonstrate capability unless all of the information required for evaluation as specified herein can be provided to the Government as part of an offeror’s technical proposal. Offerors that include information in their proposals they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall clearly mark their proposals in accordance with the instructions at FAR clause 52.215-1, Instructions to Offerors-Competitive Acquisition, paragraph (e), Restriction on Disclosure and Use of Data.

Use of the words “will”, “shall”, or “must” indicates a mandatory requirement. Failure to comply with a mandatory requirement at the time and date for submission of proposals, shall result in an offeror’s proposal being disqualified from consideration for award, unless the Government determines to conduct discussions in accordance with FAR 15.306, thereby providing a means by which appropriate corrections by the offeror(s) involved can be made. Failure to comply with requirements annotated with the words “should” or “may” could result in a lowering of an offeror’s non-pricing ratings, and may have a significant effect upon an offeror being selected for the contract award. Time periods, if stated as a number of days, are calendar days unless otherwise specified.

1. PROPOSAL CONTENT

Offerors are required to submit proposals with at least the minimum content specified herein. A proposal without the minimum content may result in a determination that the proposal is unacceptable. Late Proposals:

Any proposal, modification, or revision received by the Government after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the contracting officer determines that accepting the late proposal would not unduly delay the acquisition; and –

(b) there is acceptable evidence to establish that it was received at the Government installation designated for receipt of proposals and was under the Government's control prior to the time set for receipt of proposals; or

(c) it was the only proposal received.

However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

FACTOR 2: TECHNICAL APPROACH

FACTOR 3: PAST PERFORMANCE

FACTOR 4: PRELIMINARY SCHEDULE

FACTOR 5: PRICE

In determining the best value to the Government, Construction Experience (Factor 1) and Technical Approach (Factor 2) are equal in weight, and individually, are significantly more important than Past Performance (Factor 3) and Preliminary Schedule (Factor 4). Past Performance (Factor 3) is more important than Preliminary Schedule (Factor 4). When combined, the four technical factors (Construction Experience, Technical Approach, Past Performance and Preliminary Schedule) are approximately equal in importance to Price (Factor 5).

In accordance with FAR 15.101-1, award may not necessarily be made to the lowest price offer.

The technical evaluation team, using reasoned judgment, shall evaluate qualification proposals by identifying significant strengths, strengths, significant weaknesses, weaknesses, uncertainties, and deficiencies in each offeror’s proposal, as defined below, and assigning a combined technical/risk rating.

Definitions

Significant Strength is an aspect of an offeror's proposal that has appreciable merit or appreciably exceeds specified performance or capability requirements in a way that will be appreciably advantageous to the Government during contract performance.

Strength is an aspect of an offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Significant Weakness is a flaw in the proposal that appreciably increases the risk of unsuccessful contract performance. See FAR 15.001.

Weakness is a flaw in the proposal that increases the risk of unsuccessful contract performance. See FAR 15.001.

Uncertainty is any aspect of a non-cost/price factor for which the intent of the offer is unclear (e.g. more than one way to interpret the offer or inconsistencies in the proposal indicating that there may have been an error, omission, or mistake).

Deficiency is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

See FAR 15.001.

A risk as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an offeror’s proposed approach to achieving the technical factor or subfactor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.

There may be contained within the evaluation factors certain mandatory or minimum requirements to be met for evaluation. There are also contained within the described factors that require the submission of certain documents.

Failure to satisfy any mandatory or minimum requirement may result in a determination that a proposal is unacceptable.

The Government intends to select one offeror for an award without discussions, but reserves the right to hold discussions if the Government determines that to do so would be in its best interest. Therefore, an offeror’s proposal should contain the offeror’s best terms from a technical and pricing standpoint.

F. EVALUATION FACTORS

FACTOR 1: CONSTRUCTION EXPERIENCE

Proposal Submission Requirements

For this factor, the offeror may submit experience for any of the entities which make up the offeror (e.g., if the offeror is a partnership, it may submit experience gained by one partner entity). The offeror may also submit experience it gained as either a prime contractor or a subcontractor.

The offeror shall provide a narrative, not to exceed fifteen (15) pages, that describes how its construction experience on prior projects will enable it to successfully perform the requirements of this solicitation. The narrative shall be submitted on Construction Experience Form (Attachment C). The offeror should limit its narrative to a discussion of between three and five projects. The offeror shall use a new Construction Experience Form for each project discussed. See Attachment C for instructions for completing the required Construction Experience Forms.

Although an offeror may highlight any experience it has gained, an offeror’s narrative should pertain to its experience within the last seven (7) years on projects similar in scope to this project, such as: aircraft maintenance hangar with fuel cell maintenance capabilities; fire detection and suppression; environmental control; aircraft access to the apron; interior office space; and/or site utility connections. The offeror should explain how their experience on these projects will positively enhance its performance handling the Large Aircraft Maintenance Hangar project. The offeror may also include a discussion of any anticipated challenges with constructing this type of project on a secured military base (including challenges the offeror encountered in the past) and how the offeror proposes it would overcome these challenges.

For purposes of this portion of the evaluation, the focus is on the offeror’s experience in dealing with construction challenges, not on those project metrics required to conduct the Past Performance relevancy evaluation.

At a minimum, the Construction Experience narrative should address the offeror’s experience with the following:

a. Hiring qualified laborers and maintaining a qualified workforce.

b. Procurement of long lead items.

c. Obtaining access to work locations.

d. Obtaining permits and approvals, such as fire protection, building installation, utilities, etc.

Greater Weight Consideration

Greater weight may be given to proposals that:

a. Demonstrate experience constructing projects with similar scope, magnitude and complexity, such as:

aircraft maintenance hangar with fuel cell maintenance capabilities; fire detection and suppression;

environmental control; aircraft access to the apron; interior office space; and/or site utility connections.

b. Demonstrate experience working on existing military installations in UAE as a prime contractor or subcontractor.

c. Demonstrate experience obtaining permits and approvals from the appropriate UAE governing authorities in areas such as fire protection, building installation, or utilities.

d. Provide a realistic example of a challenge the offeror encountered on past projects that it anticipates could arise on this project, and the solution the offeror enacted on the past project to overcome the challenge.

Evaluation Procedures, Adjectival Ratings and Descriptions

The Government will evaluate the offeror’s experience on projects dealing with construction challenges to determine how these experiences will enable the offeror to successfully perform the requirements of the solicitation.

A single technical rating will be assigned to the Construction Experience factor. In rating the offeror, the Government will weigh the strengths, deficiencies, weaknesses, risks, and uncertainties indicated in the offeror’s proposal. The chart below explains the rating which will be applied to the Factor 1 – Construction Experience portion of the offeror’s proposal, based on how well the offeror’s proposal meets the Factor 1 - Construction Experience proposal submission requirements.

Table 1. Combined Technical/Risk Rating Method

Color Rating Adjectival Rating Description

Blue

Outstanding

Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Purple

Good

Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Green

Acceptable

Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow

Marginal

Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red

Unacceptable

Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

FACTOR 2: TECHNICAL APPROACH

Proposal Submission Requirements

The offeror shall provide a narrative, not to exceed five (5) pages, that demonstrates the offeror’s understanding of the overall scope of work for the project and describes the offeror’s technical approach to completing the work.

Registrations, licenses, letters of commitment, proof of CMW certification, and the Performance Distribution Statement (Attachment B) are not included in this page count limitation.

Offeror’s Use of Subcontractors. The Government recognizes that completion of a project is often a team effort.

An offeror that intends to utilize a major subcontractor shall submit one Letter of Commitment for each major subcontractor it plans to use. Each Letter of Commitment must be signed by that subcontractor’s representative. A major subcontractor is defined as a subcontractor who performs twenty percent (20%) or more of the total work done at the project site.

After award, the offeror shall not change major subcontractors for which it submitted a Letter of Commitment without the contracting officer’s written approval. Approval will not be given unless the contracting officer considers the proposed substitute to be equal or better in all respects to the originally proposed major subcontractor and that the substitution is in the best interests of the Government.

The offeror’s Factor 2 narrative shall address the following categories:

a. Business License: the offeror shall provide (i) a copy of a valid UAE Commercial Registration Certificate (business license) in the offeror’s name; OR, if the offeror does not possess a valid UAE Commercial Registration Certificate, (ii) the offeror’s plan to obtain a UAE business license. This plan should explain the offeror’s understanding of the process to obtain licensure in UAE. If the offeror has a business license that will expire prior to 1 July 2019, the estimated date of award, the proposal shall include the offeror’s supported plan to extend the certificate. If the offeror is not already registered, it should include the expected processing time for obtaining licensure/registration. The narrative should also demonstrate the offeror’s understanding of the difference between a Free Zone and Mainland registered business, as well as the differences between licenses registered in the different Emirates, and how these differences could affect the offeror’s ability to do business at Al Dhafra Air Base.

b. Letters of Commitment: If the offeror intends to use major subcontractors, the proposal shall include a Letter of Commitment signed by each of its major subcontractor(s). A major subcontractor is defined as a subcontractor who performs twenty percent (20%) or more of the total dollar value of the project. Each Letter of Commitment must be written on company letterhead, (i) be addressed to the offeror; (ii) agree to a specific scope of work without caveats or disclaimers; and (iii) be executed by the subcontractor’s authorized representative.

c. Self-Performance: The awardee will be required to perform on the site and with its own organization, at least 20% of the total amount of work to be performed under the contract. The proposal shall contain a Performance Distribution Statement (Attachment B) that identifies the type and percent of work to be performed by the offeror and any major subcontractor(s).

d. Base Access: An offeror shall explain how it will comply with relevant base access procedures, such as:

i. U.S. Military security requirements for access to Al Dhafra Air Base.

ii. UAE Emirati Air Force security requirements for access to Al Dhafra Air Base.

iii. Obtaining a security clearance from the Command Military Works (CMW). The offeror shall provide (i) a copy of a valid CMW certification in its name, OR, if the offeror does not possess a valid CMW certification, (ii) the offeror’s plan to obtain it. This plan should explain the offeror’s understanding of the process to obtain CMW certification.

iv. Plan to control access to the work site.

v. Plan for obtaining base access for personnel, subcontractors, and construction materials and equipment.

e. Financial Surety: While not required to be submitted with the proposal, the eventual successful offeror will be required to furnish a performance bond in the amount of 30 percent of the contract price, and a payment bond in the amount of 30 percent of the contract price. The bonds shall be in the form of firm commitment, supported by corporate sureties whose names appear on the list contained in Treasury Department Circular 570, individual sureties, or by other acceptable security such as postal money order, certified check, cashier's check, irrevocable letter of credit, or, in accordance with Treasury Department regulations, certain bonds or notes of the United States.

Note that the Government will not accept bonds issued by a corporate surety not listed in Treasury Department Circular 570, and will not otherwise waive or deviate from the requirement stated in FAR 52.228-15.

The offeror’s narrative should address its ability to furnish performance and payment bonds, including a discussion of how it specifically plans to do so, in the event it was awarded the contract.

Evaluation Procedures, Adjectival Ratings and Descriptions

An offeror’s technical approach will be evaluated in its entirety to determine the offeror’s understanding of the requirements, inherent challenges that are specific to this project scope, schedule, and location, and its capability to execute the requirements of the solicitation.

The Government will evaluate an offeror’s technical approach based on the following aspects:

a. Business License: The Government will consider the extent to which the offeror has proven (1) it holds a license in good standing which will permit the offeror to perform the work required within the period of performance; or (2) it understands the business license process and has clearly explained how it plans to obtain the business license necessary to perform the work required within the period of performance. The Government will also consider the extent to which the offeror has demonstrated its understanding of the business license process in UAE, and the licensure necessary to perform work at Al Dhafra Air Base.

b. Letters of Commitment: The Government will consider whether the offeror met the requirement to provide Letters of Commitment for major subcontractors it indicates it intends to use, and that these Letters of Commitment conform to the standard required.

c. Self-Performance: The Government will evaluate the percentage and type of work the offeror plans to self-perform at the project site with its own organization, as well as the percentage and type of work the offeror plans to perform by subcontractor. In so doing, the Government will consider whether the offeror’s plan presents potential risk to the successful completion of the project.

d. Base Access: The Government will evaluate the extent of an offeror’s understanding of the relevant security requirements for both U.S. Military and UAE Emirati Air Force access to Al Dhafra Air Base. The

Government will evaluate the offeror’s plan to gain site access and base passes, for completeness, reasonableness, and feasibility. The Government will also consider whether the offeror has included in its proposal valid CMW certification, or a complete and reasonable plan to obtain CMW certification to allow the offeror to perform the work required within the period of performance.

e. Financial Surety: The Government will consider whether the offeror has demonstrated an understanding of the performance and payment bond requirement, as stated in the solicitation, and whether the offeror has demonstrated an ability and willingness to comply with this requirement.

Greater Weight Consideration

Greater weight may be given to proposals that effectively demonstrate the following:

a. The offeror possesses an Abu Dhabi business license.

b. A feasible and realistic plan to self-perform of more than forty percent (40%) of the work at the project site, with the offeror’s own organization, as documented on the Performance Distribution Statement.

c. The offeror possesses a valid CMW certification in its name.

A single technical rating will be assigned to the Technical Approach of an offeror’s proposal. In rating the offeror, the Government will focus on the strengths, deficiencies, weaknesses, risks, and uncertainties indicated in the offeror’s proposal. The chart below explains the rating which will be applied to the Factor 2 – Technical Approach portion of the offeror’s proposal, based on how well the offeror’s proposal meets the Factor 2 – Technical Approach proposal submission requirements.

FACTOR 3: PAST PERFORMANCE

The Factor 2 Past Performance evaluation includes an assessment of an offeror’s probability of meeting the solicitation requirements and results in an assignment of a single past performance confidence assessment rating based on an offeror’s overall record of recency, relevancy, and quality of performance.

There is no page limitation for this factor.

For the purposes of this evaluation:

A “recently completed” project is defined as a construction project which (1) has been completed within the last five (5) years of the RFP issuance date, or (2) is currently under construction and is at least 80% complete as of the RFP issuance date.

A “relevant” project is defined as a recently completed project, with a similar scope and cost magnitude as the project that is the subject of this solicitation.

“Similar scope” is defined as constructing multiple facilities in Arabian Gulf countries, (i.e., Oman, United Arab Emirates, Saudi Arabia, Qatar, Bahrain, Kuwait, and Iraq), such as: aircraft maintenance hangar with fuel cell maintenance capabilities; fire detection and suppression; environmental control; aircraft access to the apron; interior office space; and/or site utility connections. While the greatest similarity will be attributed to projects will all of these elements, the most important of these elements for similarity will be construction of airfield hangars.

“Similar cost magnitude” is defined as a project with a total value of at least $10 million or more.

Proposal Submission Requirements

The offeror shall submit information for at least two (2) but no more than five (5) projects that have been performed by the offeror. Additional projects submitted that exceed these limits will not be considered for evaluation.

An offeror may submit projects for evaluation for which it performed as a prime contractor or a subcontractor.

Past performance information related to an offeror’s proposed subcontractor’s projects will not be evaluated.

If an offeror is a partnership or Joint Venture, the offeror may submit projects for evaluation performed by (1) the partnership or Joint Venture, and (2) projects performed by entities that comprise the partnership or Joint Venture.

The Government will consider past performance information submitted for one partner or coventurer, if: (a) for each project submitted for past performance consideration, the offeror’s proposal describes the role of the partner or coventurer for that specific project; and (b) the offeror’s proposal clearly identifies how the role of the partner or coventurer on the submitted project is relevant to the role the partner or coventurer will be performing on the solicitation project.

An offeror shall submit its project experience using a separate Past Performance Overview Sheet (Attachment D), Project Summary Form (Attachment E), and Past Performance Questionnaire (PPQ-0) (Attachment F) for each project submitted. The offeror should include a project description on the Project Summary Form (Attachment E) that is detailed enough to permit an evaluation of project relevancy, recency, and quality and should describe project scope and cost magnitude. The offeror should provide details for any past performance problems encountered and the corrective actions taken for projects submitted in the appropriate space provided on the Project Summary Form (Attachment E). The offeror should also provide the name of an English-speaking reference and current contact information on the Project Summary Form (Attachment E).

The offeror should provide references who have first-hand knowledge of the offeror’s past performance for the applicable project submitted and may be asked to comment on specific aspects of the offeror’s performance, including: quality of design or construction, timeliness, management of the work, subcontractor management including timely payment to subcontractors or suppliers, safety, relations between owner and designer or contractor, level of support for such elements as as-built documentation, Operations and Maintenance (O&M) manuals, training, correcting design or construction errors, and warranty work. References should be the contracting agency or entity that administers the contract such as the construction agent, owner, or Government representative. The offeror’s references should be independent and willing and available to answer questions. The offeror should also ensure that each reference is notified that he/she may be contacted for the purposes of the evaluation. The Government may contact and interview references provided, and additionally reserves the right to interview other individuals acting for the reference provided, if the reference is not available.

An offeror is responsible for obtaining a client-completed Past Performance Questionnaire (PPQ-0) (Attachment F) for each project submitted.
