(3) It is the Offeror’s responsibility to ensure that the entire proposal is submitted prior to the offer due date and time. Failure of an Offeror to submit its offer/proposal by the date and time deadline or in the manner specified in the solicitation may result in a determination that the Offeror is ineligible to be considered for award. Proposals, partial proposals and/or attachments submitted late may not be considered. Proposals will be handled in accordance with (IAW) FAR 15.207, Handling proposals and information. All late proposals will be handled IAW FAR 15.208, Submission, modification, revision, and withdrawal of proposals.

(6) Offerors are required to meet all solicitation requirements. Proposals shall clearly and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirement and associated risks, and has the resources necessary to meet the requirement. Statements that the Offeror understands, can, or will comply with the requirements, and statements paraphrasing the requirements or parts thereof without supporting information/narrative are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and/or solutions.
(7) Proposals will be evaluated using the criteria under FAR 52.212-2 Evaluation – Commercial Items.
Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government’s ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate fill-in blocks and certifications) may be considered non-compliant with the material requirements of the solicitation and ineligible for award.
(8) The submission of the documentation specified below will constitute the Offeror’s acceptance of the terms and conditions of the RFP as amended inclusive of the PWS and the proposed contract type.
(9) As set forth in FAR 52.212-2, Evaluation-Commercial Items, the Government intends to award a contract resulting from this solicitation to the responsible Offeror(s) whose proposal(s) represent(s) the best value after evaluation in accordance with the factors and elements in the solicitation; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. The Government intends to hold discussions IAW Defense Federal Acquisition Regulation Supplement (DFARS) 215.306(c)(1). However, the Government may choose to award contract without discussions.
When discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals IAW FAR Part 15.306(c)( 2).
(10) Debriefings. If a competitive range is established, the Contracting Officer will promptly notify Offerors of any decision to exclude them from the competitive range, whereupon the Offeror may request and receive a debriefing IAW FAR 15.505, Pre-award debriefing of Offerors. The Contracting Officer will notify unsuccessful Offerors who were included in the competitive range, but not selected for award IAW FAR 15.503(b), Post-award notices. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring debriefing must make their request IAW the requirements of FAR 15.505, Preaward debriefing of offerors or 15.506, Post-award debriefing to offerors, as applicable.
(11) Proposals shall not contain classified information.
(12) If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer in writing at the email address identified above and shall provide supporting rationale for its assessment.
(13) All exhibits and RFP attachments for this solicitation are available on the System for Award Management (SAM) web site at https://sam.gov/. All required facilities will be available and ready to commence all the PWS requirements on the first day of the contract’s base year period of performance.
Quantities (number of contractor-provided aircraft and simulators) and space (classrooms and hangars for contractor-provided aircraft) planned are adequate for the projected tasks. (ref PWS 1.1, 4.1 and 4.2.3)
All required training facilities will be in locations that demonstrate Offeror’s ability to meet PWS requirements by the most efficient and effective means located on Dothan Airport, Alabama.
(b) Equipment Management. The Offeror shall address its plan to provide all aircraft (except Government-provided C12U aircraft), and simulators required to execute the training in accordance with the PWS requirements.
The Offeror’s plan shall also specify the minimum number of Government-provided C-12Us that will be required per day (considering AM, PM, and Night flight training periods) to supplement the number of aircraft the Offeror will provide for training. The Government has 10 C-12Us available, and unless the Offeror states otherwise in its proposal, the Government will assume that the Offeror will require all 10 C- 12Us to supplement the aircraft to be provided by the Offeror (ref PWS 3.1).
VOLUME II: Factor 2 – Staffing Approach.
In Volume II of its proposal, the Offeror shall describe its methodology for hiring and retaining trained and highly qualified personnel capable of performing the PWS requirements. The Offeror’s proposal must address the following criteria:
(1) TAB A: Key Personnel Plan

The plan shall demonstrate a reasonable timeline for hiring, training, and replacement of personnel with adequate numbers of personnel; and

(2) TAB B: Continuation of Mission Essential Contractor Services/Continuity Plan

(The plan shall address all the requirements listed under DFARS Provision 252.237-7024).

VOLUME III: Factor 3 – Past Performance.
(1) The Offeror shall identify five (5) recent and relevant past performance references the Offeror and/or its Teaming Partner(s) performed either as a Prime or Subcontractor utilizing Attachment 1, Past Performance Reference Sheet, of this solicitation.
(2) The Offeror’s Proposal must demonstrate why each past performance reference is recent and relevant. For each past performance reference, the Offeror shall provide the following information: Name of effort, contract and/or task order number, period of performance, Government point of contact responsible for monitoring performance under the contract (name, phone, email, address), administrative contracting officer (name, phone, email, address), dollar value of work actually performed during the three (3) years prior to the due date for receipt of offers, and a list of the current solicitation’s PWS task areas for which the Offeror believes the reference demonstrates relevancy.
(3) To be recent, an effort must have been performed for six (6) months or longer during the three (3) years prior to the due date for receipt of offers. Evaluation will focus only on work experience already performed.
Yet-to-be-performed work, work for less than six (6) months, or experience prior to the last three (3) years will not be considered.
(4) To be relevant, the effort must be similar in scope and magnitude to the services being procured under this solicitation. Scope is the measure of the services similarity to the task requirements identified in PWS Part
5. Magnitude is the measure of similarity of the dollar value that exists between the current requirement and the past performance reference. References with a dollar value of at least $20 million dollars per year are considered of a similar magnitude to subject requirement. Magnitude will be evaluated using the dollar amount of work actually performed on the past performance reference during the three (3) years prior to the due date for receipt of offers.
(5) The Offeror’s Proposal must demonstrate the quality of each past performance reference.
(6) For each past performance reference, the Offeror shall provide a copy of all completed Contractor
Performance Assessment Reports (CPARs). Teaming Partners may submit CPARs directly to the points of contact responsible for receiving proposal submissions no later than the due date and time for receipt of offers identified in block 8 of the SF1449 or as amended under the SF-30. The Offeror shall identify in its proposal whether CPARs for a past performance reference will be separately submitted by a Teaming Partner as described above.
If CPARs is not available for a past performance reference, the Offeror shall provide a Past Performance
Assessment Questionnaire (Attachment 6) to the applicable reference point of contact (POC). The Offeror shall complete Part I of the Past Performance Questionnaire only and e-mail the questionnaire to the reference POC. The Offeror shall then instruct the reference POC to complete the remaining parts of the questionnaire and submit the completed form via e-mail to both Ms. Anna Pham at (anna.m.pham.civ@army.mil) and Ms. Drena McIntosh at drena.j.mcintosh.civ@army.mil. Offerors are encouraged to submit the questionnaire to their reference POCs as soon as possible, as the questionnaire must be received by the contracting office no later than March 21, 2022 at 10:00 AM Eastern Time
(ET).
(7) The past performance data shall document the Offeror’s history of past contract performance. For any contracts that the Offeror did not/does not meet original requirements with regard to price, schedule, or technical performance, the Offeror shall provide a brief explanation of the reason(s) for such shortcomings and any demonstrated corrective actions taken to avoid recurrence. Offerors may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts and current as well as past efforts to identify and manage program risk(s). The Offeror is required to clearly address management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified.
(8) The Offeror shall submit information substantiating the Offeror’s, or its Teaming Partner’s, past performance in complying with FAR 52.219-8, Utilization of Small Business Concerns and/or FAR 52.219-9 subcontracting requirements.
(9) Offerors and Teaming Partners shall provide a statement indicating whether any negative information has been reported in the past three years concerning the Offeror’s, or its Teaming Partner’s past compliance with FAR 52.219-8 and/or FAR 52.219-9, if applicable. If any such negative information has been reported, the Offeror or its Teaming Partner, may submit explanations or comments regarding such negative information. Offerors and Teaming Partners with no prior contracts containing FAR 52.219-8 shall state that in this proposal volume.
(10) For Other than Small Business Offerors, include SF 294 information for references cited in this volume and
SF 295 (or Individual Subcontracting and Summary Subcontracting Reports in eSRS) information for DOD Government contracts with these reporting requirements for the last three (3) years.
(11) In conducting the Past Performance evaluation, the Government reserves the right to use the information provided in the Offeror’s Past Performance Volume and information obtained from other sources, such as the Electronic Subcontract Reporting System (eSRS), Contractor Performance Assessment Reporting System (CPARs), or other databases; and may be obtained from other sources available to the Government, such as the Defense Contract Management Agency (DCMA) and interviews with Program Managers, Contracting Officers, and Fee Determining Officials. Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used by the Government to evaluate Offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the Offerors. Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the Government. All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received.
(12) Additional Submission Requirements. In addition to the above requirements, the Offeror shall submit the following in its Past Performance Volume:
(a) Consent Letters. The Offeror shall provide Consent Letters authorizing the release of past performance information about each prime contractor, subcontractor, teaming partner, and/or joint venture partner that it proposes will perform 25% or more of the contract effort. Past performance information concerning contractors cannot be disclosed to the Government or requested from a private party without the contractor’s consent. Because prime contractors and subcontractors are private parties, the Government requires consent before requesting such information about prime contractors and subcontractors from references. In an effort to assist the Government’s Past Performance Team in assessing an Offeror’s past performance relevancy and determining a confidence rating, the Government requests that a consent letter be completed for each reference identified in your proposal. The completed consent letters shall be submitted as part of the Past Performance volume. This requirement applies to both Governmental and Commercial (Non-Governmental) organizations used as references.
(b) Commercial Client Authorization Letters. The Offeror shall provide, for each identified past performance reference, a Commercial Client Authorization Letter authorizing the Government to request information from the Commercial Client regarding the Offeror's and/or or Teaming Partner’s performance.
(c) Organization Structure Change History. The Offeror shall provide information regarding the structure change history of the Offeror’s organization and its Teaming Partners (if any). Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between the conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, the Offeror shall include in its past performance volume a chart or schedule describing all such changes in the organization of the Offeror and Teaming Partners over the past three years. As part of this explanation, the Offeror shall show how these changes impact the relevance of any identified past performance efforts. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), Organization Structure Change History must be specifically applicable to the efforts identified by the Offeror in the past performance volume of its proposal.
VOLUME IV: Factor 4 – Small Business Participation.
(1) All Offerors (both small and other than small) should propose the level of participation of small businesses (as a small business prime and/or small business subcontractor) in the performance of this requirement.
Offerors proposed small business participation will be subject to becoming requirements that shall be incorporated into any resultant contract and monitored as a measure of contract compliance. These requirements apply at the prime contract and first tier subcontract levels.
Offerors are required to submit a Small Business Participation Proposal individually addressing the following areas:
The extent to which small business firms are identified by name in each category proposed.
The extent of commitment to use such firms (and binding agreements will be considered more favorably than non-binding agreements);
The complexity of the work small business firms are to perform;
The extent of participation of small businesses firms in terms of the value of the total contract. The minimum small business participation requirement is 30% of total contract value.
In the event of a contract award, the successful Offeror shall be required to meet the 30% minimum small business participation requirement, or the proposed alternate small business participation requirement, as applicable, on an annual basis per option period.
(2) Small Business Subcontracting Plan (Other than Small Businesses Only). Separate from the Small Business Participation Proposal, other than small business Offerors shall also submit a Small Business Subcontracting Plan meeting the requirements of FAR 52.219-9. The Offeror shall provide the Small Business Subcontracting Plan with the Offeror’s proposal submission. See Attachment #2 for the Small Business Subcontracting Plan Template.
The apparently successful Offeror’s Small Business Subcontracting Plan will be assessed in accordance with FAR 52.219-9 requirements and must be determined as “acceptable” by the Contracting Officer in the event of an award.
The Small Business Subcontracting Plan is a material requirement of the solicitation and any resultant contract. A Small Business Subcontracting Plan deemed as ‘unacceptable” shall preclude an Offeror from being eligible for contract award. To the extent there is any overlapping content between an Offeror’s proposed Small Business Subcontracting Plan and its Small Business Participation Proposal, the overlapping content must be consistent for a Subcontracting Plan to be deemed “acceptable”.
Note:
*Subcontracting plan goals are calculated as a percentage of subcontracted dollars as opposed to small business participation which is calculated as a percentage of the total contract value (TCV) dollars.

A. BASIS FOR AWARD
The Government intends to award a contract resulting from this solicitation to the offeror(s) deemed responsible in accordance with FAR Subpart 9.1, Responsible Prospective Contractors, as supplemented, whose proposal(s) conform to the Request for Proposal (RFP) requirements (to include all stated terms, conditions, representations, certifications, and all other information required IAW FAR 52.212-1, Instructions to Offerors, and its addendum in the solicitation), and whose proposals represent the Best Value to the Government, as determined by the tradeoff evaluation criteria described herein IAW FAR Part 15, Contracting by Negotiation.
Best Value Goals. The Government is looking for innovative ideas in training methodology and innovation in the equipment used for training. A proposal that has better training processes, procedures, and/or simulators that ensure the best possible qualified pilots may be worth more to the government than a proposal that just meets the minimum needs. EXAMPLES OF POSSIBLE INNOVATIONS, NOT ALL-INCLUSIVE, ARE AS FOLLOWS:
Superior levels of flight instructor training & certification - above and beyond Federal Aviation
Administration (FAA) Certified Flight Instructor
Innovative desktop or personal computer (PC) based computer software simulation to improve flight crew training prior to simulator and/or actual aircraft flight training
Common media across locations in training
Common simulator and aircraft avionics suites across training venues
Simulator and actual aircraft commonality - beyond avionics - to make the transition between the simulator/aircraft more efficient and also improve safety (aircraft limits and operating procedures)
Continuity of Operational Flight Program Training
Real time configurable cockpits
National and international databases supporting operational scenario training
When making the Best Value determination, Factors 1 (Technical Approach) and 2 (Staffing Approach) are equal in importance. Factors 3 (Past Performance) and 4 (Small Business Participation) are equal in importance. When combined, Factors 1 and 2 are significantly more important than Factors 3 and 4. Factors 1 through 4 are significantly more important than Factor 5 (Price). Award will be based upon an integrated assessment of all price and non-price factors. Tradeoffs between price and non-price factors are permitted. THEREFORE, THE
GOVERNMENT RESERVES THE RIGHT TO AWARD TO OFFERORS WITH OTHER THAN THE LOWEST
PROPOSED PRICES. Price will be increasingly more important as non-price factors become increasingly equal.
An offeror shall be ineligible for award if its proposal fails to comply with the material requirements of the solicitation (to include all stated terms, conditions, representations, certifications, and all other information required in accordance with FAR 52.212-1, Instructions to Offerors, in the solicitation); if its proposed prices are determined to be unreasonably high, unbalanced, incomplete, or inaccurate; or if its proposal receives a rating of “Unacceptable” in Factors 1, 2, or 4; or if its proposal receives a rating of Limited Confidence or No Confidence in Factor 3.
Evaluation Process. The Government intends to hold discussions IAW DFARS 215.306(c)(1). However, the Government may choose to award a contract without discussions. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. If discussions are determined unnecessary and award is made from initial proposals, a proposal will be ineligible for award if it is rated as “Unacceptable” in Factors 1, 2, or 4; receives a rating of Limited Confidence or No Confidence in Factor 3, fails to comply with the material requirements of the solicitation (to include all stated terms, conditions, representations, certifications, and all other information required in accordance with FAR 52.212-1, Instructions to Offerors, and its addendum in the solicitation); or if its proposed prices are determined to be unreasonably high, unbalanced, or incomplete.
In the event that discussions are held, a competitive range determination will be made. A competitive range will be based on the evaluation of proposals as described below. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the…
