b. Exceptions. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub-factors (Sections A through M). Failure to meet a requirement may result in an offer being ineligible for award. If the Offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the Offeror shall clearly identify the applicable volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, cost and specific requirements of the solicitation. The General Volume shall be organized as follows and contain the following identified information:

TAB E: Small Business Subcontracting Plan. Offeror that is classified as “Large Business” shall provide a Small Business Subcontracting Plan that contains all the elements required by FAR Clause 52.219-9.
This plan shall be submitted separately from the Small Business Participation Proposal, which applies to both Large and Small Businesses. The Subcontracting Plan is not a requirement for evaluation in source selection, but rather, a requirement for award to a Large Business and it will be incorporated into any resultant contract. The Department of Defense (DoD) has established small business goals to ensure that small businesses will have maximum practicable opportunity to participate in performance of DoD contracts. The recommended MICC Office of Small Business Program (OSBP) goals for this acquisition are as follows and are based on the total proposed subcontracted effort: The established minimum Small Business participation goal for this action is 10% of the TOTAL estimated contract cost.
• Small Business (10% of Total Contract value must be allocated to Small Business Firms)
• Small Disadvantaged Business 10% (percent of total Small Business Subcontracting)
• Women-Owned Small Business 5% (percent of total Small Business Subcontracting)
• Historically Underutilized Business Zone (HUBZone) Small Business 3% (percent of total Small
Business Subcontracting)
• Veteran-Owned Small Business 3% (percent of total Small Business Subcontracting)

TAB F: Organizational Conflict of Interest (OCI) Mitigation Plan. Each Offeror shall submit a Mitigation Plan, if required, to satisfy the requirements of FAR 9.5 "Organizational and Consultant Conflicts of Interest". Actual and potential OCI conflicts that may exist include Unequal Access to Information, Biased Ground Rules, and Impaired Objectivity. The Mitigation Plan shall include a description of the actual or potential OCI, a description of the action that the Offeror has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the Contracting Officer in determining whether the Mitigation Plan is in fact acceptable or unacceptable. If the offeror determines that no Organization Conflict of Interest Mitigation Plan is required, the offeror shall submit its representation stating that no OCI situation exists.
All prospective Offerors are hereby advised to examine the FAR 9.505 and identify any actual and potential OCI conflicts that may now exist to include Unequal Access to Information, Biased Ground Rules, and Impaired Objectivity; if any such concerns exist, the impacted Offeror will submit an acceptable OCI Mitigation Plan to the Contracting Officer with its proposal. The Contracting Officer will determine based on the facts and circumstances of each individual case whether impacted Offeror's OCI Mitigation Plan is acceptable for this requirement prior to making an award.
If any Offeror has questions with regards to your affirmative responsibility to identify OCI concerns and/or mitigate each issue, each potential Offeror is encouraged to ask questions and seek clarifications before proposal due dates. The Government will be prevented from awarding a contract to any Offeror who has an actual OCI issue that cannot be mitigated to the satisfaction of the Contracting Officer.
TAB G: Transmittal Summary Letter. The Offeror must submit a summary cover letter to include:

Volume II - Mission Capability (Includes Evaluation Factors #1 - Management Approach & Evaluation Factor #2 - Technical Approach): The Mission Capability Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. Elaborate brochures or documentation, binding, detailed art work or other embellishments are unnecessary and are not desired.
Legibility, clarity and coherence are very important. The Management Approach and Technical Approach contained in your Mission Capability Volume will be evaluated in accordance with Section M, Evaluation Factors for Award. The proposal should not simply rephrase or restate the Government's requirements; the proposal shall provide convincing rationale to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical data, training, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” “standard training will be employed,” etc., may raise questions regarding an Offeror’s technical ability to perform the services contained herein and may be grounds to eliminate the proposal from further consideration for contract award.
Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal.
The Mission Capability Volume shall, at a minimum, be prepared in a form consistent with the PWS and the evaluation criteria for award set forth in Section M of this solicitation. The section shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the Offeror’s technical competence and ability to comply with the contract task requirements specified in the PWS. The Offeror shall address as specifically as possible the actual methodology they will use for accomplishing the PWS tasks. Each section of the Mission Capability Volume shall clearly reference the applicable instruction and evaluation criteria from Section L and M of the RFP being addressed and include PWS citations to support any discussion regarding the execution of tasks. The Mission Capability Volume shall not contain any pricing data. The Mission Capability volume shall be organized according to the following general outline:

The Executive Summary shall not be included in the page count limitation.

The labor category descriptions for key personnel shall include a notation identifying the labor category as key personnel. The Offeror shall place a cross-reference index at the front of this section that is organized by functional task area and includes an alphabetical listing of each labor category proposed, a proposal citation identifying the page number for each corresponding labor category description in the section, and the corresponding tasks of the PWS each labor category is responsible for supporting. The labor category descriptions shall be inserted at the back of Section F12 and tabbed “Tab F1B2-b – Labor Category Descriptions and Qualifications.” The information at Tab F1B2-b shall be excluded from the page count.
c. Key Personnel Qualifications. Offerors shall identify all key personnel that routinely participate in training events and demonstrate their ability to maintain those key personnel for an extended period to allow continuity in mission execution. The Offeror shall provide a list of all proposed labor categories for key personnel with applicable roles and responsibilities deemed necessary to perform all requirements by functional task area of the PWS. Offerors shall include labor categories for key personnel, what authority the individuals(s) possess, category of employment (FT/PT), narrative demonstrating how key personnel meet or exceed the minimum qualifications prescribed by the PWS.
d. Methodology for Accomplishing Base Support Functions. The Offeror shall demonstrate a clear understanding of the staffing resource requirements for Base Support Functions and a corresponding plan to fulfill those resource requirements in the most effective and efficient manner possible for each Base Support functional task area. Base Support Functions include the tasks identified under PWS sections C.5.1-C.5.11, C.5.12, C.5.13, C.5.14 and all subparts.
i. The Offeror shall discuss their basis of estimate for accomplishing Base Support Functions and demonstrate their understanding of the staffing requirements by analyzing the PWS and formulating their team complement based on the manning requirements identified in the PWS (24/7 support, number of workstations, etc) in conjunction with staffing requirements identified in Vignette #1 and Vignette #2. The basis of estimate shall discuss the methodology used to determine the staffing proposed for each function of the PWS (the type, number of personnel proposed, and the level-of-effort proposed for each labor category), and demonstrate an understanding of the line between the staffing proposed and the requirements of the PWS to include, but not limited to, a discussion of the PWS requirements in relation to the resources proposed for each assigned task and the associated PWS references. The methodology must also identify why the personnel proposed are best qualified to accomplish the task based on the identified knowledge, skills, security clearances, education, and experience requirements. The offeror, based upon its proposed organization, workload analysis, innovations, and any other factors, shall submit a staffing plan that includes all staffing required to perform all contract work; offeror shall disclose teaming arrangements, and identify subcontractors, including proposed roles in performance of the contract, as well as a breakdown of their roles as a percentage of total work, for each period of performance. All cross utilization, if applicable, of personnel shall be clearly explained and depicted. The Offeror shall identify the qualifications (i.e., certifications, education, knowledge, skills and/or experience) of proposed personnel functional categories. The offeror shall ensure its staffing plan clearly depicts the total number of full time equivalents (FTE) for each proposed labor category, including for any subcontracted effort. If utilizing other than 1920 productive hours per FTE, the offeror shall provide its calculation of productive hours. All cross utilization of the labor force shall be clearly explained.
ii. Rationale for the proposed staffing plan in the worksheet shall be explained in sufficient detail so as to clearly indicate that the proposed staffing plan can meet the minimum requirements of the PWS's labor category and scope of effort.
iii. OFFEROR SHALL CAREFULLY ENSURE THAT ITS PROPOSED PRICING IS
CONSISTENT WITH ITS PROPOSED STAFFING PLAN. Note: No pricing information shall be submitted in the technical volume.
iv. The Offeror shall address the technical approach for how Base Support Functions will be accomplished and their ability to simultaneously manage multiple JRTC training rotations by addressing how the Offeror's personnel will be organized and staffed along with specifically describing how work will be performed (including use of any automated systems or work-loading procedures), proposed work processes schedule (at a minimum includes a timeline of events), approaches, process interfaces, innovations, assumptions of support, cross-utilization of personnel, training, and performance plans. The Offeror shall provide manpower matrices showing the proposed team complement for Base Support Functions. The team complement shall include the labor category, PWS tasks supported by task name and PWS citation, number of personnel proposed for each labor category, the number of hours associated with each labor category, employment status (FT/PT), and the required skill level. The manpower matrices shall be organized by functional task area, and then listed alphabetically by labor category.
The manpower matrices shall also include a summary of the total man hours proposed for each functional task area. All labor categories proposed shall be consistent with the labor categories identified in the labor category descriptions provided in the Offeror’s Management Approach.
e. Methodology for Accomplishing Sample Vignettes for Training Rotations. Two sample vignettes are included at Technical Exhibit #A, Sample Training Vignettes and are representative of the training requirements unique to a rotational exercise that may be executed under the resultant contract. Vignette 1 represents a standard rotation which is considered part of the Base Support Functions, Vignette 2 represents a Mission Rehearsal Exercise (MRE). The Offeror shall present a proposed solution/approach to satisfying each vignette. The information prescribed by this paragraph shall be provided for each vignette. The Offeror shall demonstrate an overall understanding of the vignette, rotational training requirements, role play mission and required capabilities, and various levels of role player participation, schedules, coordination, and staffing of the requirements. The Offeror shall provide manpower matrices showing the proposed team complement for each sample vignette. The team complement shall include the labor category, number of personnel proposed for each labor category, the number of labor hours (total estimated regular and overtime) associated with each labor category, employment status (FT/PT), and the required skill level. All cross utilization of the labor force shall be clearly explained and depicted in a separate narrative. The manpower matrices shall be organized alphabetically by labor category. All labor categories proposed shall be consistent with the labor categories identified in the labor category descriptions provided in the Offeror’s Management Approach. Each response shall include sufficient information to describe the Offeror’s processes, procedures, controls, etc. that will be established to accomplish each vignette. For each sample vignette, the Offeror shall specifically identify and explain their process to achieve full performance capability; identify and explain how they will staff the requirement to include identifying necessary skill sets to complete each task; address how work will be scheduled (including use of any automated systems or work-loading procedures); and/or assumptions of government support. The offeror shall also submit a risk assessment and a risk mitigation strategy for each sample vignette that will evaluate the risk associated with performance without impacting the simulation of risk associated with the replication of actual combat. Scheduling details shall include methods to determine regular hours, overtime hours, and holiday hours.
Volume III: Evaluation Factor #3 - Past Performance: All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. Offerors with no past performance as a company may provide information on company personnel who have performed similar work in the past.
Submission Requirements. The Offeror shall submit a Past Performance Volume containing the following:
TAB A: Table of Contents.
TAB B: Exceptions/Assumptions (if required). Identification and explanation of any exceptions or deviations in Volume III. Additionally, any assumptions used in the proposal preparation must be identified.
TAB C: Summary Page. The Offeror shall include a summary describing the role of the Offeror and each subcontractor, teaming partner, and /or joint venture partner. The summary shall include any contractor for which Past Performance Information was submitted. The summary shall also include a cross-reference matrix depicting the Offeror and each subcontractor, teaming partner, and /or joint venture partner with reference to the past performance projects cited for each team member and the associated tasks from the PWS represented by each project.
TAB D: Consent Letters. The Offer shall submit consent letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the Offeror can respond to such information. A sample consent letter is attached as Attachment #1, Subcontractor/Teaming Partner Consent Form.
TAB E : Client Authorization Letters. For each identified effort for a commercial customer, the Offeror shall submit Client Authorization Letters authorizing release of any requested information on the Offeror’s performance to the Government
TAB F: Organization Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company and of proposed team members. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
TAB G: Specific Relevant Contracts Format (Attachment #2, Specific Relevant Contract Sheet).
The Offeror shall provide documentation outlining the Offeror’s past performance with contracts, as a prime or major subcontractor and all subcontractors, teaming partners, and/or joint venture partners, which is the same or similar in nature, size and…
