1. Proposal Format.

a. Offerors shall submit an original and the number of copies listed in paragraph (c) below of their proposal. Offerors shall also submit the number of digital copies specified in paragraph (c) below.

b. Exceptions. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub-factors (Sections A through M). Failure to meet a requirement may result in an offer being ineligible for award. If the Offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the Offeror shall clearly identify the applicable volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, cost and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Offerors are cautioned that taking an exception may render the offer ineligible for award. The identification of exceptions to the RFP does not absolve Offerors of the requirement to comply with all of the RFP requirements. Failure to meet any requirements of the RFP may result in a proposal being deemed ineligible for award, notwithstanding the identification of any exceptions. It is recommended that the Offeror contact the Contracting Officer immediately prior to solicitation closing upon identifying an area that may result in an exception so that an effort can be made to address and /or resolve any exceptions prior to proposal submission. This information shall be provided in the format below.

Solicitation Exceptions

c. Proposal Volumes. The proposals shall be organized into five volumes. Each hard copy volume of the proposal shall be separately bound in a three-ring loose leaf binder which shall permit the volume to lie flat when open. A cover sheet should be bound in each book, clearly marked as to volume number, title, copy number, solicitation identification and the Offeror's name. The same identifying information shall be placed on the cover of the binder. Tabbed dividers are requested to identify and separate sections within the volumes. Dividers or blank pages will not be counted against the page limitations and should be excluded from the page numbering sequence. All pages of proposal response shall be appropriately numbered, and identified with the RFP number. All text shall be single spaced and printed black on white paper (black and white requirement does not apply to graphics, photos or other visual and/or technical illustrations such as tables, focus boxes, or graphs. Company stationary and logos are acceptable). Printing shall be easily readable (12 point New Times Roman font with proportional spacing.) Cross-references should be utilized to preclude unnecessary duplication of data between sections. In addition to submitting hard copies of the proposals, digital copies of the proposals shall be provided on CD-ROM disc in Microsoft Word, PowerPoint and/or Excel. Of the two digital copies required, the Offeror shall provide one protected disc and one unprotected disc. The protected disc must be password protected and locked to prevent any manipulation. With the exception of the Cost Volume, documents within the protected disc may be submitted as "read-only" to further prevent manipulation. The protected files will serve as an unaltered version of the Offerors’ proposals which will support and validate the contents of the hard-copy submissions. The unprotected disc shall not contain any passwords or locks that would prevent manipulation by the Government. The unprotected version of the proposal shall be utilized to make any needed revisions, notes, or changes to the proposal. Each volume shall be prepared on a separate disc. File names shall include the following: “Company

Fold-outs will be counted as the appropriate number of pages based on an 8 ½ X 11” sheet of paper. Use at least 1 inch margins on the top and bottom and 3/4 inch side margins. The Offeror shall number each page in order to eliminate any confusion. In the event Offeror creates an ambiguity in their numbering of pages, the Government may exercise its own discretion in counting pages.

h. Indexing. Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.

i. Glossary of Abbreviations and Acronyms. Each volume shall contain a glossary of all abbreviations and acronyms used, with a definition for each.

Proposal Content:

Volume I – General: Offerors are required to submit a completed SF 33 (including acknowledgment of Amendments), Section B, and Section K. Failure to follow the below Contract Proposal preparation instructions may be grounds to eliminate the proposal from further consideration for contract award. The General Volume shall be organized as follows and contain the following identified information:

TAB A: Exceptions/Assumptions (if required). Offerors are required to provide an identification and explanation of any exceptions or deviations identified in Volume I. Additionally, any assumptions used in the proposal preparation must be identified in this Tab A of Volume I.

TAB B: SF 33. The SF 33 shall be fully completed upon submission. The Offeror is cautioned that the SF 33 must contain an original signature in block 17 of the form. The Offeror shall acknowledge any amendments to the RFP in accordance with the instructions on the SF 33 with Section L, FAR 52.215-1 (b), Instruction to Offerors—Competitive Acquisition. The SF 33 at block 12 shall also include the acceptance period of no less than 180 days during which the Government may accept the offer to create a binding contract.

TAB C: Section B (Supplies or Services and Prices/Costs). Section B shall be submitted fully completed and error free. It shall contain the Offeror’s prices for the established Contract Line Item Numbers (CLINs). All final monetary extensions shall be in whole dollars only. All unit prices shall not exceed two decimal places.

TAB D: Section K (Representation, Certifications, and Other Statements of Offerors). The Offeror shall ensure that Section K is thoroughly completed and submitted with all blocks in each certification/representation completed truthfully with the requisite information.

TAB E: Small Business Subcontracting Plan. Offeror that is classified as “Large Business” shall provide a Small Business Subcontracting Plan that contains all the elements required by FAR Clause 52.219-9.

This plan shall be submitted separately from the Small Business Participation Proposal, which applies to both Large and Small Businesses. The Subcontracting Plan is not a requirement for evaluation in source selection, but rather, a requirement for award to a Large Business and it will be incorporated into any resultant contract. The Department of Defense (DoD) has established small business goals to ensure that small businesses will have maximum practicable opportunity to participate in performance of DoD contracts. The recommended MICC Office of Small Business Program (OSBP) goals for this acquisition are as follows and are based on the total proposed subcontracted effort: The established minimum Small Business participation goal for this action is 10% of the TOTAL estimated contract cost.

Small Business (10% of Total Contract value must be allocated to Small Business Firms) Small Disadvantaged Business 10% (percent of total Small Business Subcontracting) Women-Owned Small Business 5% (percent of total Small Business Subcontracting) Historically Underutilized Business Zone (HUBZone) Small Business 3% (percent of total Small

Business Subcontracting) Veteran-Owned Small Business 3% (percent of total Small Business Subcontracting) Service-Disabled Veteran-Owned Small Business 3% (percent of total Small Business

Subcontracting)

TAB F: Organizational Conflict of Interest (OCI) Mitigation Plan. Each Offeror shall submit a Mitigation Plan, if required, to satisfy the requirements of FAR 9.5 "Organizational and Consultant Conflicts of Interest". Actual and potential OCI conflicts that may exist include Unequal Access to Information, Biased Ground Rules, and Impaired Objectivity. The Mitigation Plan shall include a description of the actual or potential OCI, a description of the action that the Offeror has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the Contracting Officer in determining whether the Mitigation Plan is in fact acceptable or unacceptable. If the offeror determines that no Organization Conflict of Interest Mitigation Plan is required, the offeror shall submit its representation stating that no OCI situation exists.

All prospective Offerors are hereby advised to examine the FAR 9.505 and identify any actual and potential OCI conflicts that may now exist to include Unequal Access to Information, Biased Ground Rules, and Impaired Objectivity; if any such concerns exist, the impacted Offeror will submit an acceptable OCI Mitigation Plan to the Contracting Officer with its proposal. The Contracting Officer will determine based on the facts and circumstances of each individual case whether impacted Offeror's OCI Mitigation Plan is acceptable for this requirement prior to making an award.

If any Offeror has questions with regards to your affirmative responsibility to identify OCI concerns and/or mitigate each issue, each potential Offeror is encouraged to ask questions and seek clarifications before proposal due dates. The Government will be prevented from awarding a contract to any Offeror who has an actual OCI issue that cannot be mitigated to the satisfaction of the Contracting Officer.

TAB G: Transmittal Summary Letter. The Offeror must submit a summary cover letter to include:

contact information (name, title, email address, and phone number) for a primary and alternate proposal point of contact (POC) who can obligate the company contractually and/or address decisions made with regard to the proposal; contact information for individuals authorized to negotiate with the Government;

contact information for a POC at the Offeror’s financial institution that can assist with validating the Offeror’s solvency; a list of the proposal package contents; tax identification number, CAGE Code, and DUNS; and an overview of the company’s history, organization and general experience, to include a listing of subcontractors and/or teaming partners.

Volume II - Mission Capability (Includes Evaluation Factors #1 - Management Approach & Evaluation Factor #2 - Technical Approach): The Mission Capability Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. Elaborate brochures or documentation, binding, detailed art work or other embellishments are unnecessary and are not desired.

Legibility, clarity and coherence are very important. The Management Approach and Technical Approach contained in your Mission Capability Volume will be evaluated in accordance with Section M, Evaluation Factors for Award. The proposal should not simply rephrase or restate the Government's requirements; the proposal shall provide convincing rationale to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical data, training, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” “standard training will be employed,” etc., may raise questions regarding an Offeror’s technical ability to perform the services contained herein and may be grounds to eliminate the proposal from further consideration for contract award.

Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal.

The Mission Capability Volume shall, at a minimum, be prepared in a form consistent with the PWS and the evaluation criteria for award set forth in Section M of this solicitation. The section shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the Offeror’s technical competence and ability to comply with the contract task requirements specified in the PWS. The Offeror shall address as specifically as possible the actual methodology they will use for accomplishing the PWS tasks. Each section of the Mission Capability Volume shall clearly reference the applicable instruction and evaluation criteria from Section L and M of the RFP being addressed and include PWS citations to support any discussion regarding the execution of tasks. The Mission Capability Volume shall not contain any pricing data, with the exception of salar and fringe benefit information contained in the FAR 52.222-46 Compensation Plan. The Mission Capability volume shall be organized according to the following general outline:

TAB A: Table of Contents.

TAB B: Exceptions/Assumptions (if required). Identification and explanation of any exceptions or deviations in Volume II. Additionally, any assumptions used in the proposal preparation must be identified in this tab.

The summary shall address any significant tradeoffs and risks, and highlight any key or unique features of their team and/or proposal, excluding cost. The Offeror shall provide a list with the addresses and POCs, of all companies participating on the Offeror’s team, including the prime Contractor, any partners, subcontractors, etc. Any material presented in this summary shall not be considered as meeting the requirements for any other parts of the proposal. The Executive Summary shall not be included in the page count limitation.

TAB F: Mission Capability Evaluation Factors.

Volume III: Evaluation Factor #3 - Past Performance: All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. Offerors with no past performance as a company may provide information on company personnel who have performed similar work in the past.

Submission Requirements. The Offeror shall submit a Past Performance Volume containing the following:

TAB A: Table of Contents.

TAB F: Organization Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company and of proposed team members. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

TAB G: Specific Relevant Contracts Format (Attachment #2, Specific Relevant Contract Sheet).
