PROPOSAL SUBMISSION (Section L)

1. INTRODUCTION:

a. This solicitation for Special Operations Forces Training, Engineering, and

Maintenance Support (SOF TEAMS) IV in support of the 160th Special Operations Aviation Regiment (Airborne) will result in the award of a “C” type contract with a base period of one (1) year with four (4) one (1) year options.

b. Points of Contact (POCs): The POCs for this solicitation are the Contracting Officer, Mr. Justin Mauser, and the Contract Specialist, Mr. Jason VanHoozer.

c. Questions: The questions window closed atAll questions in response to this solicitation and its attachments shall be directed via email to the POCs identified above by NLT 1500 Eastern Standard Time (EST) on 22 November 2024.

Questions received after this time/date will be answered at the Government’s discretion. Offerors shall utilize the SOF TEAMS Clarification Form provided as Attachment 9 for submitting questions. The Government will provide answers to questions via sam.gov.

d. Proposal Due Date: NLT 124:00 PM EST on 193 December 2024.

e. Proposal Validity Period: 180 days after proposal due date.

2. PROPOSAL SUBMISSION:

a. The offeror shall prepare the proposal as set forth in the Proposal Organization

Table (Table 1.A below).

b. Format. The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and Request for Proposal (RFP) number in the header and/or footer. A Table of Contents should be created using the Table of Content feature in MS Word. MS Word (doc) files shall use the following page setup parameters:

Margins – Top, Bottom, Left, Right – 1” Gutter – 0” From Edge – Header, Footer 0.5” Page Size, Width – 8.5” Page Size, Height – 11”

Volumes shall be printable on 8-1/2 x 11-inch paper. Tables or figures may be included on fold out sheets, which shall not exceed 11 x 17 inches (if printed).

11X17 folded pages are acceptable for tables/graphic representations, however, each 11X17 page counts as two pages. Tables and illustrations may use a reduced font size no less than 8-point and may be produced in landscape mode.

Each paragraph should be single-spaced and shall be separated by at least one blank line. A standard, 12-point minimum font size applies. Arial or New Times Roman fonts are required. If proposal volumes/sections exceed the page limitations set forth herein, excess pages over the designated limit will be removed from the back of that volume/section and not evaluated.

c. File Submission. All proposals shall be submitted through via Department of

Defense (DoD) Secure Access File Exchange (SAFE) (https://safe.apps.mil/).

Offerors shall utilize a file naming convention substantially similar to what is provided in the “File Name” column in the following table. Please abbreviate your company name in the filename to keep the file names as short as possible.

Offerors shall streamline their submissions to the maximum extent possible, submitting as few files as possible to convey a complete and thorough proposal.

The electronic copies of the proposal shall be submitted in a format readable by Microsoft 365 as applicable. All electronic documents shall be searchable. Files shall also be in read-only format, using PDF files. All price breakdown information to aide in the cost/price evaluation shall be submitted in Microsoft Office Excel Read/Write format and viewable in Microsoft Excel 365. **Please note – Self extracting *.exe files are not acceptable.

c. All information shall be confined to the appropriate file. The offeror shall confine submissions to essential matters, sufficient to define the proposal in a concise manner, to permit a complete and accurate evaluation of each proposal. Each file of the proposal shall consist of a Table of Contents, Summary Section, and the Narrative discussion. The Summary Section shall contain a brief abstract of the file. Proprietary information shall be marked clearly.

d. Offerors shall not make any changes to the solicitation. Any objections to the terms and conditions of the solicitation should be addressed to the Procuring Contracting Officer (PCO). If the proposal takes exceptions to the terms and conditions of the solicitation, all exceptions shall be denoted in a cover letter to the proposal; however, exceptions to the solicitation taken in the proposal may result in the offer being non-compliant.

e. Files shall not contain classified information.

f. OFFERORS ARE HEREBY ON NOTICE THAT A FAILURE TO SUBMIT ALL

THE REQUIRED DOCUMENTATION IN EXACTLY THE MANNER

(TIMELINESS AND FORMAT) SPECIFIED IN THE SOLICITATION MAY

CONSTITUTE A BASIS FOR THE GOVERNMENT TO REJECT A PROPOSAL

AS NON-COMPLIANT AND THEREFORE UNACCEPTABLE, AT THE SOLE

DISCRETION OF THE SOURCE SELECTION AUTHORITY. FURTHERMORE,

SHOULD AN OFFEROR INDICATE IN ITS PROPOSAL THAT: IT CANNOT OR

WILL NOT MEET ONE OR MORE CONTRACT REQUIREMENTS; PROVIDE

AN APPROACH THAT CLEARLY DOES NOT MEET ONE OR MORE

CONTRACT REQUIREMENTS; OR, INCLUDE PROPOSAL INFORMATION

THAT PROMPTS THE GOVERNMENT TO QUESTION THE OFFEROR’S

COMPLIANCE WITH ONE OR MORE CONTRACT REQUIREMENTS, THE

GOVERNMENT MAY DETERMINE, AT ITS DISCRETION THAT THE

OFFEROR’S PROPOSAL IS NON-COMPLIANT, AND THEREFORE

INELIGIBLE FOR AWARD.

3. VOLUME 1 – TECHNICAL PERFORMANCE

a. Section 1 – Subfactor 1 (Technical Approach)

1. System Availability. The Offeror shall describe their proposed approach to meet the TADSS availability (Ao=95%) as well as the contracted mission requirements. (PWS 3.3.1)

2. Configuration Management. The Offeror shall describe their process for maintaining technical documentation, configuration management (hardware and software), and system status updates. (PWS 3.4.1, PWS 3.5.2)

3. New Site Activation. The Offeror shall describe their process for activating new training sites. (PWS 3.3.6) The Offeror shall describe their execution approach for the activation, deactivation, installation/relocation, operation, and support of TADSS at Ft. Campbell, KY or outstation (option) locations.

4. Cybersecurity. The Offeror shall describe their process for obtaining and maintaining an Authorization to Operate (ATO) and Authorization to Connect (ATC) for TADSS devices and support equipment. (PWS 3.2.3)

5. Supply Chain. The Offeror shall describe their planned approach to provide effective solutions to forecast, identify, monitor, and resolve deficiencies due to supply chain challenges, Diminishing Manufacturing Sources (DMS), obsolescence, material shortage issues and systemic problems within the current TADSS. (PWS 3.4.13)

b. Section 2 – Subfactor 2 (Management Approach)

1. Organizational Structure. The Offeror shall provide an organizational structure (inclusive of subcontractors) that identifies the number of personnel, key staffing positions, labor categories, and job descriptions. (PWS 3.1.1, PWS 3.1.1.c,)

2. Roles and Responsibilities. The Offeror shall provide an organizational flowchart that clearly shows the defined lines of responsibility and levels of decision authority, the location of personnel, and communications/interfaces (e.g., Contractor/Subcontractor to Government, Prime to Subcontractor, Prime to Site/Site Manager, and Subcontractor to Site/Site Manager). The Offeror shall define the company’s interface between principal operating offices and the parent company, if any. (PWS 3.1.1)

3. Management Strategy. The Offeror shall provide a plan to hire and retain proposed specialized and technical skills, staffing level, and knowledge base required to achieve requirements through the life of the contract. This plan shall also include the Offeror’s mitigation strategy for handling potential funding shortfalls and subsequent reprioritization of manpower and logistics support resources. (PWS 3.1.1.c, PWS 3.1.2)

4. Surge. The Offeror shall describe how they will address overtime, surge, and prioritization of manpower resources. (PWS 3.3.8)

5. Transition Risk Mitigation. The Offeror shall provide a comprehensive execution strategy for managing contract transition. This should include a detailed phase-in and phase-out approach, supported by a milestone chart of the key activities. The offeror shall also identify the risks associated with contract transition (e.g., transfer of classified information, GFP/GFI, etc.) as well as provide their proposed mitigation approach for each. (PWS 3.1.5, PWS 3.4.3)

6. Subcontract Management Approach. The Offeror shall describe their approach to subcontract management to include minor modifications and acquiring and executing annual service and support agreements. (PWS 3.1.1.1.g, PWS 3.2 (1st paragraph), PWS 3.9.2)

7. Government Furnished Information and Property. The Offeror shall describe their process for managing support resources, technical data, spares, support equipment, maintenance, Government-Furnished Property (GFP) accountability, device status reporting, minor modifications, and technicians to ensure normal and surge trainer availability requirements.

(PWS 3.4.1, PWS 3.4.3, PWS 3.4.4, PWS 3.9.2)

8. Inventory Control. The Offeror shall describe their process for purchasing, inventory control, and inventory reporting. (PWS 3.4.1, PWS 3.4.3)

4. VOLUME II – PAST PERFORMANCE

a. Summary: This volume shall contain past performance information regarding similar contracts. This volume shall not exceed the number of pages specified in Table 1.A plus five pages for each major subcontractor, excluding Past Performance Questionnaire Forms. For the purposes of this requirement, major subcontractors are defined as members of an offeror’s overall team who are expected to perform twenty percent (20%) or more of the proposed effort.

Offerors shall submit no more than five (5) Government and/or commercial contracts which are relevant to the efforts required by this solicitation and were performed or awarded during the past three (3) years from the issue date of this solicitation. Of the five contracts, offerors shall submit no more than three (3) contracts for the prime offeror and no more than two (2) contracts for major subcontractors. Relevant efforts are defined as those efforts that are the same or similar in terms of scope, magnitude of effort, and complexity to the solicitation requirements. Data concerning the offeror shall be provided first, followed by each proposed major subcontractor, in alphabetical order. The volume shall also contain the written consent of major subcontractors to allow the disclosure of its subcontractor’s past performance information to the Government. In addition, letters of commitment shall be included for all major subcontractors for their past performance to be considered. This volume shall be organized into the following sections:

b. Section 1 – Contract Descriptions. This section shall include the following information in the following format.

1. Contractor/Subcontractor place of performance, CAGE Code and Unique Entity Identification (UEI) Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, and current address, e-mail address, and telephone and fax numbers).

2. Government contracting activity, and current address, Procuring Contracting

Officer’s name, e-mail address, telephone and fax numbers.

3. Government’s technical representative/Contracting Officer’s Representative and current email address, telephone, and fax numbers.

4. Government contract administration activity and the Administrative

Contracting Officer’s name, and current e-mail address, telephone, and fax number.

5. Government contract administration activity’s Pre-Award Monitor’s name, and current e-mail address, telephone, and fax numbers.

6. Contract Number and, in the case of Indefinite Delivery type contracts, GSA contracts, and Blanket Purchase Agreements, include Delivery Order Numbers.

7. Contract Type (specific type such as Fixed-Price (FP), Cost Reimbursement

(CR), Time & Material (T&M), etc.). In the case of Indefinite Delivery contracts, indicate specific type (Requirements, Definite Quantity, and Indefinite Quantity) and secondary contract type (FP, CR, T&M, etc.).

8. Awarded price/cost.

9. Final or projected final price/cost.

10. Original delivery schedule, including dates of start and completion or work.

11. Final or projected final, delivery schedule, including dates of start and completion of work.

c. Section 2 – Performance. This section shall provide a specific narrative explanation of each contract listed in Section 1, Contract Description, describing the objectives achieved and detailing how the effort is relevant to the requirement of this RFP.

1. For any contracts that did not/do not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence.

2. The section shall list each time the delivery schedule was revised and provide an explanation of why the revision was necessary. All Requests for Deviation and Requests for Waiver shall be addressed with respect to causes and corrective actions.

3. Offerors shall also provide copy of any Cure Notices or Show Cause Letters received on each contract listed and a description of any corrective action implemented by the offeror or proposed subcontractor. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

d. Section 3 – Subcontracts. Offerors shall provide an outline of how the effort required by the RFP will be assigned for performance within the offeror’s corporate entity and among the proposed subcontractors. The information provided for the prime offeror and each proposed major subcontractor must include the entire company name, company address, CAGE Code, Unique Entity Identification (UEI) Number and type of work to be performed by citing the applicable Government PWS subparagraph number. This includes all subcontractors who will be providing critical hardware/services or whose subcontract is for more than 20% of the total proposed cost/price. This section will further include written consent of major subcontractors to allow the disclosure of their subcontractor’s past performance information to the Offeror. In addition, letters of commitment shall be included for all major subcontractors

e. Section 4 – New Corporate Entities. New corporate entities may submit data on prior contracts involving its offices and employees. However, in addition to the other requirements in this section, the offeror shall discuss in detail the role performed by such persons in the prior contracts cited. Information should be included in the files described in the sections above. Letters of Commitment shall be included in the proposal for these employees to be considered.

f. Section 5 – Small Business Participation Past Performance. This section shall contain information substantiating the Offeror’s past performance in complying with FAR 52.219-8, Utilization of Small Business Concerns, maximizing opportunities for U.S. small business subcontractors. This section shall also contain a statement indicating whether any negative information has been reported in the past six years concerning the Offeror’s past compliance with FAR 52.219-8. If any such negative information has been reported, the section may contain explanations or comments responding to such negative information.

Offerors with no prior contracts containing FAR 52.219-8 shall certify the same.

g. Submissions. Offerors are discouraged from providing points of contact with another contractors’ facility, i.e., in case an offeror (or one of his/her team members) is in a subcontract with another contractor who has submitted a proposal on the same requirement. Offerors shall provide and submit the prime contract number and all Governmental agency POCs in lieu of subcontract numbers or prime contract POCs in situations as described above.

h. Past Performance Questionnaire. For all contracts identified in Section 1, Contract Descriptions, a Past Performance Questionnaire must be completed and submitted. The offeror shall complete Part I of the Past Performance Questionnaire and e-mail the questionnaire to both the Government contracting activity and technical representative responsible for the past/current contract.

The POCs shall be instructed to electronically complete Part II of the questionnaire and e-mail the entire questionnaire to the Contracting Officer no later than the proposal due date. The offeror shall e-mail to the Contracting Officer a list of all the POCs who were sent a questionnaire. The Government must receive this list no later than the proposal due date. The POC List shall be submitted in Word for Windows Table Format to include the following fields:

Solicitation Number; Company Name; Contract Number; Government Agency;

POC Last Name, First Name; POC Title; POC Telephone Number; POC E-mail Address; and Date E-Mail to POC (month/day).

5. VOLUME III – COST/PRICE.

a. Summary: The Cost/Price Volume shall be submitted in a separate, detachable, and unclassified form for the purpose of evaluation independent of other volumes. There is no page limit for this volume. All information relating to cost or pricing must be included in this section of the proposal and defined as cost data.

This volume shall stand alone in supporting the offeror’s approach to reasonableness, and completeness, of this effort. This volume shall consist of all information required to support proposed costs and prices.

b. General Instructions.

1. In accordance with Federal Acquisition Regulation (FAR) 15.402 and 15.403-

1, certified cost or pricing data are not required since adequate competition is expected for this procurement. Information other than certified cost or pricing data may be provided in contractor format providing that sufficient information is made available. Information submitted shall be prepared following the instruction in FAR 15.403-5. If after receipt of proposals the Contracting Officer determines that there is insufficient information available to determine price reasonableness and none of the exceptions at FAR 15.403-1 apply, the Offeror may be required to submit cost or pricing data. The information submitted in this volume shall comply with FAR 15.408, Table 15-2, and the requirements set forth in this factor. Additionally, if adequate competition is not obtained, the Contracting Officer may incorporate FAR 52.215-20 entitled, “Requirements for Cost or Pricing Data or Information Other Than Cost or Pricing Data,” into the solicitation and request a Certificate of Current Cost or Pricing Data. There are no page limitations for this volume. Proposal information included in this volume which is not directly related to Cost will be disregarded.

2. The Government’s analysis will be conducted in accordance with FAR

15.404-1. All information relating to cost or pricing shall be included in this proposal volume and shall stand alone in supporting the Offeror’s approach to meet the Government’s requirement. The information in this volume shall be clear, concise and include sufficient detail and/or adequate supporting documentation to enable the Government to perform an effective evaluation of proposed costs/prices.

3. The Offeror shall provide an explanation of all ground rules and assumptions that affect the cost estimates. Topics to be addressed include, but are not limited to, investments, programmatic variables (e.g., inflation/escalation, make/buy decisions, prime/subcontractor relationships, business base concerns, etc.).

4. Narratives regarding the Cost/Price Volume shall be submitted in Word format; however, all MS Excel spreadsheets included as exhibits supporting the Cost and Price Volume (e.g., Narratives regarding the Cost/Price Volume shall be submitted in Word for Microsoft Office 365 format; however, all spreadsheets included as attachments supporting the Cost and Price Volume, supporting basis of estimates, etc.) must be in MS Excel 365 format that is editable and executable by the Government evaluator(s), clearly showing the calculations and formulas used in each cell. There shall be no hidden formulas or protected cells. Spreadsheets shall show the formulas used to calculate the rates/factors for each entry and shall not be included as an un-executable, un-editable or flat file such as an embedded picture (Enhanced Metafile). Mathematical explanations shall be provided for any embedded macro/extended formula utilized, clearly describing the functioning of the macro or extended formula.). The Narrative shall include the total proposed cost.

5. Failure to comply with the RFP requirements for Cost information may result in an adverse assessment of an offeror’s proposal and reduce or eliminate its chance of being selected for award. Offerors shall ensure that the information presented in this volume is consistent and correlates with the information contained in the other proposal volumes. Also, the Offeror shall ensure that the information submitted in this volume is consistent with and fully supports the amounts set forth in the SF33 and continuation sheets.

6. Files contained in the Cost Volume III may not be password protected.

Electronic links are only permissible within the Cost Volume. If files contain links, the links must be intact and maintained through all revisions. The Offeror shall not include pivot tables in Excel spreadsheets. The Offeror shall provide a completed Section B Supplies or Services and Prices/Costs.

7. The Offeror shall disclose information pertaining to any proposed JV, JV mentor-protégé or mentor-protégé agreement. If the Offeror is a subsidiary or JV, then the Offeror shall provide information identifying all affiliates and provide a copy of the binding documentation (e.g. Contract, Agreement, Evidence) validating the legally binding business relationship. A properly executed Corporate Guaranty Agreement should also be provided.

c. Cost/Price Proposal.

1. The offeror shall complete Attachment 7(a) which provides prices for each line item to include all CLINs including Options. The Total Evaluated Price (TEP) is the summation of:

a. All Firm-Fixed Priced CLINs for Base Period and all Option Periods,

b. All Cost type CLINs for the Base Period and all Option Periods, plus or minus any adjustments to Cost reimbursable (Cost and CPFF) CLINs for probable cost identified during the Cost Realism Analysis, and

c. Total price for the final 6 months of the contract period of performance to account for Option to Extend Services clause FAR 52.217-8. This price will be calculated by dividing the final option period (option year 4) in half and adding the 6-month price to the TEP. This option pricing will be added to the TEP by the Government.

2. The offeror will complete Attachment 7(b), (c), and (d). The Offeror shall provide sufficient information to support the reasonableness of their proposed direct labor rates and indirect rates as well as any proposed escalation to be used under the SOF TEAMS IV contract.

3. The proposed rates may be determined NOT fair and reasonable and/or NOT realistic if unsupported. In support of the proposed Direct Labor Rates, the Offeror shall provide documentation of the most recent Direct Labor Rates as presented in Attachment 7(cb) and 7(d) to include at least one of the following:

a. Forward Pricing Rate Agreements (FPRA) with Defense Contract

Management Agency (DCMA); or Forward Pricing Rate Recommendations (FPRR) from DCMA; or DCAA/DCMA approved Compensation Rate Tables mapped to the Labor Categories proposed.

b. Letter(s) of Intent (LOIs) that include but are not limited to:

1. Position

2. Direct hourly rate

3. Submitted on Offeror’s or subcontractor’s letterhead

4. Signed by the employer and prospective employee

5. State that the LOI is for RFP W900KK25RA004

6. Payroll records and/or paystubs showing Rate of Pay, and referenced to the Labor Category in the proposal

c. Salary Survey data that includes, but is not limited to:

1. Source of Data

2. Job title and description

3. Geographic location

4. Range of salary amounts with reference to applicability of amounts

d. In addition to the above documentation, Offerors shall explain the plan of action for filling the position at the proposed rate in its cost narrative.

4. In support of the proposed Indirect Expense Rates as presented in Attachment 7(bc), Offeror shall provide documentation (Basis of Estimate) to include an FPRA or FPRR with DCMA if available. PROVISIONAL BILLING RATES and FORWARD PRICING RATE PROPOSALS ARE NOT ACCEPTABLE. In the absence of an FPRA or FPRR, Offeror will provide year-to-date actuals plus three years historical actuals detailing pools and bases (by expense accounts). If proposed indirect rates vary significantly from the three year historical average, provide an explanation to include budgetary data if available. The indirect rates proposed should reflect the Offeror's actual cost accounting practices and indirect rate structure. These elements must be fully explained, including how the amounts were computed both in text and figures.

5. The Offeror shall submit contact information (name, telephone number and email address) for their cognizant DCMA ACO and cognizant DCAA supervisory auditor. If the Offeror is not assigned to DCMA for contract administration or is not assigned to DCAA for contract audit, the Offeror will identify their cognizant federal agency or agencies (and include the individual contact information).

6. The Offeror shall disclose any other known activity that could materially impact the costs (i.e., existing excess material, company reorganizations, new technology acquisitions, labor union discussions, etc.).

7. The Offeror shall complete the provided Labor Traceability Matrix in Attachment 7(e). The Offeror shall trace the proposed internal labor categories and associated rates it will utilize in the performance of SOF TEAMS IV Contract to the corresponding Government provided labor category/rate list in Column C of Attachment 7(e). Offerors do not need to provide an identical match to these provided categories, however; the Offeror shall provide a detailed description of any proposed labor category that it plans to utilize if the title and/or description differs from the labor category/description provided by the Government. This description must clearly demonstrate that the proposed labor category sufficiently meets the Government’s need. If the Offeror proposes a rate based upon a cost pool average, it shall provide detailed information regarding all associated labor categories that comprise the rate, along with individual descriptions for each category. If a composite rate is proposed and is composed of multiple (more than one) labor pools, the Offeror shall provide rationale for its use, to include all associated labor categories, labor descriptions and rationale for its implementation.

8. Service Contract Act (SCA) and Collective Bargaining Agreement(CBA).

Offeror shall ensure that each labor rate applicable to the Wage Determination (WD) or Collective Bargaining Agreement (CBA) meets the minimum wage requirement for the corresponding labor category identified in the applicable Attachment (Attachment 11 or Attachment 12). The Offeror shall match each proposed Labor Category to the applicable WD Labor Category (identified in Attachment 12) or CBA Labor Category (Attachment

11) and/or annotate one of the following in Column D of Attachment 7e:

a. The Offeror shall annotate “Applicable” if it feels the category proposed can be adequately mapped to an appropriate WD or CBA category/rate and shall provide the category title and rate, or

b. The Offeror shall annotate “Not Applicable” if the WD or CBA is not applicable to an Offeror’s Labor Category. If not applicable the Offeror shall disclose one of the following:

1. The Offeror shall annotate “Exempt” and shall provide a detailed explanation as to why if it feels the proposed category is exempted from the WD or CBA, or

2. The Offeror shall annotate “SF 1444 Requested” if it believes that the proposed category requires incorporation into the applicable WD and shall provide a completed Standard Form (SF) 1444 in this Volume as well as the Cost/Price Volume IV.

c. Offerors shall utilize a 3% escalation rate for pricing performance beyond the CBA’s effective period. The resulting award shall be renegotiated in the event that another CBA is put in place.

d. Regulatory Considerations:

1. FAR 52.222-41(c) Compensation. Each service employee employed in the performance of this contract by the Contractor or any subcontractor shall be paid not less than the minimum monetary wages and shall be furnished fringe benefits in accordance with the wages and fringe benefits determined by the Secretary of Labor, or authorized representative, as specified in any wage determination attached to this contract.

2. FAR 52.222-41(m) Service Contract Labor Standards. Collective bargaining agreements applicable to service employees. If wages to be paid or fringe benefits to be furnished any service employees employed by the Government Prime Contractor or any subcontractor under the contract are provided for in a collective bargaining agreement which is or will be effective during any period in which the contract is being performed, the Government Prime Contractor shall report such fact to the Contracting Officer, together with full information as to the application and accrual of such wages and fringe benefits, including any prospective increases, to service employees engaged in work on the contract, and a copy of the collective bargaining agreement. Such report shall be made upon commencing performance of the contract, in the case of collective bargaining agreements effective at such time, and in the case of such agreements or provisions or amendments thereof effective at a later time during the period of contract performance such agreements shall be reported promptly after negotiation thereof.

3. FAR 52.222-43 - Fair Labor Standards Act and Service Contract Labor

Standards-Price Adjustment (Multiple Year and Option Contracts). This clause applies to both contracts subject to area prevailing wage determinations and contracts subject to collective bargaining agreements.

9. Subcontracts. The Offeror shall submit a complete breakdown of costs by major subcontractor. A major subcontractor is defined as a member of the Offeror’s overall team that will perform 20% or more of the proposed effort, yearly, for evaluation purposes.

Full transparency and traceability are required for proposed subcontractor costs. If a subcontractor’s costs are not able to be rolled up into the prime Offeror’s Cost Volume with the same level of fidelity required for the prime, then the subcontractor shall prepare and submit its own Atch 07 Cost Price Workbook and cost proposal PDF directly to the Government by the proposal due date.

Pricing data, or other information which may be considered proprietary by joint venture partners or subcontractors, may be submitted directly to the Government by that joint venture partner or subcontractor via DoD SAFE (https://safe.apps.mil/).

10. Unbalanced Pricing. Offerors shall avoid presenting unbalanced pricing information. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more price elements are significantly over or understated, as indicated by the application of cost or price analysis techniques per FAR 15.404(g). Offerors are cautioned that a proposal may be rejected, if unbalanced pricing exists and the PCO determines that the lack of balance poses an unacceptable risk to the Government.

11. Total Compensation Plan. Offerors and their major subcontractors shall submit a comprehensive Total Compensation Plan, in MS Word and/or Excel format, setting forth base salaries. Separated by fringe benefits proposed for the professional employees who will work under the contract in accordance with Federal Acquisition Regulation (FAR) 52.222-46. The Total

Compensation Plan shall include details regarding the prime contractor, subcontractors, and JV partners as applicable. Total Compensation Plans are required for the prime and major subcontractors.

The Offeror shall describe the methodology to be employed by the Offeror to recruit, retain, and develop personnel with the requisite knowledge, skills, education, experience, and clearances to ensure successful accomplishment of the PWS. At a minimum, the plan shall address:

How lessons learned will be incorporated to improve recruitment and retention practices.

Current recruitment and hiring practices.

Process and procedures for addressing performance issues.

Process for ensuring individuals receive proper training and certifications to perform delivery/task order requirements.

Process for ensuring continuity of quality services during personnel absences due to leave, terminations, and resignations such that impact to the Government is minimal and vacancies do not exceed 15 calendar days, and any other processes or business practices to ensure a stable workforce over the life of the contract.

Offerors and major subcontractors shall provide the assumptions used in developing the Total Compensation Plan and explain the market research and indicators used to validate these assumptions in developing its Total Compensation Plan. The Offeror shall provide sufficient information to enable the Government to evaluate that the plan reflects a sound management approach and understanding of the contract requirements.

As previously discussed, Offerors shall identify if the individual Labor Categories are Exempt or Non- Exempt from Service Contract Labor Standards. Offerors must self-certify exemption status and provide rationale of that status.

In addition, the Table below must be completed by all Prime and Major Subcontractors Offerors as part of its Total Compensation Plan. The Government’s Baseline Minimum Expectations of key benefits to be offered to professional employees are represented in the Table below. These key benefits are not mandatory; however, if the Offeror does not provide these minimum expected benefits, then the Offeror is required to explain how its proposed alternate compensation benefit will enable the recruiting and retention of qualified workers.

Compensation plans that do not include the identified key benefits or provide an inadequate explanation regarding an alternative to the identified benefits will be considered to be based on a deficient management approach where the Offeror will most likely experience difficulty recruiting and sustaining a qualified workforce. Note: The Affordable Care Act (ACA) mandates ten (10) essential health benefits required by insurance plans to be ACA certified and to participate in the federally mandated Health Insurance Marketplace. Those ten (10) essential health benefits are:

1. Ambulatory patient services (outpatient care)

2. Emergency services (trips to the emergency room)

3. Hospitalization (treatment in the hospital for inpatient care)

4. Maternity and newborn care

5. Mental health services and addiction treatment

6. Prescription Drug Coverage

7. Rehabilitative services and devices

8. Laboratory services

9. Preventive services, wellness services, and chronic disease treatment

10. Pediatric Services

While all qualified plans must offer the ten essential benefits, the scope and quantity of services offered under each category can vary. Each qualified plan must offer essential health benefits which overall are equal to the scope of benefits typically covered by employers, as shown by a Department of Labor survey of employer sponsored coverage. (Ref: ACA, Section 1302 (b) (2) (a)).

For the purposes of evaluation, Prescription Drug Coverage will be assumed to be included in the employee’s insurance even if the Offeror does not mention it in their proposal.

12. Accounting System. This contract contains cost type CLINs and therefore

Prime contractors must have an accounting system that has been determined adequate by DCMA. The Offeror shall submit a copy of the most recent ACO letter regarding the status of their accounting system. If the letter is more than a year old and the Offeror has a more current DCAA audit report commenting on the status of their accounting system, a copy of that report will also be submitted and included in the Cost/Price volume. If the Offeror’s accounting system was disapproved or deemed to be not adequate, the Offeror will identify all deficiencies along with steps taken, or to be taken, to correct the deficiencies and a timeline to include audit by the cognizant audit agency after corrective action has been implemented. If the Offeror’s accounting system has never been audited by their cognizant federal audit agency, the Offeror shall so state. If the Offeror does not have an approved accounting system, the Offeror shall complete SF1408 – Pre-award Survey of Prospective Contractor Accounting System Checklist (Attachment 16) and return the documentation as part of the Price Volume of the proposal. Within this survey, mark “X” in the appropriate column; and on Page 2, provide a narrative describing how the current accounting system supports your response to each item. Note that FAR 16.301-3 Limitation indicates that all potential awardees with a cost-reimbursable contract, must have an approved accounting system prior to contract award.

13. Cost Proposal Adequacy Checklist. The Offeror shall complete the Proposal Adequacy Checklist (Attachment 17) and provide with their proposal as an appendix to Offerors Cost/Price Volume.

14. Financial Capability. As part of the Responsibility Determination, the

Government will request the Defense Contract Management Agency to perform a Financial Capability Survey to confirm that all Offerors have the financial ability to successfully perform the contract.

6. VOLUME IV –SMALL BUSINESS PARTICIPATION

a. Small Business Prime Offerors shall submit a Small Business Participation

Volume, which shall be completely stand-alone, and not require any reference to another source, volume, or proposal. The Small Business Participation Volume shall state only the following:

1. In accordance with 13 CFR § 125.3(g)(3) and FAR 15.305(a)(5), Small

Business Offerors shall receive the maximum evaluation rating of OUTSTANDING, which is defined as “Proposal indicates an exceptional approach and understanding of the small business objectives,” for the Small Business Participation evaluation factor, without having to submit any further information in connection with the Small Business Participation evaluation factor.

b. Large Business Prime Offerors shall submit a Small Business Participation

Volume, which shall be completely stand-alone, and not require any reference to another source, volume, or proposal. The information provided should be complete and accurate; all claims, approaches, and statements must be clearly articulated in their entirety within the proposal volume being submitted. The Small Business Participation Volume will be incorporated by attachment into any resulting contract award; however, any past performance related information (i.e., compliance with FAR 52.219-8 and 52.219-9 requirements) will not be included.

c. Large Business Prime Offerors are required to submit a Small Business

Participation Volume with a Small Business Participation Commitment Document that clearly demonstrates a viable plan for meeting or exceeding the small business participation requirement of no less than 27.0% of the Total Contract Value. The Small Business Participation Commitment Document shall delineate each 12-month period during the BASE PERIOD, each OPTION PERIOD, and the Six-Month Option to Extend Period; Prime Offerors must meet or exceed the small business participation requirement of no less than 27.0% for each 12-month period during the BASE PERIOD, each OPTION PERIOD, and the Six- Month Option to Extend Period. The Small Business Participation Commitment Document shall contain representation from Small Business, which are also comprised of Small Disadvantaged Business (SDB), Veteran-Owned Small Business (VOSB), Service-Disabled Veteran-Owned Small Business (SDVOSB), Women-Owned Small Business (WOSB), and Historically Underutilized Business Zone Small Business (HUBZone). For example, if the total amount of delivery/task orders awarded within a 12-month period have a funded value of $1,000,000.00, the contractor should satisfy the 27.0% Small Business Participation requirement of at least $270,000.00 over this 12-month period.

e. Pursuant to Section 8(d) of the Small Business Act, a subcontractor is considered a “small business” if it does not exceed the size standard for the North American Industry Classification System (NAICS) code that the Prime Offeror determines for the services or supplies being acquired by the subcontract.
