SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS

L.1.0 INTRODUCTION AND ADMINISTRATION:

L.1.1 The Systems Engineering and Technical Assistance (SETA) III Support Services requirement is being pursued as a Women-Owned Small Business (WOSB) Set-aside to be competed under North American Industry Classification System Code 541330, Engineering Services with the Military and Aerospace Equipment and Military Weapons exception, with a size standard of $41.5M.

At the time of offer submission, each offeror shall be certified as a WOSB concern or have an application pending with the Small Business Administration or one of its authorized third-party certifiers. Once an apparent successful offeror is selected, the status of the WOSB application will be verified by contacting the Small Business Administration.

L.1.2 Unless otherwise specifically stated, the term contract will be synonymous with the words contract, project or effort, when used in reference to information required in association with this solicitation.

L.1.3 Anticipated Award Date. The Government anticipates an award in 1st Quarter, Fiscal Year 2023. This information is provided for use as a basis for schedules and burden (labor, overheads, General and Administrative (G&A), etc.) mid-point calculations. The contractor is not entitled to an equitable adjustment in contract price in the event the Government awards the contract before or after the anticipated award date.

L.1.4 Any data previously submitted in response to another solicitation, request for information, or sources sought notice, whether submitted to Program Executive Office for Simulation, Training, and Instrumentation (PEO STRI) or any other agency, should be considered as unavailable during this proposal evaluation and source selection process. Proposal data shall not be incorporated into the proposal by referring to another proposal or other source.

L.1.5 Offerors shall ensure that information with each volume is relevant to that specific volume. Offerors are cautioned that each volume of the proposal will be evaluated standalone against the criteria set forth in Section M of the Solicitation and the evaluators for one volume may be different than the evaluators of another volume. For example, pricing information shall not be included in any volume other than Volume IV. The Government is not obligated to, and will not, search other volumes for a missing file or missing information. If the data is not contained in the appropriate volume of the proposal it will not be evaluated. For example, if Past Performance narratives are submitted under the Price Volume rather than the volume specified, the proposal will be evaluated as if no Past Performance narratives were submitted at all.

L.1.6 Information beyond what is sufficient to present a complete and effective proposal are neither necessary nor desired.

L.2.0 GENERAL INSTRUCTIONS:

L.2.1 The electronic solicitation documents, as posted on https://sam.gov (herein referred to as SAM), shall be the "official" documents for this solicitation. Updates related to this solicitation, to amendments, notices, and general information, will be made available on the SAM website.

Offerors are advised to continuously monitor the SAM website for new information and are deemed to have knowledge of all information that is posted.

L.2.2 No classified material shall appear anywhere within the proposal.

L.2.3 The Government will not reimburse Offerors for any costs incurred for the preparation and/or submission of a proposal in response to this solicitation.

L.2.4 All proposal information is subject to verification by the Government. Falsification of any proposal submission, documents, or statements may subject the Offeror to civil or criminal prosecution under 18 United States Code (U.S.C.) 1001.

L.2.5 Offerors shall not make any changes to the solicitation. Any objections to the terms and conditions of the solicitation should be addressed in writing to the Procuring Contracting Officer (PCO) prior to submission of the proposal via email. Alternate proposals will not be accepted.

L.3.0 FORMAL COMMUNICATIONS:

L.3.1 All communication between Offerors and the Government pertaining to this solicitation and its attachments shall be submitted via e-mail to usarmy.orlando.peo-stri.list.seta3@mail.mil in order to be considered. All questions/comments must be received no later than close of business September 27, 2021. Questions received after time will only be answered at the discretion of the PCO (as in, these questions may not be answered at all) by amendment to the solicitation, if appropriate, and posted on SAM prior to the solicitation closing date.

L.3.2 Offerors are required to submit questions/comments on Attachment 01 (Section J of the solicitation). If the PCO deems appropriate, any answers/responses to questions/comments will be published through the issuance of an amendment to the solicitation prior to the solicitation closing date.

L.3.3 Offerors are encouraged to carefully review the entire solicitation, including all attachments in Section J prior to submitting questions/comments. In the event of any conflict between the responses to questions/comments and the solicitation, the solicitation (including any amendments) shall take precedence.

L.4.0 PROPOSAL SUBMISSION INSTRUCTIONS:

L.4.1 The purpose of this section is to establish requirements for the format and content of proposals so that proposals contain all essential information and can be evaluated equitably. All information in the proposal is subject to evaluation. Noncompliance (to include exceptions or assumptions listed within proposals) with these instructions, to include fonts and page counts, may result in rejection of the proposal.

L.4.2 All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirement and associated risks, and is able, willing and competent to devote resources necessary to meet the requirement, and has a valid and practical solution for the requirement. Statements that the prospective Offeror understands, can, or will comply with the requirements, and statements paraphrasing the requirements or parts thereof without supporting information/narrative are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror must include any data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions to problems. In presenting material in proposals, Offerors are advised that quality of information is more important than quantity. Offerors are encouraged to use quantitative terms wherever possible and avoid the use of qualitative and subjective terms to the maximum extent practicable. Offerors are cautioned that while the Government will not evaluate every Performance Work Statement (PWS) requirement for the purposes of the source selection evaluation, the awardee will be required to comply with the Base PWS requirements during contract performance to include subsequent task order (TO) PWS requirements (if/when placed on contract under a TO). The Government will determine that an Offeror's proposal is non-compliant (unacceptable), and therefore ineligible for award, if the proposal indicates that: it cannot or will not meet any of the PWS requirements;

provides an approach that clearly does not meet any of the PWS requirements; or, includes data which prompts the Government to question the Offeror's compliance with any of the PWS requirements. The Source Selection Authority may reject all proposals received in response to a solicitation, if doing so is in the best interest of the Government.

L.4.3 Beneficial features offered beyond the requirements of the solicitation will be incorporated into the awardee’s contract. The offeror will be expected to deliver those beneficial features as part of its contract performance.

L.4.4 Inconsistencies. The price proposal must be consistent with the offeror's non-price factor proposal. Inconsistencies between the offeror's price and non-price factor proposals reflect on the offeror's ability to perform the effort required within the amount proposed. These inconsistencies, if unexplained, may be assessed as proposal risk and could be considered a weakness under the applicable non-price factor. Notwithstanding the language in this

Solicitation, the Government does not intend to perform a price realism analysis as part of this evaluation.

L.4.5 Independent Price Determination: While there are no restrictions on individual Offeror’s participating on multiple teams, Federal Acquisition Regulation (FAR) 52.203-2 “Certificate of Independent Price Determination” is applicable to both the award of the basic Indefinite Delivery/Indefinite Quantity (ID/IQ) Contract and the award of the Initial TO. If the Offeror or any subcontractor is participating with more than one Offeror proposing under this solicitation, the management approach must set forth the procedures by which compliance with FAR 52.203- 2 will be maintained.

L.4.6 The Offeror’s written proposal shall be organized IAW Table 2 in Section L.6. The Offeror’s proposal shall consist of Volumes I through V as follows: I – Management Approach;

II – Initial TO; III - Past Performance; IV – Price; and V – Administrative Information. All proposals shall be submitted through DoD SAFE (https://safe.apps.mil/).

L.4.7 Official Legal Bidding Entity

All the elements an Offeror is submitting within a proposal shall be in the Offeror’s name as submitted in Block 15A on the Standard Form (SF) 33, Solicitation, Offer and Award, with a corresponding CAGE Code and DUNS in SAM.GOV that matches the Offeror’s name on the SF 33.

The only exception to the above paragraph is if the Offeror is claiming an evaluation element from a partner or subcontractor in which case the partner or subcontractor entity must have a corresponding CAGE Code and DUNS in SAM.GOV.

L.4.8 Mergers, Acquisitions, Novation’s, and Change-of-Name Agreements

By the closing date of this solicitation, if a company has acquired another company, the transferor and transferee companies may claim credit for the past performance projects under Section L.7.3, under the following condition:

In the event of a Government approved novation of a U.S. Federal contract from one contractor to another, the transferor contractor may claim credit for the above mentioned projects from that contract up to the date that the Government approves the novation (the “Approval Date”), while the transferee contractor may claim credit for the above mentioned projects from that contract from and after the approval date of the novation.

For example, Company XYZ performed a technical experience project under their subsidiary, ABC Inc. under contract number 12345. Company XYZ sells ABC Inc. to BLANCO Company and contract number 12345 is officially novated to BLANCO Company by a PCO on July 1, 2021. Company XYZ (and only Company XYZ) may claim credit for the technical experience project under contract number 12345 from the date of award through June 30, 2021, and BLANCO Company (and only BLANCO company) can claim credit for the technical experience project under contract number 12345 from and after July 1, 2021.

L.4.9 Proposal Submission

L.4.9.1 Proposals are due no later than the date and time shown in block 9 of the conformed solicitation cover page. Offerors shall submit proposal volumes in accordance with Section L.7 of this solicitation. Offerors shall submit proposals to the point of contact (POC) listed in paragraph L.4.9.2 below.

L.4.9.2 Offerors shall submit proposals through DoD SAFE (https://safe.apps.mil/) to the solicitation POCs listed in Table 1 utilizing the instructions in L.4.9.2.1 or L.4.9.2.2. It is imperative that the Offeror read and understand how to submit its proposal using the DoD SAFE web portal. It is the Offeror’s responsibility to ensure that the entire proposal is submitted prior to the proposal due date and time. Failure to submit a response that is received through the DoD SAFE web portal by the stated time and date may result in the proposal not being considered.

Electronic submission of the proposal via DoD SAFE shall be considered the Offeror’s official offer and will be considered binding.

L.4.9.2.1 Non-CAC User DoD SAFE instructions

1. Offerors shall request a code for drop-off. Request shall include email address of requester.

Requests shall be sent to usarmy.orlando.peo-stri.list.seta3@mail.mil.

2. Government representative will provide Request Code to requestor. This request shall not occur within 2 business days of proposal submission deadline. Failure to request prior to this deadline could result in offeror submission to be late.

3. Requester shall upload documents within 14 days of receiving the code or the code will expire and requestor will have to submit another request.

L.4.9.2.2 CAC Users should be able to select Drop-off once logged in. If not, see L.4.9.2.1.

The cross-reference matrix must provide a single integrated index for the entire proposal. This matrix format shall cross-reference the proposal volumes and proposal paragraphs to the applicable Factor and PWS paragraph/Solicitation requirements. A complete copy of the Cross-Reference Matrix shall be included in each volume of the proposal (Volume I, II, III, IV and V). The format of the cross-reference matrix should be identical for all volumes. This matrix is for informational purposes only and will not be evaluated.

L.7.3.4 Past Performance Projects

The Offeror may provide descriptions for at least three and no more than five projects that are within the past five years from date of solicitation issuance for projects that are similar to this project in scope. The offeror may include projects from predecessor companies and/or major subcontractors.

All projects submitted in response to this solicitation shall have been performed as a prime contractor, predecessor company, major subcontractor, or Joint Venture (JV) partner. The women-owned small business prime contractor shall submit at least one project for consideration that they themselves performed (as a prime contractor, predecessor company, subcontractor, or JV partner). For JV prime contractors, the one project must come from the JV or at least one of the JV partners. No more than two projects can be from each major subcontractor. If an offeror (or predecessor companies and/or major subcontractors) does not have current or relevant past performance, the offeror shall state so. Please see the following definitions for Prime Contractor and Major Subcontractor as they relate to this section:

Prime Contractor means the contractor has privity-of-contract with the Government or with the owner of a project or job, and has the full responsibility for its completion. The prime is responsible for all contractual obligations under a mutually binding legal relationship. When the Government awards a contract to a contractor, the contractor is considered the “prime” contractor. For example, “prime” contractors are identified as such on the cover page of the following forms such as:

o SF 1449 – Solicitation/Contract/Order for Commercial Items – (Block 17a identifies the prime contractor) o SF 26 – Award/Contract – (Block 7 identifies the prime contractor) o SF 33 – Solicitation, Offer, and Award – (Block 15A identifies the prime contractor) o Department of Defense (DD) Form 1155 – Order for Supplies or Services (Block 9 identifies the prime contractor) o Optional Form 307 – Contract Award (Block 7 identifies the prime contractor) o GSA Form 300 – Order for Supplies and Services (Block 6 identifies the prime contractor)

Major subcontractor means the contractor has privity-of-contract with a prime contractor.

When a prime contractor awards a contract to a contractor, the contractor is considered a subcontractor. In order to be considered a major subcontractor, it must be responsible for at least 20% of the anticipated value of the SETA III effort.

If the Offeror represents the combining of two or more companies, a JV, for the purpose of this Solicitation, the JV will be evaluated as a single Offeror. The experience of each joint venture partner will be evaluated based on each partner’s role in cited past work and in the proposed JV role for this project.

L.7.3.4.1 Past Performance information pertaining to a subcontractor (if applicable) cannot be disclosed to the prime offeror without the subcontractor’s consent; provide a letter from subcontractors referenced consenting to the release of their past performance information to the prime contractor. Additionally, letters of commitment shall be included for all subcontractors for their past performance to be considered. This commitment shall acknowledge a teaming arrangement for contract performance and shall be the awarded team structure.

L.7.3.4.2 All information identified in the list below is required for any project submitted:

Project Name and Location Contract Number Detailed Scope of Services Related to Solicitation Contractors Role for SETA III Effort (prime, joint venture partner, subcontractor) and, if applicable, anticipated percentage of work to be performed.* Contractors Role for Project Submitted (prime, joint venture partner, subcontractor) Type and percentage of work self-performed for Project Submitted** Extent and Type of Work Subcontracted Additional Detail: should include work conditions and/or challenges overcome Percentage of Work Complete Awarded Value (to include unexercised options) Final Cost (if applicable) Reason for the Cost Growth (if applicable) Award Date Scheduled Completion Date Actual Completion Date POC for Contract Issuer (Name, Company/Agency, and Telephone Number)

*Note: This may be the prime offeror or major subcontractor. If major subcontractor, prime offeror should identify the percentage of work it anticipates the major subcontractor performing for SETA III effort.

** Note: For the purpose of this solicitation “self-performed” is defined as tasks that the Offeror performed by their own personnel. For example, if the Offeror or subcontractor is part of a Joint Venture for a submitted project, the Offeror or subcontractor can only submit tasks they performed under that Joint Venture contract.

L.7.3.4.3 The Government will use information submitted by the Offeror and is free to use other sources such as other Federal Government offices, databases, and commercial sources, to assess past performance. Offerors are strongly cautioned that if the Government is unable to contact past performance references directly associated to any survey; or in the case past performance information is not entered into the Contractor Performance Assessment Reporting System (CPARS) database; or if no record of past performance is available for the project, the Offeror will not be evaluated favorably or unfavorably but will be rated as neutral confidence on past performance for that project. Attachment 08, Past Performance Questionnaire has been provided for Offerors that chose to submit one.

L.7.4 VOLUME IV: FACTOR 4 – PRICE:

L.7.4.1 Executive Summary

The first page (or pages) of the Executive Summary shall be completed IAW FAR Clause 52.215-1(c)(2) (“first page” and “title page” as described in this clause are considered the “Executive Summary” for the purposes of this solicitation). Among the items identified in FAR Clause 52.215-1(c)(2), the Executive Summary shall also include the:

Title of Proposal Proposal Volume Number and Title Offeror’s Name Offeror’s CAGE Code and DUNS

L.7.4.2 Volume Table of Contents

The Volume’s Table of Contents shall contain the appropriate volumes/titles/page or section numbers corresponding to the beginning of the relevant material.

L.7.4.3 Cross-Reference Matrix

The intent of the cross-reference matrix is to ensure that all requirements are addressed and easily accessible to the evaluators.

L.7.4.4 Price Workbook

The Offeror shall complete Attachment 02 – SETA III Price Workbook provided with this solicitation (to include all Worksheets within the Workbook) to submit prices for the entire five year ordering period, excluding material and travel amounts for which the Government has provided estimated fixed amounts for evaluation purposes within Ordering Period 1 through Ordering Period 5 worksheets. Offerors may not alter pre-existing formulas within the workbook. No other changes to the workbook are allowed.

Furthermore, utilizing the “Labor Category Exemption Status” worksheet, Offerors shall identify if the individual Labor Categories are Exempt or Non-Exempt from Service Contract Labor Standards. Based on analysis conducted by the SETA III Procuring Contracting Officer, it is anticipated that the SETA III Labor Categories are Exempt based on the positions being considered executive, administrative or professional in nature. Offerors must self-certify exemption status within the Price Workbook after review of Section J, Attachment 04, Wage Determinations for Orange County, Florida. Requisite Service Contract Labor Standards clauses, to include exemption clauses, have been incorporated within Section I and Section K. The resultant contract will reflect the clauses’ applicability or exemption based on the information proposed.

Utilization of the Excel Price Workbook provided is mandatory and “.pdf” files are not acceptable. The SETA III Proposal Price Workbook shall not be changed, reformatted, or otherwise altered, except as noted in the “Instructions” contained in the Price Workbook, to allow for data input by the Offeror.

The submitted Price Workbook shall not be password protected.

The Offeror shall submit maximum allowable fully burdened ceiling labor rates for every labor category in the Price Workbook, regardless of the number of hours projected by the Government for any labor category. The Offeror must propose one fixed fully burdened ceiling rate for each level of labor category. All proposed fully burdened labor rates and G&A rate are fixed and binding throughout all ordering periods of the contract. Labor Category definitions are found within Attachment B of this solicitation. The number of hours estimated by the Government for each labor category has been populated in the Price Workbook by the Government for Ordering Periods 1-5. Although future task orders may utilize rates lower than the proposed ceiling rates, the ceiling rates will be used for the purposes of calculating the Total Evaluated Price.

Failure of the Offeror to include pricing for every requested labor category in the Pricing Workbook will render the proposal non-compliant with the terms of the Solicitation and therefore ineligible for award.

For evaluation purposes only, the Total Evaluated Price (TEP) is defined as that which is calculated in the “Total Evaluated Price” worksheet of the Price Workbook.

The Pricing Workbook includes nine Worksheets including the following: One worksheet for stating Labor Category Exemption status; One worksheet for each for the five Ordering Periods;

One worksheet for 52.217-8 Option, One worksheet for the SETA III Initial Task Order Price;

and One worksheet for the TEP.

L.7.4.4.1 Ceiling Labor Rates

The Offeror shall propose fixed fully burdened ceiling labor rates for ALL labor categories inclusive of all ordering periods. All proposed fully burdened rates are fixed and binding throughout all ordering periods of the contract. One labor rate shall be provided per labor category, per ordering period. The fully-burdened labor rates include all direct labor and indirect costs applicable to that direct labor (such as fringe benefits, overhead, and G&A), and profit. It is expected that the Offeror will consider various budgetary factors, including adding the estimated annual value of this award to its business base, when calculating its indirect costs/rates. The proposed labor categories and fixed fully burdened labor rates, will be used for any work under the contract for the entire five-year ordering period of the resultant ID/IQ contract. This data will be incorporated as an attachment to the resultant contract. The awardee will use these rates when pricing all resulting orders, which will be negotiated prior to TO Award.
