SECTION B

B.1 The fully burdened labor rates and G&A rate, as proposed (or negotiated, if applicable) in the Price Workbook will be binding for the life of the contract and be used as maximum allowable ceiling rates when pricing all future task orders. The fully burdened labor rates and G&A rate will be incorporated into Section J of the awarded contract. Note: Among the solicitation attachments, the Government is providing Attachment 04, Wage Determination (if applicable) and Attachment 06, Initial TO task order document to assist in the development of rates within the Price Workbook. No action is required as documents are included for reference and offerors are encouraged to review them.

For the purposes of evaluation, the maximum rates proposed by each offeror will be used to calculate the Total Evaluated Price, including the price for each ordering period and the initial task order. The following statement will be incorporated into the subsequent contract:

The proposed labor categories and fully burdened labor rates for the prime contractor are incorporated as an attachment to the contract as maximum allowable ceiling rates to be used when pricing all future task orders. The proposed labor categories are not all inclusive. In the unlikely event that additional labor categories are deemed necessary, such additional labor categories and labor rates may be proposed and negotiated at the basic contract level (to include applicable attachments) if deemed necessary and acceptable by the Government to accomplish the task order requirements. The rates proposed for the additional labor categories should be commensurate with the pricing/estimating methodology employed to establish the rates awarded with the basic contract. Any new rates will be evaluated for fair and reasonableness, in accordance with FAR Subpart 15.4.

The following statement regarding the applicable rates upon exercise of an option pursuant to FAR 52.217-8 will also be incorporated:

The fully burdened labor rates applicable to the 12 month contract term immediately preceding the execution of any Option to Extend Services pursuant to FAR 52.217-8 will be applicable for the continued performance of any services during the term of performance pursuant to FAR 52.217-8.

B.2 Contract Line Item Number (CLIN) Type. Base contract CLINs are marked as Firm Fixed Price (FFP) for the sole purpose of facilitating administration of the contract in the Government’s Procurement Desktop Defense (PD2) system. The Government anticipates most labor will be FFP with minor use of Time and Materials for urgent program needs. Travel and other direct costs (ODC) will be a Cost (no-fee)-type CLIN.

B.3 Offerors shall not provide pricing for the CLINs within Section B of the Solicitation. All pricing shall be completed via Attachment 02, SETA III Price Workbook.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS

L.1.0 INTRODUCTION AND ADMINISTRATION:

L.1.1 The Systems Engineering and Technical Assistance (SETA) III Support Services requirement is being pursued as a Women-Owned Small Business (WOSB) Set-aside to be competed under North American Industry Classification System Code 541330, Engineering Services with the Military and Aerospace Equipment and Military Weapons exception, with a size standard of $41.5M.

At the time of offer submission, each offeror shall be certified as a WOSB concern or have an application pending with the Small Business Administration or one of its authorized third-party certifiers. Once an apparent successful offeror is selected, the status of the WOSB application will be verified by contacting the Small Business Administration.

L.1.2 Unless otherwise specifically stated, the term contract will be synonymous with the words contract, project or effort, when used in reference to information required in association with this solicitation.

L.1.3 Anticipated Award Date. The Government anticipates an award in 1st Quarter, Fiscal Year 2023. This information is provided for use as a basis for schedules and burden (labor, overheads, General and Administrative (G&A), etc.) mid-point calculations. The contractor is not entitled to an equitable adjustment in contract price in the event the Government awards the contract before or after the anticipated award date.

L.1.4 Any data previously submitted in response to another solicitation, request for information, or sources sought notice, whether submitted to Program Executive Office for Simulation, Training, and Instrumentation (PEO STRI) or any other agency, should be considered as unavailable during this proposal evaluation and source selection process. Proposal data shall not be incorporated into the proposal by referring to another proposal or other source.

L.1.5 Offerors shall ensure that information with each volume is relevant to that specific volume. Offerors are cautioned that each volume of the proposal will be evaluated standalone against the criteria set forth in Section M of the Solicitation and the evaluators for one volume may be different than the evaluators of another volume. For example, pricing information shall not be included in any volume other than Volume IV. The Government is not obligated to, and will not, search other volumes for a missing file or missing information. If the data is not contained in the appropriate volume of the proposal it will not be evaluated. For example, if Past Performance narratives are submitted under the Price Volume rather than the volume specified, the proposal will be evaluated as if no Past Performance narratives were submitted at all.

L.1.6 Information beyond what is sufficient to present a complete and effective proposal are neither necessary nor desired.

L.2.0 GENERAL INSTRUCTIONS:

L.2.1 The electronic solicitation documents, as posted on https://sam.gov (herein referred to as SAM), shall be the "official" documents for this solicitation. Updates related to this solicitation, to amendments, notices, and general information, will be made available on the SAM website.

Offerors are advised to continuously monitor the SAM website for new information and are deemed to have knowledge of all information that is posted.

L.2.2 No classified material shall appear anywhere within the proposal.

L.2.3 The Government will not reimburse Offerors for any costs incurred for the preparation and/or submission of a proposal in response to this solicitation.

L.2.4 All proposal information is subject to verification by the Government. Falsification of any proposal submission, documents, or statements may subject the Offeror to civil or criminal prosecution under 18 United States Code (U.S.C.) 1001.

L.2.5 Offerors shall not make any changes to the solicitation. Any objections to the terms and conditions of the solicitation should be addressed in writing to the Procuring Contracting Officer (PCO) prior to submission of the proposal via email. Alternate proposals will not be accepted.

L.3.0 FORMAL COMMUNICATIONS:

L.3.1 All communication between Offerors and the Government pertaining to this solicitation and its attachments shall be submitted via e-mail to usarmy.orlando.peo-stri.list.seta3@mail.mil in order to be considered. All questions/comments must be received no later than close of business September 27, 2021. Questions received after time will only be answered at the discretion of the PCO (as in, these questions may not be answered at all) by amendment to the solicitation, if appropriate, and posted on SAM prior to the solicitation closing date.

L.3.2 Offerors are required to submit questions/comments on Attachment 01 (Section J of the solicitation). If the PCO deems appropriate, any answers/responses to questions/comments will be published through the issuance of an amendment to the solicitation prior to the solicitation closing date.

L.3.3 Offerors are encouraged to carefully review the entire solicitation, including all attachments in Section J prior to submitting questions/comments. In the event of any conflict between the responses to questions/comments and the solicitation, the solicitation (including any amendments) shall take precedence.

L.4.0 PROPOSAL SUBMISSION INSTRUCTIONS:

L.4.1 The purpose of this section is to establish requirements for the format and content of proposals so that proposals contain all essential information and can be evaluated equitably. All information in the proposal is subject to evaluation. Noncompliance (to include exceptions or assumptions listed within proposals) with these instructions, to include fonts and page counts, may result in rejection of the proposal.

L.4.2 All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirement and associated risks, and is able, willing and competent to devote resources necessary to meet the requirement, and has a valid and practical solution for the requirement. Statements that the prospective Offeror understands, can, or will comply with the requirements, and statements paraphrasing the requirements or parts thereof without supporting information/narrative are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror must include any data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions to problems. In presenting material in proposals, Offerors are advised that quality of information is more important than quantity. Offerors are encouraged to use quantitative terms wherever possible and avoid the use of qualitative and subjective terms to the maximum extent practicable. Offerors are cautioned that while the Government will not evaluate every Performance Work Statement (PWS) requirement for the purposes of the source selection evaluation, the awardee will be required to comply with the Base PWS requirements during contract performance to include subsequent task order (TO) PWS requirements (if/when placed on contract under a TO). The Government will determine that an Offeror's proposal is non-compliant (unacceptable), and therefore ineligible for award, if the proposal indicates that: it cannot or will not meet any of the PWS requirements;

provides an approach that clearly does not meet any of the PWS requirements; or, includes data which prompts the Government to question the Offeror's compliance with any of the PWS requirements. The Source Selection Authority may reject all proposals received in response to a solicitation, if doing so is in the best interest of the Government.

L.4.3 Beneficial features offered beyond the requirements of the solicitation will be incorporated into the awardee’s contract. The offeror will be expected to deliver those beneficial features as part of its contract performance.

L.4.4 Inconsistencies. The price proposal must be consistent with the offeror's non-price factor proposal. Inconsistencies between the offeror's price and non-price factor proposals reflect on the offeror's ability to perform the effort required within the amount proposed. These inconsistencies, if unexplained, may be assessed as proposal risk and could be considered a weakness under the applicable non-price factor. Notwithstanding the language in this Solicitation, the Government does not intend to perform a price realism analysis as part of this evaluation.

L.4.5 Independent Price Determination: While there are no restrictions on individual Offeror’s participating on multiple teams, Federal Acquisition Regulation (FAR) 52.203-2 “Certificate of Independent Price Determination” is applicable to both the award of the basic Indefinite Delivery/Indefinite Quantity (ID/IQ) Contract and the award of the Initial TO. If the Offeror or any subcontractor is participating with more than one Offeror proposing under this solicitation, the management approach must set forth the procedures by which compliance with FAR 52.203- 2 will be maintained.

L.4.6 The Offeror’s written proposal shall be organized IAW Table 2 in Section L.6. The Offeror’s proposal shall consist of Volumes I through V as follows: I – Management Approach;

II – Initial TO; III - Past Performance; IV – Price; and V – Administrative Information. All proposals shall be submitted through DoD SAFE (https://safe.apps.mil/).

L.4.7 Official Legal Bidding Entity

All the elements an Offeror is submitting within a proposal shall be in the Offeror’s name as submitted in Block 15A on the Standard Form (SF) 33, Solicitation, Offer and Award, with a corresponding CAGE Code and DUNS in SAM.GOV that matches the Offeror’s name on the SF 33.

The only exception to the above paragraph is if the Offeror is claiming an evaluation element from a partner or subcontractor in which case the partner or subcontractor entity must have a corresponding CAGE Code and DUNS in SAM.GOV.

L.4.8 Mergers, Acquisitions, Novation’s, and Change-of-Name Agreements

By the closing date of this solicitation, if a company has acquired another company, the transferor and transferee companies may claim credit for the past performance projects under Section L.7.3, under the following condition:

In the event of a Government approved novation of a U.S. Federal contract from one contractor to another, the transferor contractor may claim credit for the above mentioned projects from that contract up to the date that the Government approves the novation (the “Approval Date”), while the transferee contractor may claim credit for the above mentioned projects from that contract from and after the approval date of the novation.

For example, Company XYZ performed a technical experience project under their subsidiary, ABC Inc. under contract number 12345. Company XYZ sells ABC Inc. to BLANCO Company and contract number 12345 is officially novated to BLANCO Company by a PCO on July 1, 2021. Company XYZ (and only Company XYZ) may claim credit for the technical experience project under contract number 12345 from the date of award through June 30, 2021, and BLANCO Company (and only BLANCO company) can claim credit for the technical experience project under contract number 12345 from and after July 1, 2021.
