I-1 CHANGED 52.209-3 FIRST ARTICLE APPROVAL -- CONTRACTOR TESTING (SEP 1989) -- ALTERNATE SEP/1989

I (JAN 1997) AND ALTERNATE II (SEP 1989)

(a) The Contractor shall test 1 unit(s) of Lot/Item 0002, 0003, 0004, 0005,0006, 0007, 0008, 0009, 0013, 0014 as specified in this contract. At least 30 calendar days before the beginning of first article tests, the Contractor shall notify the Contracting Officer, in writing, of the time and location of the testing so that the Government may witness the tests.

(b) The Contractor shall submit the first article test report within 330 calendar days from the date of this contract to cletus.o.nwalozie.cov@mail.mil marked First Article Test Report: Contract No. TBD, Lot/Item No. (will depend on first article test procured on the individual delivery order). Within 14 calendar days after the Government receives the test report, the Contracting

Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor.

A notice of disapproval shall cite reasons for the disapproval.

(c) If the first article is disapproved, the Contractor, upon Government request, shall repeat any or all first article tests. After each request for additional tests, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval. The Contractor shall then conduct the tests and deliver another report to the

Government under the terms and conditions and within the time specified by the Government. The Government shall take action on this report within the time specified in paragraph (b) above. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule, or for any additional costs to the Government related to these tests.

(d) If the Contractor fails to deliver any first article report on time, or the Contracting Officer disapproves any first article, the

Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract.

(e) Unless otherwise provided in the contract, and if the approved first article is not consumed or destroyed in testing, the Contractor may deliver the approved first article as part of the contract quantity if it meets all contract requirements for acceptance.

(f) If the Government does not act within the time specified in paragraph (b) or (c) above, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.

(g) Before first article approval, the Contracting Officer may, by written authorization, authorize the Contractor to acquire specific materials or components or to commence production to the extent essential to meet the delivery schedules. Until first article approval is granted, only costs for the first article and costs incurred under this authorization are allocable to this contract for

(1) progress payments, or

(2) termination settlements if the contract is terminated for the convenience of the Government. If first article tests reveal deviations from contract requirements, the Contractor shall, at the location designated by the Government, make the required changes or replace all items produced under this contract at no change in the contract price.

(h) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the offeror/contractor and have been accepted by the Government. The offeror/contractor may request a waiver.

(i) The Contractor shall produce both the first article and the production quantity at the same facility.

SECTION M - EVALUATION FACTORS FOR AWARD

M.1 Basis of Award

M.1.1 General. As a result of this solicitation, the Government plans to award one Firm-Fixed Price Requirements contract subject to the provisions contained herein. The Government will select for award the proposal, which best represents the best value to the Government as described below:

M.1.1.1 There are four evaluation factors:

(1) Factor 1: Technical

(2) Factor 2: Past Performance

(3) Factor 3: Price

(4) Factor 4: Small Business Participation

(a) The Technical Factor has two (2) Subfactors which are listed below:

(1) Subfactor 1: Manufacturing Approach

(2) Subfactor 2: Qualification Test Panels

The two (2) Technical Subfactors, Manufacturing Approach and Qualification Test Panels are weighted approximately equal in terms of importance.

The relative order of importance of these Factors are described in Section M.4 below.

M.1.1.2 Selection of the proposal, which is most advantageous and represents the best value to the Government, will be determined on a best value source selection trade-off basis from Offeror proposals.

M.1.1.3 Award will only be made to an Offeror who is eligible for award. To be eligible for award:

(a) The Offeror must be determined responsible (see M.3.5); and

(b) The Offerors proposal shall not be assessed with any Deficiency(ies) (per FAR Part 15.001); and

(c) The Offeror shall be registered in the System for Award Management (SAM) - see clause 52.204-7.

M.1.2 Importance of Price. Award will be made to the Offeror whose proposal (1) is otherwise eligible for award under M.1.1.3, and (2) represents the best value to the Government. This may not be the Offeror with the lowest evaluated Price Factor. However, the closer the

Offeror's evaluations are to each other in those Factors other than the Price Factor, the more important the Price Factor becomes in the decision. Notwithstanding the relative order of importance of the two evaluation Factors stated herein, price may be controlling when:

(a) Proposals are otherwise considered approximately equal in non-price factors; or

(b) The advantages of a higher rated, higher priced proposal are not considered to be worth the price premium.

M.2 Rejection of Offers. Offerors shall carefully read, understand, and provide all the information requested in the Proposal

Preparation Instructions and Content contained in Section L. In accordance with FAR Clause 52.215-1 contained in this solicitation, the

Government may reject any proposal if in the Government's best interest at any time after receipt of proposal. The circumstances, which may lead to the rejection of a proposal, include, but are not limited to, the following:

(a) The proposal fails to meaningfully respond to the Proposal Preparation Instructions specified in Section L of this solicitation.

Examples of failure to meaningfully respond include:

(1) When a proposal merely offers to perform work according to the RFP terms or fails to present more than a statement indicating its capability to comply with the RFP terms and does not provide support and elaboration as specified in Section L of this solicitation.

(2) A proposal fails to provide any of the data and information required in Section L.

(3) A proposal merely repeats the contract statement of work without elaboration.

(b) The proposal contains unbalanced pricing as defined in Clause 52.215-1 and paragraph M.4.3.3. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of price analysis techniques.

(c) The proposal offers a product or service that does not meet all stated material requirements of the solicitation.

(d) The Offeror proposes exceptions to the attachments, exhibits, enclosures, or other RFP terms and conditions.

(e) The proposal contains one or more Organizational Conflicts of Interest (OCIs) that cannot be avoided or mitigated. Refer to Section

L paragraph L.2.5 of this solicitation, "Organizational Conflict of Interest".

5 9

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

(f) The proposals acceptance period does not meet the governments required minimum acceptance period, refer to section L.1.2.1.

(g) The Qualification Test Panels IAW L.6.1.2 do not arrive as instructed in L.2.3, two days prior to the close of the RFP.

M.3 Source Selection Process.

M.3.1 Compliance Review. After receipt of proposals, but prior to the evaluation process, the Government will perform a compliance review of the offeror's proposal to determine the extent of compliance to the solicitation instructions, and whether the proposal meets any of the conditions listed in M.2, Rejection of Offerors.

M.3.2 Evaluation Process. Evaluation Process. Selection of the successful offeror will be made following an assessment of each proposal, based on the response to the information called for in Section L of this RFP, and against the solicitation requirements and the evaluation criteria described herein. Proposals not otherwise rejected will be evaluated as specified herein, to include developing narrative support for the evaluation conclusions under each Factor.

M.3.3 Source Selection Authority (SSA). The SSA is the official designated to direct the source selection process and select the Offeror for contract award.

M.3.4 Source Selection Evaluation Board (SSEB). An SSEB has been established by the Government to evaluate proposals in response to this solicitation. The SSEB is comprised of technically qualified individuals who have been selected to conduct this evaluation in accordance with the evaluation criteria for this solicitation. Careful, full and impartial consideration will be given to the evaluation of all proposals received pursuant to this solicitation. All proposals, not otherwise rejected, are subject to evaluation by a team of Government personnel.

M.3.5 Determination of Responsibility. Per FAR 9.103, the Government will place a contract only with an Offeror that the Contracting

Officer determines to be responsible or refer the matter to the SBA per FAR 19.602. A prospective Offeror, in order to be eligible for award for this acquisition, must be able to demonstrate it meets the standards of responsibility set forth in FAR 9.104. As a part of this determination, the Contracting Officer may utilize the Offeror's proposed prices, as well as other information, to determine if the prospective contractor has adequate financial resources to perform the contract. The Government reserves the right to conduct a Pre-

Award Survey on any or all Offeror(s) or its subcontractors to aid the Contracting Officer in the evaluation of each Offeror's proposal and ensure a selected Offeror is responsible. To verify an Offeror meets the responsibility criteria at FAR 9.104, the Government reserves the right to request additional information, to include, but not limited to the following:

(a) Arrange a visit to the Offeror(s) plant and perform a necessary Pre-Award Survey; or

(b) Request an Offeror provide financial, technical, production, or managerial background information. If an Offeror does not submit the requested information within seven working days from the date of the receipt of the request, or if an Offeror refuses to provide the

Government access to its facility, the Government may determine the Offeror to be non-responsible. If the Government visits the

Offeror's facility, the Offeror shall ensure current data relevant to the proposal is available for Government personnel to review.

M.4 Evaluation Factors. The Government will assess each Offeror in 4 factors: (1) Technical; (2) Past Performance; (3) Price; and (4)

Small Business Participation. The Technical Factor is further divided into Subfactors as described in M.4.1.

(1) Factor 1: Technical

(2) Factor 2: Past Performance

(3) Factor 3: Price

(4) Factor 4: Small Business Participation

Of the evaluation factors, Technical is more important than Past Performance, which is more important than Price, which is significantly more important than Small Business Participation. As required to be defined by FAR 15.304(e), the non-cost/price factors, when combined, are significantly more important than cost/price.

M.4.1 Factor 1: Technical. The Offeror's Technical Volume will be evaluated in the two (2) Subfactors listed below:

(1) Subfactor 1: Manufacturing Approach

(2) Subfactor 2: Qualification Test Panels

The two (2) Technical Subfactors, Manufacturing Approach and Qualification Test Panels are weighted approximately equal in terms of importance.

M.4.1.1 Subfactor 1: Manufacturing Approach. The Manufacturing Approach Subfactor will assess the risk of unsuccessful performance that is demonstrated by the Offerors proposed manufacturing approach. The Government will evaluate the proposed approach required to manufacture the ASF ISO Shelters in accordance with the Technical Data Package and related ASTM Specifications.

6 9

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

The Government will also evaluate the proposed First Article Unit production and testing approach, to assess the likelihood that the

Offeror will successfully produce the required First Article Test Units, conduct all verifications and successfully complete First

Article Testing within the proposed contract schedule.

M.4.1.2 Subfactor 2: Qualification Test Panels. Upon receipt of the test panels and specimens, the Government will perform a visual inspection and will review the submitted test data to verify that the test panels and specimens will meet all of the minimum requirements of specifications ASTM E865 (6.10 Dead Load Stress Durability Test is not required) and ASTM E874. Failure to meet the minimum requirements of both specifications ASTM E865 and ASTM E874 may be grounds for rejection. No additional evaluation credit will be given for exceeding threshold performance of requirements.

M.4.2 Factor 2: Past Performance. The Offerors Past Performance Volume will be evaluated utilizing two (2) considerations:

i. \*.Similar or relevant efforts are defined as those contracts encompassing in scope the design and production requirements involving shelters or components of a nature similar to the effort required by this contract. The contract effort must have involved the fabrication of Army Standard Family (ASF) ISO shelters or similar items that meet the requirements of ASTM's

E1977-11 and E1978-11 or;

ii. Have been involved in the modification of shelters that were produced to meet the requirements of ASTM's

E1977-11 and E1978-11. Modifications include but are not limited to the installation, repair, removal, replacement, attachments and the integration of systems totaling at least 33% of the unit cost.

M.4.2.1 The Past Performance Factor will assess the expectation that the Offeror will successfully perform the required effort based on recent and relevant past contract performance information relevant to the requirements listed in L.6.2.1 (b).

M.4.2.2 Contracts submitted in the Past Performance Volume of the Offeror's proposal will not be considered if the Government determines them to be not recent, not relevant, or where past contract performance information cannot be obtained (i.g. past performance questionnaire, PPIRS, other internal government or private sources).

M.4.2.3 Offerors are advised that the Government may contact any of the references the offeror provides, may contact internal or external sources regarding past contract performance information, and reserves the right to use any information received as part of our evaluation. The Offeror may also be evaluated on past contract performance based on internal Government or private source information, to include the Past Performance Information Retrieval System (PPIRS) to search for past contract information, and any other available

Government resources.

M.4.2.4 The Past Performance Factor assessment will result in a Confidence Rating. Offerors without a record of recent and relevant past contract performance information, upon which to base a meaningful confidence assessment, will be rated as "Neutral Confidence", which is neither favorable nor unfavorable.

M.4.2.5 The Government will consider whether the past performance cited in the offerors proposal will ever be employed or realized should the offeror subsequently be awarded a contract. Accordingly, any past performance which is identified in the offerors Past

Performance Factor proposal that is not supported with the information requested in Section L.6.2.4 and/or L.6.2.5, or if any other proposal volume indicates the cited past performance is not intended to be used by the offeror during contract performance may be determined not relevant.

M.4.3 Factor 3: Price. The Price Factor will be assessed based upon the Total Evaluated Price to the Government.

M.4.3.1 The Government will evaluate whether or not the Offerors proposed price is reasonable. A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business. The Government may make a determination of reasonableness by any means allowable under FAR 15.404-1. The Government may use other resources in the evaluation of the Price proposal, including use of the Defense Contract Audit Agency (DCAA) and the Defense Contract Management Agency

(DCMA) to verify proposed rates and projections if desired.

M.4.3.2 The Total Evaluated Price will consist of the Sum of the Proposed CLIN Prices as calculated in Attachment 0020.

M.4.3.2.1 The Total Evaluated Price equals the Total Proposed Price minus the proposed price for any First Article Test CLIN(s) (CLIN

0002 through CLIN 0009, CLIN 0013, and CLIN 0014) where the offeror submits a First Article Waiver Worksheet, and the Government approves a First Article Test Waiver (see L.7). If the offeror doesnt either submit a First Article Waiver Worksheet or the Government doesnt approve any First Article Test Waivers, then the Total Evaluated Price equals the Total Proposed Price. The offerors proposal shall include a price for all First Article Test related CLINs regardless if they are seeking a First Article Test Waiver or not.

M.4.3.3 Unbalanced Pricing. Unbalanced pricing exists when, despite an acceptable Total Evaluated Price, the price of one or more contract line items is significantly over or understated as indicated by the application of cost/price analysis techniques. Offerors are cautioned that a proposal the Government assesses to be unbalanced as to cost, may be either rejected or unacceptable for award.

M.4.4 Factor 4 EVALUATION OF VOLUME 5 - SMALL BUSINESS PARTICIPATION (SBP) FACTOR ___________________________________________________________________

7 9

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

M.4.4.1 The Government will evaluate the extent of the Offerors approach to achieving the Government's objective of providing opportunities in meeting the small business participation goals identified in this solicitation. The evaluation will be based on the extent of small business participation proposed and credibility of the data provided in the proposal measured against the Small Business

Participation Factor goals for this solicitation. As part of this assessment, the Government will consider the Offerors performance in complying with past Small Business Subcontracting Plans if they were required on prior contracts. Please note the solicitation goals are expressed as a percentage of 'Total Contract Amount', which is defined for this Small Business Participation Factor as total proposed amount for all of the Basic CLINs and all of the Option CLINs. The Government's small business participation goals for this solicitation are:

56 % Small Business (SB)

8.4 % Small Disadvantaged Business (SB)

8.4 % Woman Owned Small Business (WOSB)

5.04 % Historically Underutilized Business Zone Small Business (HUBZone SB)

5.04 % Veteran Owned Small Business (VOSB)

5.04 % Service Disabled Veteran Owned Small Business (SDVOSB)

For Other Than Small Business Offerors ONLY, the Small Disadvantaged Business (SDB) goal is BOTH of the following:

8.4 % of Total Contract Amount

5% of Total Subcontracting Amount

M.4.4.2 Assessment of Proposed Goals Above or Below Government Goals.

Where the Offeror proposes small business participation higher than the Government's goals and the Government has determined that achievement of said small business participation is credible, or where the Offeror is assessed as credibly being able to achieve or exceed the Government's goals, the Government may assign the Offeror a strength against such proposal. Where the Offeror proposes small business participation lower than the Government's goals, or where the Offeror is assessed as not credibly being able to achieve the

Government's goals, the Government may assign a weakness or significant weakness against such proposal.

M.4.4.3 Contractual Goals.

If the awardee is other than a small business, the data submitted as part of the Small Business Participation Factor shall be consistent with the Small Business Subcontracting Plan which will be incorporated in the resultant contract, regardless of whether the Offeror proposed goals for the Small Business Participation Factor above, at, or below the Government's solicitation goals.

M.5 EVALUATION FACTORS FOR FIRST ARTICLE TEST REQUIREMENT

(a) If the offeror submits a request for waiver of First Article Testing but fails to comply with the requirements of paragraph L.7

PROVISION FOR WAIVER, the requested waiver may not be granted. If the waiver is not granted, more favorable alternative offers of price or delivery, conditioned upon the granting of a waiver, will not be considered in the evaluation process.

(b) DELIVERY EVALUATION FACTORS

(1) As specified in this solicitation, the Government reserves the right to waive the requirement entitled FIRST ARTICLE APPROVAL

(52.209-3 or 52.209-4), and will require an accelerated delivery schedule if the successful offeror is granted such a waiver.
