*** End of Narrative A0000 ***

General Summary_______________

1. This Request for Proposal (RFP) will result in an Indefinite-Delivery/Indefinite-Quantity (IDIQ) contract. After award of the basic contract(s), task order competitions will utilize fair opportunity under Federal Acquisition Regulation (FAR) 16.505, in which task orders may be firm-fixed-price, time-and-materials, and/or cost-reimbursable in nature. The total amount of all orders placed against all Information Technology Enterprise Solutions - 3 Services (ITES-3S) contracts awarded from this RFP shall not exceed $12,100,000,000 over a nine-year period of performance. The nine year period of performance consists of a base period of five years and includes four one-year options. Individual task orders will be awarded in accordance with the ordering clauses set forth in this RFP.

2. This requirement is being solicited under Full and Open competition. The Government anticipates awarding 24 IDIQ awards, with an anticipated 14 reserved for Small Businesses. The Government reserves the right to make no, one, or multiple awards; the Government also reserves the right to make more than or less than 24 awards.

3. The base ITES-3S contract is a non-commercial contract. However, commercial contract clauses are included as task orders issued under ITES-3S may be commercial.

4. When commercial task orders are solicited and awarded under ITES-3S, it is the responsibility of the Ordering Contracting Officer

(OCO) to check the applicable clauses in FAR 52.212-5.

5. The North American Industry Classification System (NAICS) code for this procurement is 541519, "Other Computer Related Services". The small business revenue size standard for this NAICS code is $27,500,000.00.

6. Joint Ventures

A Joint Venture (JV) for size determination purposes is an association of persons or concerns with interests in any degree or proportion by way of contract, express or implied, consorting to engage in and carry out a single specific business venture for joint profit, for which purpose they combine their efforts, property, money, skill, or knowledge, but not on a continuing or permanent basis for conducting business generally. A JV is viewed as a business entity in determining power to control its management. In accordance with

FAR 19.101(7)(1)(B)(2), relaxed affiliation rules apply to the ITES-3S contract. Size standards for the ITES-3S contract apply to individual concerns, not to the combined assets, of the JV. Therefore, small business concerns can create teams that, combined, exceed the $27,500,000.00 number for the ITES-3S NAICS as long as each individual affiliate can meet the $27,500,000.00 revenue size standard.

Offerors should review the JV regulations at 13 CFR 121.103(h) dated February 11, 2011 before entering into and creating a JV and prior to submitting a proposal. All JV (large and small) shall provide JV agreements with their proposal delineating how the JV is structured.

Small business JVs shall show certification of each affiliate as a small business concern under the ITES-3S NAICS. The JV must be registered in the System for Award Management as its own, unique entity.

7. Ostensible Subcontracting

Careful attention must be exercised by a small business offeror with regards to ostensible subcontracting. An ostensible subcontractor which is to perform primary or vital requirements of a contract may have a controlling role such to be considered a joint venturer affiliated on the contract with the prime offeror. For example, if a small business prime subcontracts to a large business for a primary or vital portion of the requirement such that the large business may control the activities of the prime, then the large business could be considered an affiliate of the prime, disqualifying it as a small business. Pursuant the authority in FAR 19.302(b), the Contracting

Officer reserves the right to question the small business representation of a small business offeror at any time after the receipt of proposals if it is determined through the evaluation process that an ostensible subcontractor has a controlling role over the prime contractor.

8. The following clauses are included in the RFP but only apply at the order level when the requirement has been set-aside for Small

Business:

52.219-3 - Notice of HUBZone Set-Aside or Sole Source Award (Nov 2011)

52.219-6 - Notice of Total Small Business Set-Aside (Nov 2011) with Alternate I

52.219-13 - Notice of Set-Aside of Orders (Nov 2011)

(Dec 2015)

52.219-30 - Notice of Set-Aside for, or Sole Source Award to, Women-Owned Small Business Concern Eligible Under the Women-Owned

Small Business Program (Dec 2015)

Note that the limitations on subcontracting clause only applies at the Task Order level. Small businesses may compete on unrestricted task order without having to meet the requirements of the limitations on subcontracting clause.

9. The offeror's certification of Small Business Size Standard is to be submitted with Volume V - Contracts.

10. All task Orders valued between the current micro-purchase threshold and the current Simplified Acquisition Threshold (SAT) shall be set-aside for small business contract holders unless the OCO determines the rule of two cannot be met and documents the file with the rationale.

**For all Task Orders over the current SAT, the OCO shall first conduct market research to determine if there are at least two small business awardees that can perform the task order and comply with the limitations on subcontracting. If market research reveals there are two or more small business contract holders capable and willing to compete, the task order will be restricted to small businesses.

11. Please note that in all instances where the term "OCONUS" appears, it includes both named and remote OCONUS locations. Each task order will have country specific information/requirements that contractor(s) will need to adhere to.

12. The Government does not intend to hold discussions for contract award. However, the Government reserves the right to hold discussions, if it is determined to be in the Government's best interest.

13. The guaranteed minimum on this contract is $5,000.00 for each contractor and only applies to the base period.

The guaranteed minimum will be satisfied by the contractor for developing a company specific ordering guide and website which shall be provided to the Government for review; providing labor categories and pricing to Project Director Computer Hardware Enterprise Software

Solutions (PD CHESS) for inclusion in the PD CHESS IT e-mart; providing sample copies of required reports to PD CHESS for review and approval; and providing a complete list of the awarded company's Program Management team in accordance with paragraph 1.6.14 of the

Performance Work Statement. All required updates (yearly) shall be furnished at no additional cost to the Government.

A firm-fixed-price task order for the guaranteed minimum of $5,000.00 will be issued along with the award of the IDIQ contract.

14. Awardees' proposed small business participation percentages (as set forth in their Small Business Participation Plan) will be incorporated into the resultant contract and become a requirement of the contract.

H-5 SMALL BUSINESS UNDER ITES-3S

It is the policy of the United States Government that Small Business concerns, Veteran-Owned Small Business concerns, Service-Disabled

Veteran-Owned Small Business concerns, HUBZone Small Business concerns, Small Disadvantaged Business concerns, and Women-Owned Small

Business concerns will have the maximum practicable opportunity to participate in contract performance consistent with its efficient performance. For this procurement, the Government has established the following objectives (based on total contract value

$12,100,000,000.00):

Total Small Business Participation: 28%

(Includes Prime and Subcontract dollars)

Small Disadvantaged Business (SDB): 5%

16 113

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

Women-Owned Small Business (WOSB): 5%

HUBZone: 3%

Veteran-Owned Small Business (VOSB): 5%

Service Disabled Veteran-Owned Small Business (SDVOSB): 3%

The Government is committed to meeting these Small Business objectives through multiple mechanisms:

-The evaluation of Small Business Participation (SBP) for the award of the IDIQ contract; and

-The evaluation of Large Business primes success towards meeting or exceeding their SBP goals within their subcontracting plan.

It is the intent of the Government to compete Task Orders under this contract in accordance with the Fair Opportunity provisions set forth in FAR 16.505(b)(1). However, the Government reserves the right to reserve or set-aside future task orders to Small Business primes. All applicable set-aside rules will apply in these instances. For example, the clause FAR 52.219-14 Limitations on

Subcontracting shall be invoked. In addition, depending on the value of a specific order set-aside, Relaxed Affiliation rules may revert to General Affiliation rules. This may affect the ability of Small Business primes who are organized as a Small Business joint venture under Relaxed Affiliation rules to compete for set-aside task orders.

All task orders valued between the current micro-purchase threshold and the current SAT shall be set-aside for small business contract holders unless the OCO determines the rule of two cannot be met and documents the file with the rationale.

For all task orders over the SAT, the ordering contracting officers shall first conduct market research to determine if there are at least two responsible small business contract holders that can perform the task order and comply with the limitations on subcontracting.

If market research reveals there are two or more small business contract holders capable and willing to compete, the task order will be restricted to small businesses.

It is the Government's expectation that:

All prime contractors will make a good faith effort to meet their proposed SBP percentages. The prime contractor's efforts towards, and results in, achieving their Small Business subcontracting requirement and SBP percentages may be considered by the Contracting Officer in his/her evaluation of the prime contractor's past performance on future task order awards.

The prime contractor is cautioned that failure to make a good faith effort to meet the overall Small Business subcontracting requirement for this contract and/or its proposed SBP percentages as set forth in its Subcontracting Plan and Small Business Participation Proposal

(SBPP), or to provide detailed supporting documentation and/or rationale when it falls short of meeting this contract's Small Business subcontracting requirement or its proposed SBP percentages may prevent the contractor from receiving future task orders. Small Business prime contractor dollars will count towards its SBP percentages in the applicable categories for its dollars in performance as a prime contractor.

The contractor's proposed SBP percentages (as set forth in their SBPP) will be incorporated into the contract and become a requirement of the contract. The Government shall monitor the contractor's performance against the Governments overall Small Business subcontracting requirement and its SBP percentages to…
