(FAR) 16.505, in which task orders will be firm-fixed-price, time-and-materials, and cost-reimbursable in nature. The total amount of all orders placed against all ITES-3S contracts awarded from this contract shall not exceed $12,100,000,000 over a nine (9) year period of performance. Name of Offeror or Contractor:
PIIN/SIIN MOD/AMD
2. This requirement is being solicited under Full and Open competition. The Government anticipates awarding twenty-four (24) IDIQ awards, with an anticipated fourteen (14) reserved for Small Businesses. The Government reserves the right to make no, one, or multiple awards; the Government also reserves the right to make more than or less than twenty-four (24) awards.
3. The North American Industry Classification System (NAICS) code is 541519 and small business size standard for this acquisition is
$27,500,000.00.
4. Joint Ventures
A joint venture for size determination purposes is an association of persons or concerns with interests in any degree or proportion by way of contract, express or implied, consorting to engage in and carry out a single specific business venture for joint profit, for which purpose they combine their efforts, property, money, skill, or knowledge, but not on a continuing or permanent basis for conducting business generally. A joint venture is viewed as a business entity in determining power to control its management. In accordance with FAR 19.101(7)(1)(B)(2), relaxed affiliation rules apply to the ITES-3S contract. Size standards for the ITES-3S contract apply to individual concerns, not to the combined assets, of the joint venture. Therefore, small business concerns can create teams that, combined, exceed the $27,500,000.00 number for the ITES-3S NAICS as long as each individual affiliate can meet the $27,500,000.00 revenue size standard. Offerors should review the joint venture regulations at 13 CFR 121.103(h) dated February 11, 2011 before entering into and creating a JV and prior to submitting a proposal. All joint ventures (large and small) shall provide joint venture agreements with their proposal delineating how the JV is structured. Small business JVs shall show certification of each affiliate as a small business concern under the ITES-3S NAICS. The JV must be registered in the System for Award Management as its own, unique entity.
5. Ostensible Subcontracting
Careful attention must be exercised by a small business offeror with regards to ostensible subcontracting. An ostensible subcontractor which is to perform primary or vital requirements of a contract may have a controlling role such to be considered a joint venturer affiliated on the contract with the prime offeror. For example, if a small business prime subcontracts to a large business for a primary or vital portion of the requirement such that the large business may control the activities of the prime, then the large business could be considered an affiliate of the prime, disqualifying it as a small business. Pursuant the authority in FAR 19.302(b), the Contracting
Officer reserves the right to question the small business representation of a Small Business Offeror at any time after the receipt of proposals if it is determined through the evaluation process that an ostensible subcontractor has a controlling role over the prime contractor.
6. The following clauses are included in the RFP but only apply at the order level when the requirement has been set-aside for Small
Business:
52.219-6 - Notice of Total Small Business Set-Aside (Nov 2011) with Alternate I
52.219-13 - Notice of Set-Aside of Orders (Nov 2011)
52.219-14 - Limitations on Subcontracting (Nov 2011)
Note that the limitations on subcontracting clause only applies at the order level. Small businesses may compete on unrestricted task order without having to meet the requirements of the limitations on subcontracting clause.
7. The certification of Small Business Size Standard is to be submitted with Volume V - Contracts.
8. In accordance with FAR 19.502-2, all task orders valued between $3,000.00 and $150,000.00 shall be set-aside for small business contract holders.
**For all task orders over $150,000.00, the ordering contracting officers shall first send a Request for Information to each of the small business awardees to determine if there are at least two small business awardees that can perform the task order and comply with the limitations on subcontracting. Failure to respond will imply that the small business cannot comply with the limitations on subcontracting.
9. Please note that in all instances where the term "OCONUS" appears, it includes both named and remote OCONUS locations. Each task order will have country specific information/requirements that contractor(s) will need to adhere to.
10. The Government does not intend to hold discussions regarding this solicitation. However, the Government reserves the right to hold discussions, if it is in the Government's best interest.
11. The guaranteed minimum on this contract is Not to Exceed (NTE) $5,000.00 for each contractor and only applies to the base period.
The guaranteed minimum will be satisfied by the contractor for developing an company specific ordering guide and website which shall be provided to the Government for review; provide labor categories and pricing to PD CHESS for inclusion in the PD CHESS IT e-mart; provide

Subcontracting shall be invoked. In addition, depending on the value of a specific order set-aside, Relaxed Affiliation rules may

revert to General Affiliation rules. This may affect the ability of Small Business primes who are organized as a Small Business joint venture under Relaxed Affiliation rules to compete for set-aside task orders. Use of this reservation would, in part, be dependent on whether small business goals are being achieved under the ITES-3S IDIQ contract.
In accordance with FAR 19.502-2, all task orders valued between $3,000.00 and $150,000.00 shall be set-aside for small business contract holders.
For all task orders over $150,000.00, the ordering contracting officers shall first send a Request for Information to each of the small business awardees to determine if there at least two small business awardees that can perform the task order and comply with the limitations on subcontracting. Failure to respond will imply that the small business cannot comply with the limitations on subcontracting.
It is the Government's expectation that:
All prime contractors shall make a good faith effort to meet their proposed SBP percentages. The prime contractor's efforts towards, and results in, achieving their Small Business subcontracting requirement and SBP percentages will be considered by the Contracting
Officer in his/her evaluation of the prime contractor's past performance on future task order awards.
The prime contractor is cautioned that failure to make a good faith effort to meet the overall Small Business subcontracting requirement for this contract and/or its proposed SBP percentages as set forth in its Subcontracting Plan and Small Business Participation Proposal
(SBPP), or to provide detailed supporting documentation and/or rationale when it falls short of meeting this contracts Small Business subcontracting requirement or its proposed SBP percentages may prevent the contractor from receiving future task orders. Small Business prime contractor dollars will count towards its SBP percentages in the applicable categories for their dollars in performance as a prime contractor.
The contractor's proposed SBP percentages as set forth in their SBPP will be incorporated into, and become, a requirement of this contract. The Government shall monitor the contractor's performance against the Governments overall Small Business subcontracting requirement and its SBP percentages to ensure compliance. Failure of the contractor to demonstrate good faith to achieve its SBPP percentages may be a material breach of contract.

H-8 ON-RAMP PROCEDURES UNDER ITES-3S
The Government reserves the right to reopen competition in either competition pool (Unrestricted or Small Business) at any time during the term of the contract. The Contracting Officer may conduct market research to assess additional technologies and capabilities available in the open market. The Contracting Officer may also assess the amount of competition available. The Government will review the need for additional ITES-3S Contractors to keep the eligible pool(s) viable/competitive, and/or to ensure that the agency maintains access to the latest technological solutions in contracts for IT services.
The Government may evaluate the benefit of conducting an on-ramp on the multiple award IDIQ vehicle on an annual basis. The Government will strongly consider an on-ramp in year four (4) of the base ordering period, prior to exercising the four (4) year option, with a strong focus on the number of Small Businesses that are likely to graduate from the Small Business Reserve (i.e. to refresh the pool).
However, the Government may conduct an on-ramp in any year of the ordering period in order to maintain adequate competition or to obtain access to additional technologies and capabilities.
When an on-ramp is used, the Government will advertise the reopening of the competition on FedBizOpps, and awardees shall meet the criteria established in the initial ITES-3S solicitation. The evaluation and selection of awardees for any on-ramp will be exactly the same as the evaluation and award criteria used for the ITES-3S initial basic contract awards. The anticipated number of awards for the small business reserve and/or unrestricted pools of competition will be announced in the reopening announcement posting on FedBizOpps.
Any new awardees will compete with any existing or remaining Contractors for all task orders in the appropriate competition pool. Any additions due to on-ramps will not impact the $12,100,000,000.00 ceiling and the ordering period for new awardees will not exceed the overall maximum term of the original ID/IQ contract. Any additions due to on-ramps will also be subject to the same terms and conditions of the original contract. The Government will not consider unsolicited requests for addition to either or both of the competition pools.
(End of Clause)
H-9 OFF-RAMP PROCEDURES UNDER ITES-3S
The Government reserves the right to review all contracts under the ITES-3S multiple award IDIQ vehicle to determine if it is appropriate to remove existing contracts.
The Government may evaluate the benefit of conducting an off-ramp on the multiple award IDIQ vehicle on an annual basis. The Government will strongly consider an off-ramp in year four (4) of the base ordering period. However, the Government may conduct an off-ramp in any year of the base or option ordering periods in order to reduce administrative burden and costs for the Government and contractors and to maintain streamlined and efficient processes on the contract.

ITES-3S contract or task orders under the contract, or has not met small business participation commitments on task orders within 5% of the overall goals for the task order may be off-ramped.
The Government may off-ramp a contractor using one of the the following procedures:
a. The Contracting Officer will negotiate a mutual no-cost settlement with the contractor;
b. The Contracting Officer will implement a termination for convenience in accordance with FAR clause 52.249-2, 52.249-4, 52.249-6, or
52.249-8 as applicable;
c. The Contracting Officer will elect to not exercise a contractor's option ordering period.
Any contractor that is off-ramped shall not receive any further task order awards under this contract. However, any contractor that is off-ramped shall be responsible to continue performance on existing task orders in accordance with the terms and conditions of those task orders, including task order option periods, if exercised.
