About this file

This is a Technical Direction Letter (TDL) Administration Plan for a task order under solicitation N00421-26-R-XXXX that establishes procedures for issuing and managing technical direction to a contractor supporting Naval Air Warfare Center Aircraft Division (NAWCAD) Webster Outlying Field (WOLF) Engineering and Prototyping Operations. The contractor will provide comprehensive engineering and technical services including product and part design engineering, systems engineering, fabrication support, CAD/CAM, machining, sheet-metal work, welding, assembly, composite repairs, woodworking, painting with corrosion control coatings, powder coating, stockroom management, and facilities and personnel safety management. Services will support multiple program areas including Precision Air Landing Systems (PALS), Shipboard Identification Detection Systems, Integrated Data and Command Control Communications Computers Combat Systems and Intelligence (C5I) Systems, and Special Communication Systems.

The plan authorizes the Government to issue TDLs to provide clarification and specificity on tasking within the existing scope of work and Statement of Work/Performance Work Statement parameters. TDLs will use sequential numbering (0001, 0002, etc.) with revisions noted accordingly, and must include project number, SOW/PWS paragraph references, specific work scope, hours if applicable, Not-To-Exceed cost, Contract Line Item Number, and period of performance or delivery schedule. Each TDL will be subject to a three to seven business day processing timeline and the Limitation of Funds clause, with contractor notification required at 75% of allotted funds. TDLs cannot assign new work, modify quality or quantity of deliverables, change delivery dates or period of performance, or alter contract terms. The plan was prepared by Jennifer Lauren Lundburg and Michael Bowles, with approval from Alfred W. Hensler III, Division Head of Aircraft Support Contracts Department at NAWCAD Procurement Group.

TECHNICAL DIRECTION LETTER ADMINISTRATION PLAN

In Accordance With (IAW) Contracts Competency Instruction (CCI) 4200.60, this Technical Direction Letter (TDL) Administration Plan serves to document the needs determination for the inclusion of HTXT.242-9502, Technical Direction, to identify the purposes for which TDLs will be utilized, identify alternative options should a TDL not be appropriate, and define the control and oversight procedures for the issuance and approval of TDLs.

A contractual agreement between two or more parties represents a mutual understanding of all terms and conditions. Therefore, in the absence of Technical Direction, the Contractor would be able to fulfill the requirements of the subject contractual effort. However, the scope of work for the subject contractual effort has been designed to allow for a specific level of flexibility. This specific level of flexibility, as identified below, is clearly defined within the requirement documents and considered in the pricing of the contractual effort. The specific level of flexibility allows for the Government to issue Technical Direction in the form of TDLs.

Summary of contractual effort:

This Task Order (TO) will provide the Naval Air Warfare Center Aircraft Division (NAWCAD) Webster Outlying Field (WOLF) Engineering and Prototyping (EP) Operations, operating under the organic Lead Systems Integrator® (oLSI®) model, with engineering support, systems engineering support, fabrication support, and compliance support to include product and part design engineering; production engineering; drafting; Computer Aided Design (CAD); Computer Aided Manufacturing (CAM); Modeling and Simulation (M&S); machining; sheet-metal design, layout, and fabrication; welding; assembly; composite repairs and fabrication of composite components and structures; woodworking; painting, including preparation and application of corrosion control coatings and powder coating; management of a stockroom (e.g., tooling, hand tools, and fasteners), facilities and personnel safety management and preparedness to include Hazardous Materials (HAZMAT).

The following are representative of the programs, systems, and technology areas to which the requested engineering and technical services may be applied:

· Precision Air Landing Systems (PALS)

· Shipboard Identification Detection Systems

· Integrated Data and Command, Control, Communications, Computers, Combat Systems, and Intelligence (C5I) Systems

· Special Communication Systems

Summary of flexibility required:

The flexibility to provide directions to the Contractor that may redirect the TO effort, require pursuit of certain lines of inquiry, fill in details, otherwise serve to meet the above requirements, applies to all areas defined within Section C, Paragraph 3 and all subsections of the Statement of Work (SOW)/Performance Work Statement (PWS). Due to unforeseen circumstances, it may be necessary to adjust the Period of Performance (PoP) due to delays, such as natural disasters and unscheduled/unanticipated fiscal realignments, resulting in successive scheduling changes. Therefore, work completion should not and is not considered complete until the system is totally integrated, tested, and approved for operation. The TDLs will be used to address specific, changing details of a specific task within the parameters of the SOW/PWS.

TDLs provide additional clarification/specificity for tasking within the confines of the TO and SOW/PWS. The duration of this TO, coupled with outside influences such as shipbuilder tasks and technology infusion, ensures variations in work areas and integration/testing execution. The TDLs provide the Government the ability to provide the Contractor additional clarification/specificity to ensure execution aligns with these variations. It is imperative to the successful integration, test, production, and support of all systems involved with this effort that the Government provides this clarification on specific tasking throughout the duration of the TO. Typical scenarios that require clarification include: drawing development and review processes and schedules; specific equipment testing execution; storage and handling practices for specific electronic equipment; and engineering data format.

All SOW/PWS Sections will utilize TDLs.

TDLs provide additional clarification/specificity for tasking within the confines of the SOW/PWS. A TDL will not add or directly change the scope of this TO and its associated TOs.

Alternatives to TDLs:

An alternative to TDLs is the use of verbal direction. However, no verbal direction may be provided if the specific funding is not currently on the TO sufficient to support. There is a requirement to document the exchange of information between the Contractor and the Government to ensure direction given is clear and in compliance with the TDL clause. The TDLs will provide written information to the Contractor, which assists in the interpretation of the specifications and/or technical portions of the work description to be executed.

Control and Oversight:

The processing time for the Contractor is estimated to be three to seven business days. The TDL numbering system to be employed will be a sequential numbering system (e.g., 0001, 0002, etc.). When submitting revisions to TDLs, the TDL number will be followed by a space and the word ‘Revision’ and revision number (e.g. TDL 0001 Revision 01, TDL 0002 Revision 05, etc.).

Each TDL will include a Project Number (if applicable), the specific SOW/PWS paragraph reference(s); the specific work/clarification/effort; the number of hours, if applicable; Not To Exceed (NTE) cost; the specific Contract Line Item Number (CLIN) (e.g., 0001, 0002); and PoP and/or delivery schedule, as applicable.

A TDL shall not be used to assign new work; direct a change to the quality, quantity of supplies, and/or services delivered; change the delivery date(s) and/or PoP of the TO; or change any other condition or term of the TO.

The Contractor shall track each TDL and shall be subject to FAR 52.232-22, Limitation of Funds clause at the TDL level. The Contractor shall notify the Contracting Officer (KO) whenever it has reason to believe the costs it expects to incur under the TDL and the specific CLIN (as funded) will exceed 75% of the total funded amount so far allotted to the specific TDL and CLIN assigned. The notice shall state the estimated amount of additional funds required to continue performance for the period specified in the TDL. If, after notification, additional funds are not allotted, the Contractor shall immediately discontinue support of the specific TDL upon expense of applicable funds or completion of TDL assignment; whichever is first. The Contractor is not obligated to continue performance under the TDL or otherwise incur costs in excess of the amount then allotted to the TDL by the Government. The Government is not obligated to reimburse the Contractor for any cost in excess of the total amount allotted by the Government to the TDL.
