The four award lots will be awarded independently and include two award lots for the requirements for Region C and two award lots for the requirements of Region D (Award Lots 5&6 and Award Lots 7&8 respectively). The awards for these four award-lots will be made according to the criteria in Section M listed below.

SECTION M – EVALUATION FACTORS FOR AWARD

Under FAR 52.212-2 EVALUATION-COMMERCIAL PRODUCTS AND COMMERCIAL

SERVICES (NOV 2021)

(a) Basis for Award. The Government intends to evaluate offers and award a contract to the responsible offeror(s) evaluated as providing the best value to the government as a result of the solicitation. In order to receive the award, offerors must (1) be deemed responsible IAW FAR Part 9, (2) conform to all required terms and conditions, and (3) represent a best value to the Government, price and other factors considered. However, the Government will not pay a price premium that it considers to be disproportionate to the benefits associated with the proposed margin of service superiority. The following factors shall be used to evaluate offers:

• Factor 1. Business Proposal

• Factor 2 Technical Capability/Risk

• Factor 3 Past Performance

• Factor 4 Price Award will be made to the responsible offerors whose proposals, conforming to the solicitation, are determined to be the best value to the Government, as follows:

“Offerors shall offer on all products within each delivery region, if not the offer will be unacceptable. Offerors must include a unit price for all fuel products (Diesel, DEF, Gasoline, Propane, Jet, and AVGAS) and tug/barge transportation (loaded with fuel products and unloaded without fuel products) price within each Award Lot. Each delivery region will be evaluated and awarded separately. There are four (4) separate Award Lots based on geographic location and product. There are Two (2) Delivery Regions and Two (2) Award Lots per Delivery Region as follows:

- C. Puerto Rico & US Virgin Islands (Saint Croix, Saint John, Saint Thomas)

5. Diesel, Gasoline & Propane

6. Jet & AVGAS

- D. Pacific (Hawaii, Guam, American Samoa, Commonwealth of the North Mariana Islands) mailto:DLAENERGYFEPAB@dla.mil mailto:Richardson@dla.mil mailto:Sandra.Smallwood@dla.mil mailto:Hannah.R.Savine@dla.mil

Amendment 0008 April 02, 2024

7. Diesel, Gasoline & Propane

8. Jet & AVGAS”

Factor 1 Business Proposal will be evaluated on an acceptable/unacceptable basis. The order of importance of remaining Evaluation Factors in descending order of importance are Technical Capability/Risk, Past Performance, and Price. Technical Capability/Risk and Past Performance, when combined, are significantly more important than Price. Under the Technical Capability/Risk factor, all four subfactors are of equal importance, which will be evaluated separately and then combined to come up with an overall factor rating. There will be a comprehensive adjectival rating of technical capability at the factor level. It will be the evaluators’ subjective consensus that determines the overall technical capability of the proposal(s). Offerors will be advised that the Government is more interested in obtaining quality performance than the lowest price. However, the Government will not pay a price premium it considers disproportionate to the benefits associated with the offeror’s Technical Capability/Risk and Past Performance.

The following factors shall be used to evaluate offers:

Factor 1. Business Proposal The Government will evaluate the Offeror’s response within Volume I Business Proposal against meeting the proposal requirements as identified under FAR 52.212-1 INSTRUCTIONS TO

OFFERORS –COMMERCIAL ITEMS (NOV 2021).

a. The Government business evaluation team will evaluate the business proposals at the subfactor level on an acceptable/unacceptable basis as defined below. Proposals with “Unacceptable” business proposal rating(s) at the subfactor level will not be considered for award.

Adjectival Rating Definition Acceptable Proposal meets the requirements of the solicitation.

Unacceptable Proposal does not meet the requirements of the solicitation.

1. Cover Letter: Identifies the name, title, email address, telephone number and fax number of person(s) authorized to sign and negotiate on the offeror's behalf with the Government in connection with this solicitation. This cover letter shall also contain proposal checklist and the offeror’s Government Entity Code (CAGE), SAM UIE# and business category and size.

2. SF1449, including acknowledgement of amendments, if applicable, blocks 12, 17a, and 30a, b, and c. Block 17a should include the Commercial Name, address, phone number and CAGE code. Block 17b on the SF1449. Check this block if your remittance address

Amendment 0008 April 02, 2024 is different and identify the remittance address in your proposal. Signature by the offeror on the SF 1449 constitutes an offer, which the Government may accept, and acknowledgement by the offeror they accede to the contract terms and conditions and Performance Work Statement (PWS) requirements.

3. Exceptions to Terms: (no page limit) Offerors shall state any exceptions to the terms of the solicitation, to include technical exceptions of the Performance Work Statement (PWS). When stating an exception, the offeror shall reference the Solicitation Section, Clause, Provision and/or PWS section. Any exception/deviation to the solicitation that is not in the Business Proposal will not be considered and will be rejected, regardless of whether the exception/deviation is explicitly labeled as an exception or deviation elsewhere. Offerors shall provide summary of exception within the Business Proposal and then provide written details to the exception request within the volume that the exception applies. Additional, offerors shall provide during negotiations to address all technical issues and/or exceptions that the Government has identified as “Unacceptable” prior to the submission of Final Proposal Revisions (FPRs). FPRs are the final opportunity to revise proposals to address any technical acceptability issues. If a FPR includes an unresolved technical issue or an exception that is not acceptable to the Government, the offer will be found technically unacceptable and ineligible for award. If no exceptions are being taken, offerors shall provide an affirmative statement following their Cover Letter. “No Exceptions are taken to any of the clauses, provisions, and/or any attachments for solicitation SPE605-23-R-0208”.

4. Provide your company organizational chart detailing company representatives, personnel roles/responsibilities, and points of contact to the scope of the solicitation.

5. Financial Capital: All offerors submitting a proposal must confirm that they have at least six-months financial capital to support the contract requirement and must submit letters of credit or other financial instruments to confirm their financial ability to perform the requirement. In the past 3 years FEMA activations cost was a total of $23,233,095.00.

The six-month financial capital required is $3,872,180.00.

6. Complete and submit Offeror Submission Package (OSP) attachment 11. Offerors, be advised, to complete and submit one copy of all forms contained in the OSP. Copies of all documents submitted shall be the same as the original. Complete Sections G and K all fill-in Clauses, Provisions, and Contract Texts. The offeror must write N/A if a section does not apply. DO NOT LEAVE FILL-IN SECTIONS BLANK. Offer shall be signed by an authorized negotiator – see K33.01 AUTHORIZED NEGOTIATORS (DLA ENERGY APR 2007) in the Solicitation. Please initial all changes and corrections.

Provision 52.212-3 Offeror Representations and Certifications—Commercial Products and Commercial Services (May 2022). The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at http://www.sam.gov/

Amendment 0008 April 02, 2024

7. Offerors shall provide certificates of quality for each fuel type from their supplier/refinery or from their storage tanks with their offer. In order for the offeror to demonstrate that they possess the capability to provide the fuel which meets the required specification(s), the offeror must present either a current, full specification Refinery Certificate of Quality (COQ) or if sourcing from a location which blends several batches from more than one refinery source (terminal), a current, full specification, Certificate of Analysis (COA), of that blended product. COA will contain the source information specification tested to, along with the test methods used for testing. The certificate will also be signed and stamped by the laboratory manager and be within 30 days of submission from a batch out of the terminal storage tank(s) or refinery batch tank(s) to be used for actual supply. Failure to provide the full specification Refinery Certificate of Quality (COQ) or if sourcing from a location which blends several batches from more than one refinery source (terminal), a current, full specification, Certificate of Analysis (COA), of that blended product. Not providing either COA or COQ will result in an unsuccessful submission of your offer.

Factor 2: Technical Capability/Risk The Government will evaluate the Offeror’s responses within Volume II Technical Capability to determine a Technical Capability rating. The responses will be evaluated strictly on technical merit and should describe and justify the offeror’s technical approach to the requirements of the work to be performed within the PWS and delivery of product under the contract. Based on the established standards and applicable ratings outlined in this source selection plan, an adjectival rating will be assigned to each sub-factor. Each sub-factor is of equal importance. There will be a comprehensive adjectival rating of technical capability at the factor level. Any offeror receiving a rating of unacceptable for any technical capability sub factor (i.e., Readiness Plan, Response and Sustainment Plan, Equipment and Program Management) will receive a comprehensive rating of unacceptable and may be excluded from competition.

Subfactor 1: Readiness Plan

The Government will assess the Offeror’s ability to provide alternative supply in the event of geo-political shifts, political uprisings, employee strike, poor weather and road conditions, refinery constraints, surges, environmental disaster ecological disaster natural disasters or any other contingencies that would prevent delivery from the primary source of supply. The technical proposal shall include a plan that outlines the company’s concept of operations, to include its skills and capabilities and how it intends to meet the performance objectives identified in the PWS to demonstrate readiness. The plan will be assessed for completeness and ingenuity.

This subfactor evaluates the effectiveness and efficiency of the offeror’s plan to rapidly respond to the Government’s requirements after activation of contract and Task Orders have been placed either verbally or systematically. It assesses the offeror’s understanding of all aspects of the effort to be performed and the likelihood of success in meeting the Government’s requirements and successful performance in accordance with the Performance Work Statement (PWS)

Amendment 0008 April 02, 2024 paragraphs 2.2 Hours of Operation, 2.3 Ordering, 2.9 Readiness, 2.10 Deliveries and 4.1 Environmental Requirements. This subfactor also assesses the Offeror’s ability to supply the product in the estimated quantities stated in the schedule B1.05-2 SUPPLIES TO BE FURNISHED (OVERSEAS PC&S) (DLA ENERGY JAN 2012) (Tailored).

In any event, the evidence of any agreement with other fuel companies to provide support to meet the fuel requirements and delivery timeframe required shall be in accordance with L2.07 EVIDENCE OF RESPONSIBILITY (DLA ENERGY JULY 2019) and shall clearly identify:

(1) The volumes to be supplied on this solicitation; (2) The specification of product(s) to be supplied; (3) The points of delivery and period of contract performance; (4) The escalation provision(s) applicable to products to be supplied; and (5) The supplier's delivery and inspection terms and conditions.

Subfactor 2: Response and Sustainment Plan

This subfactor evaluates the effectiveness and efficiency of the offeror’s plan in responding to and sustaining the Government’s requirements after Task Orders have been placed, and its ability to maintain a high level of performance for a span of time. Government will assess the offeror’s understanding of all aspects of the effort to be performed, and the likelihood of success in meeting and exceeding the Government’s requirements by augmenting the offeror’s normal commercial distribution capability. Government evaluates the offeror’s command and control capability to swiftly react to a situation and communicate response to designated Government representatives.

DLA Energy will require petroleum suppliers, or their agent to submit evidence of their ability to provide sufficient and dedicated intermediate fuel storage throughout the life of the contract within United States and US Territories to support deliveries. The offeror will address their capabilities to deliver fuel to the required locations by the arrival time and provide their proposed supply plan that will ensure the products required are available throughout the term of the contract. When the offeror provides the firm written fuel supply agreements, their declaration of evidence to support supply and delivery of required quantities may be in the form of a signed copy of the contract between the offeror and its supplier or in the form of a contingency letter from the supplier or other satisfactory documentation.

The Offeror’s ability to provide sufficient and dedicated fuel operational storage throughout the life of the contract within United States and US Territories to support daily deliveries will be assessed. Whether the offeror can provide specific information pertaining to proposed storage capacity and proximity to each offered location will also be assessed. The following items are required to be submitted for consideration:

• A detailed description and a map or chart of the offeror’s supply chain.

• A detailed description of the offeror’s plan and movement of product(s) to the locations listed in the solicitation schedule in accordance with PWS

The declaration of evidence may be in the form of a signed copy of the contract between the offeror and its supplier or in the form of a contingency letter from the supplier or other satisfactory documentation. The evidence of agreement shall be in accordance with L2.07 EVIDENCE OF RESPONSIBILITY (DLA ENERGY JULY 2019) and shall clearly identify: (1) The volumes to be supplied on this solicitation; (2) The specification of product(s) to be supplied; (3) The points of delivery and period of contract performance; (4) The escalation provision(s) applicable to products to be supplied; and (5) The supplier's delivery and inspection terms and conditions. The response and sustainment plan will be assessed for completeness and ingenuity.

Subfactor 3: Equipment

This subfactor evaluates whether the offeror has the necessary equipment required to provide emergency fuel support as needed to provide mobile refueling (refer to PWS paragraphs 2.4 Equipment, 2.4.3 Barge and/or shallow water vessel, 2.4.4 Tank Barge, 2.5 Self-Certified Letter,

2.6 Sectional Fuel Delivery Hose, and 2.10 Deliveries) in the event of a contract activation. The Government will assess the offeror’s ability to arrange and execute transportation to support orders placed under an awarded contract. Offerors must demonstrate ownership of tug and barge assets or the existence of firm transportation subcontracts. The Government will also evaluate the condition and capabilities of owned/subcontracted tug and barge assets to ensure capability to provide sufficient transportation of the product for those lots. Offerors must submit the following information with their proposals to support these assessments:

For the tugs, provide the USCG COI or other documentation of proof of ownership. The USCG COI or other documentation of proof of ownership must have an expiration date after the date of solicitation issuance.

• Any letters of intent and/or requests for exceptions and deviations in accordance with equipment Section C and E of the solicitation.

If any of the equipment requirements are owned by an affiliate, subsidiary, or subcontractor company, offeror must provide a signed letter stating the relationship between the affiliate, subsidiary, or subcontractor company and the offeror to show proof of ownership and control of the barges and tugs being offered. In such cases, offerors must demonstrate they will have access and use of equipment within 24hrs of contract activation. The supporting documentation to include the ability to obtain the equipment from 1 June 2024 through 31 October 2029.

Subfactor 4: Program Management

The Government will evaluate the Offeror’s proposed program management approach for accomplishing the PWS requirements and the terms and conditions of the contract. The Offeror’s management approach will be evaluated to determine the extent to which the Offeror has developed a strategy for the effective and efficient management of contract activities, business operations and program management activities including subcontract management, key personnel, and facilities.

Certain skilled experienced professional and technical personnel are essential for successful contractor accomplishment of the work to be performed under this contract. The offeror’s proposed approach shall demonstrate the necessary managerial and supervisory ability of key personnel, staffing, training, operational controls, lines of authority to interface with Government in order to successfully maintain or exceed customer expectations and identify and correct problems.

Each Technical Capability/Risk subfactor will be rated as follows:

Amendment 0008 April 02, 2024

Combined Technical/Risk Rating Method

The combined technical/risk rating includes consideration of risk in conjunction with the significant strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies in determining technical ratings. Combined technical/risk evaluations shall utilize the combined technical/risk ratings listed below.

Combined Technical/Risk Rating Method

Color Rating Adjectival Rating Description

Blue Outstanding Proposal demonstrates an exceptional approach and understanding of the requirements and contains multiple strengths and/or at least one significant strength, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength or significant strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is unawardable, and/or risk of performance is unacceptably high.

Technical Capability/Risk Evaluation Methodology

NOTE: Any offeror receiving a rating of unacceptable for any technical capability sub factor (i.e., Readiness Plan, Response and Sustainment Plan, Equipment and Program Management) will receive a comprehensive rating of unacceptable and may be excluded from competition.

Factor 3: Past Performance Evaluation The Government will evaluate the Offeror’s responses within Volume III Past Performance to determine a Confidence rating. The past performance evaluation factor assesses the degree of confidence the Government has in an offeror’s ability to supply products and services that meet users’ needs, based on a demonstrated record of performance. The responses will be evaluated strictly on past performance merit. Based on the established relevancy standards and confidence

Amendment 0008 April 02, 2024 ratings outlined in this source selection plan, an adjectival relevancy rating will be assigned to each past performance questionnaire. There will be a comprehensive adjectival confidence rating of past performance which will be determined for each offeror. It will be the evaluators subjective consensus to determine the overall confidence of the past performance of the proposal(s).

The assessment of the offeror’s past performance will be used as a means of evaluating the offeror’s ability to meet the solicitation requirements, including the offeror’s ability to conform to contract requirements, specifications and standards of good workmanship, the offeror’s ability to meet delivery schedules, to respond to administrative issues in a timely manner, and to complete a contract, and the offeror’s commitment to maintaining an acceptable level of performance. This includes the offeror’s history of reasonable and cooperative behavior, participation in problem identification, and corrective action measures. A record of poor performance may be considered an indication that the offeror has failed to conform to contract requirements and/or to standards of good workmanship, adhere to contract schedules, including the administrative aspects of performance; provide reasonable and cooperative behavior and commitment to customer satisfaction; and/or display a business-like concern for the interests of the customer.

The Government past performance evaluation team shall evaluate each Offeror’s performance information using questionnaires. (Attachment 3 Offeror Past Performance Questionnaire). The Government reserves the right to obtain information relative to present and past performance on its own. If you are aware that one or more of your contracts is in the Contractor Performance Assessment Reporting System (CPARS) and specifically relates to the requirements in this acquisition, provide this information. Past performance information may also be obtained by the Government through the Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), interviews with Program Managers, Contracting Officers, or any other source available to the Government. The purpose of the past performance evaluation is to allow the Government to assess the offerors’ ability to perform the effort described in this RFP, based on the offerors’ demonstrated past performance.

Past Performance Questionnaires. Offerors shall complete Section 1 of the References Past Performance Questionnaire (PPQ)(Attachment 5) and send to each of the Offeror’s references identified in the Contractor Performance Data Sheet (CPDS). The Past Performance Questionnaire shall be completed by the cognizant Contracting Officer/Agency the Offeror contracted with and emailed directly to the Contract Specialist and Contracting Officer. Note:

The Contracting Officer will not accept surveys emailed by the Offeror. Offerors should use every diligent effort to follow-up with each Office/Agency to ensure the Contracting Officer receives the past performance questionnaires no later than the offer due date/time. The references submitted will be used to verify information and/or gather additional information. References provided should address the contractor’s performance providing fuel products, by tug and barge transportation within and along the United State Territories to include barges used in inland waterways. The Offeror shall include a list of contracts similar in scope, size, and complexity, currently on-going or completed during the past three (3) years from the date of solicitation issuance. Each offeror must complete the CPDS provided as attachment 4 to identify contracts

Amendment 0008 April 02, 2024 and/or subcontracts similar in nature to the solicitation requirements and completed within the last three (3) years. All contracts/subcontracts submitted should have a minimum of one year’s performance history. The Government reserves the right to consider contracts still in progress and to consider contract and/or subcontract information outside the specified time periods. The contracts may include efforts undertaken on behalf of the DLA Energy, other Federal Agencies (including those performed for non-DoD activities), quasi-government organizations, state, or local governments, and/ or private industry. The list shall be limited to at least three (3), but no more than four (4) contracts. If the Offeror submits past performance on an affiliate, subsidiary or subcontractor, the past performance shall state how the affiliate, subsidiary or subcontractor will perform on the current solicitation requirements and how the offeror controls/obligates the affiliate, subsidiary, or subcontractor. Each reference shall include the following:

• Company/division name

• Description of service and a detailed narrative of relevance to this requirement

• Contracting agency

• Current points of contact to include name, address, telephone number, and email address for each reference

• Contract type

• Contract award date and period of performance

• Contract amount (annually and life cycle) cost; if the contractor performed an affiliate, subsidiary, or subcontractor under the contract submitted for evaluation, specify the per year cost and life cycle cost for the portion of work performed by the contractor)

• Questionnaire log including the name, address, telephone number, and email address for each POC to whom the Past Performance Questionnaire was sent for completion.

However, the Government reserves the right not to contact all of the references listed by the offeror. The Government also reserves the right to assess the offeror’s past performance based solely on the offeror’s performance under an existing DLA Energy contract, or a previous DLA Energy contract for work similar to that required by the solicitation. References provided should address the contractor’s performance in the U.S. Territories providing fuel products and fuel transportation by tug and barge.

Offerors shall be afforded an opportunity to address adverse reports of past performance, and the offeror’s response, or lack thereof, will be taken into consideration. Recent contracts may be examined to ensure that corrective action measures have been put in place to prevent the recurrence of past performance problems. Prompt actions taken to correct performance problems may be considered a reflection of management concern for customer satisfaction; however, such action may not mitigate all negative performance trends.

If the offeror fails to identify and describe the prime contractor, affiliate, subsidiary or subcontractor role in a past performance effort or how an affiliate, subsidiary or subcontractor will perform on the current solicitation requirements and how the offeror controls/obligates the affiliate, subsidiary or subcontractor in the performance of this contract, then that past performance effort may be treated with Neutral Confidence.

Amendment 0008 April 02, 2024

Relevant past performance is defined as past performance that is similar in scope, complexity, and dollar value to the subject procurement. The government evaluation team will determine the recency and the relevancy of each past performance effort being evaluated. To be considered a recent effort, the effort must be currently on-going, or have been completed within 3 years from the date of solicitation issuance. Past performance information submitted may include that for performance still in progress; however, it should have a minimum of one year performance history. Past performance information submitted which exceeds the three (3) year limit will not be considered.

In assigning the relevancy rating for each contract reference, the Government will consider at a minimum:

• Relevant: Transportation of fuel by tug and barge of similar scope, magnitude, and complexity, as identified below.

• Scope: Tug, and barge transportation of fuel between the US Territories ports and points on the U.S. Territories and their connecting waterways, inland waterways, coastal waterways, rivers, and tributaries.

• Magnitude of Effort: We will assess magnitude based on gallons per month and number of deliveries to multiple locations.

All pricing to include price escalator exceptions must be submitted on Attachment 17- Amend 8 Award Lots Price Input Sheet, submit Attachment 15A - Lead & Departure Time, and Attachment 2A- Pricing – DEF-Readiness Drill-Barge.

The offeror shall input on the Pricing – DEF- Readiness Drill-Barge all rates for all items or indicate not applicable (N/A) highlighted in yellow. The offeror shall complete the Pricing – Readiness Drill-DEF-Barge with the proposal rates: DEF rate per 55 gallon Drum and 2.5 Gallon Container, Readiness Drill Pricing per year, and Barge fee per month. To determine the barge fees for each award lot, the contracting officer will multiply the daily tug or barge rate by the estimated number of days and barge(s) by the estimated number of days as stated below. Note that this is for evaluation purposes only and does not necessarily reflect actual quantities ordered; the offerors’ prices shall remain valid for the entire performance period.

Price will be evaluated at the line-item level per Delivery Regions by performing a price analysis in accordance with FAR 15.404-1(b). The evaluated price per Delivery Regions will be calculated by multiplying the estimated quantity for each line item by the offered unit price for each line item. Diesel, Gasoline & Propane will be evaluated together, and pricing will be determined by the average price per region and jet and AVGAS fuel will be evaluated together by multiplying the estimated quantity for each line item by the offered price for each region. The lowest average price of product will determine award of each region.
