About this file

Solicitation Summary: W912LR26QA042

This is a Request for Quotations (RFQ) for the supply and installation of prefabricated modular office trailers at Camp Santiago in Puerto Rico, issued by the Puerto Rico Army National Guard. The solicitation W912LR26QA042 seeks two base units with three optional units for a potential total of four trailers, each measuring 24' x 72' (1,728 SF) to 24' x 80' (1,920 SF). Quotations are due by September 11, 2026, at 11:55 PM, and the delivery schedule allows 120 calendar days from the date of award to completion of performance. The contract is set aside for Women-Owned Small Businesses (WOSB) and designated under North American Industry Classification System (NAICS) 321991 with a size standard of 1,250 employees. The Government will award a firm-fixed-price purchase order to the responsible quoter submitting the lowest-priced, conforming quotation using simplified acquisition procedures for commercial items. Quotations must include manufacturer specifications verifying dimensions, wind ratings (140–180 mph), coastal corrosion resistance, thermal envelopes, and HVAC capacity; proof of a 12-month minimum warranty; and demonstration of compliance with limitations on subcontracting under FAR 52.219-14.

Each trailer must include manufacturer's standard hurricane/coastal wind-rated package, electrical package with MDP, IT conduit, NEMA 5-20 outlets, lighting and switches, twin 3.0-ton (36,000 BTU) coastal-treated HVAC units, and tie-down/anchor kits, with delivery and installation to the existing concrete surface at Building 763, Warrior's Plaza in Salinas, Puerto Rico. Payment will be made through Wide Area WorkFlow (WAWF) system with invoices submitted to DoDAAC W58BNE. Quotations must be submitted as two separate volumes (one priced SF 1449 form and one technical suitability volume not to exceed 15 pages) via email to ng.prarng.purchasing-and-contracting.mbx@army.mil. The Government reserves the right to award the base requirement only or any combination of base and option line items at time of award, and will evaluate quotes sequentially by price, conducting technical review of the lowest-priced quotation first before proceeding to higher-priced alternatives if conformance issues arise.

(End of clause)

52.219-14 Limitations on Subcontracting. 2026-02

Limitations on Subcontracting (Feb 2026) (Deviation 2026-O0038)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that-

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to-

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with sections 19.105, 19.106, 19.107, and 19.108;

(4) Orders expected to exceed the simplified acquisition threshold and that are set aside for small business concerns under multiple-award contracts, as described in 8.4 and 16.5;

(5) Orders, regardless of dollar value, that are set aside in accordance with sections 19.105, 19.106, 19.107, and 19.108 under multiple-award contracts, as described in 8.4 and 16.5; and

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for-

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 75 percent subcontract amount that cannot be exceeded.

(f) The Contractor shall comply with the limitations on subcontracting as follows:

(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause-

[Contracting Officer check as appropriate.]

[ ] By the end of the base term of the contract and then by the end of each subsequent option period; or

[ ] By the end of the performance period for each order issued under the contract.

(2) For orders, in accordance with paragraphs (c)(4) and (5) of this clause, by the end of the performance period for the order.

(a) Definitions. As used in this provision-

Foreign person means any person other than a United States person.

Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.

United States person as defined in 26 U.S.C. 7701(a)(30) means

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31)); and

(5) Any trust if-

(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and

(ii) One or more United States persons have the authority to control all substantial decisions of the trust.

(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.

(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.

(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(1) It [ ] is [ ] is not a foreign person; and

(2) If the Offeror indicates "is" in paragraph (d)(1) of this provision, then the Offeror represents that-I am claiming on the IRS Form W-14 [ ] a full exemption, or [ ] partial or no exemption [Offeror must select one] from the excise tax.

(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then-

(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and

(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.

(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.

(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. For questions relating to the interpretation of the IRS regulations go to https://www.irs.gov/help/tax-law-questions.

The quoter must explicitly state whether they are the manufacturer of the trailers. If they are a dealer/distributor, they must confirm compliance with the Non-Manufacturer Rule by identifying the domestic small business that is manufacturing the trailers or identify any "similarly situated entities" acting as subcontractors.

(c) Late submissions, modifications, revisions, and withdrawals of quotations.

(1) Quoters are responsible for submitting quotes and any modifications or revisions to the Government office designated in the solicitation by the time specified in the solicitation.

(2) Any quote, modification, or revision received after the time specified for receipt of quotes is "late" and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late quote would not unduly delay the acquisition. However, a late modification of an otherwise successful quote that makes its terms more favorable to the Government will be considered at any time it is received and may be accepted.

(3) If an emergency or unanticipated event interrupts normal Government processes so that quotes cannot be received at the Government office designated for receipt of quotes by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of quotes will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(4) Reserved.

(d) Award of Purchase Order. The Government intends to review quotes and award a firm-fixed-price (FFP) purchase order. The quoter's initial quote should contain the quoter's best terms. The Government reserves the right to seek clarifications on the contents of the quote if determined necessary by the Contracting Officer.

The Government may reject any or all quotes if such action is in the public interest and waive informalities and minor irregularities in quotes received.

(1) Evaluation of Options at Award: This solicitation includes the use of Option Line Items. The Government reserves the right to award a contract with none, one, some, or all option line items (CLINs) exercised at the time of contract award. Quoters must submit pricing for the base requirement and all option line items to be considered for award.

(2) Removal of Unexercised Options: Any option Contract Line Item (CLIN) that the Government does not select to exercise at the time of contract award shall be completely removed from the final award document.

Only the base requirement and those option CLINs explicitly exercised in writing at the time of award will constitute the final purchase order and establish the final Government's offer.

(e) Debriefings. If a post award debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:

(1) The agency's evaluation of the significant weak or deficient factors in the debriefed Offeror's offer.

(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror and past performance information on the debriefed Offeror.

(3) The overall ranking of all Offerors when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award.

(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.

(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether the agency followed source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities.

CONTRACTING OFFICER NOTE (APPLICABILITY OF PARAGRAPH (e)): This solicitation is a Request for Quotations (RFQ). A quotation is not an offer, and this is not a request for proposals. Because this is a Request for Quotations (RFQ) utilizing simplified commercial procedures, formal post-award debriefings under FAR Part 15 and paragraph 52.212-1(e) do not apply. The Government will not provide ratings, point scores, or evaluations of significant weaknesses, deficiencies, or overall rankings. The Government may provide a brief explanation to unsuccessful quoters upon request, consistent with RFO Part 12.301(b).

(End of provision (Tailored))

Addendum 1 to 52.212-1, Instructions to Quoters - Commercial Products and Commercial Services

National Guard Agency Protest Program

NG Agency Protest Program is intended to encourage interested parties to seek resolution of their concerns with the National Guard (NG) as an Alternative Dispute Resolution forum, rather than filing a protest with the Government Accountability Office (GAO) or other external forum.

Contract award or performance is suspended during the protest to the same extent, and within the same time periods as if filed at the GAO. The NG protest decision goal is to resolve protests within 35 calendar days from filing. An agency protest may be filed with either the Contracting Officer or the NG Agency's Protest Decision Authority, but not both, in accordance with NG protest procedures.

To be timely, the protests must be filed with the periods specified in RFO 33.103. To file a protest under the NG Agency Protest Program, the protest must request resolution under that program and be sent to the address below:
