SECTION A - SOLICITATION/CONTRACT FORM (SF-1449)

This solicitation uses Standard Form 1449 (SF-1449), Solicitation/Contract/Order for Commercial Products and Commercial Services.

SAM.gov Registration Conflict Statement:

By submission of an offer, the Offeror acknowledges the requirement that a prospective awardee must be registered in the System for Award Management (SAM) database prior to award, during performance, and through final payment of any contract resulting from this solicitation.

SECTION B - SUPPLIES OR SERVICES AND PRICES/COSTS

B.1 Contract Pricing

The Standard Form 1449 represents the contract line-item number (CLIN) structure for this Indefinite Delivery Indefinite Quantity (IDIQ) contract. Individual task orders issued under this IDIQ may be firm-fixed-price, time-and-materials, labor-hour, or a combination thereof, as specified in each task order.

The negotiated hourly rates, services, profit, overhead, and general and administrative as reflected in the Muirkirk Road Complex Operations and Maintenance Support Services (MRC O&M) Pricing Structure will be incorporated into the award.

B.1.1 Labor Rates

The Contractor’s proposed labor rates, as set forth in Attachment C2 (Pricing Sheet for MRC O&M), shall serve as fully-burdened ceiling rates for labor hour and time-and-materials task orders issued under this IDIQ. These rates include all direct labor, indirect costs, overhead, general and administrative expenses, and profit.

Rate Escalation: Offerors shall propose labor rates in Attachment C2 by ordering period (Year 1, Year 2, Year 3, Year 4, Year 5). Rates may escalate between ordering periods but remain fixed within each ordering period. Once proposed and accepted, these rates become the ceiling rates for that ordering period and apply to all labor hour and time-and-materials task orders issued during that period.

In addition to any proposed escalation, the Contractor may request price adjustments based on Department of Labor wage determination updates in accordance with Section B.7 and FAR 52.222-43.

The ceiling rates may not be exceeded without a contract modification approved by the Contracting Officer.

B.2 Task Order Pricing

Task orders issued under this IDIQ contract may use different pricing arrangements as specified in each task order:

(a) Firm-Fixed-Price (FFP): Fixed total price for specified scope of work

(b) Time-and-Materials (T&M): Ceiling hourly rates × actual hours worked

(c) Labor-Hour (LH): Ceiling hourly rates × actual hours worked

(d) Unit Pricing: Fixed unit rates × actual quantities delivered

(e) Combination: A task order may combine multiple pricing types

The Contractor’s proposed ceiling labor rates (for T&M and LH work) are incorporated in Attachment C2 and shall apply to all task orders requiring labor-hour or time-and-materials pricing. These ceiling rates may not be exceeded without a contract modification approved by the Contracting Officer.

B.3 Minimum Guarantee and Maximum Dollar Ceiling (Master Contract)

The guaranteed minimum amount to be ordered under the contract is the obligated base period of the first task order. The contract maximum is $49,000,000 inclusive of all ordering periods.

B.4 Funding

(1) Funds for the services provided will be obligated at the task order level as they become available. Each order will specify the amount presently available for payment by the Government and allotted to the contract line items included.

(2) Except as required by other provisions of this IDIQ and the associated Task Orders, specifically citing and stated to be an exception to this term—

(a) The Government is not obligated to reimburse the Contractor for costs incurred in excess of the total amount allotted by the Government to the Task Order(s); and

(b) The Contractor is not obligated to continue performance under the contract (including actions under the Termination clause) or otherwise incur costs in excess of the amount then allotted to the Task Order(s) by the Government.

(3) The Government may de-obligate funds as long as funds are still available in the task order for Contractor’s continuing performance.

B.5 Ordering

Any supplies and services to be furnished under the contract shall be ordered by issuance of task orders by the Contracting Officer. Such orders may be issued from date of award until expiration of the contract.

All task orders (TOs) are subject to the terms and conditions of the contract. In the event of conflict between a task order and the contract, the contract shall control.

A task order is considered “issued” when distributed via email to the Contractor’s email address.

B.5.1 Task Order Performance Periods

The period of performance for each task order will be specified in the individual task order and is subject to the following constraint:

Individual task orders (inclusive of all option periods for that task order) may not exceed five (5) years in duration from the date of task order issuance.

Task orders issued during the IDIQ ordering period may continue performance after the IDIQ ordering period expires, provided the task order performance period does not exceed five (5) years from task order issuance.

B.5.2 Task Order Ordering Period

Task Orders may be issued up to the final day of the contract inclusive of any extensions thereto.

B.6 Applicable Labor Categories and Contractor Furnished Property/Services

B.6.1 Labor Categories

The labor categories and associated fully-burdened hourly rates as established in Attachment C2 shall be utilized by the Contractor in formulating task order pricing proposals and invoicing for time-and-materials and labor-hour task orders.

B.6.2 Contractor Furnished Property and Services

Unless specifically identified as Government-Furnished Property or Services in a task order, all property, equipment, tools, materials, supplies, and services necessary for performance shall be furnished by the Contractor at no additional cost to the Government.

B.7 Wage Determination Price Adjustments

Contract pricing for service contract labor standards (SCLS) covered labor is subject to adjustment based on wage determination revisions issued by the Department of Labor in accordance with FAR 52.222-43, Fair Labor Standards Act and Service Contract Labor Standards—Price Adjustment (Multiple Year and Option Contracts).

SECTION M - EVALUATION FACTORS AND BASIS FOR AWARD

M.1 Basis of Award

This is a negotiated procurement conducted in accordance with FAR Part 15. Award will be made on a best-value tradeoff basis in accordance with FAR 15.101-1.

Evaluation Factors:

The Government will evaluate proposals based on the following factors:

Non-Price Factors: - Factor 1: Corporate Experience (Go/No-Go) - Factor 2: Key Personnel (Go/No-Go) - Factor 3: Management Approach (Confidence-Rated) - Factor 4: Technical Approach - MRC (Confidence-Rated) - Factor 5: Past Performance (Confidence-Rated with Neutral)

Price Factor: - Factor 6: Price (Total Evaluated Price - TEP)

[PROGRAM OFFICE REVIEW REQUIRED: Confirm relative importance order below is correct before solicitation issuance.]

Relative Importance of Evaluation Factors (FAR 15.304):

Non-price factors (Factors 1 through 5), when combined, are significantly more important than price (Factor 6).

Among the non-price factors, the relative order of importance is as follows (most important to least important):

1. Factor 1 - Corporate Experience (Most Important)

2. Factor 4 - Technical Approach - MRC

3. Factor 3 - Management Approach

4. Factor 2 - Key Personnel

5. Factor 5 - Past Performance (Least Important Non-Price Factor)

Note: The relative importance order differs from the evaluation sequence. Factors are evaluated sequentially (F1→F2→F3→F4→F5→F6) with Go/No-Go gates to efficiently eliminate unacceptable proposals. However, among technically acceptable proposals that pass all gates, the importance weighting above will guide the Source Selection Authority’s trade-off decision.

Price becomes more important as non-price evaluation ratings become more equal among competitive proposals.

Evaluation Sequence and Gates:

1. Factor 1 (Corporate Experience) - Go/No-Go Gate: Proposals must pass to proceed.

2. Factor 2 (Key Personnel) - Go/No-Go Gate: Proposals must pass to proceed.

3. Factor 3 (Management Approach) - Confidence Rating: Proposals receiving Low Confidence will not proceed to Factor 4.

4. Factor 4 (Technical Approach) - Confidence Rating: Proposals receiving Low Confidence will not proceed to Factor 5 or Factor 6.

5. Factor 5 (Past Performance) - Confidence Rating: No gate; all ratings proceed to price evaluation.

6. Factor 6 (Price) - Evaluated only for proposals that passed all gates and received at least Some Confidence on Factors 3 and 4.

Trade-Off Process:

The Source Selection Authority will perform a trade-off analysis in accordance with FAR 15.101-1. For proposals that pass all thresholds, the SSA will consider the strengths, weaknesses, and risks of each proposal’s non-price factors (weighing them according to the relative importance stated above) in relation to the Total Evaluated Price.

As technical ratings among competitive proposals become closer, price will play a more significant role in the award decision.

Award Decision:

Award will be made to the offeror whose proposal represents the best value to the Government. The Government is not obligated to award to the offeror with the lowest price or highest technical rating.

M.2 Confidence Rating Definitions

High Confidence: Proposal demonstrates a thorough understanding and approach with no or minimal risk. Strengths significantly outweigh weaknesses.

Some Confidence: Proposal demonstrates an adequate understanding and approach with acceptable risk. Strengths outweigh weaknesses.

Low Confidence: Proposal demonstrates inadequate understanding or significant weaknesses. Risks outweigh strengths. Unacceptable for award.

Neutral (Past Performance only): No past performance information available or not recent/relevant enough to assess confidence.

M.3 Factor 1 - Corporate Experience (Go/No-Go)

Go/No-Go Standard:

Offeror provides three (3) contracts within the past three (3) years, AND at least one example meets the relevance floor (20+ buildings, 400K SF, ALL 13 technical requirements).

Outcome: - Go: Three examples provided; at least one meets full relevance floor - No-Go:

Fewer than three examples, or no example meets relevance floor

Gate to Factor 2: Only Go proposals proceed to Factor 2.

M.4 Factor 2 - Key Personnel (Go/No-Go)

Go/No-Go Standard:

Each required Key Personnel position meets all minimum qualifications (licenses/certifications/experience per Attachment R1, Section 5.3) and provides a signed availability statement.

Required Positions: -

• Project Manager,

• Assistant Project Manager,

• Chief Engineer,

• Stationary Engineers,

• High Voltage Electrician,

• Building Automation System (BAS) Controls Technician, and

• Office Administrator.

Outcome: - Go: All five positions present, qualified, and available - No-Go: Any position missing, not qualified, or not available

Gate to Factor 3: Only Go proposals proceed to Factor 3.

M.5 Factor 3 - Management Approach (Confidence-Rated)

What we consider:

Team Structure & Staffing (organization chart, staffing plan with labor categories and hours, lead trades coverage, integration, adequacy of staffing, Lead Craftsmen qualifications); work-control governance; QCP; phase-in realism; continuity planning (strike/absence); energy/sustainability governance; reporting/KPIs; and feasibility/clarity of methods.

Discriminators:

• Adequacy and completeness of staffing: Sufficient labor categories and hours;

appropriate skill mix; realistic coverage model

• Lead Craftsmen qualifications: Relevant licenses, certifications, and experience with similar equipment

• Clarity and rigor of CMMS/work-control with realistic priority classification

• QCP closed-loop; credible phase-in (no service gap)

• Thoughtful contingencies (absence/strike); useful KPI set

Output: High / Some / Low Confidence

Gate to Factor 4: Only proposals not rated Low Confidence on F3 proceed to F4.

M.6 Factor 4 - Technical Approach - MRC (Confidence-Rated)

Elements A-F covering emergency procedures (+ hazmat), plant operations (water/boiler/chiller/steam), specialized environments (sewage/aquaculture/BSL- 3/vivarium), PM/PdM execution, corrective maintenance troubleshooting, controls/lab support; Annexes S (snow/ice) and NSR (transformer); technical depth; innovation; risk mitigation; clarity.

Discriminators:

• Comprehensive coverage of all elements (A-F) and annexes (S, NSR)

• Technical depth showing understanding of MRC systems

• Practical, realistic procedures demonstrating operational expertise

• Innovative approaches reducing cost or improving performance

• Risk mitigation strategies

• Clarity and organization of technical approach

Output: High / Some / Low Confidence

Gate to Factor 5: Only proposals not rated Low Confidence on F4 proceed to F5.

M.7 Factor 5 - Past Performance (Confidence-Rated with Neutral)

Quality of performance, customer satisfaction, timeliness, responsiveness, compliance, business relations. Recency and relevance of references.

Discriminators:

• Positive customer feedback

• Strong CPARS ratings (if available)

• Similar scope/complexity to MRC requirements

• Demonstrated ability to meet performance standards

• No significant performance issues

Output: High / Some / Low / Neutral Confidence

Note: Proposals with fewer than 3 references or insufficient relevance receive Neutral.

Gate to Price: All proposals rated High/Some/Low/Neutral proceed to price evaluation.

M.8 Factor 6 - Price

Price Evaluation:

The Government will evaluate the Total Evaluated Price (TEP) for reasonableness, realism, and completeness.

TEP includes: - Base IDIQ labor rates (5 years) - Routine O&M Task Order (R1) pricing - Sample TO pricing (R2 Snow Removal, R3 Transformer)

Evaluation Considerations: - Price reasonableness (market comparison) - Price realism (adequate to perform, not below-cost) - Completeness (all required tabs completed) - Consistency with technical proposal (labor categories/hours align with proposed staffing)
