About this file

This is Addendum No. 2 to a Request for Technical & Price Proposals issued by Morgan State University in Maryland for corrective and preventive maintenance and additional device installation of campus-wide security systems. The project encompasses maintenance and installation services for the Campus Milestone Video Management System (VMS) Camera, ALE panic buttons, emergency phones, CBORD Intrusion Detection systems, and CBORD access controls systems, along with ad hoc supply, delivery, and installation of new equipment as required. The technical and fee proposal due date is February 17, 2026, at 2:00 pm. The project is identified as MSU Project Number DCM-SecuMaint-25 1CO.

The addendum addresses a vendor question regarding limitation of liability language in the contract. The vendor requested modification of unlimited liability provisions to include a $5 million cap and exclusions for consequential or incidental damages, citing that the work constitutes maintenance rather than construction. Morgan State University declined the modification request, determining that the scope of work meets the definition of a construction project due to equipment installation, device installation, cabling requirements, and allowances for additional work should further funding become available. The University stated that the existing unlimited liability requirements shall remain unchanged and that the contract extends beyond routine maintenance services or software license updates.

To All Prospective Offerors:

Please note the following changes, additions, and information presented in connection with the above-referenced project. The Prospective Offeror shall be governed accordingly and acknowledge in writing receipt of this Addendum No. 2 on the Addendum Acknowledgement Form. This addendum is hereby made part of the contract documents, which explains and/or corrects the original document.

ITEM NO. 1 QUESTIONS AND ANSWERS

Question No. 1 It was brought to my attention by my legal department that below statement relevant to liability is for a construction project. Being we are only providing maintenance for this project, can we modify this language to something more mutually reasonable for this scope. Something like a $5M liability cap, versus unlimited.

Unlimited Liability: no cap or waiver of consequential or punitive damages

Here is more detail; Here is language that we would like to add to the Morgan State University contract as it relates to a limitation of liability, if awarded the work: Limitation of liability. In no event shall either party be liable to the other for consequential, special or incidental damages of any nature whatsoever. It is further agreed that neither party's liability shall exceed the total amount paid or payable by Client under this http://www.morgan.edu/

Agreement during the 12 months prior to the event giving rise to the liability. The foregoing limitation of liability shall not apply to claims arising out of or in relation to (1) a party’s gross negligence or willful misconduct; (2) a party’s breach of its confidentiality obligations; (3) a party’s misappropriation of intellectual property; or (4) third party indemnification obligations.

Response The nature of the scope of work under this contract, as defined in the solicitation and pursuant to construction contracting standards, meets the definition of a construction project. The Vendor will be responsible for installing equipment, devices, and cabling as required under the allowances contained within the RFP.

Additionally, the contract includes provisions that allow for additional work to be requested should further funding become available.

Accordingly, this contract extends beyond routine maintenance services or software license updates. Given the construction-related activities and potential expansion of scope, the University is not amenable to modifying the liability language to include a limitation of liability or a cap on damages. The existing liability requirements shall remain unchanged.
