SECTION B
SUPPLIES OR SERVICES AND PRICES/COSTS
B.1
BRIEF DESCRIPTION OF SERVICES
The purpose of this contract is to provide training and advisory services, equipment procurement, logistical support services, and construction services to African countries.
B. 2
REQUIREMENT TO PROVIDE LABOR CATEGORIES/RATES SUMMARY
Offerors are to use the specified labor categories and position descriptions identified in Attachment A to build their proposed NTE rates for the Base Year and all Option Years, ensuring that their submitted rates will guarantee staffing of any assigned tasks with personnel having the skill and training levels required. The Offeror may add rows to the tables to accommodate additional labor categories.
B.3
TYPE OF CONTRACT
This is a multiple award indefinite delivery/indefinite quantity (IDIQ) contract. Fixed-Price, Cost-Reimbursement, Time-and-Materials (T&M), and Labor-Hour (L-H) are permissible for Orders under the Basic Contract. Specific tasks and/or work to be performed will be detailed in individual task orders issued under this IDIQ contract.
B.4
DETERMINATION OF ORDER TYPE
Each Task Order Request for Proposal (TORP) sent to the contractor will state the pricing mechanism deemed appropriate by the Department of State (DOS) for that task order. The type of order is subject to negotiation.
B.5
MINIMUM AND MAXIMUM QUANTITIES
During the contract period of performance (including any options exercised), DOS shall place orders with each IDIQ contractor totaling a minimum of $500,000 (inclusive of all costs and fee) over the life of the contract.
The maximum IDIQ amount (i.e., the maximum ceiling across all IDIQ holders) shall not exceed $1 billion (inclusive of all costs and fee) over the life of the contract.
B.6
MATERIAL/TRAVEL/OTHER DIRECT COST (COST REIMBURSEMENT TASK ORDERS)
These items will not be separately priced in this contract, but will be set forth, when applicable, in each task order.
B.7
FIXED FEE (COST REIMBURSEMENT TASK ORDERS)
The fixed fee will be negotiated on a task order by task order basis as appropriate.
B.8
FIXED FEE PAYMENT SCHEDULE (COST REIMBURSEMENT TASK ORDERS)
For any task order issued under this contract, at the time of each payment of allowable costs to the Contractor, the DoS paying office ordinarily pays the Contractor a percentage of fixed-fee that directly corresponds to the percentage of allowable costs being paid. Two exceptions to paying fixed in this manner apply:
(a) If the CO determines that this method results in paying a disproportionately higher ratio of fixed-fee than the percentage of work that the Contractor has completed, then the CO may suspend further payment of any fixed-fee until the Contractor has made sufficient progress to justify further payment, up to the agreed percentage.
(b) Because the clauses entitled “Allowable Cost and Payment” (FAR 52.216-7) and “Fixed-Fee” (FAR 52.216-8) are incorporated into this contract, the terms and conditions of these clauses apply after total payments of fixed fee reach eighty-five (85%) of the total fixed-fee.
B-9 INDIRECT COSTS (Cost-Reimbursement)
Pending establishment of revised provisional or final indirect costs, allowable indirect costs shall be reimbursed on the basis of the following negotiated provisional indirect cost rates and indirect cost rate bases of allocation. However, the Offeror shall separately list for each period of performance and propose (for cost/price evaluation purposes only) its ceiling indirect cost rates.

In negotiating the fixed dollar amount for fee, the CO must consider the policies and factors for establishing fee in FAR 15.404-4 as well as any applicable DoS policy on establishing a fixed-fee amount. In no event, however, may the amount of fixed-fee in any individual cost-plus-fixed-fee CLIN exceed ______ percent (Offeror proposes ceiling percentage) of the CLIN's estimated cost, excluding fee.
B-12
PERSONAL COMPENSATION

B-13
TASK ORDER LIMITATIONS
(a) Cost-Plus-Fixed-Fee (CPFF) CLINs. When issuing CPFF CLINs, the CO must state in the task order the total estimated cost plus fixed fee, which is the total amount of the CLIN order and the maximum amount the Contractor may be paid without the advance written approval of the Contracting Officer. This maximum amount represents the negotiated mix of the prime contractor’s and subcontractor’s professional labor categories and salaries, an estimated number of workdays, other direct costs, and fixed-fee.
(b) Firm-Fixed-Price (FFP) CLINs. When issuing FFP CLINs, the CO must state in the task order the firm-fixed-price, which represents the total amount for the CLIN and the maximum price the contractor may be paid to perform the services or other deliverables in the task order.

(2) Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.
(3) The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
(4) It is necessary to place an order to satisfy a minimum guarantee.

The Project Manager shall oversee execution of individual task orders on behalf of the Contractor, and shall serve as the Government’s primary point of contact for all task order-level matters.

Accordingly, the Contractor agrees to assign to this task order those key persons whose resumes were submitted with the proposal necessary to fulfill the requirements of the contract. No substitution shall be made without prior notification to and concurrence of the Contracting Officer. During the first ninety days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment.
