About this file

This is a Fermilab Procurement Exhibit document establishing compliance requirements with federal anti-discrimination laws for subcontractors. Document No. PROC-EXH-469, Version 1.0, was released and became effective on October 1, 2026, with a two-year review cycle. The document owner is Latasha Bouldin from the Finance and Procurement Division, and it was approved by Charles W. Baker, Chief Procurement Officer.

The document incorporates FAR 52.222-90 (Addressing DEI Discrimination by Federal Contractors, Deviation APR 2026) into subcontracts, with terminology adapted so that "Contractor" refers to the "Subcontractor" and "Contracting Officer" means the cognizant FFDG Procurement Representative. Subcontractors are prohibited from engaging in racially discriminatory diversity, equity, and inclusion (DEI) activities, defined as disparate treatment based on race or ethnicity in recruitment, employment, contracting, program participation, or resource allocation. Key requirements include: furnishing all information and reports for compliance verification; understanding that noncompliance may result in contract cancellation, termination, suspension, or ineligibility for future Government contracts; reporting any known or reasonably knowable subcontractor violations to the Contracting Officer; informing the Contracting Officer if a subcontractor sues regarding the clause's validity; and recognizing that compliance is material to Government payment decisions under 31 U.S.C. 3729(b)(4). Subcontractors must flow these provisions down to all lower tiers of sub-subcontractors, except for work performed outside the United States. Additionally, subcontractors must submit a signed representation and certification of compliance using the Subcontractor Supplemental Certification form and promptly report any non-compliance to FFDG.
