INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR RESPONDENTS

L-1 INFORMATION TO OFFERORS (ITO) and INSTRUCTIONS FOR PROPOSAL

PREPARATION

L.1.0 GENERAL INSTRUCTIONS

L.1.1 The offeror's proposal must include all data and information requested by this ITO and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS), Contract Data Requirements List (CDRL), and the solicitation. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.

L.1.2 The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements.

Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal. Any reference to day(s) stated in the RFP, attachments and other contractual documents shall be considered as “calendar” days unless specifically stated otherwise.

Offerors are advised their proposals are presumed to represent their best efforts and most complete responses to this solicitation. Demonstration of capability and qualifications that clearly support the offeror’s claims are essential. The absence of such evidence will adversely influence evaluation of the proposal. Offers will be evaluated using the Factors and Sub-factors under Section M, Evaluation Factors for Award.

L.1.3 Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.

L.1.4 The proposal acceptance period is specified in Section A of the model contract/solicitation.

The offeror shall make a clear statement in Section A of the proposal documentation volume that the proposal is valid through this date.

L.1.5 In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

L.2.0 GENERAL INFORMATION

L.2.1 Point of Contact – The Contracting Officer (CO)/Contract Specialist (CS) are the sole points of contact for this acquisition. Address any questions or concerns you may have to the CO/CS. Written requests for clarification and questions regarding this RFP are encouraged to be submitted as soon as possible but no later than 18 March 2020 and shall be submitted to the CO/CS at:

The Government does not guarantee that questions received after 18 March 2020 will be answered.

L.2.2 Debriefings – The CO will promptly notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506.

Upon such notification, unsuccessful offerors may request and receive a debriefing.

Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

L.2.3 Discrepancies – If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the offeror is asking the CO to consider as related to the omission or error. Questions from prospective offerors must be submitted no later than five (5) calendar days before the posted closing date of the solicitation. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.

L.2.4 Electronic Reference Documents – All referenced documents for this solicitation are available on the Beta.SAM.Gov website at https://beta.sam.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

L.2.5 Oral Presentations – Oral presentations as described in FAR 15.102 are not being considered for this acquisition.

L.2.6 Communications – Exchanges of source selection information between Government and offerors will be controlled by the CO. Email may be used to transmit such information to offerors only if the email can be sent and received encrypted and includes “Source Selection Information – See FAR 2.101 & 3.104” in the Subject line. Otherwise, source selection information will be transmitted via mail (USPS, Fed-Ex, UPS, etc.)

L.2.7 Offer Retention – In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one (1) copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

L.2.8 Submittal instructions – To ensure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to submit all documentation/information detailed herein, including terms and conditions, representations and certifications and technical requirements. Failure to submit all required documentation/information may result in a proposal being ineligible for award. In submitting a proposal, offerors are agreeing to the terms and conditions as written in this Request for Proposal (RFP). Offerors shall submit one (1) electronic exact copy as described below. The proposal shall be submitted via mail (USPS, Fed-Ex, UPS, etc.) and addressed to the following:

All pages of the electronic version will be submitted as indicated in the instructions found below. Facsimiles (FAX) proposals will not be considered. Submit DVDs/CDs only, as thumb drives and other electronic storage media will not be accepted. The RFP response shall consist of six (6) separate files as indicated in Table 1.

L.2.9 Page Limitations – All material must be contained within the page limit identified for each volume or appendix. The page limitations specified in Table 1 above shall be treated as maximum limits to assist in the evaluation of each proposal. Total page count will be based on printed proposal submission. Each page shall be counted toward the above page limits except for cover pages; tables of contents; tabs; glossaries; list of key terms; appendices to technical volume such as tables, charts, graphs, and figures; consent letters; and client authorization letters; company financial statements; resumes; model contract; Transition Plan; and Small Business Subcontracting Plan. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations shall be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors.

L.2.10 Page Size and Format – Page format restrictions shall also apply to responses to Evaluation Notices (ENs) and Final Proposal Revisions (FPRs), if required.

L.2.10.1 – A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts. Pages shall be letter size. Except for the reproduced sections of the solicitation document, the text size shall be no less than 12 point font. Text type shall be Times New Roman or Arial. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. All pages shall use at least 1-inch margins on the top, bottom, and side margins.

Pages shall be numbered sequentially by volume.

L.2.10.2 – Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 by 17 inches in size.

Foldout pages shall fold entirely within the volume, and Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 8 point font. Text type shall be Times New Roman or Arial.

L.2.11 Pricing Related Data – Submit electronically encoded price model in support of the proposed price. All pricing data shall be addressed ONLY in the Price Proposal and Model Contract Documentation Volumes. Price trade-off information, work hour estimates, and material kinds and quantities may be used in other volumes only as appropriate for presenting rationale for alternatives or design and trade-off decisions. Any price model submitted must be consistent with your approved estimating system and must duplicate the logic and mathematical formulas reflected in your proposal. All cells in the Excel document shall be unprotected and show all formulas used. Price models submitted must comply with the following format requirements:

(a) Data file shall be MS-Excel 2013 file format or compatible format.

(b) Viewing Environment. The Government anticipates viewing the electronic submittals with the following computer software and hardware: 1) IBM-compatible systems, 128 MB of RAM, nominal 17-inch color monitors, and standard CD ROM readers, 2) Windows 10 operating system, 3) Adobe Reader, Microsoft Office 2013, and Internet Explorer 11.

L.2.12 Classified Information – The Government desires that classified information not be included as part of your proposal. The Government will not accept any classified information to be included as part of your proposal.

L.2.13 Cross-Referencing – To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.

Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity.

The offeror shall provide a Solicitation Cross Reference Matrix, similar to Table 2 below, indicating the proposed reference information as it relates to the PWS, CLIN numbers, and/or CDRL references found therein.

L2.14 Indexing – Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections. The indices will not count against the page count.

L.2.15 Glossary of Abbreviations and Acronyms – Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

L.2.16 Electronic Offers – For electronic copies, indicate on the DVD/CD the volume number and title. Use separate files to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments, if any. The offeror shall submit all volumes in electronic format, using recordable DVD/CDs. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 2013, MS Office Excel 2013, and MS Office Power Point 2013, as applicable.

L.2.17 Distribution – Submit your proposal to arrive no later than time and date stated on the first page of the solicitation. Offerors are recommended to encourage agencies to submit past performance questionnaires (mail or email) to the Contracting Officer two-weeks prior to the proposal due date. The "original" proposal shall be identified. Proposals shall be addressed to the CO/CS and mailed or hand-carried to the address indicated in L.2.7.

All proposals delivered in response to this solicitation shall reflect the following information on the address label:

(a) Solicitation Number: FA7022-20-R-0003.

(b) Legend, “TO BE DELIVERED UNOPENED TO THE CONTRACTING OFFICER”

(c) Package content (i.e. 6 DVDs –Vols. 1-6)

Important notice: pages or sections, which do not meet the format requirements to include font size, may not be evaluated.

Be sure to advise the Administrative Contracting Officer (ACO) and the Defense Contract Audit Agency (DCAA) for prime and subcontractors that the proposal is "For Official Use Only" and "Source Selection Information--See FAR 2.101 and FAR 3.104".

L.2.18 Price Competition – The contracting officer has determined that there is a high probability of adequate price competition for this acquisition. Upon examination of the initial offers, if in the contracting officer’s opinion adequate price competition exists, no additional data will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit price data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

L.2.19 Budget/Funding Information – Considerations in developing proposals:

L.2.19.1 – The SORTA FAST acquisition is intended to provide a five (5) year ordering period. The Government intends to award a Single Award Indefinite-Delivery/Indefinite- Quantity (IDIQ) Type Contract, with Firm Fixed Price (FFP), Cost-Reimbursement (CR) and Not Separately Priced (NSP) Contract Line Item Numbers (CLINs).

L.2.19.2 – The FFP CLINs will consist of Operations and Maintenance (O&M), Research and Development (R&D), and Procurement (PR) efforts. The CR CLIN will consist of

Other Direct Costs (ODC) for Travel, Materials/Supplies and Special Interest Panels. CR CLINs may include burden rates but shall not include profit/fee. The NSP CLIN will include Contract Data Requirements List (CDRLs).

L.2.19.3 – Individual task orders will be funded separately. Orders will be issued based on Government needs and may include one, some or all of the CLINs established on the base contract. Each order will be written for a specified period of performance not to exceed fiscal limitations; e.g. one (1) year for O&M, two (2) years for R&D, etc. The Government is not limited on the number of task orders that can be issued during the five (5) year period of performance, or for any given period of performance.

L.2.19.4 – Fixed-price labor rates, anticipated labor categories, indirect rates, and ODC will be negotiated for award on the base contract and identified by CLIN. This shall include the base contract performance period covering the entire five (5) year ordering period.

L.2.19.5 – Task orders will be issued utilizing the pre-negotiated labor rates, indirect rates, subcontractor price elements and ODC, by the contractor’s appropriate fiscal period. Only the level of effort for each task order will be established through negotiations of the estimated labor hours and anticipated labor categories. The combination of the two will provide the total price estimate for each given task order.

L.2.19.6 – With exception of the first and second task order issued under this IDIQ contract, the Government will issue a Letter Request for Proposal (RFP) to initiate negotiations of each task order. The contractor awarded this contract will be required to submit a proposal for each task order in a timely manner, providing the proposed level of effort (labor hours and labor categories) and utilizing the pre-negotiated labor rates, indirect rates, subcontractor price elements and ODC. Proposals for the first and second task order shall be submitted and evaluated along with the evaluations and negotiations of the base contract.

L.2.19.7 – A Performance Work Statement (PWS) will be provided along with the Letter RFP for each task order, and include a detailed performance requirement and services summary within the scope of the base contract PWS.

L.2.19.8 – The Government reserves the right to negotiate in-scope changes during contract performance to increase or decrease labor categories and labor hours to meet mission needs.

L.3.0 Volume I – EXECUTIVE SUMMARY

L.3.1 Narrative – The executive summary shall contain a concise narrative summary of the offeror's entire proposal, and include addressing the significant risks, providing key personnel resumes, and a highlight of any key or unique features, excluding price. The salient features should tie in with Section M evaluation factors/subfactors. Any summary material presented in the executive summary shall not be considered as meeting the requirements for any portions of other volumes of the proposal.

L.3.2 Exceptions to Solicitation Requirements – Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors.

Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to a PWS paragraph and/or specific part of the solicitation to which the exception is taken.

Provide rationale in support of the exception and fully explain its impact, if any, on the cost, schedule, performance, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 3 below.

L.3.3 Other Information Required

L.3.3.1 Authorized Offeror Personnel. Provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the Government and the name, title, and telephone number of the CEO, Division President, or Vice President of the offeror.

L.3.3.2 Government Offices. Provide the mailing address, telephone; fax number, e-mail address (if known), and facility codes for the cognizant Contract Administration Office and DCAA for the prime contractor and major subcontractors. Also, provide the name and telephone and fax number for the Administrative Contracting Officer (ACO).

L.3.3.3 Company/Division Address, Identifying Codes, and Applicable Designations.

Provide company/division's street address, county and facility code; CAGE code; DUNS code; TIN; size of business (large or small); and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other location(s). Provide the same information for your major subcontractors. List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.

L.3.3.4 Model Contract/Representations and Certifications. The offeror's proposal shall include a signed copy of the offer and Sections A through K. The "original" copy shall be clearly marked under separate cover and be provided without any punched holes. This includes:

L.3.3.4.1 Section A – Solicitation/Contract Form. Complete blocks 12 through 18 of the SF 33. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K, which constitute the model contract.

Note: An official having the authority to bind the offeror contractually must sign the SF 33. One copy of SF 33 must bear an original signature.

L.3.3.4.1.1 Proposal Validity. Block 12 of the SF33 is hereby superseded with the following proposal Acceptance terms: Offeror's proposal shall be valid for a period through 1 January 2021.

L.3.3.4.2 Section B – Supplies or Service and Prices. DO NOT include Section B with price data. The Government has provided plug numbers for all Cost- Reimbursement (CR) CLINs in this solicitation as Not-to-Exceed (NTE) amounts.

L.3.3.4.3 Section F – Deliveries or Performance. Acknowledge content of Section F.

L.3.3.4.4 Section G - Contract Administrative Data. Complete the "fill-in" required in Contractor’s Contract Administration, in Section G. If not applicable, state so.

L.3.3.4.5 Section H – Special Contract Requirements. Acknowledge or address content of Section H as applicable.

L.3.3.4.6 Section I – Contract Clauses. Complete fill-ins as applicable;

L.3.3.4.7 Section K - Representations, Certifications, and other Statements of Offerors Completed representations, certifications, acknowledgments, and statements. (Note: Offerors must also comply with the Online Representations and Certifications Application (ORCA) requirements of FAR 52.204-8);

L.3.3.4.8 SF30 - Acknowledgment of all solicitation amendments issued (if applicable)

L.3.3.5 Status of 8(a). If applicable, provide a copy of the letter from the Small Business Administration (SBA) showing proof of Section 8(a) status.

L.3.3.6 Associated Contractor Agreements (ACAs). Include Associated Contractor Agreements, if applicable. (Note: ACAs for existing AFTAC contractors which are not part of the offeror’s teaming partners may be accomplished after contract award.)

L.3.3.7 Facility Clearances. Statement/documentation of current facility clearance and key personnel clearances in place.

L.3.3.8 Organizational Financial Information. Submit copies of your latest available financial statement covering the organization(s), which will perform the contract.

Include any information, which may have a bearing on your ability to handle the financial management of the contract. If you are proposing a joint venture, describe how you will handle financial matters.

L.3.3.9 Government Furnished Property and/or Base Support Requirements. If the offeror requires the use of Government furnished items other than those specified in the SORTA FAST or Task Order 0001/0002 PWS, the offeror shall provide a list including quantity, federal stock number, nomenclature, date needed and duration of availability, rental value per FAR 45.1 and 45.2, reason for need, and cross reference to Price volume paragraphs which pertain to GFP and/or base support. The offeror shall also provide the written authorization from the cognizant ACO, as applicable. The offeror shall supply this information in the format shown in Table 3.1 below.

L.4.0 Volume II – TECHNICAL CAPABILITY & TECHNICAL RISK

L.4.1 General

L.4.1.1 The Technical Volume should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the Technical subfactors defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.

L.4.1.2 Address your technical solution for meeting or exceeding the Government’s performance thresholds or capability requirements of each technical subfactor. The information provided should be in sufficient detail to allow the Government to assess the offeror’s understanding of and capability to perform the work required by the PWS(s).

Your proposal shall describe the capability of your organization to perform this contract including pertinent aspects of the proposed approach such as teaming or subcontracting arrangements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror’s proposal. It is your responsibility to ensure the completeness of your proposal. The Government evaluation team has been instructed to evaluate on the basis of the information provided in the proposal. The Government shall not assume that an offeror possesses any capability unless specified in the proposal.

L.4.1.3 Address Technical Risk associated with those aspects of your proposed technical approach you consider to have the potential for disruption of schedule, increased costs, degradation of performance, the need for increased Government oversight, and/or the likelihood of unsuccessful contract performance. Classify each risk in accordance with DOD Source Selection Procedures Table 2B, Technical Risk Rating Method. Provide the rationale for each risk and its rating, including quantitative estimates of the impact on cost, schedule, and performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (for example: PWS requirements), whether or not those requirements are identified as subfactors. Propose a realistic "work-around" or risk mitigations for identified risks that will eliminate or reduce risk to an acceptable level. Identify and classify any new risks introduced by such risk mitigation.

L.4.2 Subfactor 1: Security and Transition Approach

The offeror shall describe their ability to provide personnel possessing a Top Secret clearance with valid DCID 6/4 date for SCI access. Additionally, the offeror shall address the phase-in of all personnel to have Top Secret clearance with valid DCID 6/4 date for SCI access.

Offeror shall provide a transition plan to support their proposal. The offeror’s transition plan shall describe the plans, processes, policies and schedules to be used for Transition Phase-in and Phase-out requirements.

L.4.3 Subfactor 2: Technical Approach and Staffing

The offeror shall address, at minimum, each of the following items:

(a) Ability to attract and retain high quality staff: The offeror shall describe the mechanisms and incentives applied to attract and retain high demand low-density skillsets required to fulfill the requirements of the Performance Work Statement (PWS). Provide a detailed methodology of how a fully qualified and fully staffed workforce will be in place at the start of each task order (TO). Details regarding incentives used to hire, retain, maintain, and develop Top Secret/Sensitive Compartmented Information (TS/SCI) cleared personnel shall also be provided. The offeror shall also define and map each labor category to the skillset, experience, and certifications needed to fulfill the PWS. i.e. (Staffing & Skillset Management Plan).

(b) Vacancy fill strategy: The offeror shall describe the mechanisms applied to fill vacancies in a timely manner with zero/minimum mission impact. Provide an estimated average time to fill a vacant position.

(c) Adapting to changing mission: The offeror shall present a strategy to quickly adapt to changing mission requirements, priorities, and workloads with no negative impact upon ongoing workload. Provide approach to customer service: listening to the customer, understanding customer requirements, and fostering a cohesive and productive team environment.

(e) Ensuring high quality work performance: Describe approach to ensuring effective and high quality performance from your personnel. The offeror shall describe how appropriated metrics will be utilized to measure and track performance and workload.

L.4.4 Subfactor 3: Program Management

The offeror shall provide an approach addressing at minimum each of the following items:

(a) Using prior experience with similar contracts that covered multiple, but complementary, work functions, indicate your program/project management skills.

(b) What is your company’s methodology for fostering cross talk between the various lines of efforts across the contract?

(c) Describe what program management approach will you use to effectively meet the contract objectives?

(d) Describe what approach you use for Continuous Process Improvement?

(e) Describe your strategy to quickly adapt to changing mission requirements, priorities, and workloads (without affecting ongoing work).

a. Describe the mechanisms applied to proactively maintain mission situational awareness and adapt accordingly.

(f) Describe your customer service strategy: listening to customers, understanding customer requirements, and fostering a cohesive and productive team atmosphere.

(g) Describe your process to ensure effective and high quality performance from personnel.

a. Describe your metrics plan to measure employee quality performance.

L4.5 Subfactor 4: Small Business Participation

(a) Provide Small Business Subcontracting Plan and demonstrate commitment to small business participation. All offerors (both other than small businesses and small businesses) shall submit the SBPCD requirements (using RFP Attachment 3 – Small Business Participation Commitment Document (SBPCD)) and substantiating documentation to demonstrate how you will meet these requirements. This required information will be used to evaluate the extent of your proposed participation/commitment to use U.S. small businesses in the performance of this acquisition (as small business prime offerors or small business subcontractors). These SBPCD requirements will be incorporated into any resulting contract(s) as specified below. The evaluation of small business participation as a subfactor (DFARS 215.304) is separate from the requirement of large businesses to submit a subcontracting plan

(FAR 52.219-9).

(b) The small business concerns (SBC) as defined in FAR Part 19 that are to be used in your proposed approach to satisfy the requirements of this solicitation for the entire performance period, including company name, business category(ies), description of products or services and NAICS code to be provided by each SBC and the nature of the commitment with the SBC (i.e., letter of commitment, joint ventures, mentor protégé agreements, others). Binding commitments shall become enforceable, contractual requirements. Use Table 4 format below in proposing this required information.

Explanation of efforts where goals were not met should be provided. Supporting documentation shall be relevant to the requirements of this solicitation and shall be within the past three (3) years. (g) The work to be performed directly by a small business prime offeror shall be evaluated as Small Business Participation. Small business prime offerors shall include their information in the above requested subparagraphs (a) thru (d) as required.

(h) The SBPCD enforceable, contractual requirements shall require periodic progress reporting to facilitate government monitoring in the event of an award. Offerors are to propose quarterly reporting for the requirements in subparagraphs (a) thru (c) above (contractor format acceptable) and in accordance with CDRL A001, Monthly Status Report.

L.5.0 Volume III – PAST PERFORMANCE

L5.1 General Instructions – The offeror shall submit Present and Past Performance Information for itself and any joint venture member, as well as each proposed critical subcontractor in accordance with the format contained in the “Past Performance Information” (See RFP Attachment 4 – Past Performance Information) and the following paragraphs. A critical subcontractor is defined as an entity (subcontractor and/or teaming contractor), other than the offeror itself that will perform fifteen percent (15%) or more of the proposed effort based on the total proposed price; or that will perform aspects of the effort the offeror considers critical to overall successful performance.

L.5.2 Past Performance Content – The following shall be included in Volume III – Past Performance:

(a) Summary Page – A summary page shall be provided for this acquisition, describing the proposed role of the offeror, any joint venture member and critical subcontractor (nature of work and percentage of overall work). Summary page information must clearly communicate that proposed critical subcontractor(s) meet the definition of a critical subcontractor established above. Efforts submitted for proposed critical subcontractors not meeting the established definition will not be evaluated.

(b) Summary of Past Performance Actions – The offeror shall present no more than a one

(1) page summary of the requirement. Any pages in excess of one page will be redacted and/or removed from the electronic version of the proposal. The summary, at a minimum, must include the contract number, the period of performance, as well as a description of the work done under the contract. The final paragraph will state why the offeror believes the work completed is relevant to the work described in RFP Attachment 6 –Performance Work Statement - IDIQ.

(c) RFP Attachment 4 – Past Performance Information – Each offeror/joint venture member/critical subcontractor shall complete a separate RFP Attachment 4 - Past Performance Information for up to three (3) active or completed contracts (with at least one year of performance history) in the past three (3) years from the issuance date of the RFP, that the offeror/joint venture member considers relevant in demonstrating its ability to perform the proposed effort. Further, the offeror will send to each identified Agency’s POC from RFP Attachment 4 – Past Performance Information, and RFP Attachment 5 – Past Performance Questionnaire. The offeror's/joint venture member’s or critical subcontractor’s present and past performance information may include data on efforts performed by other predecessor companies, affiliates, other divisions or corporate management if such was provided for evaluation and if the offeror’s past performance volume demonstrates the company, affiliate, or division will provide the offeror with resources for the instant proposed effort, such as workforce, management, facilities, or other capabilities demonstrating direct and meaningful involvement in the performance of the instant proposed effort. The Past Performance Information shall clearly indicate the division or corporate organization that performed or is presently performing the contract.

Contracts listed may include those with the Federal Government, state and local governments or their agencies, and commercial customers. If no past performance is reportable, include RFP Attachment 4 – Past Performance Information within the packet and indicate “No Recent or Relevant Past Performance Information Available”. For less than three (3) entries, the offeror will place N/A in the associated fields of RFP Attachment 4 – Past Performance Information. The offeror’s proposal shall not include any completed questionnaires, as the respondent(s) to the PPQ will submit their completed forms directly to the CO/CS: shawna.kettell@us.af.mil / erin.fisher.1@us.af.mil .

(d) Subcontractor/Teaming Member Consent Form – In addition to the information provided in the Past Performance Information for each entity as required above, the offeror must submit a consent letter executed by each of its proposed teaming member(s) and/or critical subcontractors authorizing release of adverse past performance information to the prime offeror to allow the prime offeror an opportunity to respond. The consent form shall be completed by the team member(s) and/or critical subcontractors identified in your mailto:shawna.kettell@us.af.mil mailto:erin.fisher.1@us.af.mil proposal. The completed consent forms shall be submitted as part of your Past Performance Volume III.

(e) Follow-up Discussions – The Government may conduct follow-up discussions with any of the people/entities identified in the Past Performance Information or in the offeror’s Present/Past Performance Volume. Pursuant to FAR 15.305(a)(2)(ii), the Government may obtain other information by sending out additional questionnaires and through other sources, other than those listed within the Past Performance Information.

L.6.0 Volume IV – PRICE

L.6.1 General Instructions

L.6.1.2 Price will be evaluated for reasonableness. It is expected that adequate price competition (See 15.403-1(c)(1)(i)) will be the basis for establishing price reasonableness, and a comparison of the proposed prices will satisfy the requirement to perform a price analysis per FAR 15.305(a)(1). Upon examination of the initial proposals, the PCO will review this determination. If in the PCO’s opinion, adequate competition exists, no additional pricing information will be requested, and certification under FAR 15.406-2 will not be required. In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified pricing data may be required to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5 if the PCO determines that there is insufficient information available to determine price reasonableness, and none of the exceptions in FAR 15.403-1 apply. The burden of proof for price reasonableness rests with the offeror. In addition, the Offeror shall provide a Total Compensation Plan IAW RFP Provision 52.222-46.

L.6.1.3 Price will be evaluated for balance. Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more line items is significantly over or understated as indicated by the application of price analysis techniques. Per FAR 15.404-1(g), the greatest risks associated with unbalanced pricing occur when startup work or mobilization (transition period in this effort) is a separate line item, and the evaluated price is the aggregate of estimated quantities to be ordered under separate line items of an indefinite-delivery contract. An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government.

L.6.1.4 Total Evaluated Price (TEP). The basis for evaluating price will be TEP. To arrive at this figure, offerors will provide fully burdened fixed hourly rates that are inclusive of wages, overhead, general and administrative expenses, profit, and any escalation factor, by year, for the labor categories specified in Attachment 11, “Total Estimated Price Labor”, of the RFP. The rates you enter in Attachment 11 will be multiplied by the annual estimated workload for each year to arrive at a total estimated price for that year. The years will be summed to arrive at a total estimated labor price for the ordering period of the contract. Estimated travel will be provided by the government at the same amount for all offerors, and this value will be included as part of the TEP. Government plug numbers for travel will be reflected on the resulting award document. Finally, offerors will provide a separate price proposal for Task Orders 01 and 02. The offeror shall provide a summary of total labor price, and total proposal price, with all dollar amounts rounded to the nearest whole dollar. Offerors will utilize the task orders 0001 and 0002 worksheets within Attachment 11 to propose a unique labor mix and number of hours to complete the tasks associated with each task order. The labor categories and rates shall be pulled from the basic contract TEP worksheet found within attachment 11. The TEP for tasks 0001 and 0002 will be utilized as part of the task order cost evaluation.

Pricing for the transition period will not be calculated into the TEP for evaluation purposes, however, offerors shall provide enough detail in their proposal to allow the PCO to adequately analyze the proposed price for reasonableness and balance.

L.6.1.5 Price Data. Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.

L.6.1.6 Rounding. All labor rates shall be rounded to the nearest penny and total dollar amounts (yearly workload estimate X labor rate) provided shall be rounded to the nearest dollar.
