About this file

This is a proposed agreement between the Orange County Transportation Authority (OCTA), a public corporation of the State of California, and a consultant to provide an Operator Assault Prevention Program Assessment. The project encompasses six core work tasks: Project Kickoff and Work Plan Development, Current Program Assessment, Peer and Industry Best Practices Review, Gap Analysis, Recommendations and Action Plan, and Final Report and Presentation. The consultant will be required to submit monthly invoices with accompanying progress reports documenting percentage of work completed, and OCTA retains the right to decline full payment for any task until work completion is satisfactorily documented. The agreement is effective upon execution and continues through a specified end date, with provisions allowing for termination for convenience by OCTA with payment for work completed to date, or termination for default with thirty days' prior written notice.

The total firm fixed price payment for the project is not specified in the provided document, though the related solicitation indicates a budget of $125,000 for the six-month term utilizing Federal Transit Administration (FTA) funds. Payment shall be made on a monthly basis within thirty days of invoice receipt and approval, with OCTA remitting payment according to the firm fixed price schedule for each task. The agreement incorporates extensive federal compliance requirements including DBE-neutral contract provisions, civil rights assurances, prevailing wage requirements where applicable, and mandatory FTA terms. The consultant must provide comprehensive insurance coverage including Commercial General Liability ($1,000,000 per occurrence), Automobile Liability ($1,000,000 combined single limit), Workers' Compensation, and Professional Liability ($1,000,000), with OCTA and its officers designated as additional insureds. All work products, reports, and data become the property of OCTA upon completion and payment, subject to unlimited rights and the Freedom of Information Act.
