About this file

This document is a draft Software as a Service (SaaS) Agreement for the Salem Area Mass Transit District (SAMTD) for RFP 25-005, an enterprise asset management system (EAMS) procurement. The contract outlines a comprehensive software subscription and implementation services arrangement with an initial five-year term, with the potential to extend up to fifteen years total. The scope includes providing subscription services, software access, maintenance, upgrade protection, support, and backup, along with non-subscription services such as project initiation, planning and design, project execution, training, system testing, deployment, and acceptance testing.

The pricing and payment terms indicate that the initial pricing will be established upon contract execution, with annual payments and potential price increases limited to 3% per year after the initial term. The contract includes detailed service level agreements covering security protocols, system response times, service availability, and error resolution with specific remedies for performance shortfalls. The provider will be responsible for data migration, encryption, and maintaining all services within the continental United States. The contract also specifies rigorous security requirements, including maintaining appropriate security protocols, providing 24/7 support, and conducting periodic SOC Type II audits.

Whenever a situation arises that CLIENT, in its sole opinion, deems to be an emergency affecting CLIENT’S use of the Subscription Services and/or the Non-subscription Services, the CLIENT Program Manager may request and require the PROVIDER Program Manager or his/her respective designees, as well as appropriate additional personnel involved in the particular SaaS Subscription Schedule or Statement of Work activities immediately or as promptly as reasonably possible to meet at a location designated by CLIENT, or at CLIENT’S option, conduct a telephone conference call, to discuss the emergency and how best to address it.

This documentation shall be updated by PROVIDER on a continuous improvement basis with formal revisions being presented to CLIENT for its determination of acceptability every (90) days. The processes and documentation are exclusively the property of CLIENT.
