Appeals must be adequately supported with information to justify the actions/activities/behavior as conforming to the requirements of the contract. Any invoice changes due to a CO final determination following an appeal may be applied to the subsequent month’s invoice submission.

If the contractor does not accept the CO final determination, such disagreements will be handled in accordance with Federal Acquisition Regulation (FAR) 52.233-1, Disputes.

The adjustments identified in this clause are not the Government’s exclusive remedy; the

Government retains its other rights and remedies under other provisions of this contract and under applicable law.

Therefore, it is essential that required reports be received no later than October 15. Some activity may be estimated for the month of

(ii) Contractor-Replaceable – Reference Attachment J-06, Government-

The above lists, when provided in the RFP, are lists of Government property held by the incumbent contractor as of the dates on the lists. These lists are a snapshot in time and do not represent the actual Government property that will be provided to the contractor on the date contract performance begins. Although the lists are accurate at the time of publication, additions and deletions of Government property occur regularly. Updated lists (contract lists) will be generated as close to contract award as possible and replace the RFP lists in the awarded contract. It is also anticipated that there will be differences in the contract lists created just before award and the Government Property actually provided on the date of contract start. Differences in the contract lists and the

Government property actually provided at contract start, when identified, will be treated as corrections to the GFP lists to reflect the actuals, and such adjustments will not be subject to an equitable adjustment.

G.8 CONTRACTOR REPLACEABLE GOVERNMENT PROPERTY

The provisions of this clause apply and are limited to the IAGP and CAGP listed in

Attachment J-06, Government-Furnished Property (GFP), and identified as contractor replaceable, hereafter referred to together in this clause as “Government-Furnished

Property (GFP).”

(a) Government Property

(1) The contractor replaceable property listed in Attachment J-06, Government-Furnished Property (GFP), is furnished to the contractor in an “as-is, where-is” condition. The Government makes no warranty regarding the suitability for use. The contractor shall have been afforded the opportunity to inspect the GFP prior to contract start.

(2) The Government bears no responsibility for replacement of any of the contractor-replaceable GFP that is lost, damaged beyond repair, or destroyed. If any or all of this GFP is lost, damaged beyond repair, or destroyed or becomes no longer usable, the contractor shall be responsible for replacement of the property at the contractor’s expense. The contractor shall have title to all replacement property and shall continue to be responsible for contract performance.

(3) Except as provided in this clause, GFP furnished under this contract shall be governed by the respective applicable Government property clause of this contract.

(b) Special Requirements Applicable to Contractor-Owned Property Acquired Under the Conditions of this clause

(1) Records. The contractor shall maintain a record of all contractor-owned property acquired under the conditions of this clause. The record shall include date of purchase, purchase, price, useful life, depreciation base, method and schedule, and current net book value. Additionally, should contractor-owned property that are replacements of GFP in turn be replaced, it too shall be included as part of these records. These records or a summary report as defined by the Contracting Officer shall be made available to the Contracting Officer within five business days of request or such other time as agreed to by the Contracting Officer.

(2) Right to Purchase. If upon expiration or termination of this contract the

Government wishes to purchase all or any portion of the contractor-owned property acquired under the conditions of this clause, or if the Government wishes that all or any portion of this property be offered to another or successor Government contractor for purchase, the contractor shall make the property available for inspection, and offer it for purchase at the then existing net book value, subject to reasonable terms and conditions regarding payment and other matters to be agreed upon by the parties.

(3) Low Value Property. Low value property is Government-furnished equipment, special tooling, or special test equipment that has an acquisition cost of less than $1,000 and is not defined as sensitive property. The contractor shall be responsible for all low value property and shall establish a program for its use, maintenance, protection, and preservation in accordance with sound business practices. Once low value property is no longer serviceable, the contractor shall replace it as necessary with contractor owned/leased property.

G.9 SPECIAL REQUIREMENTS REGARDING SYSTEM COMPONENTS

CLASSIFIED AS EQUIPMENT OR MATERIAL

Under the requirements of the PWS the contractor has operation, maintenance, repair, component replacement and potential expansion responsibilities for several large and dispersed systems that included components classified as equipment or material. These systems and components compose a large part of KSC’s permanent operating infrastructure, are utilized by numerous installation occupants, and do not represent

Government property “used to accomplish the work of the contract.” When, in the execution of these responsibilities, the contractor finds it necessary to replace or add new system components classified as either equipment or material, title and accountability thereto shall be transferred to the Government upon completion and approval of such maintenance, repair, replacement, and expansion responsibilities.
