SECTION I - CONTRACT CLAUSES

The following have been modified:

52.219-14 LIMITATIONS ON SUBCONTRACTING (SEP 2021)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that--

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to--

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;

(4) Orders expected to exceed the simplified acquisition threshold and that are--

(i) Set aside for small business concerns under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to small business concerns under multiple-award contracts as described in 19.504(c)(1)(ii);

(5) Orders, regardless of dollar value, that are--

(i) Set aside in accordance with subparts 19.8, 19.13, 19.14, or 19.15 under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to concerns that qualify for the programs described in subparts 19.8, 19.13, 19.14, or 19.15 under multiple-award contracts, as described in 19.504(c)(1)(ii); and

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for--

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 75 percent subcontract amount that cannot be exceeded.

(f) The Contractor shall comply with the limitations on subcontracting as follows:

(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause--

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

L – (1) CONTENT OF PROPOSALS (Services)

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.

In presenting material in the proposal, the quality of information is more important than quantity.

Clarity, brevity, and logical organization is important during proposal preparation. The Government considers statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information to be inadequate and may result in assessing weaknesses and/or deficiencies.

The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

The Government advises the Offeror that taking exception or deviating from any term or condition of the Request for Proposal (RFP) may result in the assessment of a deficiency to the proposal.

Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 20% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract or provides one or more Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.

2.0 PROPOSAL FORMAT

This section provides information to the Offerors on the electronic format and application software to be used for submitting proposals. Do not submit hardcopy proposals for this solicitation. Use of the software and procedures described in this section will reduce the amount of time and effort necessary to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.

Proposals must be formatted using a Times New Roman 12 pt. normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. The minimum size font for graphs and tables is 10 pt. font and should contain a grid, which allows the Government to read values directly from the graph. Graphs and Tables that fit on an 8.5” X 14” printed page will count as one page. Drawing may be of any size and will count as one page.

Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented. When using Government supplied templates (e.g. Attachment P1, Attachment P6, and Attachment P7), no modifications to font or scaling required.

All proposal documents must be compatible with the Microsoft Office 2016 and/or the latest Adobe Acrobat Reader Portable Document Format (PDF), where applicable.

The Offeror is responsible for ensuring electronic proposals are virus free. Offerors may use hyperlinks within and among proposal volumes that do not include price information. However, there shall be no links from any other volume into the Price Volume or into any other portion of the proposal that contains price information. In order to reduce file sizes, the Offeror shall not embed sound or video (e.g., MPEG) files within the proposal submission. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images.

Volume 3 must be provided in Microsoft Office Professional Plus 2016 or Microsoft Office 365 Excel format, with spreadsheets unprotected. Price/Cost Volume narrative(s) must be provided in Microsoft Office Professional Plus 2016 Word, Microsoft Office 365 Word, or as an Adobe Acrobat PDF format.

3.0 PROPOSAL CONTENT AND VOLUMES

The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this proposal instruction. The structure of proposal information (volume/paragraph number) must match the proposal instructions volume/paragraph number provided in section “Part B Specific Instructions”, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The structure of the proposal information instructions is by paragraph numbers where first, second, third, and fourth parts correspond to the volume, section, and element, etc., in the Offeror’s proposal.

The Offeror shall submit each volume of the proposal as specified in the table below. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33. The Offeror shall separate all volumes from each other. Page limitations for each volume, if any, are also specified in the table below; title and table of contents pages do not count towards the page limit.

Each volume shall contain the following information:

− Cover and title page − Title of proposal and proposal number as applicable − Offeror’s name, address, and Point of Contact (POC) − RFP number − Proposal volume number − Table of Contents

The Offeror shall submit a Cross Reference Matrix (CRM) for the Technical Volume, similar to the example below, to help ensure that all solicitation requirements are addressed and to facilitate the evaluators’ review of the Offeror’s proposal. The CRM should be a single integrated matrix and cross-reference the proposal volumes and paragraphs to specific RFP requirements, as well as other parts of the proposal that contain relevant information. The Offeror’s CRM may be identical to the example below or revised such as to add columns to indicate the page number on which information may be found, identify where other relevant information in the proposal is located, or provide other comments. The CRM does not count against any of the proposal page limitations.

4.0 PROPOSAL SUBMISSION:

4.1 The submission date for all Volumes shall be no later than the date and time specified in Block 9 of SF33 of the RFP.

4.2 The Offeror shall submit all volumes of its proposal electronically via the Procurement Integrated Enterprise Environment (PIEE) Solicitation Module at https://piee.eb.mil. No other submissions, such as mail, hand-carried, proprietary, or other electronic system (e.g., DOD SAFE) will be evaluated. In the event of a PIEE system outage preventing the Offeror from submitting a timely proposal, see paragraph 4.3 below. All proposals received after the exact time specified for receipt shall be treated as late submissions. For instructions on how to post an

When subcontractors submit their proposals, the PIEE “Proposal Manager” shall include subcontractor company name and the prime or joint venture name in the “Offeror Identifier” box under “Offer Details,” which will allow Subcontract-level Offerors to submit proposal documents to the Government independently as needed. After successfully adding the Offer to the “Offeror Identifier” list in PIEE, a success message of the submission will be displayed, print this page for your records. Offerors are to contact the Government POCs in Section A when proposals have been submitted via PIEE. Offerors will receive a confirmation email from the Government POC when proposals in PIEE have been received within one (1) working day.

4.3 In the event of a PIEE System outage, within 24 hours of the proposal due date that prevents the Offeror from submitting a timely proposal, the Contractor shall immediately notify the Contracting Officer, shown in Section A. This notification shall occur prior to the proposal submission deadline and shall be made in writing via e-mail. The notification may be in conjunction with verbal notification, but verbal notification alone shall not be sufficient. The Offeror shall obtain written approval from the Contracting Officer to submit the proposal via an alternate method described in paragraph 4.4 below. The Contractor shall have 24 hours to provide their proposal upon Contracting Officer approval. In the event the Contractor does not provide notification to the Contracting Officer until after the closing date and time, the Contracting Officer will follow the procedures identified in the Federal Acquisition Regulation

(FAR) 15.208.

4.4 The following alternate submission methods may be utilized upon Contracting Officer approval only. Regardless of which alternate method is used, the Offeror shall package the CD- ROMs in the most efficient manner possible grouping like volumes to the maximum extent possible. Each Volume shall be on a separate CDROM. The package shall include all proposal volumes including the digitally signed document(s) submitted as part of the Cost/Price Volume.

The package shall include a packing slip detailing the contents to include the volume number, title, and copy number. Also, the package shall be stamped or marked “Controlled Unclassified Information” and “Source Selection Information – See FAR 2.101 and 3.104.”

4.4.1 Contractor Proposals Submitted by Carrier: The Offeror shall submit electronic CD-ROM proposals via United States Postal Service or through a commercial carrier with next day delivery using the address provided below:

4.4.2 Hand Carried Proposals: Hand carried proposals must be delivered to the address above, attention Jessica McGee and/or Specialist, CDR Suquon Combs. If a proposal or amendment is hand carried, the Contractor must have current base access to delivery of the https://pieetraining.eb.mil/wbt/sol/Posting_Offer.pdf https://pieetraining.eb.mil/wbt/xhtml/wbt/sol/index.xhtml proposal. Without base access, the Contractor may not get beyond the installation security gate to deliver its proposal. Guards are not authorized to accept proposals. Each Volume shall be on a separate CDROM. Delivery time shall be coordinated with CDR Suquon Combs to ensure availability to sign for the package.

5.0 CLASSIFIED DATA

All proposals must be UNCLASSIFIED.

6.0 SOLICITATION CHANGES

The Offeror must monitor SAM.Gov for changes and additional information provided by the Government for the solicitation. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

PART B SPECIFIC INSTRUCTIONS

Cost or pricing related data shall only appear in Volumes 3 and 4.

1.0 VOLUME 1: TECHNICAL

The Offeror shall provide all information and data required to conduct a thorough and complete technical evaluation. The Offeror shall address the following in the proposal:

1.1 Understanding of the Work

Provide a written response to sample tasks demonstrating a detailed, start to finish, understanding of the work and approach with the sample tasks specified below.

(Sample Task 1) NAVAIR has identified a requirement to update XML based technical publication for a major defense acquisition program. NAVAIR will provide the required source data to support the update. The source data includes Engineering drawings, Product Support Analysis, existing manuals and deficiency reports.

Describe your approach to perform this tasking to include addressing a working knowledge and understanding of updating XML based pubs using the three approved NAVAIR TM standards (MIL-STD-3001, MIL-DTL 81310, and ASD S1000D).

Describe how the source data will be used to update the XML based publication.

Describe the processes, tools, and workflows used to conduct the update and release the XML based publication as a Portable Document Format (PDF) or an Interactive Electronic Technical Manual (IETM). Describe the quality assurance process to ensure the final delivery meets the needs of the fleet.

(Sample Task 2) NAVAIR has a requirement to develop policies and processes for the creation, update, management, and disposal of technical manuals and related product data. This task includes analyzing processes, higher-level directives, and the development of policy for those processes.

Describe your approach to perform this tasking to include addressing a working knowledge and understanding of existing policy, processes and tools used to manage the workflows and systems. Also, describe the software configuration management and quality assurance process used to deliver the product. Based on your knowledge of DON, NAVAIR FAM, and Technical Data policies and processes, include your analysis of content/workflow management/ alternatives, and recommended approach for satisfying immediate fleet requirements, as well as the long-term sustainment of the IETM. Demonstrate your knowledge of applicable policies and issues to be addressed.

For all sample tasks, simply stating that the Offeror understands and will perform the listed tasking areas is inadequate. Paraphrasing the SOW is similarly inadequate. The Offeror shall not assume that the Government evaluators possess any knowledge or familiarity with their company or approach in their proposal. The Offeror shall therefore fully explain any proposed schedules, processes, methods or procedures that are relevant to demonstrate the Offeror’s understanding and proposed approach. The Offeror shall submit a detailed and comprehensive response that clearly explains the Offeror’s understanding of the tasking and the strategy that the Offeror is proposing for this effort.

Each response shall include the following information and follow this outline:

(a) Team - Identify the contractor team members that need to participate in the effort;

and if applicable, describe the roles and responsibilities of any subcontractors, and/or JV team members required to perform the work.

(b) Assumptions - Detail all assumptions (as applicable) relative to the sample task and your technical approach to ensure full understanding of your response by the Government.

(c) Technical Approach - Provide a detailed description of the technical approach including a step-by-step procedure and methodology which would be used in accomplishing the task.

(d) Performance Risk Analysis - Identify contingent events inherent to the nature of the effort that could, if they were to occur, endanger satisfactory performance. Focus on critical events that are realistically likely to occur and that would pose serious problems (do not try to identify every event that could cause some minor difficulty).

(e) Work Breakdown Structure/Integrated Master Schedule - Provide a detailed schedule of events and briefly describe each activity with its inputs and outputs and the interrelationships and interdependencies among the activities.

(f) Models & Tools - Identify the models and / or other tools that would be utilized to perform the task.

(g) Identify process to track progress towards completion of task.

(h) Reports - Provide a list of recommended reports(s) to document the task.

(i) Level of Effort - Provide an outline of hours by labor category required to complete the task; do not include cost.

1.2 Workforce - Key Personnel Resumes:

The Offeror shall propose Key personnel that meet or exceed all labor category requirements as specified in the Statement of Work. Key personnel must have “Secret” level security clearance.

The following definitions apply to this section:

− A “contingent hire” is an individual who has committed, under a signed letter of intent, to being employed by the Offeror if the Offeror receives award of the contract.

− A “prospective hire” is an individual that the Offeror has committed to hiring if the Offeror receives award of the contract whose identity may not be known until after contract award.

− A "current employee" is an individual who is currently employed by the identified company.

The Offeror shall provide the following information:

If the “Key” employee is a contingent hire, the Offeror shall submit a corresponding letter of intent in Volume 3, and shall include an agreement of salary and benefits. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at the contract award. Key personnel employed by subcontractors and other team members shall provide letters of intent separately or included with the prime contractor’s proposal submission.

For all proposed Key Personnel shown below, the Offeror shall provide a resume of the accomplished work assignments, training, etc. that demonstrates the required education, experience, and approved security clearance level. Key Personnel resumes required for submission with an Offeror’s proposal are as follows:

− Computer Specialist, Senior − Logistics Manager, Senior − Manager, Senior

Resumes shall contain, at a minimum, the following information:

− Employee name − Employment experience in chronological order with position title, corresponding beginning and ending dates (month and year), narrative description of duties and responsibilities

− Current position, title, and employer and corresponding beginning date (month and year) − Educational history − Institution name, degree or certification earned, and year for all degrees or certifications earned − Current level of security clearance and status (final, interim, or pending)

The Government may use information other than that provided by the Offeror in their proposals to check educational background and verify degrees or certifications received.

If the qualification (i.e. education, experience) does not readily or easily compare to the minimum qualification stated in the SOW, the Offeror shall provide an explanation as to the equality of the proposed qualification to meet the minimum qualification.

1.3 Management Approach

The Offerors’ proposed management approach shall address the following:

1.3.1 Overall Management Approach: The Offeror shall describe their proposed management approach to include how they will manage multiple tasks at multiple locations, concurrently, with fluctuating workloads, demanding schedules, and complex project issues. Procedures to be taken to ensure quality and cost control as well as effective contract management support shall be included.

1.3.2 Teaming and Subcontractor Management: The Offeror shall provide an outline of how the SOW tasking across multiple sites will be assigned for performance within the Offerors’ Prime corporate entity and among the proposed subcontractors, ensuring compliance with the Limitation of Subcontracting clause 52.219-14. The Offeror shall describe how their subcontractors will be managed to ensure cohesive integration across all task order performance requirements into the overall management approach. Offerors’ shall also explain their teaming approach and include a description of the experience, knowledge, and skills the Offeror will be acquiring through each subcontract and how the Offeror will leverage each subcontractor’s strengths to ensure corporate teaming expertise is available through technical leadership, quality assurance, and process improvement for each FRC site.

1.3.3 Transition-In Plan: The services under this solicitation are vital to the Government and must be continued without interruption to current operations at each FRC site. The Offeror is required to submit a written narrative delineating a transition-in plan, in which will be incorporated into the contract award as Attachment TBD, based on a 30-day period after award that ensures a smooth workplace changeover from an incumbent with no loss of service and minimal loss of corporate contract management. Upon completion of the 30-day transition-in period, the Government anticipates approximately 20 task orders will be awarded within the first two months of the ordering period for task order performance to commence. The plan should take into consideration the following elements as well as any additional elements deemed necessary by the Offeror to commence performance:

1.3.3.1 Subcontracts: The Offeror shall provide a plan of action to ensure that all proposed subcontract agreements are signed within the 30 day transition in period.

1.3.3.2 Incoming Personnel: The Offeror shall provide a preliminary staffing plan to ensure that all personnel are able to begin their corporate-level work duties during the transition-in period, and at the task order level upon issuance of task orders following the 30-day transition-in period. The proposed plan should include a schedule for hiring ramp up and a timeframe for completion of staffing actions. The Government intends to provide draft task order packages within the first 10 days of the transition-in period for the orders planned for award within the first month of the ordering period to allow for level of effort and key personnel to be considered in development of the staffing plan.

1.3.3.3 Quality Assurance: The Offeror shall provide a plan of action to ensure continuation of quality review processes during the transition period from the incumbent to the successful Offeror.

1.3.3.4 Communication. The Offeror shall provide a plan of action for maintaining effective coordination and communication with the Government and the incumbent Contractor personnel, including weekly status meetings, during the transition-in period to ensure a seamless transition.

1.3.3.5 Training: The Offeror shall provide a plan of action to implement personnel training needed during the transition period to ensure continuity between the services provided by the incumbent and the successful Offeror.

1.3.3.6 Risk Mitigation Strategies: The Offeror shall provide a plan of action to mitigate contract performance risks that could be encountered during the transition period.

1.3.3.7 Security Requirements to include OPSEC, Facility Clearances, and Base/Building Access: The Offeror shall provide a plan to implement the required security clearances and badging requirements during the transition period so that service is not interrupted upon task order award.

1.3.3.8 The plan should include a detailed Plan of Action & Milestones (POA&M), including dates and measureable elements.

1.3.4 Quality Management

Contractor Quality System/Plan- The Offerors’ shall submit a Quality Plan as part of the proposed management approach. The quality plan will be incorporated into the contract award as Attachment TBD. The quality plan shall document the contractor’s quality system compliance with the guidance provided by ISO 9000, ISO 9001, and with specialized application guidance as provided by the appropriate parts of ISO 9004 for tailoring each quality system element as appropriate to the specific methods and technologies to be applied to this contract. The Contractor shall select and maintain its own quality system program for themselves and subcontractors. The quality plan is not part of the 10-page limit defined in table under paragraph 3.0.

1.3.5 Software Development Plan (SDP)

1.3.5.1 The Offerors’ shall submit a Software Development Plan (SDP) as part of the proposed management approach. The SDP will be incorporated into the contract award as Attachment TBD. The SDP shall define a software development approach appropriate for the computer software effort to be performed under Task orders for this IDIQ. The contractor shall follow this SDP for all computer software to be developed or maintained under individual task orders.

1.3.5.2 The SDP shall define the Offeror's proposed life cycle model and the processes used as a part of that model. In this context, the term “life cycle model” is as defined in Institute of Electrical and Electronics Engineers (IEEE) Std. 12207-2017. The SDP shall describe the overall life cycle and shall include primary, supporting, and organizational processes based on the work content of this IDIQ. In accordance with the framework defined in IEEE Std. 12207-2017, the SDP shall define the processes, the activities to be performed as a part of the processes, the tasks which support the activities, and the techniques and tools to be used to perform the tasks. The SDP is not part of the 10-page limit defined in table under paragraph 3.0.

2.0 VOLUME 2: PAST PERFORMANCE

Sources of past performance evaluation information include information provided by the Offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information Systems (FAPIS), Electronic Subcontract Reporting System (ESRS), or other databases; the Defense Contract Management Agency (DCMA); and interviews with Program Managers, Contracting Officers, and Fee Determining Officials.

2.1 The Offeror shall complete the Past Performance Information Form, Attachment 16, for each past performance reference (contract or delivery/task order) performed within three (3) years of the solicitation release date. The Offeror shall submit no more than three (3) Past Performance Information Forms as the Prime Contractor, no more than two (2) forms for each principal subcontractor, and/or no more than two (2) forms for each JV team member. For contract references that contain delivery/task orders, additionally provide the work description(s) for each specific delivery/task order deemed relevant by the Offeror to this solicitation’s requirements.

For contract references where the Offeror performed as a subcontractor, the Offeror shall clearly identify the applicable portion of the contract requirements that they performed. The Offeror shall submit written consent from its principal subcontractor(s) and JV team member(s) that will allow the Government to coordinate any past performance issues directly with the Offeror. If the Offeror does not submit the written consent, the Government will address any past performance issues directly with the principal subcontractor or JV Team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractor and JV team member that does not provide the written consent, the Offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.

2.2 The Offeror shall provide a narrative on each Past Performance Information form in the “Contract Effort Description” area that clearly describes how each contract reference has relevant work effort that matches the relevancy definitions specified in Section M of the solicitation. Additionally, the Offeror shall provide one electronic copy of the Statement of Work/Performance Work Statement for each contract reference. All documents shall be included in the Past Performance Volume.

2.3 The primary source of past performance information will be PPIRS. If a Contractor Performance Assessment Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the period specified above, for that contract/order, will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the Offeror shall submit a Contractor Performance Assessment Questionnaire (CPAQ), Attachment 17, to the applicable Technical Point of Contact (TPOC) and/or the Contracting Officer to send completed questionnaires within two weeks of its receipt via e-mail to CDR Suquon Combs, Contract Specialist, at Email: suquon.d.combs.mil@us.navy.mil , thereby allowing the customer approximately two weeks to complete their response. All CPAQs should be received by the Government concurrently with the Offeror’s proposal submission.

3.0 VOLUME 3: PRICE/COST PROPOSAL

This Volume is the only volume that shall contain the Offeror’s proposed Price/Cost and related data.

3.1 Ground Rules and Assumptions:

(a) If subcontractors are proposed, subcontractors shall provide the same price/cost proposal data required for the prime contractor, unless otherwise noted below.

(b) As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2 and/or if there is only one offeror in accordance with DFARS 215.371-3.

(c) The Offeror shall provide sufficient data to support its proposed price/cost and explain all ground rules and assumptions that affect the price/cost estimates and pricing of orders during execution.

(d) Within all Excel price/cost files, the Offeror shall use MS Office 2016 Excel format with formulas and functions to show mathematical operations and avoid using output type mailto:suquon.d.combs.mil@us.navy.mil

“value only” cells. If the proposal includes links, the proposal shall include all referenced files. Spreadsheets shall not be password protected or locked.

(e) The Government is not soliciting any investments. However, for the Government to assess a proposed price/cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.

3.2 Government Provided Estimates

3.2.1 Other Direct Costs (ODCs): The Government's estimate for (unburdened) ODCs to support potential tasking for each year during the ordering period is listed below.

3.2.2. Labor Hours: The Government level of effort estimate is noted in the Level of Effort Clause 5252.211-9503 and as shown in Attachment 18 ‘Level of Effort and Composite Rates.”

3.3 The Offeror shall provide the following information as part of the Volume 3 submission:

3.3.1 An electronic copy of the Solicitation Section B using MS Office 2016 Excel format with the proposed Firm Fixed Price and Cost Plus Fixed Fee for each applicable Contract Line Item (CLIN) and a proposed total Contract Price.

3.3.2 The Offeror shall provide a narrative that addresses price/cost proposal assumptions and discuss the basis for the cost elements listed below:

- Labor rates. If necessary, provide a narrative to describe derivation of direct labor rates, composite rates, use of uncompensated overtime, etc.

- Escalation on labor. Offerors, including subcontractors, shall address escalation for all labor categories, and shall provide rationale for the specific escalation rate used. Offerors that do not propose escalation, or an explanation as to why escalation is not included, may be considered unrealistically low and may have their proposals adjusted by the Government to include escalation in the out years.

- Indirect costs (e.g., Overheads, Fringe Benefits, General & Administrative (G&A), etc.)

Pools to which indirect rates are applied and historical/provisional billing rates for indirect rates.

- Material costs for Firm Fixed Price CLINs.

- Information needed to explain the Offeror’s estimating practices.

- Other Direct Costs (ODCs) by specific cost element (e.g. Travel and Material). If the

Offeror proposes indirect burdens on the Government-provided ODC estimates, the Offeror shall provide a percentage breakdown of the Offeror’s indirect burdens added to the Government estimates for any and all Cost Reimbursable ODC CLINs in Section B.

- When the Offeror elects to propose Cost of Money (COM) as an allowable cost, the Offeror must submit a COM form and show the calculations of the proposed amount.

- Identify the proposed fee or profit rate (depending on CLIN contract type), cost element application, and provide supporting fair and reasonable rationale. Fee shall not be applied to ODC CLINs.

3.3.3 The Offeror shall submit its fully completed price/cost proposal using the Cost Summary Spreadsheet (Attachment P6) to disclose fully the buildup of cost/price of each CLIN. The Offeror shall use the Summary tab to breakout total proposed costs for each year of the ordering period. The Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees. Fee shall not be proposed for ODCs.

3.3.3.1 The offeror shall propose the total labor hours per labor category.

3.3.3.2 The offeror shall propose the labor and material costs and profit associated with the FFP CLINs.

3.3.3.3 The offeror shall propose ODCs in accordance with the estimate provided above, plus applicable burdens. If it is the contractor’s accounting practice to apply (and invoice for) burdens to ODCs, then the contractor shall propose the ODC amount plus the addition of the applicable burdens.

3.3.4 Complete Attachment P7, (Fully Burdened Labor Rates); detailing the fully burdened labor rates for all prime contractor and subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Offerors that propose a fully burdened annual labor rate per employee exceeding $300,000 shall provide rationale to justify the reasonableness for the applicable employee.

3.5.5 Direct/Indirect Rates: In order to determine fair and reasonable costs for all proposed CLIN prices, the Offeror shall submit the following:

3.5.5.1 Copies of Offeror-proposed Forward Pricing Rates (FPRPs), Defense Contract Management Administration (DCMA) Forward Pricing Recommended Rates (FPRRs), DCMA Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Department of Labor (DoL) Area Wage Determinations (AWDs) as applicable for all proposed performance locations. The Offeror shall identify whether each direct/indirect labor rate proposed is based on FPRPs, FPRRs, FPRAs, CBAs, or AWDs.

3.5.5.2 The most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter.

3.5.5.3 The last three (3) years of actual indirect rate information. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates.

3.5.5.4 Payroll Verification to confirm labor categories and rates for each currently employed personnel. Proposed professional employees shall be categorized in alignment with the Bureau of Labor and Statistics (BLS), Standard Occupational Classification.

3.5.5.5 If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s Price/Cost Volume of the proposal submission.

3.5.5.6 For contingent hires, the Offeror shall provide contingent offer letters/signed letters of intent outlining salary information for contingent hire employees. All contingent hires shall have a letter of intent submitted and included in the Price/Cost Volume. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award. For any prospective hires for non-key personnel, provide information to substantiate the rates proposed.

3.5.5.7 For proposed consultants, the Offeror shall provide a consultant agreement substantiating the rates proposed. If the Offeror proposes the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN, not an ODC CLIN.

3.5.5.8 If any of the Offeror or subcontractor proposed direct or indirect rates differ from the rate agreements, Government recommendations, and/or payroll verification, a justification shall be provided for the difference.

3.5.5.9 A signed certification by an authorized representative of the company that the proposed rate information is accurate and any other information necessary to substantiate the rates proposed.

3.6.6 The Offeror shall provide a Total Compensation Plan in accordance with FAR Clause 52.222-46, Evaluation Of Compensation For Professional Employees, for each proposed professional employee. The Plan shall include, but is not limited to, the following items:

3.6.6.1 The proposed direct labor rate for each professional employee proposed;

3.6.6.2 The total cost of the proposed fringe benefits…
