In the event the Offeror has not identified a firm candidate for a proposed task area, include the word “pending” in lieu of an individual’s name. Offerors should attempt to minimize the number of proposed labor personnel for which candidates have not been identified. From an evaluation perspective, proposal risk in terms of “Technical Capability” and “Cost Realism” would be expected to increase when candidates have not been identified for proposed positions.

2.0 FACTOR 2: MANAGEMENT APPROACH (Volume 2)

Do not include cost or price information in this volume. The Offeror shall address each of the following elements to accomplish the tasks defined in Section C.

Offerors shall submit a contract management approach to describe how the Offeror intends to manage and coordinate the task efforts of this contract, include planning, assigning responsibility, controlling personnel, controlling utilization of resources, tracking deliveries, and periodically monitoring performance and obtaining feedback. The plan shall include but not be limited to start date, end date, and detailed Plan of Action & Milestones (POA&M) with measurable elements. The transition plan shall be consistent with the Offeror’s technical approach and proposed cost.

Specific elements include:

i. Quality Assurance: The Offeror shall provide a plan of action to ensure continuation of quality review processes during the transition period.

ii. Training: The Offeror shall provide a plan of action to implement personnel training needed during the transition period.

iii. Risk Mitigation Strategies: The Offeror shall provide a plan of action to mitigate contract performance risks encountered during the transition period.

iv. Security Requirements to include OPSEC and Base Access: The Offeror shall provide a plan to implement the required security clearances and physical access requirements of the contract during the transition period.

v. Data Transfer: The Offeror shall provide a plan of action for the efficient inventory and transfer of program data from the incumbent to the successful Offeror. Offerors shall describe its start-up plan with a detailed explanation regarding how full performance will be achieved on the first day of full contract performance. Offerors shall describe their intended mode of establishing management and project staffs. Specifically, how the Offeror's technical and contract administration interface with NSWC PHD will be established.

Offerors shall identify any services, support, or other items that will be required from the Government to facilitate the transition. The Project Start-Up/Transition Plan shall be consistent with the Offeror's technical presentation and Cost Proposal; as well as the facilities and personnel staffing portions of the proposal. The awardee of this contract will begin assume full contract performance 30 days after award.

Note: Offerors proposing incumbent employees shall address within the transition plan how risk will be mitigated if incumbent employees do not accept offers.

3.0 FACTOR 3: PAST PERFORMANCE (Volume 3)

3.1 Recent and Relevant Past Performance

Offerors shall submit a minimum of one and maximum of three past performance contracts for the Offeror. Offerors shall provide recent (performance within the last five years prior to the closing date of the solicitation) and relevant past performance information. Relevant past performance is performance providing the same or similar types of supplies and services as those described in the SOW. This includes similarity of product/service/support, complexity, and dollar value. Past performance references may consist of Past Performance Questionnaires and/or Contractor Performance Assessment Reporting System (CPARS) evaluations. In addition to providing information on reference contracts the offeror shall submit a narrative. The narrative should provide both information on problems encountered during performance of the identified contracts and corrective actions taken. In addition, the offer shall include a minimum of one and maximum of three contracts for all subcontractors whose total subcontract price (inclusive of all options) is greater than or equal to 10% or more of the total proposed price (inclusive of all options). Emphasis shall be placed on Navy contracts that are similar in nature to the work required by this solicitation or that demonstrate the Offeror's/subcontractor's ability to perform the proposed effort. If the Offeror/subcontractor does not have recent, relevant past performance on Navy contracts, the Offeror/subcontractor shall submit information for its contracts with other DoD agencies, other Federal agencies, state and local Governments, and/or private companies in that order of preference.

For each contract cited as recent and relevant past performance, the Offeror/subcontractor shall provide:

i. Contract/order number;

ii. Contract type;

iii. Agency/customer/program name;

iv. Total contract cost;

v. Period of performance;

vi. Valid name, email address, and phone number of Contracting Officer and Contracting Officer Representative; and

vii. Description of work performed and how it is relevant to the SOW in regards to size, scope and complexity.

The Government may use past performance information obtained from sources other than the sources identified by the Offeror and the information obtained may be used for both the responsibility and technical acceptability determinations.

4.0 FACTOR 4: PRICE/COST PROPOSAL (Volume 4)

It is expected that the resulting contracts will be awarded based on adequate price competition; therefore, the Offeror is not required to submit or certify cost and/or pricing data with their proposal, however data other than certified cost data or pricing data is required to be submitted. If, after receipt of proposals, the Contracting Officer determines that adequate price competition does not exist in accordance with FAR 15.403-1 or that only one offer is received, the Offeror shall provide certified cost and/or pricing data as requested by the Contracting Officer.

Organization and contents of the Price/Cost Proposal: Volume 4 shall include:

a. Schedule of Total Estimated Price. Complete the Schedule of Total Estimated Price (reference attachment in Section J of the solicitation) and Section B of the submitted SF 33.

The Offeror shall supply the most currently available forecasted annual rates for direct labor, overhead expense, general and administrative expense, and any other factors used in developing the proposal.

Use the Government estimated annual amounts specified in Attachment JS-8 for labor category hours, material costs, travel costs and ODCs in developing the proposal. The Government estimated annual hours and costs are provided for proposal and planning purposes.

In order to allow for procurement lead time and a fair and equal evaluation of all proposals, all proposals shall be based on a contract start date of 31 January 2022. This date is only an estimate of the anticipated contract start date and will be used for the purpose of proposal evaluation only. A definitive start date will be incorporated into the contract award document.

The cost proposal shall contain spreadsheets in Microsoft Excel. Spreadsheets shall include all calculations in the cells.

b. Basis of estimate narrative for rates and factors proposed for the contract. Describe the basis of estimate for each of the following cost elements proposed for the contemplated contract. The requirements are:

i. Direct labor costs:

Hourly rates – Describe the basis of estimate for all proposed unburdened direct labor rates. Submit information to reasonably explain the estimating process, including the judgmental factors applied and the mathematical or other methods used in the hour estimate. Offeror may propose individual wages or category average rates for labor categories.

(a) Current Employees: Provide a date and time stamped screen-capture (or equivalent) from the employer's payroll system for each current named employee. Fully explain all pertinent data on a sample screen capture. The Government must be able to derive the direct rate from the screen capture information provided by the Offeror. Identify the date as of which the actual wage rate is current. If proposed direct labor rates vary from actual wages of personnel, explain the basis for those rates. If the Offeror proposes category average rates, the Offeror must provide the detail of employees and wage rates within each labor category and the average rate computational methodology.

(b) Contingent Hires: Any proposed contingent hires (new hires are actual employees and need a screen shot. Contingent hires are not employees but they have a contract with the offeror to take the job if the contract is won. Shall be identified and provide justification for the wage rate to include a signed letter of intent to hire and the company compensation policy. Letters of intent must be signed by both the employer and the employee within 30 days of proposal submission manifesting the intent to employ the individual at a stated salary and indicating the applicable labor category.

(c) Unnamed/TBD Labor Rates: If neither payroll data nor a signed letter of intent is available, Offerors shall list the individual as “TBD”. The basis for all "TBD" employee rates proposed shall be detailed with specificity to include providing sufficient information necessary to enable the government to understand why the proposed rates are what the Offeror could realistically expect to pay to attract and retain qualified personnel. Offerors shall also consider the labor rates for the Bureau of Labor Statistics (BLS) equivalent labor categories identified in Attachment JS-8 “Requried Staffing Plan_LOE” tab. The BLS rates highlighted in green in Attachment JS-8 reflect the Government’s best approximation of the minimum labor rate for each labor category considering the level of complexity and experience necessary for the associated eCRAFT labor categories identified. The percentiles are based on BLS National Occupational Employment Statistics (OES) data found at https://www.bls.gov.

(d) Service Contract Act (SCA) Covered Labor Categories: Offerors shall propose at least the minimum wage rates for SCA covered labor categories. The SCA Wage Determinations (WD) 2015-5535 for King County, WA, 2015-5635 for San Diego, CA and 2015-5689 for Honolulu, HI are included in this solicitation as Attachment JS-9; however, Offerors shall use the wage determination that is most relevant to the location that the proposed employee’s labor rate is based on. Provide the location and WD number of WD that are used in your proposal.

Labor Categories and Hours – The minimum labor categories and hours estimated to be required to perform this requirement are specified in Attachment JS-8. The Offeror shall propose at a minimum the labor categories and hours specified in Attachment JS-8.

ii. Annual labor escalation: For the purposes of cost realism analysis, offerors shall propose escalation and sufficient rationale for the rates proposed for all labor categories and shall provide the actual escalation incurred over the past three years for the business unit being proposed to perform the tasking. Provide documentation to demonstrate how the average historical actual escalation rates for the business unit were derived. Offerors shall address if escalation has been applied to base year rates and why the proposed approach to base year escalation is realistic. If the Offeror’s proposed escalation rates based on its historical experience and rationale provided is not considered sufficient, the escalation rates specified in Section M will be used for the purpose of calculating the projected cost to the Government.

iii. Indirect expense rates: Provide a written narrative describing the basis of estimate for all proposed indirect expense rates. The Offeror shall submit any information reasonably required to explain the estimating process, including actual indirect expense rates for the last three years, the judgmental factors applied and the mathematical or other methods used in the estimate. Offerors shall not propose rates reflecting unapproved reduced indirect rates based upon speculation of becoming the successful Offeror of this or other contracts. Offerors shall provide their most recent three-year history of actual rates incurred for each proposed indirect rate. In addition to the three years of historical actual rates incurred, the Offeror shall provide the most recently completed fiscal year even if the rates are considered preliminary and have not yet been submitted to DCAA for audit. Note whether the actual rates have been audited by DCAA or any other independent organization. Specifically state which indirect rates have been audited and finalized. Explain individual rate fluctuations greater than 10% per year. Note: For the purposes of evaluation, a rate increase from 20% to 23% is considered to be a 15% increase (3% / 20% = 15%). In addition, if the Offeror uses rates in developing its proposal that are at variance from its historical rate data, the Offeror shall provide a justification for the difference, including sufficient supporting cost data.

The Offeror shall provide an overview of the company’s indirect cost rate structure used for estimating purposes. Offerors’ may use a schedule similar to the one below, which identifies the name of each cost burden center and related allocation base. Offer must describe each pool. Describe or list the major cost components that make up the indirect cost pool. Offeror must describe the allocation bases used in the computation cost rates. Describe or list the cost elements that comprise each allocation base.

If formal forward pricing rate agreement (FPRA) has been negotiated/approved and is the basis for proposed indirect expense rates, then so state and identify the company’s cognizant Defense Contract Management Agency (DCMA) and Defense Contract Audit Agency (DCAA) office and provide current contract information for each.

If the Offeror proposes an indirect rate cap, it shall propose a clause or use the one provided to be incorporated into the resulting contract which enforces the rate cap. If a proposed indirect rates lower than actuals, or declining indirect rates may not be evaluated as realistic. Rate caps will not be accepted if they poise an undue risk to the government. The following draft clause is acceptable to the Government. Should the Offeror propose an alternate, it shall cover the same substance as is contained in the draft text.

PRE-AWARD SURVEY OF PROSPECTIVE CONTRACTOR ACCOUNTING SYSTEM

Offeror shall submit with their price/cost proposal a completed pre-award survey of prospective contractor accounting system or the information requested in subparagraph a or b, where applicable.

(FAR 16.301-3 states that a cost-reimbursement type contract may be used only when the contractor’s accounting system is adequate for determining costs applicable to the contract. If no information is available in the DoD activity files to make this determination an SF-1408 can be requested from DCAA. Before DCAA begins such an audit, the Offeror must complete this checklist to ensure they understand the requirements of the SF-1408 and to ensure they are prepared for DCAA to perform an audit.)
