22. Other Costs:

22. Other Costs (continued):

Cancellation Fee: The Contractor and Government agree the purpose of this clause is to induce the Contractor to offer to and to provide the required services when the Contractor otherwise would not offer to provide them because of the Contractor's inability to recover its out-of-pocket costs in the event the Government does not exercise an option to extend the term of the contract or terminates the contract for the convenience of the Government.

In the event the Government does not exercise an option to extend the term of the contract or terminates the contract for convenience, the Contractor shall be entitled to not-to-exceed cancellation costs subject to the following conditions and according to the following schedule:

Prior to Delivery (of vessel or layberth) $ 0.00

During Fixed Performance Period

$ 0.00

During 1st Option Performance Period $ 0.00

During 2nd Option Performance Period $ 0.00

During 3rd Option Performance Period $ 0.00

During 4th Option Performance Period $ 0.00

During the 5th Option Performance Period $ 0.00

"Cancellation costs" means, and only means, costs specifically identified by the Contractor in its proposal and actually incurred by the Contractor between contract award and vessel delivery to the Government including, and limited to, the following categories of costs: costs incurred by the Contractor for vessel acquisition, and modification, or conversion costs, and only to the extent such modification, or conversion costs were incurred in order for the vessel to meet contract requirements. The Government will ensure it has sufficient working capital funds for these cancellation costs.

When requesting payment of cancellation costs, the Contractor shall provide evidence satisfactory to the Contracting Officer verifying that Contractor actually incurred the specified categories of cancellation costs prior to delivery of the vessel to the Government and the amount thereof.

The cancellation costs must be reasonable, allowable, and allocable to the contract. The Government will not be obligated in any event to reimburse the Contractor for the specified categories of cancellation costs in excess of the amount allotted in the schedule above for each contract period regardless of anything to the contrary in the clause entitled

"Termination for Convenience of the Government." The Contractor agrees that payment of the specified cancellation costs according to the schedule above for any contract period fully compensates the Contractor for the specified categories of cancellation costs. The Contractor waives any right it may have to claim any additional costs for the specified categories of cancellation costs in the event such cancellation costs become payable, whether as a result of a termination for convenience or as a result of the Government's failure to exercise an option. As used in this clause, the total amount payable by the Government for the specified categories of cancellation costs in the event the Government does not exercise an option or terminates the contract for convenience is as set forth in the schedule above.

This clause does not limit the rights of the Government under the clause entitled "Default" or under the clause entitled "Termination for Convenience of the Government."

Note: Pursuant to 10 USC§2401, the Government is prohibited from entering into a vessel lease or charter that contains a substantial termination liability. Offerors who submit substantial termination liabilities will not be considered for award. A substantial termination liability is defined by the statute as:

i.

An agreement by the U.S., under the contract, to pay an amount greater than 25% of the value of the vessel for the termination liability; or ii.

An agreement by the U.S., under the contract, to pay an amount greater than 50% of the value of the vessel for the sum of the termination liability and the value of the total payments attributable to capital-hire.

PERFORMANCE WORK STATEMENT

C1. SCOPE OF WORK/MISSION. The following paragraphs describe the general Scope of the Performance Work Statement.

C1.1. General. Military Sealift Command (MSC) requests one (1) US flag, Jones Act qualified vessel which will function as surface support vessel primarily for the US West Coast. The Vessel will be employed as a Submarine Rescue surface support ship. The vessel’s primary mission will be to support USN submarine rescue utilizing the US Navy Submarine Rescue Chamber Flyaway System (SRCFS), Assessment Underwater Work System (AUWS) and the US Navy Submarine Rescue Diving and Recompression System (SRDRS), including training for this mission. The vessel may also serve as escort for submarine sea trials, as well as a diving platform utilizing existing and developing portable diving systems, and other lawful missions as required by the US Navy and permitted by the vessels’ certifications and classifications.

C1.2. Area of Operations. The vessel will normally operate in the Eastern Pacific in the vicinity of San Diego, however may be employed worldwide for any lawful mission.

C1.3. Operating Scenario: The vessel’s normal operating environment may entail up to 60 days away from home port (San Diego, CA), and a maximum of 30 days between any ports, with a minimum range of 6,000 nautical miles (N.M.). Nominal operations for Undersea Rescue Command (URC) at-sea training will consist of once every 30 days or once every quarter with an additional variable amount of time required in support of west coast sea trials operations, on a priority basis.

Operations of the vessel may extend beyond 60 days away from home port when operating within the United States East Coast (USEC), the United States West Coast (USWC), Hawaii, and Alaska.

The following estimated operating scenario is provided for informational purposes only and is without guarantee:

· 25% underway at 10-knot transit

· 40% underway at 3 knots/loiter/moored/operate in Dynamic Positioning

· 10% in port on generator

· 25% in port on shore power

C1.4. Hours of Operation. The support vessel will be operational 24 hours a day, 7 days a week when at sea and in an 8-hour recall during a modified alert status. Mod-alert periods notionally occur four times per year for approximately 3-day periods. Other times during inport operations, ship will maintain 72-hour ready-for-sea status. Maintenance periods that would delay underway operation by greater than 72 hours require coordination with the URC.

C1.5. Ship Clearances. The Government will secure diplomatic clearances and operational area clearances when and where required.

C1.6. Quality System. The contractor shall develop and maintain a certified safety management system which fulfills the requirements of the International Maritime Organization’s (IMO) International Safety Management Code (ISM). This system can be developed and implemented in conjunction with the contractor’s existing quality system or an internationally accepted and certified system. The contractor shall obtain and maintain ISM certification both ashore (Document of Compliance (DOC) and afloat (Safety Management Certificate (SMC)) for the ship from a USCG-approved certifying body. The DOC and SMC shall be in place at delivery. The COR may inspect these systems to ensure compliance.

C1.7. Manning Plan. The contractor shall submit a manning plan illustrating the crew level to meet all mission/Government requirements, within 30 days of award.

C1.8. Personnel Contingency Plan. The contractor shall develop a contingency plan adequate to ensure that there will be no interruption of operations and maintenance service due to labor disruption within the service provider’s own labor force. The contingency plan must also include a plan to address substitution of personnel when qualified/trained personnel are not available due to leave, sickness, death, etc. The contractor shall submit the plan to the Contracting Officer within 30 calendar days of contract award.

C1.9. Vessel Requirements. The vessel must be a U.S. flag, Jones Act-qualified vessel. The vessel shall be certified by the USCG under Subchapter I (Cargo and Miscellaneous Vessels) and classed by the American Bureau of Shipping (ABS) (A1 AMS) or an equivalent International Association of Classifications Societies (IACS) member society.

Vessel must be capable of deploying, recovering, and operating with the Light Weight Mooring System in a 4-point moor. The operating envelope shall be +/- 30 feet and +/- 5 degrees.

C1.9.4. Sea Keeping. The vessel shall be capable of system operations in sea conditions up to and including Sea State 4, for launch, recovery, and operation of the PRM (Pressurized Rescue Module) and for system survivability in sea conditions up to and including Sea State 6.

C1.9.5. Stability. The vessel shall have sufficient intact and damaged stability in the worst-case operating and survival scenarios of SRDRS. The worst-case operating scenario is defined as the PRM supported by the Launch and Recovery System (LARS) in the vertical position (occurs during launch and recovery) and Sea State 4 conditions. The worst-case survival scenario is defined as the PRM secured in the Deck Cradle (DC), the LARS fully inboard, and Sea State 6 conditions. Exact weights and centers of the two scenarios can be found in Interface Control Drawing (ICD) 7411191 Rev E (Attachment 9).

C1.10. Dimensions/Capacities.

C1.10.1. Deck. Overall the vessel will comply with the SRDRS installation requirements as stated below in paragraph C1.10.2 through C1.10.6. Deck material: Deck shall be of steel construction and suitable to be welded onto.

C1.10.2.Deck Area. The vessel shall have a minimum of 98’ x 34’ feet of contiguous, same deck level, unobstructed open deck space aft to accommodate the operation of the SRDRS. In addition to this area, the vessel shall also have a minimum of 24’ x 34' feet of contiguous area on the forward portion of the working deck in the vicinity of the port or starboard removable bulwark to support mobilization of AUWS with SRDRS already installed. The AUWS will deploy off either beam and requires a laydown of at least 20’ feet from the deck edge (as the beam of the ship varies above that required for the 34’ feet width required above, AUWS deck area will remain outboard).

Welding will be required on the deck in areas specified in ICD 7411191 Rev E (Attachment 9) and as well as the last 37’ feet of the aft deck to the stern.

C1.10.3. Deck Flatness. The vessel shall have sufficient flatness in the working deck in the area of SRDRS installation to provide a height of no more than 2 inches between the lowest and highest local deflection points, including retractable deck equipment. The deck shall be coplanar with a maximum vertical deviation of 2 inches when measured from the transom to 70 feet forward of the transom.

C1.10.4. Deck Construction. The vessel shall have a Baxter Bolt pattern installed on the deck at delivery to aid in mission achievement (installed in accordance with the requirements of Attachments 10a – 10d). The bolt hole pattern shall not exceed a vertical tolerance differential of +/- 1/8" (as measured from deck surface or top of deck modification structure immediately adjacent to each bolt hole) or a horizontal tolerance of +/- 1/16" from the centers of the grid pattern (i.e. no stack up permitted in the error).

C1.10.5. Removable Bulwark. The vessel shall have 20 feet of bulwark capable of being removed on both port and starboard sides of the forward section of the working deck and must be at a minimum of 90 feet forward of the stern, to accommodate installation of AUWS and SRCFS systems.
