52.216-1 TYPE OF CONTRACT (APR 1984)
The Government contemplates award of a Cost Plus Fixed Fee contract resulting from this solicitation.
5252.215-9503 ANTICIPATED AWARD DATE (NAVAIR) (FEB 1995)
The anticipated award date for this requirement is 01 October 2018; however, it will be evaluated as part of the MAC. This information is provided for use as a basis for schedules and burden (labor, overheads, G&A, etc.) mid-point calculations.
The transition period is from 01 Jan 2019 to 31 January 2019. The estimated period of performance commences on 01 Feburary 2019. Please note that there is no CLIN associated with the transition period, as the Government will not be reimbursing the contractor for costs associated with transition efforts. 1. INSTRUCTIONS FOR RESPONSES
A. Fair Opportunity. This is a competitive fair opportunity selection conducted in accordance with Federal Acquisition Regulation (FAR) Part 16.505(b)(1) and 5252.216-9507 FAIR OPPORTUNITY PROCEDURES. Orders placed under FAR 16.505 Indefinite-Delivery Indefinite-Quantity (IDIQ) contracts are not subject to FAR 15.3 procedures. Accordingly, issuance of an order under this Fair Opportunity Order Request (FOPR), should an award be made, shall follow the ordering procedures outlined in FAR 16.505, as supplemented herein.
B. Terms and Conditions. The proposal submitted in response to this FOPR must be in compliance with the terms and conditions of the PEO (U&W) MAC IDIQ, the PMA 263 Statement of Work (SOW), and the requirements as stated in the FOPR. All provisions and clauses included in the basic contract will apply to the task order. Non-conformance with these instructions may result in an unfavorable proposal evaluation, or being deemed ineligible for award.
C. Exceptions. Offerors must clearly identify any exception to MAC IDIQ, PMA 263 SOW, and FOPR terms and conditions and must provide complete supporting rationale. Exception information, if any, shall be provided within Volume 2. The Government reserves the right to determine any such exceptions are unacceptable. Any exception determined unacceptable by the Government may result in the Offeror’s proposal being determined ineligible for award without further exchanges with the Offeror. If no exceptions are taken, include a statement stating so within the Volume 2.
D. Errors and omissions. If an Offeror believes that the requirements in these instructions contain an error or omission the Offeror shall immediately notify the PCO, Christin Simpson at christin.simpson@navy.mil , in writing with supporting rationale as well as the remedies the Offeror is asking the PCO to consider as related to the error or omission.
E. Clarity. It is the Offeror’s responsibility to draft a logical, understandable proposal in accordance with the information requested herein. The Offeror’s proposal shall contain all pertinent information in sufficient detail so that the Government is able to meaningfully evaluate the Offeror’s proposal. An Offeror’s proposal must demonstrate that the Offeror understands the requirements.
F. Quality. Offerors should note that any general statement, or statements, that the Offeror will satisfy a requirement or provide a particular feature without providing a valid and practical solution or sufficient supporting rationale thereby explaining how the requirement or feature will be met or implemented are generally viewed as inadequate and may impact the Government’s ability to assess such unsupported claims or statements and as a result may adversely impact the assessment of the Offeror’s proposal, and could result in the Offeror being removed from consideration for award. Unsupported claims or statements that the Offeror understands the requirements and risks, unsupported claims or statements that the Offeror can or will comply with requirements, and unsupported statements that merely paraphrase the requirements are generally inadequate and may impact the Government’s ability to assess such statements and as a result may adversely impact the assessment of Offeror’s proposal. Unsupported claims or statements such as “best commercial practices will be used,” “standard procedures will be used,” or “well-known techniques will be employed” are generally inadequate and may impact the Government’s ability to assess such statements and may adversely impact the assessment of the Offeror’s proposal if those statements are used without adequate definition, explanation, or supporting rationale
G. Proposal Format, Packaging, and Delivery. Offeror’s must submit their written response in two separate volumes – technical and cost/price. Volumes should be submitted as follows:
· Volume 1 – Technical: 1 Original and 3 Copies with 1 CD-ROM
· Volume 2 - Cost/Price: 1 Original and 1 Copy with 1 CD-ROM
Use letter-sized (8-1/2 X 11”) pages, single-spaced, with one inch (1”) margins. One page equals one side of a sheet of paper. Any pages in excess of the page limitations imposed on the technical submission herein will not be considered. Each CD-ROM is to be labeled for content and the Offeror’s name. If a discrepancy exists between the original paper copy of the submission and the disk copy, the paper copy will take precedence. Cost format spreadsheet shall be in Microsoft Excel format with a file name extension of .xlsx.
Number the pages consecutively and use a 12-point font size (no reduction permitted), excluding Attachment L-18, in Calibri, Arial or Times New Roman font. 10-point font size (no reduction permitted) and single spacing is acceptable for any tables, graphics, and illustrations (which are permitted); however, do not submit an abundance of information in chart format. The page limitations shown below do not include any “front matter” information such as a cover letter, table of contents, and definitions, or acronyms. Any technical or cost/pricing information submitted within the “front matter” will not be considered. Photographs, pictures, or hyperlinks are not permitted. No ZIP files or fold out pages.
The Offeror should present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this FOPR’s instructions. Proposal information must be structured such that its paragraph number/letter is identical to the FOPR paragraph number to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph.

VOLUME 1: TECHNICAL
1.0 TECHNICAL PROPOSAL CONTENT
NOTE: This volume shall not contain any reference to cost or price aspects of the offer.
Contractors must address the following elements:
1.1 Understanding of the Work
1.2 Key Personnel Resumes

1.1.1 Sample Task: The Offeror shall provide written responses to the sample task as provided below:
PMA-263 receives Request For Forces (RFF), Urgent Operational Needs Statement (UONS), Universal Urgent Needs Statements (UUNS) and Joint Urgent Operational Needs Statement (JUONS) requesting Small UAS (Group 1) support to current fleet deployment operations, which are often required to accomplish current missions and/or gaps in capabilities. PMA-263 is required to develop agile acquisition strategies to support urgent need requirements. Complexities encountered supporting these requirements include but are not limited to: support to both land and maritime requirements that require trained personnel, certifications, installation, operation, maintenance, sustainment, and spares/product support to effectively and efficiently support operations; urgent procurement of Commercial Off the Shelf (COTS) UAS which are required to be delivered in as little as 15 days; and funding challenges to support sustainment which requires Overseas Contingency Operations (OCO) funding and WAR council requests to ensure the warfighter is fully equipped to meet mission requirements as well as emerging/evolving requirements that may include an increase in support hours or increase in number of locations.
The Offeror shall provide program management support to a Small UAS (Group 1) urgent capability acquisition, from development to Operations and Support (O&S) activities for the program office. The support shall include analysis of potential courses of action, near term and long term range of feasible capabilities, programmatic and operational risks, acquisition strategies and documentation, cost estimates, and schedules.
For the sample task, the Offeror’s proposal should provide the understanding and capability to perform the work. Unique methods of resolving cost, schedule and performance challenges that could occur when working these rapid acquisition projects identified in the Sample Task are encouraged, however, be mindful of the need for timely accomplishment of task order objectives with minimal risk to program achievement, schedule, and cost. The Offeror shall not assume that the Government evaluators possess any knowledge or familiarity with their company or approach in their proposal. The Offeror shall submit a detailed and comprehensive response which clearly explains that the Offeror understands the task.
The Offerors sample task response to address the technical approach shall include the following:
1.1.2 Team – Identify the contractor team members that need to participate in the effort; and if applicable, describe the roles and responsibilities of any subcontractors, and/or Joint Venture team members required to perform the work. 1.1.4 Technical Approach - Provide a detailed description of the technical approach including a step-by-step procedure and methodology which would be used in accomplishing the task.
1.1.5 Performance Risk Analysis – Identify contingent events inherent to the nature of the effort that could, if they were to occur, endanger satisfactory performance. Focus on critical events that are realistically likely to occur and that would pose serious problems (do not try to identify every event that could cause some minor difficulty).
1.1.6 ECP Process - Demonstrate the ECP process, from start to finish, as it relates to developing, executing, and managing.
1.1.7 Step-by-Step Methodology - Address the step by step procedures in a hypothetical or actual scenario considering the ECP process to include, but not limited to: the development and approval process; contracting process; integrated government schedule development and management efforts; engineering and logistics requirements; and the funding process.

2.1 COST/PRICE PROPOSAL CONTENTS
2.1.1 Complete and submit Section B. As this is a FOPR acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and Subcontractors. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
2.1.2 The cost/price submission shall be submitted as a separate volume. All cost and/or pricing information shall be contained in this volume only. Offerors shall submit their cost/price submission utilizing the Cost Summary Spreadsheet (Attachment L-18). The Offeror shall submit a fully completed Fully Burdened Labor Rate spreadsheet (Attachment L-19) along with the requested narrative information. All submissions shall be unprotected and unlocked, with formulas intact to show mathematical operations. If links are utilized, supply those referenced files. Offerors shall not propose a price for FAR 52.217-8, "Option to Extend Services".
2.1.2.1 The offeror shall complete the Cost Summary Spreadsheet (Attachment L-18) identifying each current, contingent, and/or prospective hire employee proposed under the effort. The offeror and proposed subcontractors shall provide payroll verification for currently employed proposed personnel and contingent offer letters outlining salary information for contingent hires. Subcontractors and team members shall provide a separate Attachment L-18 delineating the build-up of rates to the Government as applicable.
The following definitions apply: A "contingent hire" is an individual who has committed, under a signed letter of intent, to being employed by the offeror if the offeror is awarded the task order. A "prospective hire" is an individual that the offeror has committed to hiring if the offeror is awarded the task order whose identity may not be known until after task order award.
2.1.3 The Offeror shall fully disclose the buildup of cost/price of each CLIN. When completing Attachment L-18, the Offeror, (e.g., prime contractor) shall not utilize any fully burdened hourly rates when pricing the labor of its employees.
2.1.4 If a subcontractor of the Offeror utilizes fully burdened rates in its submission to the prime, the subcontractor shall provide its own Attachment L-18 delineating the buildup of those rates to the Government. The prime contractor must justify the reasonableness of each subcontractor's cost, if applicable. A discussion for the basis of this determination is required for each submitted subcontractor.
2.1.5 This requirement is being set-aside for the small business program. Provide a breakout to demonstrate how the prime contractor will perform at least 50% of the cost of contract incurred for personnel with its own employees for each period of performance in accordance with FAR clause 52.219-14. Cost of contract incurred for personnel includes direct and indirect labor cost.
2.1.6 Provide a narrative that addresses any assumptions made during the preparation of the cost/price submission and discuss the basis for the cost elements listed below:
2.1.6.1 Direct and Indirect Rates. The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: a DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor; the Offeror and submitted subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation; payroll verification for currently employed submitted personnel; and any other information necessary to substantiate the rates submitted. Payroll verification shall consist of a form containing the title, direct labor rate and a signed certification by an authorized representative of the company that the information contained in the form is correct. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary provide a narrative to describe derivation of labor rates and/or use of uncompensated overtime. If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification a justification shall be provided for the difference.
If DCAA has not reviewed the indirect rate information (impact or special rate analysis) for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the submitted rates. The Offeror shall also provide documentation verifying that it has a DCAA approved Cost Accounting System in accordance with DFARs 252.242-7006. Acceptable Accounting Systems are mandatory for all Prime Contractor’s to be eligible for award of this task order. If the offeror does not have an approved accounting system, a statement shall be included in the cost narrative stating as such. Prime contractors and all subcontractors shall provide the last three (3) years of actual indirect information (including escalation). The submitted subcontractors are required to submit their DCAA information and payroll verification either under their prime contractor or separately to the Government POC. The Government may review perspective Offeror's labor category to the average labor rate from industry or other rates within the demographical zone of work to be performed.
2.1.6.2 Escalation on labor. Offerors, including Subcontractors, shall address escalation for all labor categories and shall provide rationale for the specific escalation rate used. Offerors that do not include escalation, or an explanation as to why it is not included may be considered unrealistically low and may have their proposal adjusted by the Government to include escalation in the option periods.
2.1.6.3 Application of Indirect costs (i.e. Overhead, Fringe Benefits, General & Administrative (G&A), etc.) and the basis to which they apply, must be justified in accordance with vendor specific accounting practices.
2.1.6.4 Information needed to explain the Offeror’s estimating practices.
2.1.6.5 Fee: Identify fee rate and total amounts submitted and identify the various cost elements to which the fee is being applied. Fee as applicable in Section B, must be clearly distinguishable. Fee shall not be applied to ODCs.
2.1.6.6 Other Direct Costs (ODCs) by specific cost element (i.e. Travel, Material). Reimbursement for Travel will be in accordance with the Federal Travel Regulation. If it is the contractor’s accounting practice to apply (and invoice for) burdens with regards to ODCs, then the contractor shall submit the ODC amount plus the addition of the applicable burdens.
2.1.6.7 When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the Offeror must submit a DD 1861 and show the calculations of the submitted amount.
2.1.7 The Offeror shall prepare and submit the cost/price spreadsheets in, or compatible to, Microsoft Office Excel. Portable Document Format (PDF) is not acceptable. The spreadsheets shall be formatted on letter size (8.5 X 11) paper. The spreadsheets shall be unprotected and unlocked, with formulae intact to show mathematical operations.
2.1.8 The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs, (e.g., lower than usual burdens or rates) the Offeror shall fully identify and explain any such investments. Such investment will then be incorporated into the Task Order to cap the rate and to ensure it is binding for the term of the task order.
2.1.9 Option for Increased Services and ODC CLINs: The Offeror shall complete the Option for Increased Services Labor CLINs 0005, 0010, 1005, 1010, 2005, 2010, 3005, 3010, 4005, 4010 and ODC CLINs 0017, 0024, 1017, 1024, 2017, 2024, 3017, 3024, 4017, and 4024 for each period of performance of the Task Order. The CLINs for Option for Increased Services and ODCs within the performance period are a 15% mathematical calculation of the cumulative cost reimbursement amounts proposed for all other CLINs under the respective performance period. The value for the Option for Increased Services and ODCs within the performance period shall be included in the Offeror’s proposal as separate line items, consistent with the Section B CLIN structure, and inclusive of a breakout of labor, fee, and ODCs based on the 15% calculation.
